The Zubin Foundation Confidential Information and Intellectual Property Version as of 10 May 2024 Thank you for agreeing to act as a Volunteer ("Volunteer") for The Zubin Foundation ("TZF"). TZF recognises the commitment that you are making, and we appreciate your contribution. In your role as Volunteer, certain information and intellectual property of TZF may be made available to you. This letter sets out the terms on which TZF agrees to make available to you that information and intellectual property, and also clarifies some of your obligations to TZF as Volunteer. 1.
Objects of TZF and Volunteers
1.1
The objects for which TZF was established ("TZF Objects") are set out in the Memorandum and Articles of Association of TZF, a copy of which will be provided to you on request.
1.2
You hereby agree that: (a)
in your role as Volunteer you will at all times promote the TZF Objects;
(b)
you will not at any time and in any way use your role as Volunteer in order to pursue any object or interest other than the TZF Objects; and
(c)
for so long as you act in your role as Volunteer, you will immediately inform TZF, and keep TZF informed, of any and all interests of yours which give rise to, or which are likely to give rise to, any conflict with any of the TZF Objects.
2.
Confidential Information
2.1
In your role as Volunteer, you may: (a)
receive (directly and indirectly, including orally) information ("Confidential Information") concerning TZF, its service recipients, service providers or any other person having dealings with TZF, including, but not limited to: (i)
any invention, technical data, know-how or other manufacturing or trade secrets of TZF, its service recipients, service providers or any other person having dealings with TZF (including Intellectual Property Rights and IP Materials, as defined below);
(ii)
any information in respect of which TZF is bound by an obligation of confidence to any third party;
(iii)
marketing or business strategies and plans;
