Legence is engineering the infrastructure of a digital, decarbonized economy.
Our data center work — from liquid cooled, closed loop mechanical systems that are designed to materially reduce energy demand and eliminate the evaporative water consumption of traditional cooling, through to prefabricated assemblies that are designed to cut waste and shorten schedules — is increasingly enabled by the disciplined application of artificial intelligence (AI) across our design and delivery workflows. AI is not a replacement for engineering judgment. It is a lever that lets our teams do more of their best work, faster, and with less waste along the way.

Data center design is fundamentally an optimization problem under thermal, electrical, spatial, and economic constraints. AI assisted tooling allows our engineers to evaluate far more configuration alternatives, such as pipe routing, equipment selection, and redundancy schemes, than manual iteration alone would permit, with early execution in the project when the cost of changing direction is lowest. Through this approach, the results are designs that help hit higher sustainability targets, including lower Power Usage Effectiveness (PUE) and smaller equipment footprints, while meeting the rising density demands of modern computing. Every recommendation is reviewed by a credentialed engineer before it influences a deliverable.
Beyond design, AI supports the phases of project delivery where small efficiency gains are projected to compound into measurable reductions in waste, rework, and embodied carbon:
Scheduling: AI supported scheduling helps project teams anticipate constraints and smooth resource demand, reducing the idle time and rework that drive both cost and quality.
Documentation: Capital projects generate enormous volumes of submittals, Requests for Information (RFIs), clash detection, and closeout records. AI tools help our teams organize, search, and quality check this documentation so the right information reaches the right person at the right time.
A workforce that spends less time on rote tasks and has better tools for analysis produces better outcomes. Legence has invested in company wide AI training so that employees across roles understand what AI can and cannot do, where it adds value, and how to use it within our data, security, and ethics policies. Across the company, AI tools support everyday work from drafting, brainstorming, summarizing documents, to exploring data. In selected high value areas we have built internal tools that combine our own data and operational know how with modern AI capabilities. Employees report that thoughtful AI tooling reduces the burden of low value work and creates more space for engineering judgment, client relationships, and craft.
We apply AI within defined data security, quality control, and professional oversight standards, ensuring that technology supports—not replaces—licensed engineering judgment. We view AI as a part of our broader sustainability commitment, and we expect its portfolio of capabilities to keep growing.

At Legence, our approach to safety is backed by numbers. Capturing data across jobsites equips us with insights that are valuable for keeping people safe. This last year we began piloting a new tool to amplify our safety efforts, bringing key performance indicators and data collection to the forefront of our safety journey. While pre task plans (PTP) and jobsite inspections are the norm across Legence, at Bel Aire and VarcoMac, our teams are using an app based program from FactorLab to gain additional insights into these practices. With FactorLab technology, our teams get real time analytics into our safety preparedness and access to streamlined communication.
Pre-task Planning: Preparation is key when planning a project. With FactorLab, our safety professionals have access to insights that provide reports up to the minute on where PTPs have been submitted and where delays may have occurred. If a PTP is missing, site leadership is notified to rectify the missing effort. FactorLab technology is also used as a training tool for PTP. Through the program, our team can record planning meetings to summarize key details and help pinpoint hazards where safety should be emphasized. This proves especially important when we review PTPs after a safety incident occurs. Through FactorLab's data capture we can identify if the PTP adequately prepared the team for a potential hazard and, if needed, make changes for the future.
Jobsite Inspections: By utilizing jobsite inspections, we have streamlined communication for our teams, seeking to ensure all those involved on a project have the most accurate information while reducing the burden of information transfer and multi-site coordination. If a hazard is identified on a jobsite, FactorLab allows us to reach out to the responsible party to resolve the issue. This feature also allows us to see trends that we can use to better train our employees to recognize.
As we roll out FactorLab's capabilities across more of our companies, we are working to ensure our team becomes experts on the functions most useful to their work so they continue to use this tool as a resource for safety, not just a program to report to.

In 2025, Legence enhanced our data collection and monitoring capabilities by centralizing company wide reporting with a third party provider to streamline and improve traceability. This process has allowed us to assign clear ownership of and responsibility for tracked sustainability metrics and positioned us to verify accuracy year over year.
Each year, Legence conducts a GHG inventory for our scope 1, 2, and 3 GHG emissions to determine reduction strategies and efficiency efforts.
To ensure alignment with upcoming regulatory requirements, we are reassessing our scope 3 GHG emissions reporting boundary to determine additional categories that may be considered 'material'. To support this, Legence is analyzing vendor spend data to define upstream and downstream business interactions and identify the categories of scope 3 GHG emissions that are relevant to our operations.
Legence's Corporate Social Responsibility (CSR) cohort is cataloging our sustainability measures in place across our offices that contribute to reducing our emissions.
Legence has completed third party assurance for our calendar year 2025 scope 1 and 2 emissions with an external provider.
We install efficiency measures into offices where we control operating expenses. Projects include motion-sense LED lighting upgrades, low-flow fixtures, and waterless urinals. From the idea of lean manufacturing, we look to automation to reduce time and material on projects, ultimately helping reduce resource consumption.
A Legence wide Electric Vehicle (EV) purchasing policy is in place to align purchasing and fueling of our fleet with our environmental goals. Through this, we strive to influence markets and increase accessibility to more sustainable vehicles.

RECYCLED WASTE
pounds
gallons
Our team at Bowers conducted a waste audit at its main campus in Beltsville, Md., and found a meaningful opportunity to improve its cardboard disposal process. By adjusting pickup frequency, integrating cardboard collection into daily equipment runs across the campus' six buildings, and deploying an on site baler, the team established a closed loop recovery system. Processed cardboard is now sold to Encore Recycling, a local materials recovery partner. In 2025, Bowers processed and sold over 18 tons of compacted cardboard, generating new revenue and reducing net waste removal costs by more than $25,000.
Installation of on site solar at our companies, where feasible, helps us decarbonize local energy grids, bringing in clean energy for more than just our operations to benefit from.
In 2025, two A.O. Reed facilities and two CMTA facilities generated 188 MWh and 227 MWh of renewable energy from on site solar, respectively.
In 2025, Legence purchased 35 MWh of green power15 at two Therma offices. The purchase of green power is reflected in our 2025 market-based emissions statement.
Legence enters into green leasing contracts to help obtain insights into our utility consumption at leased spaces and to work with our landlords to lower consumption.
Prioritizing sustainable building design helps ensure our employees have safe, healthy, and efficient workplaces, including easy access to low carbon transit like biking and public transportation.
CMTA's headquarters in Louisville, Ky., earned NextGen designation from ENERGY STAR. This designation is awarded to buildings that meet rigorous performance standards across energy efficiency, direct emissions intensity, and renewable energy consumption.
Legence monitors the physical impacts of climate change, such as extreme heat, flooding, wildfires, and long term shifts in temperature and precipitation, across its locations to help mitigate potential disruptions to operations and employee safety. Using climate analytic software, Legence evaluated physical risk exposure at 15 priority sites representing roughly 65% of our total operating footprint. This evaluation covered both chronic risks, like rising temperatures and changing precipitation patterns, and acute risks driven by severe weather.
From this analysis, floods, wildfires, heat stress, and water stress emerged as priority climate hazards. These insights help guide the mitigation and adaption strategies Legence pursues to safeguard employees and support business continuity.
Legence is taking a proactive approach to upcoming legislation in the United Sates as we regularly evaluate transition risks impacting our operations. As GHG reporting standards are proposed and enacted in various jurisdictions we are working on compliance readiness by partnering with external experts to verify performance and catalog risks.
Legence continues to implement sustainability considerations into the full lifecycle of our business and products, finding solutions to meet market expectations around embodied carbon reductions. Pivoting to prefabrication allows Legence and our customers more streamlined production, improving efficiency and cutting costs, therefore reducing our environmental impact to transport material.

Legence created a standardized mobility program to help ensure all of our employees have opportunities to broaden their talents anywhere in our organization.
Through our employee referral program, we are giving employees direct ownership to our talent outcomes, improving hiring quality, and creating a consistent employee experience across the enterprise. LEVELING UP
As our organizational footprint grows, we are committed to ensuring that current and new employees are well informed about our impact and influence in the built environment. Thanks to employee feedback and direction from leadership, Legence created multi media training resources to serve as the foundation of our institutional knowledge. With subject matter input and content consolidation, the Legence foundational learning plan is helping employees piece together our strategic advantage as we work together under our two segments to deliver on our mission.
Legence remains committed to charitable giving and providing opportunities for our teammates to share their time and expertise with organizations that align with our mission and vision. 2025 EFFORTS

Strong leadership is built on preparedness. At Legence, we prepare by setting strong policies, managing risks, and building a robust and dynamic supply chain.
At Legence, we seek to stay ahead of industry trends and best practices to strengthen our risk management approach. We take a proactive, flexible stance leveraging external partners, including insurers, to help mitigate risk. Our general counsel and information technology (IT) experts provide strong oversight, identifying potential threats and reporting them directly to our leadership team, who actively track, monitor, and address risks as they arise
Legence has designed and implemented a comprehensive security program that is based on the National Institute of Standards and Technology (NIST) Cybersecurity Framework (CSF), a widely recognized and respected set of guidelines for managing cybersecurity risks. Our security program covers five core functions: Identify, Protect, Detect, Respond, and Recover. In addition, we have implemented security measures, internal controls and testing, systems redundancy, and third party products and services into our program, and we regularly update and review our testing protocols. One of the most important and rigorous standards we adhere to is SOC2 Type II. We have completed a SOC2 Type II audit, which verified and validated our security practices and controls through an independent auditor. This audit report provides confidence to our customers and partners that we are serious and diligent about cybersecurity.
Our policies work to keep us accountable and drive strong governance. Legence has unified and streamlined policies and practices across the organization, adopting a cohesive set of standards to ensure compliance. We remain committed to annual policy reviews, updating them regularly to address emerging risks and evolving regulations.
Legence's extensive supplier network empowers us to support a wide range of businesses. While most of our partners are local to each company, we've also built national relationships with top brands and vendors to maximize cost savings and product availability. By blending local expertise with national reach, we keep our pricing competitive and unlock new market opportunities across the country.

1 TRIR= Total Recordable Incidents X 200,000 / Total Hours.
2 Emissions per employee are calculated using total Scope 1 and 2 location based emissions and full year employee headcounts for each Legence business unit. Total scope 1 and 2 location based emissions were 19,309 MTCO2e for 2025 and 21,656 MTCO2e for 2024; scope 1 and 2 emissions intensity per full time employee across all brands was 3.32 for 2025 and 3.92 for 2024. This year over year decrease in emissions intensity is attributable to Legence acquisitions in 2025 and the use of a new data management platform to quantify emissions. The underlying emissions data for the 2025 intensity metric has been verified by an independent third party; however, the headcount has not been verified.

Our 2025 GHG Inventory includes one 2025 acquired company, IMD, tucked under Yearout. Over 85% of Scope 1 and Scope 2 emissions are calculated from reported data. Where data is unavailable, energy consumption is estimated based on the leased floor area to provide a baseline for tracking progress.

Except where specifically noted otherwise, the reporting period of the Report covers subject matter and data for the year ended December 31, 2025 and is limited to the operations owned and/or operated by Legence.
Statements in this Report that relate to future events, expectations, and trends may be considered "forward looking statements" and involve factors that are subject to change and risks and uncertainties that could cause actual results to differ materially. These risks and uncertainties are difficult to predict and often are outside of our control. We have attempted to identify forward looking statements by words such as "may," "could," "anticipate," "target," "plan," "continue," "goal," "commit," "achieve," "project," "intend," "estimate," "believe," "may," "potential," "predict," "expect," or other similar terminology. However, such terminology is not the exclusive means of identifying forward looking statements and its absence does not mean that the statement is not forward looking. You should not place undue reliance on these forward looking statements, which are neither historical facts nor assurances of future performance. Instead, they are based only on Legence's current beliefs, expectations, and assumptions regarding the future of its business, sustainability approach, projections, anticipated economic changes and trends, and other conditions. Although Legence believes the expectations and beliefs reflected in the forward-looking statements are reasonable, any forward looking statement speaks only as of the date on which that statement is made. Legence assumes no obligation to update any forward looking statement to reflect events or circumstances that occur after the date on which the statement is made.
In addition, statistics and metrics presented in this Report relating to sustainability matters are estimates and may be based on assumptions or developing standards. Additionally, terms such "sustainability," "net zero," "decarbonization" and "green" can be subjective in nature, and there is no representation or guarantee that these terms, as used by Legence, will reflect the views, policies, principles, frameworks or preferred practices of any particular investor or other third-party or reflect market trends. Certain goals, targets, intentions, or expectations described herein are voluntary and should be viewed as aspirational. Further, certain information contained herein relating to any goals, targets, intentions, or expectations is subject to change, and no assurance can be given that such goals, targets, intentions, or expectations will be met within the applicable time frames or at all. Similarly, there can be no assurance that our sustainability policies and procedures as described in this Report will continue; such policies and procedures could change, even materially.
