eepa Jayakumar, the niece of late Tamil Nadu Chief Minister J Jayalalithaa, took possession of her aunt’s Poes Garden home on 10th December evening after receiving the keys from the Chennai district administration. “This is the first time I’ve paid a visit without my aunt. ollowing a direction from the Haryana Pollution Control Board, Hindustan Syringes and Medical Devices (HMD), India’s largest syringe maker, has closed its operations, raising fears of a syringe and needle scarcity in the country. Twothirds of India’s entire syringe requirements are met by the corporation. It runs four production units in an 11-acre complex in Faridabad, and three of them, including its main facility, were forced to close on 3rd December after a request from the state government. “We decided to shut down production at our complex today afternoon,” HMD managing director Rajiv Nath told ET. According to Nath, the corporation does not have enough buffer stock to last more than two days. “We won’t be able to feed needles for more than two days when Monday’s(6th December) buffer stock runs out. Starting on 6th December, the daily manufacturing of 1.2 million needles will be unavailable “he stated. A total of 40 lakh syringes were produced at another plant, which HMD expects to close on 6th December.

n 17th December, 12 memorandums of understanding (MOUs) were signed between Vietnamese and Indian businesses in the areas of public health, pharmaceutical materials, medication and vaccine production, oil and gas, information technology and technology transfer, education, and tourism. The occasion was President of the National Assembly of Vietnam, Vuong Dinh Hue’s, visit. On December 17, 2021, he attended the “Vietnam India Business Forum,” which was co-hosted by the Vietnamese Embassy and the Confederation of Indian Industry. Leaders from both nations have nurtured a long-standing traditional friendship between India and Vietnam. ccording to a top government official, Vodafone has filed an application with the Indian government to settle its tax issue under the retrospective statute, promising to guarantee it against any future claims. “They’ve applied… The corporation would be given Form 2 when the application was processed “According to the official, Form 2 is the following step, which indicates that the application has been accepted, paving the way for a refund of the tax paid. The government must reimburse Vodafone 44.7 crore in taxes that it has collected. After the final rules under the Taxation Laws (Amendment) Act 2021 were announced, Cairn Energy and all other corporations subject to the retrospective tax applied for settlement with the Income Tax Department. According to the official, their applications have been processed, and the majority of them, including Cairn Energy, has been issued Form 2. Vodafone has applied to a different set of rules. In mid-October, the government published these under Section 119 of the Finance Act.

Sputnik Light Booster Combats Omicron

eeper financial inclusion, which helps define monetary policy, will offer the RBI more leeway to focus on lowering inflation volatility, according to the RBI. Financial inclusion, as assessed by the RBI’s FI-Index, has just recently crossed the halfway point of the RBI’s aim of 100 or complete financial inclusion, according to RBI deputy governor Michael Patra. The index uses 97 parameters to assess financial inclusion, including access, use, and quality of various financial services. “We’ve made it halfway,” Patra added, “performing best in terms of access or supply of financial infrastructure while behind the most in terms of consumption or demand to be financially included.” He was speaking at an IIM-Ahmedabad session about how financial inclusion empowers monetary policy.

Health experts across the continent are preparing for a wave of diseases. On 17th December, administrations in Germany, the Republic of Ireland, and the Netherlands announced new restrictions in an attempt to stem the tide.

French Zoo Closed After a Pack of Nine Wolves Have Escaped

ocal authorities have temporarily closed a French zoo after a group of nine wolves escaped from its enclosure during visitor hours. Last weekend's event at the Trois Vallées zoo in Montredon-Labessonnie, southern France, resulted in no injuries. The creatures ripped off safety hatches and scaled a fence, but they never left the zoo. According to local official Fabien Chollet, four people were killed for "dangerous behaviour." Local officials who had been brought to the situation returned the remaining five to their enclosure and anaesthetized them. Mr Chollet explained, "There were not many people at the zoo at the time, and the public was never in immediate danger."

Gavle, Sweden’s Christmas Goat, Has Been Set Ablaze Once More

n arsonist has set fire to a giant straw goat that has become an annual attraction in Gavle, Sweden. After the structure was set on fire in the early hours , a guy in his 40s was apprehended. The goat has been attacked several times before but has managed to survive every holiday season since 2016 because of 24-hour protection. The attack on the seasonal facility, according to spokeswoman Rebecca Steiner, has left her saddened. "I cannot comprehend how a person can carry out this kind of attack on a Christmas icon known all over the world just a week before Christmas," she told the BBC. TFM (Total Fatty Matter) is the unit used to measure the quality of the soap thus produced. The higher the TFM, the more its moisturizing properties. TFM specifies the range of fatty acids present in the soap. The good-quality ones have a high TFM percentage and the ability to make skin soft and deeply cleansed. The TFM quantity thus describes the quality of soaps. A higher quantity in a soap implies that it is highly hydrating and least harmful to the skin. Such soaps do not cause much dryness. In contrast, less TFM means that the soap is damaging to the skin. It rips away all the moisture present in the skin, making it dry. It results in skin that’s sensitive and may develop rashes, skin breakdown, and infections.

Soaps with a TFM of more than 76% are considered first in quality (grade one). A GLOBAL PHENOMENON

he US consumer price index rose 6.8% in November 2021 year on year, the fastest pace of increase since 1982, and the sixth straight month in which inflation topped 5%. Regular readers of this magazine may recall that in the August 2021 issue, my article titled “The US has an inflation problem” had dealt extensively with the subject of rising inflation in the US following the pandemic. In the five or six months since, the problem has become even more acute. In December 2021, responding to the high inflation, the US Federal Reserve announced

a faster taper of its bond buying programme which has been injecting $120 billion of liquidity every month since June 2020. Bond purchases will now be reduced by $30 billion each month, which will end all fresh bond purchases by March 2022. The accelerated timetable puts the Fed on course to start raising interest rates in the first half of 2022. Here in India, inflation as measured by the wholesale price index (a proxy for producer prices) accelerated to 14.23% in November 2021, the highest since April 2005, due to a sharp increase in manufacturing costs

and food prices. This has given rise to renewed concerns that rising inflationary pressures will soon have to be countered by the RBI raising interest rates. The gap between retail and wholesale price-based inflation has widened in recent months as many companies struggle to absorb surging input costs that undermine their profitability. Wholesale inflation has remained in double-digits for eight months in a row now while retail inflation continues to hover around 5%. It may just be a matter of time before the high WPI inflation spreads to consumer prices as well.

The United Nations Food and Agricultural Organization has said food prices globally are now at their highest levels in more than a decade. According to the International Monetary Fund, consumer prices could rise about 4.8% globally in the next year. As the world braces for higher inflation everywhere, here is a look at how the leading economies of the world are faring. China's consumer price index rose 2.3% year on year in November 2021 while the producer price index went up 12.9%. An ongoing crunch in energy supplies was the major contributor to the rise in producer price inflation as the cost of coal, a leading source of energy in the country, has risen sharply. The world's second largest economy is growing at the slowest pace in a year as the energy shortages, shipping

disruptions, and a deepening real estate crisis take their toll. China’s rising inflation has the world worried considering China's place in the global supply chain and its role as the world's factory supplying a staggering range of goods to consumers around the world. In the U.K., inflation climbed to a 10-year high with CPI rising by 5.1% year on year in November, which was more than double the central bank’s target. The UK’s Office for National Statistics attributed the rise in inflation to the prices of petrol and second-hand cars, but prices have risen for almost all goods and services suggesting that price pressures are being felt across the economy. As inflation surged, the Bank of England hiked interest rates for the first time since the onset of the pandemic, increasing its

main interest rate to 0.25% from its historic low of 0.1%. In Germany, inflation continued to rise going up from 4.5% in October to 5.2% in November (the highest rate registered in the country since June 1992) driven by the base effect of low prices that prevailed for much of 2020. In line with the worldwide trend, the November increase was mostly driven by surging energy prices, which were up 21.6% over the last one year. While inflation surges around the world, Japan continues to be a notable exception. Although Japanese policymakers have long sought to stimulate the economy by increasing inflation and thereby shake it out of its long-term deflationary trend, consumer prices have not moved. It appears that after decades of very low inflation, Japanese shoppers tend to resist the idea of paying higher prices and businesses have refrained from raising prices. Interestingly, most of the inflationary forces hitting other countries, such as higher prices for oil, commodities, and microchips also apply to Japan. The difference lies in the way com-

panies and consumers react. Japan has an aging and shrinking population that encourages people to be cautious with their spending leading to a chronic shortfall in consumer demand.

Causes of current inflation

Why has inflation risen so quickly? The answer to this question holds the key to an understanding of how long the surge can be expected to last and what policymakers should do about it. Many economists believe that the recent bout of inflation is different from other inflationary periods that were linked to the regular business cycle. Among their explanations include the continuing disruptions in global supply chains after the pandemic, the unsettled labour markets, the base effect from measuring prices against the low levels that prevailed last year after COVID-19 had shut down parts of the

economy, and the strong rebound in consumer demand after local economies were reopened. Supply chain issues: If inflation today has become something of a global phenomenon, the havoc wreaked by the pandemic on global supply chains gets a fair share of the blame. By constricting supplies of a range of goods at a time when pentup demand is looking for an outlet, it has set the spark to inflation on a global level. In hindsight, it is no surprise that a globalized economy where manufacturing is dispersed across multiple locations often in different countries (and therefore dependent on smooth and efficient logistics to keep going) can come to a freeze when struck by a oncein-a-lifetime pandemic. Covid-19 squeezed supply chains, restricted international and local travel, and shut down businesses and services. Now, even as the world is recovering from these shocks, new variants of Covid-19 continue to pose a threat. Shipping costs: The Global shipping crisis—as seen in the severe shortage of containers and ships having to wait for long to dock at ports—is likely to go on delaying goods traffic and stoking inflation by increasing the cost of logistics.

Shipping has rarely been a subject to attract the attention of economists who have always paid more attention to raw material and labour costs as compared to transportation. But those days may be over. The cost of shipping a 40-foot container (FEU) unit used to be about $1,300 before the pandemic. It surged to a record high of over $11,000 in September 2021 but has now come down by about 15% according to the Freightos FBX index. With 90% of the world's merchandise being shipped by sea, soaring shipping costs are exacerbating global inflation. Petroleum prices: Energy prices are rising around the world with the economic recovery and people returning to the offices. Europe is struggling to secure enough gas and coal with the onset of winter. Soaring gas and oil prices hurt consumption and aggravate inflation. The gas market is going through a turbulent phase which has driven prices in Europe higher by 280% this year while comparable US prices have doubled. The spike is being attributed to a range of factors from low storage levels to reduced Russian supplies and lower investments in hydrocarbons. Also at fault is the aggressive implementation of green energy policies

that deter investments in the hydrocarbon sector. A side effect of surging gas prices is higher food costs as the production of fertiliser uses gas as a feedstock. Commodity prices: The spike in the prices of commodities, especially steel, aluminium and metals like copper and zinc, has cast a shadow over the recovery and added to the inflationary pressures. The profit margins for manufacturers shrink when raw material costs go up. Households are paying more for gas, groceries and eating out, which constricts their ability to spend elsewhere. Surging commodity prices are an early warning of future inflation as commodity markets react more quickly to changes in economic conditions than prices for final goods. Shortage of semiconductors: The worldwide shortage in the supply of semiconductors has affected manufacturing and is yet another reason for the upward pressure on consumer prices. In the modern world, semiconductors are at the heart of products ranging from computers and phones to our vehicles and appliances. Orders for everything from cars to televisions to touch-screen computers and the like

are being held back for six months and more merely for want of adequate chips. With production of new cars impacted by the semiconductor shortage (modern cars make use of a lot of electronics), manufacturers have pushed up prices which has spilled over into the used car market. As the supply of semiconductors increases, we may expect some easing of inflation on this count, but the process is likely to be drawn out. Fiscal and monetary stimulus: This is the elephant in the room that most policymakers would prefer not to see. The massive amounts of liquidity injected into the global economy through fiscal and monetary stimulus by central banks around the world to lend support to the economic recovery has had some unintended consequences too. As the famous definition goes, inflation is too much money chasing too few goods and services. Approximately US$10.8 trillion was injected into the world economy by way of fiscal stimulus and this is equivalent to 10% of global GDP. With so much extra money finding its way into the economy in a short period, high inflation was perhaps a foregone conclusion.

Consequences and likely outcomes

The tapering of bond purchases by the US Fed followed by a faster lift-off of interest rates will put pressure on stock prices in the US as

well as emerging markets where the risk off mode will lead to foreign portfolio investments (FPIs) flowing out. In fact, FPIs have pulled out Rs.29,702 crore from the Indian equity and debt markets in December 2021 which saw the announcement of faster tapering by the US Fed as well as uncertainty over the Omicron variant. Gold prices will likely be under pressure initially as reduced stimulus and interest rate hikes by central banks tend to push government bond yields up, raising the opportunity cost of holding bullion which yields no interest. However, there is no certainty that US inflation can be brought under control without raising interest rates to the point where the economy tips over into a recession, and that means there’s a lot more fight left in gold. Back in 2017 and 2018, the US Fed had raised interest rates seven times in a row but when growth slowed, they changed course and cut interest rates again. At the time, inflation was low and that gave the Fed the room to revert to lower interest rates. However, this time around, inflation is at a four-decade high and if the Fed were to reverse course without fully wringing out inflation, the pressures can mount leading to stagflation. And should inflation remain stubborn, gold prices will likely bounce back as the metal has historically done well under high

inflation. In India, the RBI will be under pressure to hike interest rates to curb inflation. This will put pressure on the financial services sector which typically does better under a low interest rate regime. For now, the RBI has been patient with measures to support growth. Once growth recovers, the focus will shift to inflation. With domestic inflation risks on the upside, and with global interest rates also going up, interest rates in India are set to increase. A rising interest rate cycle is a challenge for bond market investors especially those investing in longer maturity bonds as capital losses are higher for longer holding periods as compared to shorter duration bonds. As for the equity markets, they have perhaps delivered their due ahead of time considering the record gains since the lows of the pandemic. A period of consolidation is more likely than a repetition of the outperformance of the last two years. However, given the unpredictability of the markets, it would also be wise to pray for an uneventful year without any more of black swan events to throw all our calculations out of gear

While there has been a cyclic nature of recovery and the increasing settling down of rigmaroles of masking and social distancing, life has changed. We have adopted digital ways of working and living more openly and this also means that we have increasingly adjusted to the new way of doing things. While every walk of life has changed, the business landscape had its share of change as well. Economics and the revenue modalities had to adjust to the railings of the pandemic. Significant commerce shifted from the physical realm to the digital realm. Even everyday purchases like groceries, medicines and domestic provisions can now be done by the click of a button. Fundamentally, the definition of success itself has changed. In the early phase of the pandemic, we saw the lockdowns, and then again in March and April of this year when the second wave struck, we reduced travel and returned to the safe confines of our homes. Industries that had relied on physical meetings adjusted to the online meeting mode and we learned to actively do business on a phone or a video conference. The nature of trust itself changed – we learned to trust transactions digitally, we build and nurture relationships online -- negating the earlier worries of how the civilization will thrive outside physical contexts and the physical touch. But the adjustments have not been uniform. The blue-collared worker has been affected. We have a significant part of our economy subsisting on assistance. These are the construction workers, domestic maids, gardeners, drivers et.al. While it may be debated why they are not essential services, it has also led to a wider economic rift. It is the age of technological advances, disruptions of business, new revenue models, innovative asset sweating paradigms, and the flux in the business environment that was palpable. ‘Digital’ is the catchphrase and has a larger meaning from ‘technology’. Digital is the complete transformation of our way of life and work. It is a potpourri of software, the gazillion devices, the interconnected network, and the host of exponential technologies that connect everything and everyone into one large invisible labyrinthine maze of relationships. The rate of change has also redefined the basic tenets of what ‘long term’ is, and what is ‘short term’? The strategic planning horizons have also changed. Management intuition, a cumulative precis of all our experiences drives decision making; but the recent movements in the business landscape show that there is a significant shift in the very basis of our fundamental business options. With the changing realities, it is imperative that the professionals and students of today understand the ‘digital’ perspective of things. This is not just changing ways in which business is done but also about the large shift in the way we work, communicate, and think. In this context, an important question is – What is

your Digital Quotient ( DQ)? It represents your ability to understand the digital context, learn new ways of working, unlearn some of the seemingly archaic practices of the past and embrace the digital environment completely. Qualitatively, it means having an eye on the horizon, understanding disruptions not just in the large business landscape but in your respective work domains. It is a no-brainer that some of the routine work that has ‘Bots’ and robotic process automation brings inefficiencies. So skilling yourself and thinking meticulously is the need of the hour and is the key question to ask yourself is – how will you differentiate your digital quotient to manage your businesses and your career? The foundation will be laid in our smart classrooms of the schooling going forth and we will have the children first to structurally learn the hybrid way of living. As we have often heard, the smartphone/device will be the new organ of the body and equally important as the existing 78 organs. We cannot wait for a chance to knock on our doors and force us to adapt ourselves – we must change with effort and concerted move to embrace the new ways of working. And this is not a phenomenon in India – it is the same around the world and we are perhaps on a better platform than others to embrace this change. While we are all in the same storm, we for once have a bet-

ter vessel carrying us! It is also the time to take responsibility for how you will adapt to the changes around you. You can also run the race but also choose to be proactive and change the narrative for yourself. You have to remind yourself that the decisions made today have outcomes that emerge much faster than in the past. You could pivot or perish in a much smaller time frame. ibromyalgia is a common and disturbing ailment. Fibromyalgia is estimated to affect 2–8% of the population, with a female to male incidence ratio of approximately 9:1. Fibromyalgia is basically a functional somatic syndrome i.e., a physical response to depression and stress. The exact cause is unknown but is believed to involve psychological, genetic, neurobiological, and environmental factors. The same genes causing fibromyalgia are also associated with other functional somatic syndromes and major depressive disorder. The central symptom of fibromyalgia, namely widespread pain, appears to result from neurochemical imbalances including activation of inflammatory pathways in the brain which results in abnormalities in pain processing. Fibromyalgia patients have a

lower threshold for pain because of increased reactivity of pain-sensitive nerve cells in the spinal cord or brain. Neuropathic pain and major depressive disorder often co-occur with fibromyalgia - the reason for this comorbidity appears to be due to shared genetic abnormalities. Neurochemical abnormalities that occur in fibromyalgia also regulate mood, sleep, and energy, thus explaining why mood, sleep and fatigue problems are commonly co-morbid with fibromyalgia. The mode of inheritance is currently unknown, but it is most probably polygenic. FM is characterised by chronic widespread pain and allodynia (a heightened and painful response to pressure.) Other symptoms include debilitating fatigue, sleep disturbance, and joint stiffness. Some people also report difficulty with

swallowing, bowel and bladder abnormalities, numbness and tingling, and cognitive dysfunction. Pain may be localized in areas such as the shoulders, neck, low back, hips, or other areas. Not all people with fibromyalgia experience all associated symptoms. Fibromyalgia is frequently associated with stress-related disorders such as chronic fatigue syndrome, posttraumatic stress disorder, irritable bowel syndrome, and depression. A systematic review found a significant association between fibromyalgia and physical and sexual abuse in both childhood and adulthood. Poor lifestyles including being a smoker, obesity, and lack of physical activity may increase the risk of an individual developing fibromyalgia.

Diagnosis FM basically is a clinical diagnosis. Blood tests and radiological tests

may be normal. To meet the fibromyalgia criteria for diagnosis, patients must have: (90% accuracy in diagnosis) A. Widespread pain in all four quadrants of the body for a minimum of three months B. At least 11 of the 18 specified tender points The 18 sites used for the fibromyalgia diagnosis cluster around the neck, shoulder, chest, hip, knee, and elbow regions. occurs when Cognitive Behavioral Therapy is used along with exercise. Medications commonly used include anti-depressants and Antiseizure medications. Weak opioids may be tried but not strong opioids. The combination of tramadol and paracetamol has demonstrated efficacy. The use of NSAIDs is not recommended as first-line therapy. Maybe a combination of antidepressants and antiepileptics for 3-6 months may be required to produce some improvement in symptoms. Exercise improves fitness and sleep and may reduce pain and fatigue in some people with fibromyalgia. In particular, there is strong evidence that cardiovascular exercise is effective for some patients.

Long-term aquatic-based exercise has been proven beneficial as it combines cardiovascular exercise with resistance training. Due to the wide range of symptoms FM can mimic so many disease processes which can be Rheumatological, neurological, gastrointestinal, urological, and psychological. Hence an extensive workup may be needed to rule out these problems. Although in itself neither degenerative nor fatal, the chronic pain of fibromyalgia is pervasive and persistent. Most fibromyalgia patients report that their symptoms do not improve over time. Hence such patients always switch from one Doctor to another in search of proper diagnosis and treatment

Empowered students for online education:

The many disruptions in our lives following the pandemic have created obstacles in the continuity of education, particularly for children belonging to low-income households most of whom study in poorly equipped schools. Students from poor families often lack access to digital devices, and many could not afford to buy smart phones to pursue online education. At Manappuram, we initiated a project to distribute smartphones to students hailing from poor families in all the assembly constituencies of Kerala (in association with the local MLAs) to enable them to attend online classes. This was prompted by the many reports about the challenges faced by such students under the online education system implemented in the state due to the pandemic restrictions.

Helping hand for covid frontline warriors:

The unprecedented health crisis had over-burdened the nation’s health-care system, leaving millions at risk of exposure and made India’s frontline workers especially vulnerable. Smart Gate for thermal screening:

As part of Covid-19 management, Manappuram Finance presented the Thrissur railway with a ‘Smart Gate’ for thermal-screening of passengers entering the station. The fully self-regulating gate enables railway security personnel to avoid close contact with passengers while carrying out their duties, thereby enhancing their safety. 2021-A YEAR GONE BY-A REVIEW ON THE DIRECT TAX FRONT

n the next series of articles, I intend to pen my thoughts on some of the key happenings in the year gone by. To start with, 2021, began with uncertainty considering the pandemic and sadly, ends with the potential of the third wave gripping the country, perhaps by the second quarter of 2022. I must admit that I am no soothsayer, yet I believe that 2022 would be the true test for the Government in providing a mature tax administration. There were a few glimpses of matu-

rity being displayed by the Government with the withdrawal of the effect of retrospectivity in the context of indirect transfer of shares, which is indeed laudable. One cannot forget the way the Government of yesteryear in a kneejerk reaction decided to amend the provisions of the Income-tax Act, 1961 (“the Act”), more specifically, section 9 of the Act. The knee-jerk reaction was occasioned, as a “reply” to the judgment of the Hon’ble Supreme Court in the case of Vodafone

International Holdings BV (2012) 6 SCC 613 or one would argue, the display of brute force by the Crown. In the said judgment, the Hon’ble Supreme Court held that only income accruing or arising directly or indirectly in respect of capital assets situated in India could be taxed. Consequently, in the absence of a specific provision, the related provision could not be extended to cover indirect transfers. In order to overcome the judgment of the Hon’ble Supreme Court

in the case of Vodafone (supra), a clarificatory amendment was introduced with retrospective effect. It would not be incorrect to state that retrospective legislation, in the Indian context, has been the bureaucrat’s dream but a taxpayers' nightmare. The dream of Vodafone after winning the hard-fought contest before the Hon’ble Supreme Court turned out to be temporal with the retrospective amendment in the tax laws. As renowned jurist Nani Palkhivala once observed, “The vagaries of the monsoon are less unpredictable than the whimsical change in our tax laws.”

WHAT WAS THE CLARIFICATION?

The clarification principally laid down that shares or interest in a company incorporated outside India would be deemed to be a capital asset or an asset that has always been situated in India if such shares or interest derived substantial value from assets located in India. This led to another round of litigation between the Government and Vodafone at the Permanent Court of Arbitration. Before the Permanent Court of Arbitration, Vodafone challenged the retrospective levy of tax as violative of the India-Netherlands Bilateral Investment Treaty. Pertinently, Vodafone succeeded and was awarded damages to cover tax demands, interest, legal and other costs.

In my view, the stance adopted by the present Government in nullifying the retrospective applicability is indeed a sign of “late” maturity. As one would say, Better late than never!! The intention of the Government in reducing corruption in the tax department is indeed laudable. To this effect, the Government had introduced the Faceless Assessment Scheme and the Faceless Appeal Scheme. While both the schemes have been a subject matter of challenge before various Courts, the Government based on its commitment before the Hon’ble Supreme Court in the case of Lakshya Budhiraja [2021] 131 Taxmann.com 51, has now repealed the Faceless Appeal Scheme, 2020 with the Faceless Appeal Scheme, 2021 which is effective from 28.12.2021. The new scheme mandates the grant of an opportunity of personal hearing, unlike the old scheme where such opportunity was at the discretion of the concerned appellate authority. In the new scheme, the Central Board of Direct Taxes has removed the Regional Faceless Appeal Centres. Now, an appeal is directly assigned to the Commissioner (Appeals) of a specific Appeal Unit. These changes are indeed welcome. As the year was about to close, recently, the Delhi High Court in a batch of nearly 1,400 writ petitions quashed reassessment notices is-

sued under section 148 of the Act after 31.03.2021 without following the procedure under the new assessment provisions introduced vide Finance Act, 2021. Sadly, there appears to be a growing tendency to enact arbitrary provisions which match with the hypothesis that a citizen exists for the state and not state for the citizen, and that man is made for the law and not the law for man. It is time that necessary thought is put in place before enacting laws. In one of his speeches, renowned jurist Nani Palkhivala observed that the “Income-tax Act is a national disgrace. Yet more and more halfbaked changes every few months are ‘received calmly’ by our people as part of their collective karma…. Our laws are changed on the assumption that there is no intelligent life outside the North Block.” It is now high time, that the most debated “S” factor is injected into our tax laws, which would read as “Sane”, “Simple” and “Stable”. I do hope that the “S” Factor would be reflected by the Government in all their deeds, especially on the tax front. In my view, there would be denudation of legitimacy especially when there is a breach of faith on the part of the Government in its dealings with the taxpayers. I do hope that 2022 would be a year where the Government would build the faith of its citizenry

Besides, he christens the name of the company in symphony with the governing statutes to get the company incorporated. He is fundamental to the formation of the Articles of Association and the Memorandum of Association. It’s the promoter who nominates the board of directors, bankers, and auditors for

the company. He also appoints the underwriters and brokers whenever necessary. And he files the documents for incorporation. This unique position of the promoter, the privileges he has over the affairs of the company in the preincorporation stages, the dominance he holds over the Board of the Company and the fiduciary relationship he enjoys with the company necessitated the Companies Act, 2013 to postulate the standard conduct of a business promoter. The idea to identify a promoter and codify the ethics of a business promoter is a part of the corporate governance framework of The Companies Act, 2013. In India, the companies Act, 2013 has adopted a broad definition for a promoter and attempts to identify a promotor of a company objectively. Under the Act, he is seen as

someone who plans, incorporates, organises, and raises capital for the company. He is seen as the one who is named as a promoter in the prospectus or the annual returns of the company. He is seen as one who has control over the company directly or indirectly whether or not he is a shareholder or director. He is seen as the one under whose advice, guidance, or instructions the directors of the company are accustomed to act. Law does not deem it necessary to recognize an exalted position for him in the company. Also, the definition specifically excludes a person who has participated in the promotion of a company exclusively in his professional capacity. The Company law recognises the rights and liabilities of the promoter weighing the benefits that come with his contributions and the vulnerabilities of the company in the fiduciary pre-incorporation relationship vis a vis the conflicts of interest that arise on account of his pivotal position in the company. Accordingly, it codifies the rights and liabilities of

the Promoter for his acts of commission and omission. While on the one hand, the law contemplates stringent punishments for wrongdoings, it also protects the actions of the promoter done in good faith. The law recognises his entitlement for reasonable remuneration as stated in the Articles of Association on a rider that the Articles of Association is not unduly skewed in his favour. He can hold an option to buy future shares, or charge lumpsum fees. There can also be a written pre-incorporation contract between the promoter and the company. The Specific Relief Act, 1963 validates such contracts if the same are warranted in the articles. The essence of the postulations and the judicial pronouncements on the subject matter is that a promoter shall not make a secret profit in the discharge of his functions. mutually beneficial contracts. The object of the law is to ensure that a promoter enters into a contract for the benefit of the company. To cover this probable conflict of interests, companies often have an indemnity clause against the misappropriations of the promoter so that the acts and breaches of the promoter shall not befall the company. Companies are also entitled to rescind shady contracts and recover the profits from the promoter. The law fastens criminal liability on promoters who authorise the issue of the prospectus that contain statements that are not true or misleading in form or context or if they omit to include any matter that may mislead. Promoters who cause an issue of such prospectus are treated as fraudulent acts and are liable to a punishment of imprisonment

His culpability and liability however depend on his conduct and the contracts he has entered into during the pre-incorporation stage. Notwithstanding the criminal liability, the subscriber of securities acting on such untrue and misleading statements or omissions and sustaining any loss or damage, the promoter is liable to pay compensation to every such person for the damage and loss sustained by such subscribers. In the same breath, the law protects a promoter who can prove that the prospectus containing the misleading statements/omissions is issued without his knowledge. This protection, however, will not be available in a case where it is proved that the prospectus is issued with the intention to defraud, and in such a situation a promoter will be liable without any limitation for all or any of the losses or damages that may have been incurred by any person who subscribed to the securities on the basis of such mislead-

ing statements in the prospectus. In such situations, the company will not be liable for the losses. A promoter shall ensure that a company before making a public offer should obtain permission from one or more recognized stock exchanges to deal with the securities and mention the same in the prospectus. A failure to do so is incurable. If such permission is not taken, and the monies are not dealt with in a manner prescribed under the law, the promoter shall be liable for imprisonment and/or with a fine running to a few lakhs of rupees. As an exit option, companies wind up upon the failure of the business. During winding up of a company, if a Company Liquidator in his opinion finds that a fraud has been committed by any person in the promotion, formation, business, or conduct of affairs of the company since its formation, he may cause an investigation into the affairs of the company and the promoter shall be examined before the Tribunal to evaluate his conduct and dealings in relation to the promotion or formation or the conduct of

the business of the company. The law provides for the arrest of the promoter in the event he evades such examination before the Tribunal. So, it casts accountability on the promoter even after the winding up of the company against the popular notion and belief that the role of the promoter ends with the appointment of the board of directors. In such cases constituting frauds, the promoter becomes personally liable. To conclude, the company law strikes a perfect balance between the roles, rights, and freedom of promoters of companies, the vulnerabilities of the company in the relationship with the promoter, and the best interests of the shareholders who had acted in trust and confidence of the statements of the prospectus and Annual Returns published by the company through its promoters, directors, and officials by a system of scrutiny, transparency, fair play, adjudication of disputes and punishments providing the niche business environment for a good promoter to thrive and succeed

oventry is a beautiful city recognized for its medieval cathedral and the designation of the UK’s City Of Culture for the year 2021. Little is known about Coventry's early history, however, there were Celtic communities at nearby Corley and Baginton previous to its founding, which were conquered by the Romans and then by Saxon invaders. These sites were likely chosen because they were near early trackways and were on light, easily worked soil free of dense woodland and undergrowth, as opposed to the hard clay soil covered in marsh and forest near the north-eastern reaches of the Forest of Arden, where Coventry would rise. This artwork is claimed to depict Coffa's Tree, from which

Coventry may have gotten its name, and is placed out in the excavated ruins in Priory Gardens. The earliest village here likely grew up around a Saxon nunnery built by St. Osburga around 700 AD. Coventry is a terrific destination to visit and start your university studies because it is steeped in history and bordered by lovely Warwickshire countryside. War Memorial Park

Following World War I, the city purchased 50 acres of land from the Lords of Styvchale Manor in order to create a park in honour of Coventry's war dead. Lady Godiva Statue

Lady Godiva was a true historical figure, a noblewoman from the

11th century who married Leofric, Earl of Mercia. According to folklore, she rode through Coventry on horseback nude (save for her long hair) in protest at her husband's exorbitant taxation of his tenants. Except for one guy, a "Peeping Tom," who is said to have been struck blind as a poetic punishment, the entire city avoided their look, preserving her modesty. The term "Peeping Tom" comes from this, and the statue of Godiva's epic journey, which was constructed in 1949, can be seen atop a sombre plinth on Broadgate. A clock featuring a figure of Godiva that appears on the hour, observed by Peeping Tom, may also be found on Broadgate.

former industrial zone has been revived as a magnet for creative, young, and independent firms since 2014. Vintage clothing boutiques, graphic design and animation studios, candle manufacturers, a microbrewery and bar, and a vegan cafe can be found in renovated warehouses and the lanes connecting them. The Box is a beautiful 500-seat performing arts facility, while the museum devoted completely to American 20th-century TV actor Phil Silvers, best known for his role as Sergeant Bilko, is maybe the oddest item at FarGo.

Based on the Altroz platform, the Punch has 90-degree opening doors which along with the raised seats make getting in and out an easy affair. The visibility out of the front seats is something everyone will appreciate. The minimalist dashboard has nice textures, feels modern, and is well put together. The rear seat is also generous with good headroom and knee room, but the lack of width makes the Punch a four-seater at best. It gets a lot of features like rain-sensing wipers, cruise control, electric folding mirrors, climate control, fog lamps with cornering function, etc. The boot is big at 319litres. better drivability. Refinement isn’t great and within the few hundred meters you realize that it lacks… erm..Punch too. 0-100kmph comes up in a leisurely 17.1 seconds while something like the Ignis is nearly 5 seconds quicker. Overtaking someone needs to be planned and takes a bit of getting used to on highways. The engine is okay for sedate driving in town. The manual gearbox is not as smooth as we’d have liked, but the clutch is light and easy. The AMT is even slower taking 19.6 seconds to do 0-100kmph but it is quite drivable with smooth shifts and decent creep. The Punch redeems itself when it comes to riding and handling. It smothers potholes and bad roads like a much bigger car. Drive it over a bad section of road at speed and it exudes a sense of indestructibility

and displays great straight-line stability. The steering is great and wellweighted, the Punch turns in and grips well, the chassis feels taut – all leaving you wanting for more power. Tata has also given the Punch some traction mode where it brakes the front wheels individually to mimic a limited-slip diff for better traction out of low grip surfaces. The Punch is an SUV-shaped alternative to the regular hatchback but it has a lot going for it. It has a good presence, the interiors are nice, the seating position is comfy and it has a great ride and handling balance. The engine is weak, but it is still usable around town. The pricing puts the top-end model dangerously close to turbo petrol variants of the Magnite and Kiger, along with lower/mid-variants of other more accomplished subs 4 meter SUVs

Spider-Man: No Way Home

pider-Man: No Way Home is an American superhero film based on the Marvel Comics character Spider-Man. The film is directed by Jon Watts and written by Chris McKenna and Erik Sommers, and stars Tom Holland as Peter Parker / Spider-Man alongside Zendaya, Benedict Cumberbatch in pivotal roles. The plot is about Cumberbatch making his identity as Spider-Man a secret again with magic after its public revelation in Far From Home, but this breaks open the multiverse and allows five supervillains from alternate realities to enter Parker's universe. This movie is all about Spiderman and Peter Parker and it focuses on his problems which cause even bigger problems and how the story revolves around this dilemma of his. The most awaited movie of 2021 turned out to be an absolute masterpiece with the hype and wait to be worth it. Spider-Man: No Way Home is a delightful joy-ride coupled with great acting and a beautiful story that pulls the emotional strings to both the casual or avid viewer of the sequel.

Minnal Murali

innal Murali is an Indian Malayalam-language superhero film directed by Basil Joseph. The plot is the eponymous Minnal Murali played by an excellent Tovino Thomas, a classic village man, who is too ambitious and self-confident for this own good. He gains superhuman abilities after a freak accident and the rest of the story tracks how he comes to terms with his newfound powers and the mayhem that ensues in the village thereafter. Subtle punchlines make you chuckle as you follow the protagonist, who navigates heartbreak, betrayal, a dark secret from his part, dreams of flying abroad, and coming to terms with his newfound superpowers. The characters portrayed by Aju Varghese, Guru Somasundaram and Harisree Ashokan made Minnal Murali a perfect emotional, comical, and entertaining Superhero thriller to watch. As it is said, villains help define the story's hero, one of the main aspects that make the movie stand out is its supervillain Shibu played by Guru Somasundaram.

ushpa: The Rise – Part 1 is an Indian Telugu-language action drama film written and directed by Sukumar. The film is about the violence that is erupting between red sandalwood smugglers and the police charged with bringing down their organization. Pushpa is a character-driven story that revolves around the emotions of the character Pushpa, very well written and executed. This movie just shows his rise like the title portrayed and introduction to the plot for the second part. The first part is a mass entertainer with a lot of action, blood, gravity-defying stunts, and hard-to-believe trade gimmicks. Even if the plot is predictable, Allu Arjun's swag makes this an action-drama that keeps you on the edge of your seat. Then there's Fahadh Faasil, who plays Bhanwar Singh Shekhawat, the officer who gives Pushpa a unique bang.

The story revolves around two low-level astronomers who go on a giant media tour to warn mankind of an approaching comet that will destroy planet Earth. It stars Leonardo DiCaprio and Jennifer Lawrence as two astronomers and Rob Morgan, Jonah Hill, Mark Rylance, Tyler Perry, Timothée Chalamet are also seen in the movie playing pivotal roles. The film is a satire of government and media indifference to the climate crisis. The comet and the crisis surrounding it are used as an effective metaphor by Adam McKay to critique everything from modern society’s obsession with pop culture, how technology controls us rather than the other way around and also takes aim even at media and news channels and how they sensationalize even the most trivial of stories.‘Don’t Look Up’ is a chilling, era-defining and hard-hitting political satire.

Happy new ear and hair!

n New Year’s Eve, the gym seemed deserted but the chief trainer was hardly surprised. “From tomorrow, the membership will pick up, because of the new (year) resolutions,” he said with a smile. These resolutions are mainly about starting or breaking a habit or one that they couldn’t follow the previous years. People who take up these beginningof-the-year vows are essentially trying to be better versions of themselves. But except in the case of a few – Covid-19 virus is a brilliant example of a living being managing to mutate constantly – the resolutions are given up not long afterwards and we follow the law of nature to deteriorate eventually. Some drank themselves silly only to resolve to never touch the bottle again, just in the same way they skipped the gym before restarting with a new vigour. Some try to pick up a new language but I have never figured out the logic behind learning Cantonese if one has no intention of settling down in China. Or to try and take music classes if one is tone deaf. Isn’t better that they try to improve things that they are already good at, the skill that comes naturally to them? I don’t mean a habit like, ‘vaikittu entha paripadi?’ (The daily peg in the evening), however, but something less damaging to the body. There are a few who go for less strenuous stuff basically to indulge themselves. Like straightening or smoothening their hair, once again in a bid to present the best foot, in this case the best hair, forward. Or they colour their hair in the most bizarre hues. It is now or never, these people decide, and it is as though they can virtually hear the clock ticking away as another year arrives. If you think hard, it is just another day but that so-called psychological barrier is breached, you see.

For a friend, who has scored a half century in life, it was new ‘ear’ resolution. He got his ears pierced to wear a couple of rings, surprising all and sundry, including his significant other, who in a tit-for-tat reaction, went and got a dragon tattoo, knowing fully well that the hubby wouldn’t be able to utter a single word. Certain unpleasant words did emerge up to his tongue but he decided to simply swallow them this time. The advantage with such cosmetic changes is that it makes the owner happy but the neighbours seem to get uncomfortable. mental ones to improve yourself. If you think social media is a complete waste of time, do not quit all the groups in one go. That will only help create hundreds of new ‘frenemies’. Instead, remain a ‘mute’ spectator and block only those who are especially irritating, that too without letting it become obvious. If corona has taught us anything, it is that we need to take precautions but we can’t bank on anything but luck. And luck has a way of frowning and frowning before smiling.
