Participant Consent and Release Please sign below to indicate your acceptance of the following terms regarding the use by The Leona M. and Harry B. Helmsley Charitable Trust (“Helmsley”) of any photographs or video or audio recordings (“Works”) in which you (the “Participant”) are included. By signing this release, you are agreeing to grant certain rights and licenses to Helmsley and release certain claims. You hereby consent to the use, photographing and video and audio recording, via any and all media now known or hereafter devised, by Helmsley, Helmsley’s grantees or third parties acting on behalf of Helmsley or its grantees, of your voice, actions, likeness, name, appearance, life story rights, and any other identifying characteristics (collectively, “Likeness”) in connection with Helmsley or Helmsley’s grantees purposes. You hereby grant Helmsley a perpetual, non-exclusive, worldwide, royalty-free sublicensable right and license to use your Likeness in any and all media now known or hereafter devised, whether as a stand-alone work or in combination with another work in connection with Helmsley or Helmsley’s grantees, and any promotion, publicity, marketing or advertisement for or relating to Helmsley or Helmsley’s grantees. You agree that Helmsley and its grantees may use all or any part of your Likeness and may alter or modify it and may create derivative works of your Likeness, regardless of whether or not you are recognizable. You waive any right to review or approve Helmsley’s use of the Likeness. You also understand that Helmsley is not obligated to promote or use the Likeness in any form or to include your participation or appearance in any Helmsley content. For the avoidance of doubt, Helmsley will own all content produced, created or developed in conjunction with the project, including any content in which you appear. You hereby release Helmsley, its grantees, and its and their successors and assigns, and its respective officers, trustees, employees, authorized representatives, agents and assigns and any designee (including without limitation any agency, client, broadcaster, periodical or other publication) from any and all claims arising from the use of your Likeness, including any claims for defamation or any claims for an invasion of privacy or violation of another applicable privacy law. This Agreement will be governed by New York law. You represent that Participant is eligible to participate in the project, free to grant the rights granted in this document and certify that Participant is at the legal contract age or older at the time you participate in the project, OR, you represent that the Participant is under 18 years of age and you are the parent or legal guardian of the Participant, and you are authorized to sign on behalf of the Participant. You certify that you have read and fully understand the above and agree with the provisions of this Participant Consent and Release. An on-line or facsimile signature will have the same legal effect as an original form signature. You represent that you are executing this release voluntarily.
