NOTICE OF THE TRANSFER OF THE INFLATION HEDGED PENSION PLAN WITH-PROFIT ANNUITY BUSINESS OF PSG LIFE TO JUST SA IN TERMS OF SECTION 50 OF THE INSURANCE ACT It is the intention of PSG Life to transfer all of its Inflation Hedged Pension Plan with-profit annuity ("IHPP") business to Just Retirement Life (South Africa) Limited (registration number 2014/099601/06) ("Just SA") in terms of section 50 of the Insurance Act, No 18 of 2017 ("Insurance Act") ("Proposed Transfer"). The scope of the Proposed Transfer includes all IHPP policies underwritten by PSG Life ("Transfer Policies"). The Transfer Policies will be transferred to Just SA in terms of a sale of business agreement concluded between PSG Life and Just SA. The rationale for the Proposed Transfer includes that the IHPP business of PSG Life has decreased significantly in size, which could result in volatile and sub-optimal annuity increases due to the pool of assets becoming too small to achieve optimal scale and diversification. PSG Life has therefore decided to close its IHPP business and transfer it to Just SA which specialises in guaranteed retirement income products. The Proposed Transfer involves a transfer of the Transfer Policies from the PSG Life insurance licence to the Just SA insurance licence, which requires a detailed regulatory process in terms of the Insurance Act, which includes amongst other things, approval of the Proposed Transfer by the Prudential Authority (a division of the South African Reserve Bank) ("PA"). Once the PA approves the Proposed Transfer and the Transfer Policies have been transferred to Just SA, Just SA shall be responsible for carrying out all the obligations of PSG Life that relate to the Transfer Policies.
