EXECUTIVE SUMMARY

The Rogers Wash Placer Mine project (RWPP) represents a highly compelling mining opportunity, underpinned by a substantial resource base, strong financial metrics, and fully secured permitting. Based on current Life-of-Mine (LoM) projections, the project is expected to produce approximately 10.8 million ounces of gold, 15.3 million ounces of silver, 60.8 million ounces of palladium, 2.6 million ounces of platinum, and 562 million ounces of neodymium. These production estimates translate to an impressive in-ground value of approximately $118 billion (based on 2025 market values), including $47.7 billion in probable Mineral Reserves and $71.1 billion in indicated and inferred Mineral Resources.

The project also presents considerable upside potential. The inclusion of gallium could add an estimated $16.4 billion in value, while additional inferred resources across the broader land package may contribute a further $16 billion. This highlights significant exploration and expansion opportunities beyond the currently defined resource base, positioning the project for long-term growth.

Owned and operated by Rattler Resources, LLC, the project is located on Rogers Wash near Wickenburg, Arizona, a region with a well-established mining history. The asset includes 113 federal mining claims covering more than 2200+ acres on Bureau of Land Management (BLM) land, and 930± acres of State Mineral Lease in Maricopa County. Current development plans focus on approximately 330 acres across three dry wash systems, with Phases 1 and 2 fully permitted.

Importantly, the project is fully de-risked from a regulatory perspective. A BLM-approved Mining Plan of Operations, completed Environmental Assessment, and all required ancillary permits are in place. In addition, the Arizona Department of Water Resources has issued a Mineral Extraction Permit, allowing for water usage exceeding 32 million gallons annually through multiple wells.

Extensive exploration and metallurgical testing conducted since 2019, including ICP-MS analysis, leaching studies, and bulk sampling, have confirmed high recoverable values of both free and complex gold.

CLIMATE

MINERAL RIGHTS

All mineral rights appurtenant to the property and owned by the seller will be conveyed to the buyer by deed at closing. It is suggested that the buyer conduct an independent mineral search with a title company or through an attorney.

WATER RIGHTS

The Plan of Operations with BLM authorizes up to ~133 acre-feet per year of groundwater use, currently sourced from the Rogers Wash well. This usage is subject to Arizona groundwater law under ADWR, and the water source is tied to the approved well and operational plan.

The Rogers Wash Gold Mine is located near Wickenburg in central Arizona, within the historic Wickenburg Mining District, approximately 60± miles northwest of Phoenix.

The site is easily accessible, situated just 5 miles south of Wickenburg via U.S. Highway 60.

AIRPORT SERVICES

Fly into Phoenix Sky Harbor International Airport (PHX), or alternatively Wickenburg Municipal Airport (E25), located approximately 3–5 miles west of downtown Wickenburg. The airport is a public general aviation facility with no commercial airline service, featuring a ~6,100-foot runway capable of accommodating larger private and business aircraft, and is operated by the Town of Wickenburg.

HISTORY

Wickenburg, located in central Arizona, has a rich history rooted in mining, ranching, and frontier expansion. The town was founded in 1863 by Henry Wickenburg, a German immigrant who discovered gold along the Hassayampa River. His discovery led to the establishment of the Vulture Mine, one of the most productive gold mines in Arizona’s history, which attracted miners, merchants, and settlers to the region.

During the late 19th century, Wickenburg developed as a supply center for nearby mining districts and surrounding ranches. The arrival of stagecoach routes and later the railroad improved access, allowing goods and people to move more efficiently between Wickenburg and larger cities such as Phoenix. Despite periodic setbacks from flooding along the unpredictable Hassayampa River, the town continued to grow.

By the early 20th century, as mining activity declined, Wickenburg transitioned into a ranching and agricultural community.
