Partnership Taxation explores the federal income tax laws that apply to partnerships and their partners, focusing on the formation, operation, and liquidation of partnerships. The course examines key topics such as the allocation of income, deductions, and credits among partners; basis calculations; contributions and distributions of property; and the impact of transactions between partners and their partnership. Emphasis is placed on Subchapter K of the Internal Revenue Code, the treatment of special allocations, and the complexities of partner tax liability. Students will develop a practical understanding of how partnership tax rules affect business planning and decision-making.
