PRICING AND TERMS SUMMARY N Prices are subject to change without notice. N All taxes are additional. N Products are subject to availability. N Published deal pricing will be guaranteed on all CustomerLink orders completed up to 8:59 PM PT / 11:59 PM ET on the last day of the month. If through any other order method, pricing will be guaranteed only if received prior to 4:00 PM PT / 7:00 PM ET on the last business day of the month. N By accessing or using the Purity Life Grocery CustomerLink portal, or by submitting an order to Purity Life Grocery by any means, the customer acknowledges and

agrees to be bound by these Terms and Conditions, as amended from time to time and posted on the CustomerLink portal. N A minimum annual purchase of $5,000 is required to qualify for terms. N Terms for credit-approved customers are 1% 10 days, net 30 days. N Terms begin at the time of invoicing. N Early payment terms do not apply to credit card payments. N Visa, Visa Debit, Mastercard, and American Express are accepted. N E-transfer accepted for approved credit customers.

CREDIT AND ADMINISTRATION N Credit card payments, other than at the time of shipment, will incur a 3% nonrefundable service fee. N Accounts requesting credit terms must submit a completed credit application, including trade references. If the account is a new business with no credit history, or no references are provided, it will remain on credit card terms until payment history is established. N NSF or returned cheques are subject to a $50 administrative fee. N Declined credit card transactions are subject to a $25 administrative fee.

DELINQUENT ACCOUNTS N Purity Life Grocery reserves the right to withhold shipments on overdue accounts. N Purity Life Grocery may charge interest on any past due balance at the rate of 24% per annum, calculated from the date of default. N Overdue accounts deemed uncollectable by Purity Life Grocery will be submitted to a third-party collection agency or lawyer for recovery. Purity Life Grocery will charge the customer all fees deemed necessary for recovery of the outstanding balance.

N Requests for copies of invoices and account statements are subject to a $5 administrative fee. These documents can be accessed free of charge on CustomerLink. N Final responsibility for determining applicable federal and provincial taxes rests with the retailer. In the event of an audit by tax authorities, Purity Life Grocery will invoice the customer for any applicable taxes not collected based on the outcome of the audit. N Every effort has been made to ensure promotional materials and tax codes are complete and accurate; however, errors may occur. N All third-party fees, and any outstanding interest and principal balance, must be paid in full before Purity Life Grocery will consider reinstating the account. N Following delinquency, all orders must be prepaid by credit card until credit can be re-established. Subsequent terms, if requested, will be determined by Purity Life Grocery.

FREIGHT POLICY N Purity Life Grocery ships by courier (ground), common carrier, or its own delivery truck, depending on order size, product type, destination, and service availability. Orders for dry repack products under 300 pounds will generally be shipped by courier. Orders for grocery dry, chilled, or frozen products over 300 pounds may be shipped by Purity Life Grocery delivery truck or common carrier. N Dry repack products are defined as light, dry grocery items often repacked into a protective box: Teas, Bars, Candy, Sweet/Savoury Snacks. N Truck delivery is limited to retail stores only (weekdays 9:00 AM–5:00 PM). Delivery appointments are not scheduled. N Residential courier deliveries incur a $15 handling fee. N Prepaid orders will be shipped using the carrier of Purity Life Grocery’s choice unless otherwise agreed in writing. N We may expedite shipping upon request and will charge the customer any additional freight or related costs. N All orders are shipped F.O.B. Purity Life Grocery unless otherwise stated. Risk of loss passes to the customer when the goods leave the Purity Life Grocery warehouse or are delivered to the carrier, as applicable.

PRODUCT DATING N Purity Life Grocery will use commercially reasonable efforts to supply products with appropriate remaining shelf life. Guaranteed shelf life for chill products ranges from between 7 to 60 days, while dry and frozen items are guaranteed at

N Purity Life Grocery minimum order is $400.00. Additional order minimums, delivery thresholds, and regional freight requirements may apply depending on destination and service type. Please contact Customer Care for additional information regarding order minimums. N Chilled and frozen products must be inspected immediately upon receipt and stored under appropriate conditions. Purity Life Grocery is not responsible for any loss, damage or deterioration resulting from delay, improper handling or improper storage after delivery. N A fuel surcharge may be added to your invoice based on applicable courier, carrier, or delivery fuel surcharges. N Freight-related shortages, damages, and thawed frozen product claims must be noted on the carrier’s bill of lading or delivery tablet at the time of delivery and acknowledged by the driver. Such claims must also be reported to the cartage company and to Purity Life Grocery Claims within 2 business days of receipt of the goods. Concealed damage claims must be reported to both the cartage company and Purity Life Grocery Claims within 24 hours of receipt, including weekends. No credit or freight claim assistance will be provided unless this procedure is followed. 60 days (unless otherwise dictated by vendor guarantees). No returns or credits will be issued for stale-dated or unsold products unless approved in writing by Purity Life Grocery.

CO-OP ADVERTISING N Requests for co-op credit deductions must be claimed within 90 days of the activity to be eligible for the deduction.

PRICING (MAP) N Some vendors have Minimum Advertised Pricing (MAP) Policies in place with respect to distributing products through Purity Life Grocery. Should you choose to sell or advertise these products below the MAP, we reserve the right, without

assuming any liability, to cancel all orders and indefinitely refuse to accept any new orders from you for products found to be in violation of the policy until such time as prices are in line with the MAP.

RETURNS POLICY N All returns require prior authorization from Purity Life Grocery. Requests must be submitted to the Claims Department at creditsburnaby@puritylife.com within 2 business days of receipt of goods. Please quote the invoice number when making your claim and obtain approval before arranging a return. N Shortages, damages, short-dated, or mis-shipped products must be reported within 2 business days of receipt of goods. N Only those products authorized for return will be considered for credit. Receiving a return authorization is not a guarantee of credit. N Any products shipped to Purity Life Grocery but not eligible for credit may be refused or destroyed upon receipt. N The following information must be provided to obtain a return authorization: N Date of purchase N Invoice number N Product number and description/product expiry date N Reason for return N Condition of the product N Purity Life Grocery DOES NOT accept returns for reasons of: N Store inventory overstocks N Store closings and special events N Discontinuances

N All returns must be sent freight prepaid unless otherwise authorized in writing. Under no circumstances should product be returned freight collect. If product is being returned due to an error on the part of Purity Life Grocery, the cost of freight may be credited to your account or pickup may be arranged at Purity Life Grocery’s discretion. N All items should be securely boxed and packaged in a manner suitable to the method of return. A list of contents should be enclosed, including your store name and account number. N All approved returns must be sent to the location designated by Purity Life Grocery at the time the return authorization is issued.

ORDER POLICY N Purity Life Grocery product codes and/or UPC codes must be provided. N Orders placed for British Columbia and Yukon by 4:00 PM PT / 7:00 PM ET will be picked up, delivered or shipped the next business day. N Orders placed for Alberta, Manitoba, Saskatchewan by 2:00 PM PT / 5:00 PM ET will be shipped that evening. N Orders must be placed by the noted deadline on the last day of a specials period to qualify for promotional pricing. Orders submitted after the Friday cut-off on the last day of a specials period will not be processed until the next business day, being Monday or Tuesday following a statutory holiday, and will be invoiced at the pricing available in the system on that day. N Outstanding orders not in good credit standing will be deleted in 7 days.

N Purity Life Grocery does not hold back-orders. Customers must reorder out-ofstock items. N Purity Life Grocery will provide out-of-stock information by item on invoices, including estimated time of arrival where available, and may advise customers of out-of-stock items upon request. N Burnaby Grocery order pick-up hours are 8:30 AM–4:30 PM PT at Bay 1 (buzz the Shipping door), 5589 Trapp Avenue, Burnaby, BC. A minimum order value of $400.00 applies to order pick-ups unless otherwise stated by Purity Life Grocery. N Order pick-ups at freight depots require two valid pieces of identification. Daily storage charges may apply to orders not picked up within 48 hours of arrival at the freight depot.

It is the responsibility of Amazon or other third-party resellers to ensure, via research and independent contact with vendors, that products purchased from Purity Life Grocery are authorized for sale on your online platform. N Purity Life Grocery reserves the right to refuse, cancel or suspend orders, or terminate supply to any customer found to be reselling products on Amazon

or any other third-party marketplace without authorization. No credit will be provided for products purchased in breach of this policy.
