Winding Down I say it every year but it’s hard to believe that it’s autumn already. The good thing is football season, clambakes and cooler temperatures are here to greet us. I hope all of you have had a successful season to date and will end on a high note following these last few tough years. So, with all of these great projects we have been completing, it’s time to get some recognition!
Landscape Ohio! Awards Program The deadline to enter your projects (November 16th) is rapidly approaching for what is considered the flagship event for OLA members. This prestigious awards program was created to increase awareness of quality landscaping and how it improves properties and the environment around us. The Landscape Ohio! Awards Program is a chance to recognize and applaud the work of designers, landscape installers, maintenance technicians and property owners. Landscape Ohio! is the only green industry awards program in Ohio to successfully promote award winners and the industry to the public. This is done through a strong and unique partnership we have with Ohio Magazine and Cleveland Magazine. All award winning projects are also featured on
our award winning consumer website (MyOhioLandscape.com), and promoted to the public. To find out more information about our great awards program and to download the rules, regulations, and entry forms, visit OhioLandscapers.org. I encourage companies of all sizes to enter a project that depicts their best work. It shows support for not only your employees and clients, but also the overall landscape industry. I am looking forward to seeing the winning projects this coming March. It reminds me of how talented and creative our member companies are. Trenching & Excavation Safety By U.S. Department of Labor, Occupational Safety and Health Administration Excavation and trenching are among the most hazardous construction operations. OSHA defines an excavation as any man-made cut, cavity, trench, or depression in the earth’s surface formed by earth removal. A trench is defined as a narrow underground excavation that is deeper than it is wide, and is no wider than 15 feet (4.5 meters).
Dangers Cave-ins pose the greatest risk and are much more likely than other excavation related accidents to result in worker fatalities. Other potential hazards include falls, falling loads, hazardous atmospheres, and incidents involving mobile equipment. Trench collapses cause dozens of fatalities and hundreds of injuries each year.
Protect Yourself Do not enter an unprotected trench! Trenches 5 feet (1.5 meters) deep or greater require a protective system unless the excavation is made entirely in stable rock. Trenches 20 feet (6.1 meters) deep or greater require that the protective system be designed by a registered professional engineer or be based on tabulated data prepared and/or approved by a registered professional engineer.
Protective Systems There are different types of protective systems. Sloping involves cutting back the trench wall at an angle inclined away from the excavation. Shoring requires installing aluminum hydraulic or other types of supports to prevent soil movement and cave-ins. Shielding protects workers by using trench boxes or other types of supports to prevent soil cave-ins. continued on page 10

F o r Sa f e t y Sa k e continued from pg 8 Designing a protective system can be complex because you must consider many factors: soil classification, depth of cut, water content of soil, changes due to weather or climate, surcharge loads (eg., spoil, other materials to be used in the trench) and other operations in the vicinity.
Competent Person OSHA standards require that trenches be inspected daily and as conditions change by a competent person prior to worker entry to ensure elimination of excavation hazards. A competent person is an individual who is capable of identifying existing and predictable hazards or working conditions that are hazardous, unsanitary, or dangerous to employees, and who is authorized to take prompt corrective measures to eliminate or control these hazards and conditions.
Access and Egress OSHA requires safe access and egress to all excavations, including ladders, steps, ramps, or other safe means of exit for employees working in trench excavations 4 feet (1.22 meters) or deeper. These devices must be located within 25 feet (7.6 meters) of all workers.

General Trenching and Excavation Rules • Keep heavy equipment away from trench edges. • Keep surcharge loads at least 2 feet (0.6 meters) from trench edges. • Know where underground utilities are located. • Test for low oxygen, hazardous fumes and toxic gases. • Inspect trenches at the start of each shift. • Inspect trenches following a rainstorm. • Do not work under raised loads. Fall Color with Perennials Everyone loves color but it doesn’t have to come from flowers. There are several perennials that have lovely foliage color either in the fall or year-round. Before the hybridizers started playing with Heuchera (Alumroot), they were known for their green leaves and red or pink flowers. In the past ten years, however, we have been presented with Heuchera that boast rose, purple, peach, apricot, chartreuse, or bicolor foliage that changes from season to season. Many of these have H. villosa heritage and can take their place in the sun or the shade. Most of these cultivars have white flowers that bloom in the fall. The ones that I have been growing in my garden for several years are rugged. They increase in size more quickly with average moisture but they still thrive in heat and drought. Even better, they are not bothered by deer. Talk about workhorses! After a few years, a clump is usually eighteen inches wide but only four inches high until it blooms, and, even then, the bloom stalks will only be twelve to eighteen inches tall. The ones that I use the most in my designs are ‘Georgia Peach’, ‘Southern Comfort’, and ‘Brownies’. continued on page 14

Perennial Focus continued from pg 12 ‘Georgia Peach’ looks great during the growing season with Berberis ‘Golden Ruby’ and Hibiscus ‘Pinot Noir’. But when the Berberis and Hibiscus lose their leaves, ‘Georgia Peach’ is still holding the fort. When the wind blows, the underside of ‘Brownies’ foliage shows its purple color. I have some planted in the partial shade under Pieris japonica with chartreuse and green hosta and another planted on a south hill with perennials that lose their leaves for the winter. ‘Southern Comfort’ looks great in the fall and winter with any of the blue switchgrasses that turn yellow in the fall and then beige during the winter. I love Amsonia hubrichtii (Arkansas Blue Star), the 2011 Perennial Plant Association Plant of the Year. It performs best in full sun and well-drained, average to moist soil, but thumbs its nose at adverse conditions. Several years ago, I saw it as a bushy mass in mid-July on a Philadelphia campus when the area was in the midst of a long, dry, hot summer. Clusters of pale blue, star-shaped flowers bloom in June, but this plant comes into its full glory in the fall when the feathery foliage turns a brilliant golden yellow.
Maintenance of A. hubrichtii is minimal. Its three foot stems never need staking and I merely cut back the old foliage to the base in early spring if it hasn’t fallen to the ground, in which case I leave it there as a natural mulch. It is a slow spreader and division will not be necessary for many years. Happily, it too is deer-resistant. Although this summer was hot and dry, these plants survived beautifully and the recent rains will ensure that they retain their color well in the months to come. Choose some of them to give your gardens new exuberance for this fall when most people have given up on gardening.

The U.S. stock markets seem to focus on how European markets are trading and the news regarding their economic policies. Globalization, once a vague notion about free trade, is now a reality. Only a decade ago over 50% of their sales were solely in the U.S. Another example is General Motors. 68% of the vehicles sold are outside North America. Actually, almost half of the total units sold are just in Asia, Africa and the Middle East. A decade ago more than half of all units sold were in North America.
The fact remains that investors need diversified portfolios. I have been preaching for years about the need for clients to have foreign holdings in their portfolios. I typically have had 25% of portfolios invested in foreign assets. Most advisors are coming around to the fact that there are many opportunities outside of the U.S. and now understand the importance of diversifying globally.
This means that today’s investor needs to look at a much larger picture than previous generations. Considerations have to be taken in respect to how Asian and European markets trade and the news that comes from individual countries. Thankfully the flow of information is practically instantaneous and easily acquired. Individuals and their advisors can research and invest in companies in foreign countries with relative ease.
There are a number of Exchange Traded Funds (ETFs) and mutual funds that offer foreign exposure. Some ETFs will also give the individual investor access to foreign exchange markets, where investors can hedge or speculate in foreign currencies. Large foreign companies often trade in the U.S. as American Depository Receipts.

Smoketree
Smoketree or Smokebush? Depending on your frame of reference and what you learn this plant as, you may call it a “tree” or a “bush.” There is not a difference; they are one in the same both having the Latin name Cotinus coggygria. This is an exciting shrub that should have a home in many a landscape, providing much more interest than the slew of usual suspects. We often associate smoketree with the characteristic that lends the common name; the spent flowers that appear as poofs of smoke floating above the foliage. We want to make sure you know about some newer cultivars on the market that take this plant far beyond just a poof of smoke and into the highlight of a good shrub border. There are actually two species of this plant that can be found for sale, C. coggygria (European Smoketree) and C. obovatus (American Smoketree). Basic species of each can be a bit of a monster for the typical landscape, reaching beyond what we would think of as an

appropriate size for most. European may top out in the 10 to 15 foot range, while our native American Smoketree may touch into 30 feet (hence the use of “tree” instead of “bush”). Each of the species has its pluses and minuses, and, thanks to modern breeding, there are some cultivars that resulted in crossing the two that has provided us with great landscape plants. To picture the leaf, think of a round oar or perhaps a spatula. The stem is long and narrow for an inch or two and then the leaf tissue makes an egg shape at the end. It would be the perfect oar for a canoe full of squirrels, which is certainly the logical explanation for how squirrels cross rivers. Leaves have a smoky blue/green color to them unless a specific cultivar says otherwise. continued on page 28

Plant Of the Month continued from pg 26 We can find the leaves in very deep, rich purples such as ‘Royal Purple‘ and ‘Velvet Cloak’, in golden yellow colors of ‘Golden Spirit’, or with bright red new leaves fading to a blue/gray/green in summer in the cultivar, ‘Grace’. Current year’s growth, which can be a stunning 3 feet long or more depending on the season and care, has great coloration to the bark. They are deep purple in color with a muted, waxy look, like someone took a white crayon and colored all over them. It looks really great up close as the leaves contrast with the branch. Due to the long petioles (stem) on the leaf, each one looks almost as though it were floating away from the branch. This plant can be aggressively pruned each spring to provide vigorous young branches each year. This is a great way to keep an older plant in check, but it will greatly affect the bloom. Last fall we had a deer decide to do a little antler rubbing on our newly planted smoketree and mangled it pretty good. Why does it seem they love to skip the hundreds of trees in the woods and go right to the little sapling and antler it all up? All is well though. With some corrective pruning our shrub went from about 18 inches this spring to a solid 5 feet now. Not too bad considering the stressful summer it had to endure. We did not get a single bloom, as it clearly focused on vegetative growth. To maintain good blooms, prune in late summer after it has finished with this year’s display. The bloom itself on the plant is not that amazing of a flower. They are really tiny yellow flowers, sometime in June, borne in 6 to 8 inch long panicles held way out on tiny little stems. It is what this panicle evolves into after flowering that puts on the show. The long stems have plumy little hairs all over them that make the whole thing look fuzzy. As the flowers fade and the panicle matures through July to September, they take on a pink smokiness and provide beautiful and unique accents to the garden.
Some cultivars well worth a look: ‘Flame’ - Staying under the 12 foot height is a cross of the two species having almost circular leaves that stay green through summer and turn amazingly bright redish orange “flame” colors in the fall. ‘Golden Spirit’ - One of the shortest topping out at 8 feet. It maintains a golden yellow/green foliage and finishes with bright oranges and reds in fall. ‘Grace’ - Another cross of the two species. It has blue-green leaves and giant smoke puffs up to 14 inches, providing the best display of smoke. ‘Royal Purple’ and ‘Velvet Cloak’ – Both of these are larger growing plants in the 15 foot range that maintain a deep purple color to the foliage all summer. You’ll find best performance of most of these in a full sun setting and should be provided with very good drainage. Cotinus is quite tolerant of poor soils and is a great choice in hot, dry, gravely, infertile soil. Don’t be afraid to use this plant in a massing either. If the space permits, go to town with a grouping of five ‘Velvet Cloak‘ and throw some ‘Golden Spirit‘ in front. A perfect combo for a landscape bed that is a “drive by” bed and needs serious color punch. Bam, you just got hit with color! Clients ask for “low maintenance” all the time. Put this plant in the right spot and you have fulfilled their wildest dreams.

Changing Your Business Structure
D
uring the life of your business, things are bound to change. For example, in the early stages of your business, you may have preferred to keep things simple with an LLC. But as your business and expectations grow, you may need to change your business structure. After all, what may have worked for your business during the first few years of its existence may not be optimal for you now. If you’re considering changing your company from one business structure to another, there are a few things to keep in mind. The procedures themselves are not necessarily difficult or complex, but will typically involve some legal steps, such as a merger or the dissolution of one entity and the creation of a new one.
As expected, there can be significant tax implications involved with these moves, so seek the advice of an accountant or tax advisor to determine what’s best for your business. Here are some of the common scenarios where you might want to change your business structure:
Convert A C Corporation To An S Corporation For many small businesses, the C corporation ends up being too cumbersome and costly. Maybe you formed your company as a C corporation and quickly discovered what “double taxation” means. continued from pg 30 Fortunately, converting a C corp to an S corp is one of the easiest changes to make; it can be done with a single tax form. If you have a C corporation, you can elect S corporation status by filing IRS Form 2553 no more than 75 days from the date of incorporation, or no more than 75 days from the start of the current tax year. This means that if your C corporation existed on January 1 (and you’re a calendar-year taxpayer), you’ll need to file IRS Form 2553 by March 15 to receive S corporation treatment for the current tax year. It’s important to note that the IRS places certain restrictions on who can form S corporations. For example, all shareholders in an S corp must be individuals (not LLCs or partnerships) and legal residents of the United States.
Convert An LLC To A C Corporation If you’re like most small business owners, when you started your company, you weren’t looking for outside investors or thinking about a stock option plan. You just needed a low-frills, easy way to protect your personal assets and track company ownership. Then perhaps your business grew, opportunities emerged, and the time came to consider VC funding. Before you bring in outside investors, you’ll need to switch your LLC to a C corporation, as it can be more complicated to try converting your business after others are involved in company ownership. The particular steps required to convert an LLC to a corporation depend on the corporate laws in whatever state the LLC is registered. For example, in some cases, you’ll need to create a new C corporation and then make the original LLC a subsidiary of the newly formed C corp. This is a relatively standard process, and your attorney or online legal filing service will be quite familiar with the steps needed. In fact, most startups and businesses find that this conversion is the simplest part of their Series A round or other financing!

Change A C Corporation To An LLC If you’re a non-U.S. citizen who formed a corporation and is burdened with double taxation, you’ll need to change your C corp into an LLC to take advantage of pass-through taxation. That’s because the IRS requires owners of an S corp to be U.S. citizens.
There’s no reason to stick with a business structure that doesn’t work for your business or finances... Most states don’t allow C corporations to restructure as an LLC. As a result, you’ll need to form an LLC and dissolve the C corporation. Just like with changing from an LLC to C corporation, this is a common process that your attorney or online legal filing service can guide you through with relative ease. There’s no reason to stick with a business structure that doesn’t work for your business or finances anymore. This clinic will discuss solutions to help you successfully enhance properties using spring bulbs and spring, summer and fall annuals, and by also using tropicals as annuals. These experienced professionals have learned what works and what doesn’t work. Topics covered will include: Qualifies for 3 CEUs for Landscape Industry Certified

Prove Your Professionalism In the landscape industry, it can be hard to prove to a client that you are the right company to hire. The Landscape Industry Certified Technician’s program is a great way to set yourself apart from others by proving your knowledge and commitment to your professionalism. Being certified shows credibility and commitment to best practices – certification leaves a lasting impression. International Certification Council (ICC) Chair Michael Becker, Landscape Industry Certified Manager and owner of Estate Gardeners in Elkhorn, Nebraska says, “I know it’s a cliché, but certification is the tide that raises all boats. Certainly, customers benefit by having Landscape Industry Certified professionals on their property; so do the actual service providers. Companies benefit from having Landscape Industry Certified employees on their payroll, from both an expertise and marketing perspective. Landscape professionals who become certified are recognized for possessing the high level of industry knowledge and experience to do a great job. They also increase their market value, and certification is portable. As long as recipients continue to recertify by taking the required continuing education credits, the certification stays with them no matter where their career may take them.” You can select one of five designations: Turf Maintenance, Ornamental Maintenance, Softscape Installation, Hardscape Installation, or Irrigation. Our website lists the test problems for each designation, so you can see what skills you will be tested on. Study guides are available for purchase to help you prepare for the test. Those of you that are Landscape Industry Certified Technicians (CLT) know that it is quite an accomplishment to pass the test. Those of us involved in administering the certification test know that it is also quite a feat to put it on. In Ohio, the Landscape Industry Certified Technician Test is offered through a partnership between the Ohio Landscape Association, the Ohio Nursery and Landscape Association and the Ohio State ATI. There are so many people to recognize for their hard work and dedication to the certification program. This year, we had a total of 77 judges, volunteers and staff to produce the test. Of these, 54 have already earned their certification. A full list of volunteers, judges and sponsors is shown on page 24 of this issue. continued on page 38
