Grimsby does a hydro share shuffle By Mike Williscraft NewsNow In a move to “tidy up” a “cumbersome” hydro company infrastructure, Grimsby’s Administration and Finance Committee voted Monday to create a second holding company which will add another board of directors under its family of hydro-related holdings. While everyone around the committee table agreed repeatedly how complex and awkward

the hydro administration structure is only Ald Dave Kadwell asked any questions about a move which would shuffle the core structure of the Town’s largest asset. Among the questions, which were never clearly answered, were: 1) Why, if the wording of an agreement when FortisOntario bought 10 per cent of Grimsby Power Inc in 2009, would it come forward six years later to adjust the agreement?

2) A $12.9 million value was assigned. Where did that value come from and how was it arrived at? Mayor Bob Bentley, who also sits as a director on the hydro companies boards of directors told the committee the creation of a second holding company was to clear up issues created when the Fortis sale contract was “worded wrong”. “The structure initially set was very confusing, very cumber-

some,” said Bentley, who added the company’s “intent” was to buy 10 per cent of GPI, not NPI. “We need to tidy up our entities.” In the proposed move, which still has to be ratified by full council next Monday at its regular meeting, Grimsby Energy, Grimsby Hydro and Niagara Regional Broadband Networks would be grouped under Holdco 2, the newly formed company. Hudak to step down After 21 years as Member of Provincial Parliament, Tim Hudak has announced he will step down from his Niagara West-Glanbrook seat. “In 1995, I had the opportunity to run for the PC Party in Niagara South. I ran because I believed the province desperately needed change and I wanted to make a difference,” said Hudak in a release. “Every step along the way, I have been guided by a clear sense of purpose: smaller, more focused government, a strong economy and greater opportunity for all.” Hudak ascended to be the PC Party leader in 2009. “I was thrilled to be chosen by PC members to lead our great Party and I promised leadership founded on those same principles. I’m proud that we put forward an honest, bold plan that would right-size government, spur our economy and help the most vulnerable among us,” said Hudak. “Now I have an exciting new opportunity before me and a renewed purpose. I have been asked to be the next CEO of the Ontario Real Estate Association, Canada’s largest provincial industry association with more than 64,000 members and 40 local associations.

In his two-plus decades of service, Hudak said he has appreciated every minute. “These past 21 years have been tremendously rewarding and I will miss my colleagues in all three parties. Our parliamentary democracy exists to emphasize our differences, but our common commitment to building a better Ontario is what truly unites us. I want to thank all of them, past and present, for their friendship, leadership and advice,” said Hudak, who thanked his many staffers. “Most importantly, I want to thank the people of Niagara who have given me the honour to serve in six consecutive elections. There is no greater joy in this business than to be chosen to be the voice of the most beautiful part of the province filled with generous, hard working people who have an infectious streak of independence.” Hudak also thanked his wife, Debbie, and his two girls, Miller and Maitland for their support and love. “I will be resigning my seat on Sept. 16. NPI and GPI would remain linked. “We need to properly align the infrastructure,” said Bentley. “Why now?” asked Kadwell? “It came up under an Infrastructure Ontario funding inquiry,” said Bentley. “It does read Fortis owns 10 per cent of NPI, so it currently is not 100 per cent municipally owned.” The diagram included in the package for the committee noting “post-restructuring” still shows Fortis connected to NPI and to the new Holdco 2, a point not lost on Kadwell. “I am just trying to

work my way through the clouds here,” said Kadwell. “The 12.9 million shares and $12.9 million, where did that valuation come from? Where did that value per share come from? How was it arrived at?” “I’m really not sure,” said Bentley. “It was $1 per share.” Kadwell questioned further. “Just what are we buying here? I would like to see a list breaking down what we are getting for that $12.9 million.” “We’re not spending anything. We are just aligning the structure. You already know the ownership percentage,” said Bentley. Kadwell said he still could not understand what would necessitate such a significant restructuring of the company. “So seven years later

(after the Fortis sale), why is this coming to the table now?” asked Kadwell. Bentley went back to the “cumbersome” structure and noted, “The ownership is not clear.” As Kadwell continued to ask questions, Ald. John Dunstall noted that the moves suggested did not seem to do what proponents of the restructuring said it would do. “We know it is already confusing, so why create another company then? The other holding company, will it have its own board of directors? The new company could just make it more confusing,” said Dunstall. “And who will be on that board? Who will run it? Is there not an easier way? That’s what I say,” added Kadwell.

Finance committee chair Carolyn Mullins, who was recently added to the hydro company’s board said yes, there would be another board. As to the structure, Grimsby CEO Derik Brandt started to note several possible setups for the board including a duplicate of another board for simplicity, but Bentley cut off his comment, noting “The structure of the new board has not been decided.” At that point, Ald. Steve Berry seemed to lose patience with the line of questioning. “Yes, it is a cumbersome structure, but that was the recommendation we received and we need to move forward. (Law firm) Bordan Ladner makes recommendations across the province. If someone has a better idea, please

bring it forth,” said Berry. “There are also tax advantages but we won’t get into that right now. That’s for another meeting.” Kadwell persisted. “I just don’t understand the share valuation. I want to know what is on the table. I want to know what the Town is getting,” said Kadwell. “We need to tidy it up. This kind of thing has been done often in the Town. There is tax savings. It gives Fortis the proper alignment,” said Berry. Your comments seem to indicate there is something going on. I don’t know what you’re trying to imply. I’m on the board and I’m trying to understand what you are trying to get across.” “We’re just tidying up paperwork and you believe something else

is happening?” “You are clearing it but setting up a company with a new board and you don’t know what structure the board will have? Wouldn’t it be prudent to have that information now?” asked Kadwell. “You’ve got that information,” said Bentley. “Ya, well, I’ve been waiting for information since May 24, too,” added Kadwell, with no expansion on what that pending information is. “That’s another matter,” said Bentley. Although the dust never really did settle, the finance committee passed the recommendations, complete with documents dated Jan. 1, 2016. The matter will come back to full council this Monday, Aug. 15 at town hall.

Get Hip 4 Cancer starts to take shape The Tragically Hip will play downtown Grimsby, sort of. The Hip’s final concert, Saturday, Aug. 20 will be broadcast live on CBC and shown on an 18foot big screen on Main Street Grimsby as part of the Get Hip 4 Cancer fundraiser for the Canadian Cancer Society (CCS). The plan has been in the works for more than a month and is coming together quickly, says co-organizer Mike Williscraft, publisher of NewsNow. “I talked to the fellas at 40 Public House about this in early July and they took the idea and ran. They have navigated the permits with the DIA, Town and Region, covered the cost of the screen et al, the heavy lifting,” said Williscraft. “I have tried to help with the other aspects.” The other aspects would be a Kid’s Zone, which will be complete with a magic show by the very popular Calvin The Magician, face painting, balloon animals and more. Niagara Inflatables will provide two set-ups to the event, sponsored by The Lynn Fee Team at Keller Williams Complete Realty. There will be a candy floss booth courtesy of Boo’s Bar and Butterball’s Express Catering in Jordan. Grimsby Hyundai will be on hand to provide complimentary bottled water to event-goers. “Things are rapidly coming together,” said 40 Public general manager and co-organizer Matt Russo. “For our part, we will be erecting a massive screen to show the concert for a public street view-

ing party. We have tried to make almost everything free because of great sponsors with donation only, with all proceeds going to the Canadian Cancer Society.” “We will also have a donation ticketed VIP licensed area right in front of the screen. All proceeds from VIP tickets, T-shirt sales and donations from our many vendors will go into the pot for donation.” There will be food vendors on the street offering various munchies, with a portion of proceeds to CCS. The concert will wrap up by 11:30 p.m., while the Kid’s Zone will close things out shortly after 8 p.m. after The Hip’s live show takes things over. CCWN readies for back to school support Although many are in full summer stride, Community Care of West Niagara is already planning the annual Back to School Program! Did you know that almost 150 families who live in low income will access back to school help over the next six weeks? One hundred per cent of the families that CCWN assists live in the economic margins of our community. Out of these families, one-third

of the children live in a lone-parent household. That’s over 230 kids who may not obtain all of their needs and wants, including materials for school. Living in poverty makes it difficult for our clients to provide the necessary items for their children returning to class. Children who are reduced to carrying supplies in a plastic bag and wearing torn shoes can easily become targets of bullying and in-

timidation. Children just want to fit in and feel equal to their peers. CCWN’s Back to School is a program that gives the children of our registered families, under the age of 18, the opportunity to return to school with all the school supplies they need. With the cost of living what it is today, our program will ease a lot of already-tight budgets and will ensure that children go back to school with their head held high.

Financial donations will provide a child with supplies for a backpack kit so they can be successful in school. CCWN is working in concert with a larger effort to optimize student literacy and their potential for graduating with a high school diploma. Smithville United goes outdoors to continue it 225th celebration Smithville United Church is going outdoors to continue its celebration of 225 years of service. Sunday, Aug. 21 at 2 p.m., Smithville United will continue its celebration of spiritual growth and community service by suspending its regular Sunday morning service to hold an outdoor, Sunday afternoon service. All are welcome to join Smithville United at 2 pm on the church lawn for music, a message and food. Music will feature local Bluegrass Gospel band, Sweetwater. Originally formed in 1993, the members have played for many years in other bands and in 2012 re-united and are enjoying popularity as the Sweetwater Band once again. Because of their versatility and large repertoire, they have been asked to perform in places ranging from a little country church with a few dozen people to large outdoor festivals. Caistor Centre Road. There were two occupants in this vehicle, a 26-year-old female from Simcoe and a 27 year-old male from West Lincoln. passed on January 19th, 2016 in her 78th year. Our very special thanks goes out to the doctors and staff at WLMH in Grimsby, to Dr. Richard Whitlock and Dr. Alison Fox-Robichaud and the staff at the Hamilton General Hospital for the tender loving care given to Donnie and our family. A funeral mass was celebrated on January 25th, 2016 at St. Helen Church in Beamsville followed by a luncheon at the Peach King Arena in Grimsby. The interment for Donnie was held at Mount Osborne Cemetery on July 22nd, 2016 followed by a ‘Celebration of Life’ on July 23rd, 2016 at the Lincoln Community Centre in Beamsville. Donnie and Husband Robert have resided in Beamsville for the past 54 years. She founded Kinder Haus Day Care in 1967 and throughout the past 49 years (and still carries on today) has provided, “Child Care with a Difference” to the Niagara families. A large gathering of guests were able to witness the tributes and memories shared by Niagara Children’s Services, Colleagues, Day Care families and Family. There were several invited guests who were not able to be in attendance but sent along their prayers and well wishes. Our family wishes to express our heartfelt appreciation and thanks to our guests for taking the time to be with us today. Thank you for honouring Donnie this way. “FOREVER IN OUR HEARTS” “UNTIL WE MEET AGAIN SWEETHEART” “AUF WIEDERSEHEN MEINE LIEBCHEN” “ARRIVEDERCI MIO DOLCE CUORE” Donnie was warm and compassionate and we will always remember her loving smile. About 45 people attended the “drumming down the sun” event at Charles Daley Park as part of a summer solstice celebration. There has not been much rain this summer, but some rain found this event. About a dozen hearty souls stayed through the rain until sunset set in.

Get Hip shaping up Have a great time, with a purpose. That may be the best way to describe the planned Get Hip 4 Cancer event planned for Grimsby’s Main Street on Saturday, Aug. 20. The event is centred around the CBC broadcast of the Tragically Hip’s final concert - you may or may not know the band’s lead singer has been stricken with a terminal form of cancer and the Aug. 20 performance will be their last. An opening local band, food, kids activities are planned to make this a fun, grassroots all-Canadian event. Virtually all aspects will raise funds for Canadian Cancer Society. Come out, have fun and support a great cause. MW.

Fundamental hydro questions abound Yikes! I had thought of many smart butt leads for this week’s offering as I sat at Grimsby’s Finance and Administration Committee meeting on Monday evening. But I don’t want the straight up facts of what is materializing to get mixed in with hyperbole, so let’s just stick with yikes! Where do I start? The fact that Grimsby council’s track record on any major project is horrid at best should make anyone look at anything painted as a housekeeping activity with a jaundiced eye. Then one has the oh-sotypical rolling out of something declared “tidying up” in the dead of summer. Anyone who has been around the block knows, if you want something you’d rather not have a lot of light shone on roll through a council, early August is the time to do it. Those paying attention are either catching up from vacation time, on vacation, or getting work done to be ready to go on vacation. Long story short, chances of any reaction is small. To change things up, I will offer my conclusion first. What I don’t get is the motivation behind all this. I have my suspicions, but they are little more than that....at this point. Simply, the length hydro officials are going to clear up a seven-year-old wording “mistake” in a sale agreement defies logic. Aside from the merits of any proposed change, just set the proposal aside for a moment, why would hydro, town council or anyone

MIKE WILLISCRAFT with a stake in the company - meaning all taxpayers - want to change the wording? Fortis must have signed the deal as is, right? The sale agreement is seven years old. So when Ald. Kadwell asked repeatedly at Monday’s committee meeting, “why now?” I wanted them all to say, “why do it at all?” The new structure will effectively remove potential liabilities - based on where Mayor Bob Bentley said certain assets would be housed in the corporate structure - namely the biodigester and co-gen units. Fortis bought 10 per cent of the company. Who cares what their “intent” was, as the mayor noted. Any company has assets and liabilities. I am just picturing someone calling up Tim Hortons (or any big company) and saying, “We’d like to buy 10 per cent of your operation please, but just the money making properties. Please remove all the risky ones.” What confounds is seven years has passed since the deal and it is those who are supposed to be representing the interests of the Town driving the bus on this one. Just what direc-

tion they driving the bus is the one of the remaining questions. Smell test? Foul. On paper, it really looks like a major structural realignment to allow for a cleaner sale of the utility to Fortis (who would have first right of refusal based on the sale agreement) or another suitor. I always thought Grimsby should never sell the hydro money machine, but all that changed last year. This thing needs to be sold, and fast, but at a proper valuation not the ridiculously low value for which the initial 10 per cent was sold. Before any of the more recent shenanigans, that sale price should have been a five-alarm warning of things to come. To the matter at hand, we have a mayor and board members who could not explain to the shareholders (council) around the table how the $12.9 value was placed on the shares in question. Any human not oxygen deprived would never agree to the sale, restructure, shift, whatever you want to call it, of any company if such a fundamental aspect could not be explained in detail. It is equally shocking that one black-balled alderman was the only one pressing the matter. This is your elected officials at work, people of Grimsby! There are other points made in Letters to The Editor which can expand on other issues, but taxpayers better wake up before their cash cow gets fermented and spit out by the biodigester while the mayor trades in his chain of office for the keys to the Titanic.

Proposed hydro re-alignment gives taxpayer short end of stick: reader Dear Editor, On Monday, during the dog days of summer, Grimsby’s finance committee quietly convened to take care of some issues that have been plaguing the Town. First order of business is to further stack the deck of having more councillors on the six hydro boards. This is the same council that allows a direct conflict of interest by having hydro directors pay themselves to work on multi-milliondollar projects, such as the bio-digester which I believe will be two years late and about $4 million over budget. Then the next order of business was a $12.9 million reorganization to deal with the prior sale of Grimsby Power to Fortis. What was cute was the deal is going to be backdated to Jan. 1, 2016 along with Motions of Council to deal with an error in the sales contract. When is any legal document allowed to be backdated to re-write history? Only Ald. Kadwell saw through this and

Letter questioned the other councillors who all sit on the boards of hydro. Kadwell is not on any boards. What Council wants to do is clear the deck so that Fortis can have an easy shot at buying the rest of Grimsby Power without any discussion with taxpayers, the actual owners, and paves the way for a 25 per cent increase in our power bills - a proposal which is currently before the Ontario Energy Board. Imagine, selling the power company without getting other buyers or bidders or an independent evaluation? In speaking with former alderman Wayne Fertich, who was the only member of the public at

the meeting, it was not surprising to hear the mayor would not answer Kadwell’s questions on how the $12.9 million valuation came up. The projected outcome is this: hydro is worth about $40+ million, but will be sold for an undisclosed sum to Fortis for much less. The Town gets the on-going liabilities of the non-operating assets of the $2 million Co-Gen and $5 million bio-digester with the $600,000 short-term loan it made to GEI last month lumped in..... and gives $4.4 million to Fortis for other considerations. Confusing? Indeed. Council being sneaky? Indeed. Taxpayers + hydro customers getting screwed? INDEED. Rob Hattin Grimsby
