Trio files defence in biodigester suit By Mike Williscraft NewsNow The three men named in the $18.5 million dollar biodigester-related civil suit by Town of Grimsby et al have filed their defence. In the defence, filed Oct. 31, it is stated at several points that the trio acted in good faith throughout the biodi-
gester project’s development and the plaintiffs were aware of all aspects of the operation. In the suit filed in July in Ontario Superior Court by the Town of Grimsby, Niagara Power Inc. (NPI), Grimsby Energy Inc. (GEI), Grimsby Hydro Inc. (GHI), and 1938427 Ontario Inc. (HoldCo.2), three claims are made citing former
Mayor Bob Bentley, James Detenbeck and Joe Panetta as defendants. The claims, in part, allege Bentley, Detenbeck and Panetta were negligent, breached their duty of care and breached their fiduciary duty through their dealings regarding a “failed waste-toenergy project”.

West Lincoln rekindles Christmas tree lighting An old tradition will be replanted into the cultural soil of West Lincoln later this month. West Lincoln Shines, now hosted by the Kiwanis Club of West LIncoln, the township’s long-running Christmas tree lighting event returns on Nov. 27. The new tree will be planted in front of the West Lincoln Community Centre. “Our hope is the tree will grow as the event grows,” said Kiwanis member Cheryl Ganann. “It will be the new event to kick off the Christmas season.” There will be free hot chocolate and hot dogs for all who participate, along with live music by the students of Smithville Christian High School.

When you paid off your debt, did you receive a Discharge of Mortgage/Charge document from your mortgage lender? The Discharge of Mortgage/Charge document is a legal document that is executed by the mortgagee (the lender) and given to the mortgagor (the borrower), verifying that the loan has been paid in full before, at, or after the maturity date. This document is registered at the provincial land registry office as a permanent record of the discharge. Merely paying off your debt is not sufficient for the lender when discharging a mortgage; A document was originally registered with the Province to give evidence of the mortgage’s existence, and so the discharge is registered as evidence of the removal of the lender’s claim against your property. The lender’s solicitor normally prepares the discharge and a fee is charged to you for this service. You, the mortgagor, need to ensure that the discharge is properly registered. Occasionally, a homeowner will pay off a mortgage debt and fail to obtain a discharge. This situation may not be discovered until some date in future, when the homeowner attempts to refinance or sell the property. Lincoln seeks parks upgrade grant Town of Lincoln will review a series of possible parks and recreation upgrades to be submitted for a federal grant program. Included on the list is further development of Rotary Park, development of Prudhomme’s Park, Charles Daley Park redevelopment, Konkle Creek Trail, rubberizing all Town playgrounds, enhancements at Rittenhouse Library and, adding a children’s education space at the museum. The grant program covers 40 per cent of project costs federally with 33.33 per cent coming from the prov-
ince. Municipalities cover 26.67 per cent of the projects approved. The projects under consideration will cost about $40 million, with the Town portion being about $10.5 million. Council is expected to review the recommendation report coming from the Community Services and Infrastructure Committee at its regular meeting on Monday, Nov. 18. Town staff arrived at the proposed slate of projects by following “evidence-based needs in the recently completed Parks, Recreation and Culture Master Plan.

Simply, the defendants state the case should be dismissed. “The Town, however, for political or other reasons only known to it, wishes to disassociate itself from, and contend it had no role in, a project that it now wishes to disavow,” states the defence document.” “In order to do so, the Plaintiffs have commenced this action against selected directors only, making allegations of conflicts of interest and breaches of fiduciary duty, amongst other allegations, which they know to be false. The action should be dismissed with costs on a full indemnity basis.” In refuting other aspects of the claim, it is stated the biodigester project would have eventually brought in a positive return on its investment had the Town opted to hold onto the facility as opposed to selling it off. The Town sold the biodigester this fall for just over $8 million. It was noted at the time the amount it was sold for would be deducted from the initial claim which was cited in the civil action. “Had the Biodigester Project been retained by the Town, the Town would have been able to recoup its investment and earn a return,” states the defence. “The Defendants also presented the Town with a refinancing option and at least one opportunity to lease the Biodigester Project to an ex-
perienced operator on a basis which would have been financially sustainable, and ultimately beneficial, for the Town.” “For political or other reasons unknown to the Defendants, the Town determined instead to disown and sell the Biodigester Project. It did so on a basis that left it in a worse financial position than it would have been in had it retained ownership.” In presentations to council, Grimsby Energy chair Delight Davoli detailed a much more bleak financial position for the project including ongoing operating losses of well over $1 million per year. In defending the portion of the claim regarding NPI, the defence document states, “It is not a conflict of interest for management of GEI, who were being compensated for their work, to continue to implement the business plans approved by the GEI board of directors, NPI and the Town,” also adding, “It was at all times open to any of the plaintiffs to request further independent oversight, but they elected not to do so.” Again, at several points, Kadwell and Johnston asked that an independent, third party be brought in to review the budget and business case for the project. This did not happen. An additional submission from the plaintiffs is the next step before a judge determines if the case will proceed to Discovery.

Grimsby Remembers The season’s first snowfall blanketed the crowd as Grimsby residents circled the cenotaph Monday to remember the courage, suffering and loss of those who died in service to Canada. Youngsters stood alongside veterans and time stood stilll as wreaths were laid and the roll of honour paid tribute during the Remembrance Day services led by the Royal Canadian Legion Branch 127 Grimsby.
Members of the 62 Phantom Squadron Air Cadets led the march to the Remembrance Day service in Grimsby.

Plans take shape for Christmas In Grimsby What could be better than a busy Friday downtown full of Christmas activity and fun? How about four busy Fridays? Grimsby’s Downtown Improvement Area Board is trying something new this year in planning four consecutive Fridays of activities in the downtown - starting Nov. 29 - anchored by its major annual shopping event on Friday, Dec. 6. “There is a little something for everyone each night to help visitors to downtown enjoy the season a little more,” said DIA president Mike Williscraft. Dec. 6, the night before Grimsby Santa Claus Parade, the DIA will kick off that festive weekend with everything from horse and wagon rides to photos with Santa, live entertainment on Main Street and much more. A series of activities such as strolling carol singing by Grimsby Seniors Choir, lots of instore specials, free hot chocolate, goodie bags for kids and free cookies will be part of each of the four Fridays. The horse and wagon rides will be donation only with proceeds to FORT. Photos with Santa will be donation only with proceeds to Big Brothers Big Sisters. “Participating stores will be open extended hours each night and participating restaurants will offer Festive Fridays food and drink specials. We’re looking forward to it,” said Williscraft.

Niagara Children’s Business Fair proves popular By Tristan Marks NewsNow Meet the millionaire entrepreneurs of tomorrow, today. Saturday Nov. 9 was the date for the inaugural Niagara Children’s Business Fair, which saw folks pile into the Balls Falls Centre for Conservation to peruse the wares on sale within. The vendor market was the capstone for a journey that saw several kid entrepreneurs- kidpreneurs for short- learn and experience creating their own business. The fair was created by Cathy Bouwers and Jessica Estabrooks to be a completely nonprofit, educational experience for children. The idea first came from Estabrooks, who wanted to give her son Elliot a practical, yet fun lesson on entrepreneurship. “This whole thing

started as an idea for an experiential learning opportunity,” Estabrooks said. “I believe in creating habitual learning skills early.” When she found that there were a lack of these opportunities for kids in Niagara, Estabrooks reached out to her friend and colleague, Bouwers. Together they planned
what would evolve into the Niagara Children’s Business Fair by partnering with the Acton Children’s Business Fair to bring the world-wide educational event to Niagara. The kids attended a pre-launch event in October, where local Niagara entrepreneurs taught them everything from product creation,

to social media marketing in a face-to-face, small group setting. From there, the kidpreneurs applied these lessons towards creating their own business. This all culminated with the Nov. 9 fair, where the children showed-off their hard work by offering it to real customers. Among the businesses were a candlemaker, a producer of eco-friendly grocery bags, a stuffed-animal crafter and even a team of comicbook artists, just to name a few of the creative minds at work. The fair was wellattended right up until the end. “There’s definitely going to be something next year,” said Brouwers. “We’ve had tons of support from the community and a lot of parents are on board. It’s great.”

Since the Town of Grimsby opted out of cannabis retail in January 2019, this study will not consider the sale of cannabis in retail stores. Canada’s soldiers who gave their lives in conflicts from the First World War to the modern day conflicts in the Middle East. This was the first of Lincoln’s two ceremonies. The second took place at the Beamsville Cenotaph on Sun. Nov. 10.

We will remember them By Joanne McDonald For NewsNow Time stood still for a moment Sunday as the Lincoln community gathered in safety and peace to remember the courage, suffering and loss of those who died in service to Canada. Youngsters stood alongside veterans as wreaths were laid at the Beamsville cenotaph and the roll of honour paid sombre tribute to those who paid the supreme sacrifice. Parade Commander Cde. Barry Stark, Royal Canadian Navy veteran led the colour guard marching with the Royal Canadian Legion Centennial Branch 612. They were joined by the 62 Phantom Air Cadet Squadron, the 1626 West Niagara Army Cadets, police officers and fire emergency personnel. The service was led by Rev. Canon Ian Chadwick. “We thank you so much for giving us the opportunity to live in the greatest country in the world,” said Niagara West MP Dean Allison. “We are always looking for new recruits to augment our quickly growing unit,” said Capt. New venue, same fun at Beamsville turkey raffle The Beamsville Firefighters Association’s Annual Turkey Raffle returned last Friday, Nov. 8. This year marked a change in venue to the Lincoln Centre in Beamsville. Nice to see Sometimes, an election just changes one set of issues and baggage for another set. On occasion, a whole new mentality can wash into a muncipality. The latter certainly seems to have taken place in West Lincoln where there is a very positive vibe these days. Case in point, the Kiwanis Club of West Lincoln getting back into the annual tree lighting game. The long gone Lions Club hosted the lighting ceremony for many, many years. This month, the programme, will restart. These events are not super big and flashy. Really, they are just simple reasons to get together, have a hot chocolate and chat with some neighbours. That kind of activity is why people want to live here, so nice to see it making a come back in Smithville. M.W.
Public needs to hear this in open court All I can say about the defence filed in the Town of Grimsby et al $18 million civil suit vs Bentley, Detenbeck and Panetta is, I just hope this gets to open court. By the time you get to this page, you will have undoubtedly read the front page offering regarding the civil claim. To restate the core of the issue facing any litigation on this matter, at no time does logic enter the world of what is accepted and valid in a court of law. Yes, on occasion there is overlap, but law takes on a very particular, often peculiar angle on things where items which seem intensely logical in the real world, simply have no standing in court. That is the main reason much of the 14-page defence document - which will be posted on our website along with the initial civil suit document - focuses on what I call the Conrad Black defence. As you will recall, Lord Black (is he is still a Lord again?) used a “all transactions were approved by the board of directors” style defence in the U.S when he had legal issues regarding his spending habits. It worked like a charm. He got off on the vast majority of criminal charges but was convicted of obstruction of justice for actions he took during the investigation. The biodigester case is a civil case and in Canada, so a whole legal world away from Lord Black’s matter. The only common theme is the defence document filed states and restates at many points that council, Town officials had full knowledge and open access to information at all times during the project’s rollout approving and often requesting certain measures be taken. The absolute nut of the case is, does that hold water

In the council chambers and from personal discussion, I can site countless instances where not only was information not forthcoming, but was withheld under direct questions offered by both Ald. Dave Kadwell and Ald. Joanne Johnston. No doubt, Kadwell was the more stubborn of the two, repeatedly weighing into the treacherous waters of questioning anything biodigester in the public realm. Former Mayor Bob Bentley clearly never liked that. On occasion, he would take a question or two, but regularly would cut off Kadwell or Johnston. The other members of council very rarely EVER asked a question. Undoubtedly, the “best” - looking at the exchange in a totally warped manner interaction when it comes to access to information came last year, when it was mentioned at council that there had been a hydro AGM. Kadwell, being on council and council being the shareholder of the hydro companies, popped up his head like a gopher coming out of his home to see if the coast was clear. He asked for particulars on the meeting followed by a “why was neither I nor council informed?”, he queried. He was informed that the then-CAO Derik Brandt was
chosen to represent the interests of the Town at the AGM. In following up, I found no motion had ever been approved naming Brandt as a representative. In a conversation with Brandt about the decision, he said an email just showed up telling him to be at the AGM. So, your logical brain would say that is a crystal clear example of total control of not only whatever information was to be reviewed, but even access to it was being exercised. In court, formal proceedings may simply not care. Heck, I recall talking with Ald. Carolyn Mullins several years ago when she stated at council she had not been given financial information she had requested several times. She attended that fall’s AGM and no financials turned up on the agenda for her review. Over the following few months I checked in regularly as she kept saying the financials were coming soon. During my follow ups, they never did. And on and on and on and on like a broken record until you just want to barf! Sorry for the visual image, but that is how this whole affair has just played out. It has been a weird, sordid pride game from the outset. I believe there was an initial nut of an idea that had potential, but a weak business plan went seriously awry and a ton of good money was blown after bad. In the end, it cost the Town a $9 million asset in its fibre optics company because nobody had the guts to cry, UNCLE and shut the thing down. I just want to see it get to open court so the public can see how their positions are defended. The law may determine they are in the clear, but there is more than enough reason to let it play out.
Dear Editor, As reported in last week’s edition, expanding the current facilities at the Peach King Centre seems to be a no brainer. I urge council to take a breath and think this through thoroughly. The described “defined needs” are townstaff-based and special interest groups requested. I ask, what do the special interest groups do now and what is the projected growth required for additional facilities? What are the benefits to the town? We already have gymnasiums in town in schools and at the YMCA. What makes anyone think we need more? We have an indoor walking track and many multi-use rooms already under utilized. Do we want to compete with the YMCA and if so, are we prepared to see it disappear in a few years as has happened in Welland because the Town is now competing? A roof-top leisure space? What’s that and why do we need it? Is lovingly cared for grass around the center not
LETTER enough? Surely the view from up there would be very disappointing. How many months a year would it be used? Are they suggesting getting a liquor license? Let’s look back to when the PKC was first built. The Town borrowed the funding required and when the project was paid, the council at the time said our tax increase would be reduced by this special tax levy. What happened? Town departments were infighting to spend the money promised to be taken off our tax bills. We saw NO promised tax decrease. Nothing is mentioned in the article about the increase to ongoing annual costs. Tax payers have spent millions over the years covering budgets to maintain the current facility. How much more will this cost annually? As everyone knows, building is cheap when compared to maintenance and operating costs over the lifespan of a building. Council should be concerned about the fa-
cility’s full utilization and associated costs we already have. What about using current expenditure savings to pay for this project? A few examples of recent wastefulness would include the ridiculous high cost of construction and maintaining our new park on the escarpment that is used minimally. Do we really need it? Is it useful to very many residents? How about the tremendous waste of money to build and maintain the new fire hall on the mountain that does not service any of the growth areas of Grimsby, let alone have town water. We clearly need to build a fire station in the West end since that is where most of the growth is, not on the mountain. I really don’t think the highest concentration of residents who reside on the mountain at the town cemetery will be requiring any emergency services anytime soon. Let’s not forget the poor job the Town does maintaining Grimsby Beach Park and swimming area. No effort

I urge council to look at maintaining the services they are legally responsible for. Look to keep taxes as low as possible to deliver the key services we have a right to since no other government is and forget about pie in the sky social programs that they are NOT responsible for. We have regional, provincial and federal government socialists drowning us in taxes and debt without thinking farther than sound bites and votes. This council needs to think about the next election and beyond. They need to consider long term effects for the whole town, not special interest groups. If the local basketball teams or anyone else want an additional new facility, let them publicly justify why taxpayers need to foot the bill and why current facilities are insufficient.
