Share rights and articles of association We can prepare the documentation to carry out share capital reductions, whether to tidy up a balance sheet or to create distributable reserves, by way of the insolvency process or otherwise.
Share rights and articles of association If your client needs to create a new class of shares, whether to split dividends or create growth/flowering shares, then we can assist with drafting the new articles and drafting the necessary authorities to achieve this.
Share options If your client is looking to implement share options, (whether EMI or otherwise) on either exit only or performance-based terms, we can prepare the option documents and create new classes of share (where relevant).
New holding companies Where tax structuring requires the insertion of a new holding company over an existing company, to facilitate a restructure or an exit, then we can prepare the share purchase on agreement and deal with any stamp duty adjudication applications.
Loans and security We can prepare a range of loan documentation and security documents for your clients looking to formalise their debt, especially if prior to arranging secured debt from a third-party lender.

As our client, we will work closely with you, to build a strong working relationship so that we can streamline the process of how we work together. By maintaining regular communication, we hope to turn around instructions within agreed timescales which meet your client’s needs.
One-Stop-Shop By using our services, you can offer your client a “one-stop-shop” where all of their needs are satisfied by you without them having to shop around to get quotes. Your client will receive one fee quote and one invoice at the end of the job. They will have no need to go elsewhere.
Fixed Fee Pricing The work we carry out for you will be on a fixed fee basis so that you and your client have certainty of our costs. Further, we can give you a price list for our most common white label instructions, so that you can include our costs in your fees upfront when you speak to your client.
Cost Savings Remote Working
By acting for you directly, we can help you pass on cost savings to your client:
Geography is no issue to us, and we are happy to work at a distance. Where possible, we can utilise electronic signatures so that your clients don’t need to print or post any documents.
• As you are our client, we will not need to perform ID checks on your clients before work commences, which will speed up the process; • Our instructions come directly from you, so there is less chance of inaccuracy from the client, and any intricacies can be dealt with upfront;
Engaging with your Clients
• We act for you on an “execution-only” basis (i.e. drafting of documentation only). By the nature of the work we are carrying out, there is little to no legal advice required to be given to the end client, as we are simply drafting documentation to implement your strategy. This substantially reduces he amount of work involved if we were acting directly for your client.
If the nature of the work is too complex and requires us to give legal advice to the end client, such as Family Investment Company (FIC’s), Employee Ownership Trusts (EOT’s), management buyouts or demergers. In such cases, we are more than happy to engage with your client directly, and we can offer fixed fees to them, where appropriate.
