ARTICLE I: NAME The Name of the club shall be “America’s Hometown Garden Club”. ARTICLE II: OBJECTIVES Section 1. The “America’s Hometown Garden Club” is organized exclusively for charitable, scientiﬁc and educational purposes and all activities shall be in furtherance of such purposes. Section 2. The objectives of the Club shall be:

A. To learn about horticulture, garden design, ﬂower arranging and the environment, and to put this knowledge to use in our homes and community and wherever applicable. B. To Aﬃliate with The Garden Club Federation of Massachusetts, Inc. and the National Council of State Garden Clubs, Inc.

ARTICLE III: MEMBERSHIP Section 1. There shall be one classification of membership: Active. Section 2. Membership shall be limited to forty-four. Section 3. Membership constitutes the payment of dues, the contribution of a member’s time and energy given in a willing and generous way to a club event, activity, meeting participation, fundraising, community project, leadership through a committee or to hold an office. Members are required to involve themselves in some way in the above stated activities to maintain good standing in the club. ARTICLE IV: OFFICERS Section 1. The Officers shall consist of a President, First VicePresident, Second Vice-President, Recording Secretary, Corresponding Secretary and Treasurer. Section 2.

In order to qualify as an Executive Oﬃcer, you must be an active member for a minimum of one year and have attended 80% or more of the meetings.

ARTICLE V: BOARD OF DIRECTORS Section 1.

The Board of Directors will consist of elected Oﬃcers and the immediate Past President, who will sit on the Board for one year. The Standing committee chairpersons shall attend periodic meetings and should be prepared to update the Board as to their committee’s business. Also, Committee chairpersons may be heard by the Board at any time by submitting a written request.

Section 2.

A Quorum of the Board of Directors shall consist of a majority of the members of the Board.

ARTICLE VI: ELECTIONS Section 1. The Nominating Committee shall consist of three members, each with at least two years membership, one appointed by the President and two elected by the membership. This committee shall prepare a list of nominations of oﬃcers to be presented to the Club at the meeting preceding the election of oﬃcers. Section 2.

The installation of new oﬃcers shall take place at the Annual Meeting in June.

Section 3. The President, First Vice President, Second Vice President, Recording Secretary, and Corresponding Secretary, will serve for two years. Treasurer will serve a three-year term. The First VP will move into the President’s role at the end of the President’s term. The Second VP may elect to move into the First VP’s position, but is not required to do so.

ARTICLE VI: ELECTIONS continued Section 4. The First Vice President will automatically move to the President’s position after their two years as First VP. The Second VP may elect to move to First Vice President position but is not required to do so. All other positions will be ﬁlled by the Nominating Committee as outlined in Article VI, Sections 1 & 2. Section 5. If a member of the Executive Board leaves their position ahead of the end of their term the Nominating Committee will recommend candidates to the Executive Board as per Article VI, Sections 1 and 2. Section 6. The only Exception is if the President leaves before their term has ended then the First Vice President will take over the role of the President to complete the existing term and the First VP position will then be subject to the Nominating Committee procedure. Section 7. In the event that there are no new candidates for the individual positions of First VP, Second VP, Treasurer, Recording Secretary or Corresponding Secretary that meet the time requirements, then an exception may be made and a member who held the position less than two years prior, may be considered. All exceptions must be vetted through the Nominating Committee, Executive Board and then be voted on by the membership.

ARTICLE VII: REGULAR MEETINGS The regular meetings of the America’s Hometown Garden Club of Plymouth shall be held once a month from September through June. ARTICLE VIII: AMENDMENTS The Constitution and By-Laws may be amended by a two-thirds vote of those present and entitled to vote, notice having been given at the previous meeting. Amendments are voted on at the annual meeting, in June.

ARTICLE 1: Section 1. Each candidate for Membership, having attended at least one meeting must submit an application for membership to be approved by the Board of Directors. Section 2. Dues shall be set by the Board of Directors, subject to approval by the membership and shall be payable at the June meeting. Dues for Full time Active Members is $35. Section 3. Fiscal Year: The ﬁscal year of the Club shall run from July 1 to June 30. Members whose dues are not paid by the annual June meeting for the upcoming year shall be considered as having resigned. Section 4. GUESTS: Members may bring guests to open meetings upon payment of a fee set by the Board. Presently that fee is $5. A person may not be a guest more than two times during the Club year without joining the club.

ARTICLE II: Section 1. The PRESIDENT shall preside at all meetings of the Club and perform all other duties consequent upon that office and shall be an ex-officio member of all committees except the nominating committee. Section 2. The FIRST VICE-PRESIDENT, in the absence of, or at the request of the President, shall perform the duties of the President. The First Vice-President shall also serve as Chairman of the Program Committee. The SECOND VICE-PRESIDENT shall serve as Chair of the Membership Committee Section 3. The RECORDING SECRETARY shall keep the minutes of the Board of Directors meetings and Regular meetings, and shall have charge of all papers pertaining to that office. Section 4. The CORRESPONDING SECRETARY shall be in charge of all correspondence whether written or electronic. Section 5. a. The TREASURER shall have custody of all funds of the Club and shall disburse such funds as are approved by the President or the Board of Directors. In the absence or incapacity of the Treasurer, the President is authorized to sign. b. A yearly audit of the club finances shall be conducted at the end of each club year by the President, Treasurer and an Executive Board approved third party.

ARTICLE II continued Section 6. No Chairperson or Club Member shall incur any bills, other than budgeted expenditures, without the approval of the President or the Board of Directors. Section 7. The Club shall only donate monies to Club related activities. ARTICLE III Section 1. The STANDING COMMITTEE CHAIRPERSONS shall be designated by The President and shall be determined for the following areas: 1.Charitable Activities 2. Civic Beautiﬁcation 3. Horticulture and Conservation 4. Historian 5. Hospitality 6. Nominating Committee 7. Photography 8. Publicity 9. Website 10. Yearbook 11. Awards 12. Scholarship

Annual Meeting in June/Potluck ARTICLE IV: CHARITABLE ACTIVITY FUND Section 1. The object of the Charitable Activity Fund is to aid and encourage various charitable activities and organizations. ARTICLE V: LIBABILITIES Section 1. No liabilities and/or claims shall be assumed by the Club for its members and/or guests. This includes travel to and from the meeting or within the meeting place and other Club sponsored activities.

ARTICLE VI: DISPOSITION OF ASSETS Section 1. In the event of dissolution, all the remaining assets and property of the organization shall, after payment of necessary expenses, be distributed to such organization as shall qualify under Section 501 c (3) of the Internal Revenue code of 1986, or corresponding provisions of any subsequent Federal Tax Law or to the Federal Government, a State or Local government for public purpose, subject to the approval of a court of competent jurisdiction within the Commonwealth of Massachusetts. ARTICLE VII: NON-DISCRIMINATION Section 1. America’s Hometown Garden Club shall not permit, in their Conduct of Club aﬀairs, any restriction or limitation whatsoever based upon race, color, creed, gender, national origin or employment status.
