GO-WV offering tax seminar in November The Gas and Oil Association of WV, Inc., along with the Pennsylvania Independent Oil and Gas Association and the Southern Ohio Oil and Gas Association, are sponsoring the 2023 Oil and Natural Gas Accounting and Tax Seminar from 9:00 a.m. to 4:00 p.m. on November 7, in conjunction with Baker Tilly. It will be a virtual event. Oil and natural gas companies continue to face ever-changing economic conditions and new challenges that come with it. Winter is coming The famed show “Game of Thrones” had a famous phrase “winter is coming.” Though I didn’t watch the show, the phrase indicated to be prepared for harsh times. As we head into winter, we always need to be reminded of safety concerns attached to the winter season. Our Safety Committee has meetings coming up to help educate companies on a variety of safety matters. The committee recently completed two meetings on First Aid/CPR/AED in Charleston on October 26th and in Bridgeport on November 2nd. Please check the website and newsletter for upcoming safety meetings. Winter also brings some optimism as prices historically improve during the winter months. I would strongly encourage those interested, to attend our monthly Producers Issues Committee meeting to learn more about market conditions, pipeline matters, FERC and PSC issues that are compiled into presentations that are beneficial to all our members. This committee meets in person but also offers a virtual attendance option. Another committee that has been busy as we head into winter is our Tax Committee. The committee will conduct its 2023 Oil and Natural Gas Accounting and Tax Seminar on Tuesday, November 7th. This “virtual only” meeting is being done in partnership with the Pennsylvania Independent Oil and Gas Association (PIOGA) and the Southern Ohio Oil and Gas Association (SOOGA). Please note that attendees are eligible for 7.0 CPE credits. CLE credits are available by self-reporting to the appropriate state bar association. Additional information regarding the seminar can be found on the GO-WV website. Our Government Affairs Committee is also gearing up for the upcoming 2024 legislative session. The committee is finalizing a legislative agenda that seeks to benefit all our members in a variety of areas of importance. Finally, I would be remiss not to mention our 2024 Winter Meeting coming up January 17-18 at the Marriott in Charleston. This meeting, along with our Summer Meeting, are the largest events GO-WV conducts throughout the year. More to come on the agenda, but it is a meeting attended by numerous industry leaders as well as key legislators. And I would encourage anyone reading this article to attend the networking opportunities as well as to learn about what is going on within our industry throughout the state, region, and country. As you can see, GO-WV is always working for your benefit on a variety of fronts. Our legal, communication and education, investment, membership, and insurance committees also meet monthly (or close to monthly). Legal and regulatory challenges and opportunities for the energy industry Law firm Babst Calland published its 13th annual energy industry report in October: The 2023 Babst Calland Report – Legal & Regulatory Perspectives for the Energy Industry. The Report provides insights on some of the most critical issues facing the industry. This edition of The Babst Calland Report also features a special video briefing from U.S. Senator Barrasso (R-WY), ranking member of the Senate Committee on Energy and Natural Resources, who is at the forefront on federal energy policy. Joseph K. Reinhart, shareholder and co-chair of Babst Calland’s Energy and Natural Resources Group, said, “The U.S. energy sector remains as dynamic as ever. New energy policies and legislation are changing the regulatory landscape and

affecting all parts of the energy value chain. It is more important than ever for energy executives and their counsel to stay on top of federal, state, and local regulatory developments, legal risks, and the related business implications.” This year’s Report highlights various challenges and opportunities in the energy sector, including: • Hydrogen and Carbon Capture and Storage (CCS) are getting a boost as tools for reducing carbon emissions. The 2021 Infrastructure Investment and Jobs Act and the 2022 Inflation Reduction Act (IRA) provided billions in funding in the form of tax credits, grants, and loans for hydrogen and CCS technologies. 2023 B|C Report Continued on page 14

From the Burd’s Nest: Defining character For those who may not know, in addition to a working life dedicated to natural gas and oil, I greatly enjoyed a sixteen-year career (1993-2007) as a registered baseball umpire. Over that period, I worked over 1,500 high school, American Legion, college (Division I, II and III) and several dozen minor league level baseball games—all nights and weekends and at a sacrifice of time to my family. I earned the reputation as a guy who could “take care of business” and was typically assigned tougher games between conference rivals or where bad blood existed. I reveled in the honor. In addition to my on-field umpiring, I was also considered expert in my understanding and application of the rules. Rules are complex and can sometimes be misinterpreted or misapplied. Even worse, the vast majority of fans do not understand the rules. For this reason, I took great pride in being selected to instruct new and veteran umpires. As a point of emphasis, I was very clear during my instruction, that as an umpire, you are not defined by how you act when everything is going smoothly during a game, rather you will be defined and remember in how you respond when everything isn't going smoothly." I could write a book on my on-field conversations with coaches on calls. That is another article!! To that point, when instructing, I typically used the words of Shakespeare who, in the last of his great political tragedies, Coriolanus, said, "When the sea was calm, all ships alike showed mastership in floating." Now I am certainly no scholar in the works of Shakespeare, but for this group of upstart umpires, my analogy was quite simple: when the game is going smoothly (floating), anyone (all ships alike) can umpire. It is only when the wheels start to fall off (the seas are not calm) that you find out just how able you are to make the right call (show mastership in floating). Since 2008, the advent of shale production in the Appalachia Basin, this industry has seen many and sometimes very pervasive changes on all lev-

els: local, state, and national. First more operators flooded in striving to compete for leases, services, and markets. This eventually settled into a string of mergers resulting in fewer but stronger more balanced operators and operations. Since the 2020 national elections, the oil and gas industry has seen numerous changes and is no longer “floating in calm seas” of energy independence and dominance. We are limited in our ability to simply go about our work of exploring, drilling wells and providing energy to our communities, state, and nation. Because of our political leadership’s “all in” approach to energy production and usage, it is plain to see the clear and calculated movement by those in authority to shut us down. As such, we now find ourselves in an environment where the winds are strong, and the seas are rough, and we must step up and take a much more active and stronger control of the rudder. Recognizing this, the GO-WV Board of Directors decided it needed to institute a process that would create a proactive campaign with a quick response component to stand up and speak out against our advisories and those making false or unsubstantiated claims against the industry. The hiring of FTI Consulting was the beginning of that current and successful effort. Over the past 18 months or so, GO-WV representatives have been in front of dozens of groups and organizations comprised of hundreds of business leaders and citizens providing accurate and timely information on the industry. In addition, there have been several news articles quoting GO-WV on a wide variety of topics, and monthly Op-eds in your local newspapers touting the industry and its abilities. Another component of this outreach is the effort to participate with local groups and organizations in events of importance around the State. Choices when cancer comes home October is Breast Cancer Awareness Month. This has never changed my life or activities much. Typically, I run a 5K for breast cancer and donate to Susan G. Komen. This year is different. Lynnda, my wife, has breast cancer. She is allowing me to share her story because it may help other women. Women now fill positions in all phases of the natural gas and oil industry. Breast cancer awareness has a new level importance because of its prevalence. Lynnda gets an annual mammogram. She found a lump before her scheduled mammogram and decided to have it checked out rather than wait months. A biopsy (using a small tool to get a sample of the mass) was done. The doctor herself called Lynnda with the result. It was cancer. It wasn’t what we wanted to hear. It’s scary. The good news was, she caught it early. It was stageone limited to one breast. A PET scan showed it had not spread to the lymph nodes.

Lynnda’s surgeon is good at what she does and is a very caring person. At an appointment after the PET scan, she explained the options to us. Lynnda could have the affected breast removed (a mastectomy) and have reconstructive surgery. This would solve the cancer problem but would require multiple surgeries. She could have a lumpectomy (breast conserving therapy) removing the lump and surrounding tissue. This is usually an outpatient surgery. There is a risk that some cancer cells could be left behind. A series of radiation treatments is required after healing from the surgery. We were told recent studies show the lumpectomy and mastectomy have about the same recurrence and overall survival rates. This was a major decision for Lynnda. We spent a lot of time talking about it. I listened and was a sounding board. I also had questions of my own. Some the doctor could answer. El Niño conditions continue to be present in the ocean, but the atmosphere has been slow to respond. We are expecting a mild November overall, though there will be a few cold shots. We expect increasingly stormy weather across the South as the atmosphere begins to respond to the El Niño conditions. December should be a transition month, and it should get colder from mid-January onward along the East Coast (and milder in the western Midwest). For snow, the biggest question mark remains along the East Coast. There is a tendency for some El Niños to migrate to the central Pacific, and in those years the East Coast tends to be snowy. answered by women who had experienced the surgeries. I told Lynnda I would support whatever choice she made. Due to her age and the surgery being minimally invasive she chose lumpectomy. I lost two grandparents to cancer, though not breast cancer. Lynnda lost a grandmother. In the 1960s cancer was a death sentence, but we have better treatments today. As friends and family learned of Lynnda’s breast cancer, women reached out to her and shared their stories of breast cancer survival. They offered support and encouragement. Dannielle, our daughter, has friends who are breast cancer survivors. They sent emails of support and answered Lynnda’s questions. I was surprised by the large number of women of all ages going back to the 1980s who have survived and are cancer free. I didn’t realize how prevalent breast cancer is. It has claimed a lot of lives. Suzanne Summers recently died of it. Today most woman survive. Two of Lynnda’s cousins had breast cancer and are now cancer free. One had her cancer the same time I had my cancer, almost 40 years ago. Her

doctor attacked it aggressively with surgery, radiation and chemotherapy. She lost all her hair. It grew back and looks great today. Lynnda’s cousins both live full, active lives. Lynnda had the lumpectomy last week. According to the surgeon, “It went perfectly.” She thinks she got all the cancer. Biopsy results will be back next week. Follow up with the surgeon is in two weeks. Three hours after surgery we were home. Lynnda is sore where the six-inch incision is. Surprising to me, she is experiencing discomfort, not pain. She is having more pain from a wasp sting on her hand she got in our living room after the surgery. We have a meeting coming up with the oncologist. Her doctor told me they won’t start radiation until she has healed from surgery, at least six weeks. Lynnda’s prognosis is good because they found and treated the cancer early before it got to her lymph nodes and spread through her body. We don’t know what the radiation entails and how many weeks are required. Other women told her they were extremely tired after radiation. Cancer comes home Continued on page 13

Lynnda and I both have a strong faith in God. Family and friends from all over the world (we have international friends) are praying for Lynnda. Her positive attitude makes a big difference in the ability to get through the challenges she is facing. Attitude is a choice. She expects to succeed. Lynnda is a big supporter of our high school soccer team. She told me to tell the boys she would be at our section playoff game after surgery and she was. We won and are moving on. To better support Lynnda, I talked to friends whose wives had breast cancer so I can understand what I might expect and how I can best help. I learned from nurses that breast cancer is not limited to women and rates for men are on the rise. Breast Cancer Awareness Month is a good time to gain a better understanding of this widespread disease. According to the American Cancer Society in 2023; • Breast cancer accounts for 30% of all female cancers. • In 2023 300,000 new cases will be diagnosed.

In 2023 44,000 women will die of breast cancer. • 1 in every 8 women will develop breast cancer. Odds are women in our industry have or will get breast cancer • Some women don’t experience any symptoms. Regular cancer screening is important. Lynnda noticed a lump and had it checked out. She believes in regular mammograms for early detection. Now is a good time to schedule your mammogram. Self-examination is also important. We know our body better than anyone. We can tell if there are changes and get them checked out. We find faith in God helps. Keeping a positive attitude is important. Look at and talk to survivors to build your belief. Believe you will be successful overcoming cancer. Having friends you can depend on is important for support. Lynnda and I have work to do to overcome this disease. She is a fighter who expects to succeed. You choose your own attitude. You can focus on those who died or you can focus on the many who live full lives. We choose to focus on living.

Climate policy and Environmental, Social and Governance (ESG)-related practices may trigger new reporting requirements imposed by federal and state regulatory agencies. With increased focus on reducing greenhouse gas, particularly methane emissions from the energy industry, several proposed federal agency rules could make ESG reporting mandatory for certain sectors. Environmental Justice (EJ) efforts continue to expand as a priority for federal and state agencies following directives from the Biden Administration. The IRA made about $3 billion in funding available for EJ grants. While adoption of the EPA’s proposed budget for 2024 is far from guaranteed, it demonstrates the current administration’s commitment to funding EJ efforts. Despite the federal government’s policy drive for growth in the low carbon energy sector, practical issues remain. Grid interconnection and project permitting are driving substantial costs and delays. And many of these problems aren’t limited to just renewables, with permitting headwinds facing all types of energy projects, including CCS, pipelines and oil and gas development. Absent significant reforms to reduce permitting timelines and serial litigation, many of these unprecedented federal incentives may go untapped. The Appalachian Basin, like most of the energy producing regions of the U.S., continues to see a variety of novel litigation. The influx of “new” entrants to the energy litigation field has resulted in many new suits asserting variations on traditional energy litigation themes. Pennsylvania’s Amended Breach of Personal Information Notification Act (BPINA) went into effect on May 2, 2023. Any companies that do business in Pennsylvania, maintain data belonging to Pennsylvania residents, or do business with the Commonwealth or its agencies, should become familiar with these new data requirements, and review their security-related policies, practices, and incident response plans to ensure compliance with the Amended BPINA.

Since the successful GO-WV merger in 2021, the industry has had to negotiate very rough seas—better defined as dealing with an administration solely focused its climate change narrative; one that placed immediate restrictions on domestic natural gas and oil production; and is bankrolling our economic, military and energy adversaries at the expense of domestic production. All these events have led to a substantial weaking in energy and national security, increased inflation, and a loss of jobs and investments. Let’s face it—work life and business, like the high seas can be turbulent. But it matters little if the seas are calm or rough; GO-WV and its leadership has “shown mastership in floating.”

And it’s how you react and operate when the seas aren't calm that proves the true measure of your character.

E) Application Information 1. Anyone is eligible to apply for a Gas & Oil Association of WV license plate. 2. A vehicle must be Class A and have a West Virginia title and license plate in the name of the applicant before a special plate can be issued. 3. The current license plate must be returned to the Division of Motor Vehicles after the special plate is received. After issuance of the special plate, the exchanged plate is canceled and cannot be transferred to another vehicle. There are no refunds. 4. A $91.50 fee will cover the cost of the license plate for the 1st year or a portion of the 1st year. This is a flat fee for all applicants and is not prorated. This plate will expire on July 1st every year and have a renewal fee of $66.50. 5.
