Dave Barker

Carol Crothers

Richard Sutherland

Each year, member households in good standing elect four of their peers to sit on the Board of Directors for a 3-year term. A member household in good standing is one whose membership account is up to date by the “record date” set as January 30, this year. The exceptions to this rule are: • households which have finalized arrangements for a monthly dues payment plan • households that have applied for 2024 dues relief through the Member Assistance Program (MAP) In mid-February, members will receive voter codes via traditional and electronic mail. Each eligible household may submit ONE vote. A member who owns more than one home will receive a single voter code unless they request a separate code for each property they own. Using a single voter code, their vote will be counted for each home they own. To request separate voter codes, email NanciM@gvrec.org. GVR’s elections are managed by a professional third party. Vote-Now.com manages elections for community associations in fifteen states. They offer GVR members two ways to vote: online and via requested paper ballot. Members without an email address and who requested a paper ballot last year will be mailed a ballot along with the election information. Find details on the election information notice arriving in your mailboxes in mid-February.

Application Responses from the 2024 GVR Board of Directors Candidates: Dave Barker, Carol Crothers, Candy English, Christine Gallegos, Steve Gilbert, Bart Hillyer, Dale Howard, Nellie Johnson, Richard Sutherland Time commitment can vary significantly depending upon the business before the Board and a Director’s committee participation. Typically, the Board and committees hold regular meetings once a month, but additional meetings are often scheduled. Are you able to make this type of time commitment? Barker: Yes Crothers: Yes English: Yes, I am available for all commitments. Gallegos: Yes Gilbert: Yes Hillyer: Yes Howard: Yes Johnson: Yes, I am able to make this time commitment. I have served on GVR committees and understand the meeting schedules. I’ve been able to attend the meetings in person or by Zoom. I also am committed to reading the materials and being prepared for board meetings so that I can constructively participate in discussions. Lastly, my two kids were married in the past two years, so I have more time to devote to this board position. Sutherland: Definitely yes

What best describes your motivation for joining GVR Board of Directors? Barker: My wife and I love Green Valley. I’d like to help continue to keep GVR the best value anywhere in the active adult communities. Crothers: I’ve served on the GVR Board in the past and believe GVR is a very special, unique organization. It takes work to protect the GVR values that members appreciate and there is a rather steep learning curve. I believe our members should come first and the Board needs to insist upon sound fiscal management, keeping our facilities open/available to our members and data driven decision making for major capital projects. English: One of the major reasons for our move to Green Valley was the vast amount of interests offered by GVR. There is no other recreational organization in the US that has so many convenient locations, quality facilities, and professional instructors. I want to ensure that GVR continues and thrives with the reputation of excellence! Gallegos: Having previously served a 3-year term on the GVR board, I’m running again because I’m disappointed with revolving boards who’ve prioritized and rewarded

a partisan groupthink mentality, instead of supporting independent leadership. We’ve had a handful of GVR boards over the years who rose above their majority’s elitist self-serving political gamesmanship, but not nearly enough. We deserve Directors who put the needs of the members first by setting aside their personal agendas and egos, and who abides by their own Board Credo @ Board Credo. As an independent candidate, it is my pledge to promote inclusion and democracy over entitlement. I would ask that you please participate by attending the meetings, volunteering for a committee, or writing to the board @ board@gvrec.org, but most importantly, vote in the board election so that your voice is heard. Gilbert: I believe in the mission and vision statements of GVR. I want to ensure that future GVR policy dovetails with those statements. As long as GVR makes policy decisions that are based on those statements it will make decisions that are best for GVR members. Hillyer: I’d like to help keep GVR the best value anywhere in active adult communities. Howard: I want to see that the members of GVR get the best value for their money and to have a say in the direction that GVR goes in the future. Johnson: We moved from Minnesota to Green Valley in 2011, first as seasonal residents and then fulltime Arizonans in 2020. We chose Green Valley because of GVR and its programs and the weather. I’m deeply committed to devoting the time to board governance so that GVR continues to provide quality programs and meets the needs of its members. I believe I can leverage my skills in leadership, strategic planning and finance to support GVR’s mission. It also provides me an opportunity to work with like-minded individuals on the board and work to promote a positive change for GVR’s future. Sutherland: I recently joined the GVR Board as a Director to serve out the term of a resigned member. I would like to continue on the Board and use my experience to serve our members. I find being on the GVR Board and Committees quite rewarding. Please consider my candidacy. I would appreciate your vote. Please list any other boards, committees, task forces or volunteer activities in which you have participated in the last ten years. Barker: Board of Directors for the Indian Lake Townhomes – Tuscaloosa, AL 2005-2022; Deacon for Five Point Baptist Church – Northport, AL 2018-2020 Crothers: GVR Board, President, VP, and Treasurer. Chaired and/ or served on Fiscal Affairs, Board Affairs, and Planning & Evaluation Committees. Volunteer with The Green Valley Animal League and GVR Arts & Entertainment. Past fitness center monitor. English: As a recently retired assistant principal of a middle school in Atlanta for over 17 years, I have served on and chaired several educational committees, including: 9th Grade Center chair (head of 9th grade teachers), Committee of 100 (middle school representative reporting to Superintendent), Tribunal Hearing Panel,

and school sponsor of the Kiwanis Builders Club. I have served as a CASA for Cobb County, GA, the chair of Toys for Tots committee at the DJJ, and election clerk in GA and AZ. Gallegos: Prior to retiring and moving to Green Valley in 2015, I worked too many hours to consider volunteering. However, fortunately I’m now able to invest time in issues I feel are important, such as those affecting the GVR corporation and community. To that end, I was on the GVR Board from March 2019-March 2022. My first year on the board I was Chair of the Nominations and Elections Committee (N&E). In 2020-2021, I served as Chair of the Board Affairs Committee (BAC). I was also on my neighborhood’s POA (Property Owners Association) board and served as President for two years. I am currently a member of the GVR Planning & Evaluation Committee (P&E). Gilbert: Spring HOA Board for 4 years. I was a member of the GVR Fiscal Affairs Committee for 2020 and 2021, and a GVR Board Director for 2022 and 2023. Hillyer: I’ve been on the GVR board since March 2021, during which I’ve chaired the P&E committee, been a member of the Board Affairs Committee, and been board secretary for two years. Before that, I was for many years a member and president of the board of a small 501(c)(3) in Illinois which worked to improve the lives of adults with developmental disabilities. Howard: I have served as treasurer of Lutheran Church of Atonement, Florissant, MO; Treasurer of the Atonement Lutheran Grade School; at large Member, and President of the Loretto Towers COA in Alton, IL. I volunteer with the Atonement Lutheran Men’s Club. We do monthly BBQs and sell Christmas trees to raise money for various charities. Johnson: I have been a member of the GVR Fiscal Affairs Committee for the past three years and also currently serve on the GVR Investment Committee. I served one year on the Board Affairs Committee and chaired the GVR Subcommittee on improving GVR Committee Structure. I also volunteer at the Sahuarita Food Bank. I have also served on the finance committee of our HOA for two years. Outside of Green Valley, I am active with Nuestro Pequenos Hermanos, an organization that supports childrens’ programs in 9 Latin American and Caribbean Countries. I’ve served 4 years on their International Board as treasurer and 6 years on the USA Board and Endowment Board. I currently serve on the MPHI St. Damien’s Task Force overseeing the operation of 200 pediatric hospital in Haiti. Lastly, I served as an ESL instructor with the MN Clues organization for three years. Sutherland: I previously served on my HOA’s Board and was Treasurer. I served on the GVR Woodshop Board and was Treasurer. I have served on two corporate boards in my previous work experience. I currently serve on the GVR Board, the GVR Fiscal Affairs Committee, and the GVR Board Affairs Committee.

2024 GVR ELECTIONS

Briefly explain how your education and/or previous life experiences will be beneficial to you as a director. Barker: I’ve worked in the oil and gas industry as a Boiler/ Pressure Vessel Inspector/Supervisor. I have a technical degree in non-destructive testing. I helped raise five kids so I know how to stretch a dollar. I feel I have a practical and sensible way of evaluating issues. Crothers: I worked over 30 years for IBM in a variety of jobs including starting a special business unit focused on supercomputers (our machine, Deep Blue, beat the chess champion), project management and as a marketing executive. Outstanding customer service and meeting customer commitments was a way of life inside IBM as was achieving financial goals through careful budgeting. English: Serving as both administrator and teacher, I have made difficult decisions by carefully considering the input of several sources (policy, expert input, financial bottom-line). I have a strong research background, am a good listener, and am an excellent at resolving conflicts due to my experience working with parents, students, and teachers. Gallegos: As an experience board member, I will immediately have “boots on the ground” in understanding GVR procedure and the governing process. My established relationship with our CEO Scott Somes, staff, and many Board members, will allow me to begin my board service on day one of the new term. Highlights of past experiences include working with the Deputy Mayor of Indianapolis, primarily as a liaison with community leaders, media and the Mayor’s staff. I later joined the Birmingham, MI Chamber of Commerce as an intermediary between the community and business leaders. In 2007 my husband and I started our own company, partnering with companies in Europe and South America, retiring in 2013. In observing the GVR board and committee meetings this past year, I’ve seen little tolerance for opposing opinions or diversity of expression. I’d like to help change that as a nonpartisan candidate with no affiliation to a particular group. Gilbert: I was a successful manager for a national medical equipment company for 13 years, rising to the level of regional manager for southern California. I worked in healthcare related mergers and acquisitions and participated in transactions valued in excess of $50M. I had my own accounting and tax practice and am very familiar with the preparation and interpretation of financial statements and have done extensive forensic accounting and am familiar with and understand GAAP. Hillyer: I practiced law for 23 years, mostly as an active-duty Air Force officer. Then I rehabbed old houses for a number of years. I have a very practical understanding of what GVR does, and how it does it. Howard: Having served on the church and school boards, as well as the LTCOA has helped to understand how to deal with conflict resolution and planning. I served 21 years in the Air Force and MoAng in accounting and finance and communications. I have worked over 20 years for the Fox Theatre in St. Louis and for Magellan

Health Services in Maryland Heights, MO in IT so I have a strong background in customer support. Johnson: I have a graduate degree in administration and have spent most of my professional career in senior leadership positions in senior services and housing. I operated senior housing and nursing homes across the country. I have experience in start-up of new programs, having developed 4 senior managed care organizations of which OPtage was sold to UnitedHealth Care. I also have about 14 years’ experience in governmental finance, having spent 6 years as Minnesota’s State Budget Director. I oversaw the development of Minnesota’s operating and capital budgets. Lastly, I’ve served on a number of Boards and I appreciate the role of the Board being in strategic planning and oversight roles. I understand the importance of enabling the GVR CEO and staff to successfully run the operations of the corporation. I believe the combination of these experiences would help me be an active Board member. Sutherland: I have a Bachelor’s degree in Business Administration and Accounting and a Master’s Degree in the same. I was a senior financial and administrative executive at a major international engineering and construction company. I have owned my own business. I have actively participated in the governing activities of GVR since moving here. Describe your use of GVR facilities and participation in GVR activities in the past two years and how your GVR involvement has prepared you to serve on the Board of Directors. Barker: I play tennis four or five times a week, use the hot tubs and sauna whenever I can. We have excellent facilities here in Green Valley. I want to continue what we have at a reasonable cost. Crothers: I play tennis, use the fitness centers, attend lectures, and enjoy entertainment. I’ve been a long-time volunteer for the Arts & Entertainment, and I take the time to visit centers to talk with members and understand how they are being used. As a Board member, chair of Fiscal Affairs and Board Affairs and a past president of the Boad, I have a good understanding of what makes GVR special. English: I have taken a wide variety of classes and am a member of several clubs (lapidary, glass artist, ceramics, line dancing). I have made frequent use of pool and exercise facilities, and taken gardening, meditation, yoga, Spanish, and Shakespeare classes. I have a wide variety of GVR experiences that make me well-informed. Gallegos: As a full-time resident of Green Valley, I play mah jongg at least twice a week at various GVR Centers, and occasionally go to the sponsored dances and free movies. You might see me at a gym now and then, but I’m more likely to be behind a good book than a treadmill. It’s wonderful we have so many opportunities to enjoy GVR. Whether it be at a pickleball or tennis court, taking a class, attending a forum, going to a concert, playing mah jongg, shopping at one of the

2024 GVR ELECTIONS

Artisan/Arts & Crafts Festivals or browsing through our amazing talent at our Artisans’ Shop at West Center, it’s our choice. I’ve also attended the monthly GVR board meetings, as well as various work sessions and committee meetings. As already mentioned, I believe my previous board experiences is a plus if I have the honor of being elected a second time. Gilbert: I use the pickleball facilities, fitness centers and my wife and I will use the pools. I have spent time in all of the facilities attending board related responsibility. Hillyer: I play tennis on GVR courts 5 or 6 times a week, use GVR fitness rooms 6 or 7 times a week, and swim laps in GVR pools a couple times a week. I have a strong desire to maintain excellent facilities at a reasonable price. Howard: I have belonged to the Green Bay Packers fan club and occasionally use the swimming pools. My wife is the main user of many GVR facilities, using Exercise rooms, swimming pools, line dancing, pickleball, and yoga. I have watched many of the board meetings via Zoom and actively watch the direction that the board is currently heading. Johnson: I am a very active participant in GVR programs across many different areas. For example, I’ve taken classes in Spanish, flower design, Zumba and Line dancing. I’ve attended concerts and dances at the West Center and am excited to see the new format of dinner/dance being planned for 2024. Lastly, I play pickleball, golf, swim and am now taking shuffleboard lessons. Participating in these activities has given me a broad knowledge of how classes, activities and events are structured. I believe I can use my experience in these programs to help improve them I the future. Because of my background in senior services, I am also aware of the need to make these programs accessible to those that have financial and/or physical limitations. I am committed to working with GVR to ensure that programs are available to everyone. Sutherland: I am a tennis player and use the fitness facilities on a regular basis. I am a GVR Woodshop member and frequently use those excellent facilities. I use the pools in the summer. With my current service on the GVR Board and GVR Fiscal Affairs and GVR Board Affairs Committees, I have become very familiar with the governance of GVR. What changes would you like to see made within GVR over the next 5 years? Barker: Many members here are on fixed incomes. With the economy the way it is I want to be a common-sense voice in evaluating new proposals to keep costs in line and our reserves solvent. Crothers: Better use of data for decision making; clearer financial reporting, especially for major capital projects; better project management – getting projects done on time and keeping centers open for our members; and broader member involvement through volunteerism, activities and feedback. English: In the next 5 years, I would like to see the board continue to grow as a team, putting the interests of GVR first. I would like to see the board increase the online

educational opportunities offered, so we can continue to attract the younger retirees and those who cannot attend face-to-face meetings. Also, more evening, online classes can be offered. Green Valley residents do not like to drive at night, but they can attend an on-line class and many of us work or volunteer during the day. Gallegos: A less autocratic board which understands its role is to predominantly focus on setting policy, not by micromanaging by getting involved with implementation. I would, therefore, encourage the board to reinstate the Carver Policy Governance model, which clearly defines the roles of a board vs operations, aka policy vs implementation. A change which prevents board members from serving more than two 3-year terms, for a total of 6 years. When members potentially serve an unlimited number of board terms (with a one-year absence after two terms), it is difficult to avoid becoming bogged down in rehashing and resurrecting the past instead of having new board members bring fresh ideas and solutions to tackle ongoing challenges. It also makes it almost impossible to escape personal agendas or dogmatic groupthink behavior. A change ensuring board members reside within GVR’s boundaries for a minimum of 6 months out of each year. Gilbert: We need to keep moving forward. Investment decisions must always be made with the GVR Mission Statement in mind. The provision of excellent recreational and social opportunities for GVR members is the driving force for all future decisions. A lot of change is not necessary if we keep that in mind. Hillyer: Not many. GVR has worked well for about 50 years; it would be unwise to change it radically. Howard: I am pleased with the current direction that the Board is headed and would like to see this trend continue. Getting the most bang for our buck while meeting the needs of the members is essential. Johnson: I think GVR should continue its focus on providing a variety of quality programs and classes for its members. It needs to keep focus on maintaining the GVR Centers and pools through providing sufficient financial resources to support their upkeep. Many of these facilities are 40+ years old and need constant upkeep. Our members expect that facility repairs will be done timely so they have access to them. (e.g., hot tubs). These facilities are a tremendous asset and I believe increase the value of our homes, which is a significant financial benefit to our members. Lastly, I think GVR does a good job in program planning, but I think it needs to focus on ensuring it has the classes and programs that members desire to participate in. Getting members input, via focus groups or surveys, could be very useful. Sutherland: I can’t see any major changes on the near horizon. I think it is necessary to stay aware of coming trends in recreation and member needs. GVR is addressing the various clubs need for more space and appears to be adequately accommodating that. We need to finish the existing projects before we undertake more. Additional housing growth may require additional facilities in the future.

2024 PROPOSED BYLAWS AMENDMENTS Your actual ballot will be sent by mail or email. This is a preview of the 2024 Proposed Bylaws Amendments.

2024 Proposed Bylaws Amendments (based on March 25, 2020 bylaws)

The GVR bylaws serve as the contractual agreement between GVR and its members. The bylaws have served GVR well. Due to legal and circumstantial changes, the GVR Board and Administration propose and endorse specific modifications to the bylaws and seek member approval. These modifications are designed to achieve three key objectives: 1) Ensure compliance with the current Arizona laws; 2) Optimize the efficiency of administrative staff operations; and 3) Improve the effectiveness of Board activities, ultimately enhancing GVR’s overall functionality. Changing the bylaws requires a 2/3 majority vote from the members. Please note: Changes to the current bylaws are reflected in the Proposed Bylaws Amendments in bold print, underlined, and italicized.

QUESTION #1

VOTING RIGHTS

FOR

AGAINST

Rationale: (A) allow and retain one (only 1) vote per household, (C) include online voting, and (F) limits Board service to one member per GVR household, consistent with voting rights. A GVR Member in good standing is entitled to one (1) vote for each GVR Property owned; provided, however, that there shall be only one (1) vote per GVR Property. In the event that more than one (1) vote is cast for a particular GVR Property, none of the votes shall be counted and all of the votes for such GVR Property shall be deemed void. PROPOSED: A. A GVR Member in good standing is entitled to one (1) vote for each GVR Property owned; provided, however, that there shall be only one (1) vote per GVR Property. If any GVR Member casts a vote representing a certain GVR Property, it will thereafter be conclusively presumed for all purposes that such individual was acting with the authority and consent of all other owners of the same GVR Property. In the event that more than one (1) vote is cast for a particular GVR Property, only the first vote cast, shall be counted. And CURRENTLY READS: C. All voting by GVR Members shall be by written ballot. PROPOSED: C. All voting by GVR Members shall be by written ballot or electronic voting, consistent with Arizona Nonprofit Corporation Act. QUESTION #2

NUMBER OF DIRECTORS

FOR

AGAINST

Rationale: (Article IV and V) To be consistent with “best practice” recommendations of most professional researchers/ consultants of nonprofit Boards, and to minimize the “tied vote”. The proposed implementation procedure would gradually move GVR from twelve to nine directors over no more than three years, starting in 2024. ARTICLE IV - BOARD OF DIRECTORS Section 1: Number of Directors CURRENTLY READS: The affairs of GVR shall be governed by a Board of Directors consisting of twelve (12) voting members who shall be elected from the members of The Corporation residing within the jurisdiction of GVR. PROPOSED: The affairs of GVR shall be governed by a Board of Directors consisting of nine (9) voting members who shall be elected from the members of The Corporation who have voting rights as defined in Article II - Section 6. AND ARTICLE V - ELECTION OF DIRECTORS Section 1: Term of Office CURRENTLY READS: A. The term of office of a Director elected by the membership shall be for three (3) years. Each year the term of office of four (4) Directors shall expire and four (4) Directors shall be elected for a term of three (3) years to succeed those Directors whose terms expire. No Director may serve more than two (2) consecutive terms including time served as an appointed Director. A former Director may be re-elected after one (1) or more years’ absence from the Board. PROPOSED: A. The term of office of a Director elected by the membership shall be for three (3) years. Each year the term of office of three (3) Directors shall expire and three (3) Directors shall be elected for a term of three (3) years to succeed those Directors whose terms expire. No Director may serve more than two (2) consecutive terms including time served as an appointed Director. A former Director may be re-elected after one (1) or more years’ absence from the Board.

QUESTION #3

LIMITS OF AUTHORITY

FOR

AGAINST

Rationale: (Article VI) Clarify intent of current wording by being specific in accounting terms and project types without changing the spirit of reasonable limits to fiscal authority: 1) Focus on new capital projects; 2) Provide a well-defined baseline (latest audited approved annual net revenue—not including investments); and 3) Set the limit at twelve percent (12%) based on using last year’s revenue excluding investments. ARTICLE VI - POWERS, DUTIES, AND RESPONSIBILITIES OF THE BOARD OF DIRECTORS Section 2: Limits of Authority and Indebtedness CURRENTLY READS: The Board of Directors is not authorized to enter into any contract that requires an annual payment that exceeds ten percent (10%) of the annual budget. Any contract requiring an annual payment that exceeds ten percent (10%) of the annual budget shall only be valid if approved, in advance, by the affirmative vote of regular members representing a majority of the total votes cast, provided that the total number of votes cast equals at least twenty percent (20%) of the total votes in The Corporation. PROPOSED: The Board of Directors is not authorized to enter into any contract for new or initiative-type capital projects that exceeds twelve percent (12%) of the latest audited approved annual net revenue (does not include investments). Any contract for new or initiative-type capital projects that exceeds this figure, shall only be valid if approved, in advance, by the affirmative vote of regular members representing a majority of the total votes cast, provided that the total number of votes cast equals at least twenty percent (20%) of the total votes in The Corporation. Contracts for unique projects may not be broken up so as to avoid the requirements of this section.

QUESTION #4

VOTING METHODS

FOR

AGAINST

Rationale: (Article XI) Combines two sections and clarifies that electronic and written balloting is permitted by Arizona law. ARTICLE XI - MEMBERSHIP VOTING Section 1: Voting at a Meeting Section 2: Alternative Voting Methods (Section 1 and 2 Combined in Proposed) CURRENTLY READS: Section 1: Voting at a Meeting The election of Directors, the amendment of bylaws and any matter that requires approval of the members shall be taken by written ballot. Section 2: Alternative Voting Methods Any action, including proposed amendments to these bylaws or the election of Directors, which can be properly taken by the members of GVR at an Annual or Special Meeting of said members, may be taken by written ballot communicated to every GVR member entitled to vote by either mail, facsimile, Email, or other written form of communication as the Board of Directors shall determine from time to time with the same force and effect as though acted upon at an Annual or Special Meeting. PROPOSED: The election of Directors, the amendment of bylaws and any matter that requires approval of the members, and any action, including proposed amendments to these bylaws or the election of Directors, which can be taken by the members of GVR at an Annual or Special Meeting of said members, shall be taken by written ballot communicated to and received from every GVR Member entitled to vote by either mail, email, or other written form of communication as the Board of Directors shall determine from time to time, including online electronic voting, with the same force and effect as though acted upon at an Annual or Special Meeting.

QUESTION #5

AVAILABILITY OF RECORDS

FOR

AGAINST

Rationale: (Article XII) To clarify and conform to Arizona law, the granting of access to GVR records by qualified GVR Members and provide reasonable notice to the administrative staff. ARTICLE XII - MISCELLANEOUS Section 2: Availability of Records CURRENTLY READS: The books, records and papers of The Corporation shall, for specific and proper purpose, at all reasonable times during business hours be subject to examination by any regular member of The Corporation upon written demand to The Corporation. PROPOSED: The books, records and papers of The Corporation shall, for specific and proper purpose, and consistent with the applicable provisions of the Arizona Nonprofit Act, at all reasonable times during business hours be subject to examination by any GVR Member or any Assigned Member that has been given voting rights, upon written demand to The Corporation at least five (5) business days before the requested examination date.
