SELLER'S AGENT

Introduction
Thank you for participating in this Request For Proposal (the “RFP) in connection with the proposed sale of the property at 69 Karen Road, Newton, MA (referred to herein as, the “House” or, the “Property”). In your effort to be selected as the real estate broker to represent the Estate of Nathaniel Chaffin in the sale of the Property, please answer the questions contained in Section II hereof as thoroughly yet concisely as possible (do not feel that you need to fill-up each answer/response block as to each answer; but also feel free to affix attached pages to the extent that your written response for any answer(s) exceeds the allotted space).
II. Questions
1. Market Analysis and Comps: Please list below some comparable transactions you have identified in deriving a recommended/predicted sale price for the House. Please also describe your market analysis, with particular attention to the current state thereof and current trends you may identify.
Pricing and Market Strategy: Please set forth both your recommended list price for the house and expected sales price, and your reasoning in coming to those specific conclusions. Please estimate the number of days you might believe the Property will remain on the market. Lastly, please explain your recommended date of listing, and rationale for why you have chosen that date as the optimum time period in which to market the Property.
2. Marketing Plan: Please identify your target market for the Property Please also explain how you will differentiate the Property from other available properties, and what specific steps you will take to market the property, for instance, whether you might employ some of the following (and/or other) methods:

● Staging (if so, please describe the specifics of such, and the costs and responsibilities thereof)
● Online marketing beyond MLS
● Open house strategy (frequency and purpose)

4. Commission Rate. Please describe/define the commission rate you intend to charge in the event of a successful closing of the sale of the Property. Further to this question, please describe your estimate of the likely commission amount that the sellers of the Property would have to pay in the aggregate (that is, the percentage of the seller ’s broker commission and the percentage (if any) of the buyer ’s broker commission). In this regard, please specifically explain your rationale in light of current trends and practical reality in the marketplace.
5. Previously Identified Potential Buyer As discussed, a potential end user buyer has already emerged (i.e., the neighbor on Moffat Road). While that pre-existing known potential buyer (the “Previously Identified Potential Buyer”) will not be carved out from the deal, it is intended by the sellers that the seller ’s broker commission will be 1% in the event that the Previously Identified Potential Buyer is the successful offeree for the Property. Would you be accepting of such terms?
6. Risks Please describe what you might envision as the biggest risks in selling this Property, and how you might mitigate them.
7. Experience with Estates. Please describe your prior experience selling homes from estates.
8. Track Record. Please describe your experience with properties which are comparable to the Property (irrespective of whether they were sold in an estate context).
9. Listing Terms In addition to the commission percentage requested elsewhere in this RFP, please describe any other relevant listing terms (e.g., early termination provisions, protection period length, etc.)
10. Best Candidate. In addition to the foregoing, please describe/summarize why in your opinion you are the right choice to represent the Property in the best interests of the Nathaniel Chaffin Estate and the Chaffin children.

To pay Gibson SIR a fee of ____% of the agreed upon sales price for the Property if, during the Term of this Agreement, Gibson SIR produces a prospective buyer ready, willing and able to purchase the Property at the asking price or other price and terms acceptable to Seller, whether or not the transaction proceeds; or if the Property is sold through the efforts of anyone including Seller; or if the Property is sold within 180 days after the term of this Agreement to anyone who was introduced to the Property through the efforts of Gibson SIR or the Seller Agent prior to the expiration of the term of this Agreement.
( ) UNREPRESENTED BUYER FEE. Gibson SIR will market the Property for sale through various services including in the Multiple Listing Service (herein “MLS”), its website and affiliated Sotheby’s International Realty websites, as well as on-line and other sources. A buyer may contact the Seller Agent directly to view the Property and prepare an offer. Unless there is a pre-existing client relationship with the buyer, the Seller Agent will be exclusively representing you as a Seller’s agent. Unrepresented buyers take more time and effort for the Seller Agent and therefore, if an unrepresented buyer submits an offer to purchase the Property that is accepted by the Seller, the Seller agrees to compensate Gibson SIR a fee of ____% at closing in addition to the Seller Fee. The Unrepresented Buyer Fee is not charged if a buyer agent is paid a fee.
( ) REPRESENTED BUYER AGENT FEE. Buyer’s agents who are REALTORS® are required to have written agreements with their buyer clients defining the compensation the buyer may be obligated to pay their agent. Commissions and fees payable to real estate brokers paid for representing buyers are not set by law and are fully negotiable. Sellers are not required to offer compensation to buyer agents or to agree to any compensation requested by a buyer’s agent however, a potential buyer may make an offer to purchase contingent upon the Seller paying a buyer’s broker fee at closing from the proceeds of the sale. In the event the Seller accepts an offer whereby the Seller agrees to pay a buyer’s agent fee, then the Seller shall not have to pay the Unrepresented Buyer Fee.

In the event that Seller and Gibson SIR shall, for any reason, be unable to resolve a dispute arising from any of the terms of this Agreement, then either party may submit the matter to binding arbitration for the purpose of resolving the dispute.
The Seller hereby acknowledges receipt of Gibson SIR’s wire fraud protection policy and the Massachusetts Mandatory Consumer Licensee Disclosure form. The Seller Agent has explained Gibson SIR’s policy regarding agency relationships understands that Gibson SIR and its’ affiliated agents represent both prospective purchasers and sellers of real estate. The brokerage practices Designated Agency and, in instances where the Designated Agent(s) individually represents both the uyer and the Seller, the Designated Agent may act as a Dual Agent as agreed herein. The obligations of Designated Agency and Dual Agency are further explained below and in the Massachusetts Mandatory Consumer Licensee Disclosure form.
CONSENT TO DESIGNATED AGENCY
A Designated Agent is a real estate licensee who has been appointed by a broker or salesperson to represent a buyer as a “designated buyer’s agent” or to represent a seller as a “designated seller’s agent.” When a buyer or seller consents to Designated Agency, only that Designated Agent represents the buyer or seller. Any other agents affiliated with the broker may represent another party to the transaction and, by consenting to Designated Agency, the buyer or seller permits those agents to represent another party. Individuals who are Designated Agents owe fiduciary duties to their respective clients.
Seller is advised that:
a) The Designated Seller's Agent will represent the Seller and will owe the Seller the duties of loyalty, full disclosure, confidentiality, to account for funds, reasonable care and obedience to lawful instruction;

60 CMR 74.00: Residential Home Inspection Waivers 74.04 Exemptions
(1) The limitations under 760 CMR 74.03 shall not apply if the Prospective Purchaser is any of the following:
(a) A Relative of the Seller; or
(b) The former spouse of the Seller and the sale of the Residential Property is being made pursuant to a judgment or order under M.G.L. c. 208; or
(2) The limitations under 760 CMR 74.03 shall not apply to any of the following sales or Transfers of Ownership:
(a) A sale or Transfer of Ownership where the offer to purchase or a Purchase and Sale Agreement, whichever occurs first, was executed on or before October 15, 2025;
