chairman’s report The sleeping giant has finally awoken. Football in Australia on the back of the Hyundai A League and the Westfield W League competitions, has increased a share of voice in our media and has unlocked interest at all levels. Our brand of Football has long been the most participatory sport in Australia, but for many reasons this has failed to convert to one of spectator and fan. This has now changed and the game has finally sparked broad corporate interests and this will in time provide the financial oxygen that is needed to invest in the game. A model where success will breed success.

Football NSW has also changed significantly over the past few years and its leadership around the governance in sport agenda is now being referenced as a best practice model for other codes at this level. For their unrelenting focus on this and the delivery of better outcomes, I wish to thank the whole Board, our CEO Eddie Moore and the entire Football NSW staff. Building leadership capability has been a keen focus of all our members as well and we have seen a significant amount of change and improvement in the last 12 months. A number of clubs and associations adopting a serious approach to governance and attracting new management teams to ensure fresh thinking, and an ability to focus on the new challenges that face our game and its participants. At Football NSW, we have focused on Grow, Develop and Promote. In doing so, we are growing player, coaching and referee opportunities. These will continue to evolve in partnership with the Football Federation Australia and the Hyundai A League clubs as the integrated pathway finds its feet and the clouds lift to enable a young budding Matilda or Socceroo to start our game in Miniroos and see a clear line of sight through grassroots to SAP development to National Premier League to maybe one day playing for our National teams. Coaching and Referee education and capability building will also remain a key priority. There is still much to be done but I get much satisfaction from experiencing the effort of others to make it better. From those at grassroots who want for nothing more than to provide children an opportunity and allow them to meet and build lifetime friendships, to the Premier League and State League clubs who invest in the development of skills and young adults to be the best they can be and all those across the broad spectrum of the game who live by the mantra 'whatever I can do to help'. We should never lose sight that volunteering and being involved in this game is more than just Football it is about building communities and its youngest members for the broader skills of life. 2013 has been another year of growth and development across all aspects of Football in NSW. This growth and maturity is building on a true foundation of all aspects of our Game seeking and working towards a common goal creating a true Unity of Purpose. At the inaugural Conference on the Game last November, which was a culmination of a series of Town Hall meetings and engagement with and listening to the Football community, we talked of the three fundamentals of our Game - Football, Facilities and Finances. We seek to continually improve and make a positive contribution to the experience of players, coaches and referees across the state. Whether through the competitions they play in, their opportunity to excel in elite pathways, the chance to learn and develop as a coach or referee, providing safe and quality facilities or ensuring we control the cost to play the game. It is the absolute focus of the Football NSW Board and staff to ensure that we continue to improve our services to our membership and provide leadership and support across all aspects of the Game, to all who play and enjoy football in all its forms. The results we have seen on the field and importantly in the "back office" are due to the hard work and long hours of thousands of volunteers including coaches, match officials, canteen helpers, men and women on committees and team managers. Each and every one deserve our thanks and support - without your drive and dedication Football would not continue to grow.

In the past three years at Football NSW we have spent much time rebuilding the structures, goverance and process that drive our Game. The simple goal has been focussing the business back towards the membership and the services we can and should provide. This has been hampered as we remove major obstacles and solve issues that have caused distraction from our key goals. These include but are not limited to: the Riverstone project, Columbia Court, various financial investments, several legal cases, lack of financial discipline, poor or absent operational policies and procedures and issues with the Hummel investment. Undoubtedly these significant challenges we inherited have been both a huge financial drain and time consuming, yet we have seen our playing number increase and equally we have reduced the fees charged and continue to reduce our cost base and increase our revenues. Much has been achieved by all involved in Football at all levels and the true sense of collaboration, alignment and co-operation building in and around the game only encourages me that we can achieve more. I offer my thanks and gratitude to the Football NSW Board, all those who sit on Standing Committees and all the staff for the time, effort, drive and enthusiasm you bring to Football NSW. A special thank you to Andrew Christopolous who made an effective and powerful contribution to the Football NSW Board over his term, particularly in his leadership around the establishment of the Legal and Regulatory Committee. 2013 has seen many highlights - both on and off the field. With the redevelopment of our Home of Football at Parklea reaching conclusion and our increased investment in coaching, refereeing and club development taking effect I believe 2014 will be another landmark year in the game. I look forward to working with all involved in Football in true sense of collaboration and cooperation we can make a difference to all who play, coach and referee in our great game.

It is with and through volunteers that football is delivered to communities and regions throughout New South Wales. Volunteers are the backbone of the football system. With pressures of modern society the role of the many tens of thousands of volunteers who give freely of their time remain a significant and precious commodity and resource which needs to be recognised and valued.

Principal Activities The principal activity of the entity during the financial year was the fostering and control of the game of football in the state of New South Wales. Football NSW’s short term objectives are to: deliver financial and organisational sustainability through effective corporate governance ensure structural and philosophical alignment with the FFA develop a strong customer service focus and service delivery ethos Football NSW’s long term objective is to grow, develop and promote the game by supporting our members, stakeholders and football family through effective governance, strong leadership, transparent communication, professional administration and clear strategic direction. Football NSW again reduced our reliance on capitation fees in maintaining an operating surplus through strong growth in other revenue streams, including sponsorship revenue. Significant reductions in expenditure, including employee benefits and a number of administrative expenses were realised during the year as the organisation continues to redirect our expenditure towards outwardly focussed services in key areas including referees, coach education and game development. The organisation continues to build on financial platforms established in late 2011 around prudent management of commercial operations and vigilance over expenditure, whilst maintaining a strong net asset position. The Board resolved in 2012 to redevelop the existing site at Valentine Sports Park to provide a world class facility to the football family in NSW. The 2013 financial statements reflect the receipt of State Government funding for the upgrade to Valentine Sports Park of $5M and write off of corresponding redevelopment costs of $819,186. The property held at Columbia Court Norwest was sold during the year resulting in a profit against the revalued amount of $492,000, whilst the investment previously written down in a CDO was in part recovered, resulting in income of $269,000. The combination of strong revenues from other sources than fees and cost reductions yielded an operating profit of just under $1M for the 2013 year allowing for the impact of the factors above. The 2013 financial statements also reflect a significant upward revaluation to Valentine Sports Park, the result of a valuation performed in 2013 representing the current classification of the land. In developing Valentine Sports Park to a premier football facility through 2014, it is expected that the underlying value of the asset will not increase in line with the funds invested. This is reflective of Accounting Standard requirements in relation to valuing land and buildings to the highest and best use.

Members’ Guarantee The entity is incorporated under the Corporations Act 2001 and is an entity limited by guarantee. If the entity is wound up, the constitution states that each member is required to contribute a maximum of $20 each towards meeting any outstanding obligations of the entity. notes to the financial statements for the year ended 31 october 2013 Note 1: Statement of Significant Accounting Policies The financial report of Football NSW Limited for the year ended 31 October 2013 was authorised for issue by the Directors on the 12th of December 2013. The financial statements are for Football NSW Limited as an individual entity, incorporated and domiciled in Australia. Football NSW Limited is a company limited by guarantee. Basis of Preparation The financial statements are general purpose financial statements that have been prepared in accordance with Australian Accounting Standards - Reduced Disclosure Requirements of the Australian Accounting Standards Board and the Corporations Act 2001. Australian Accounting Standards set out accounting policies that the AASB has concluded would result in financial statements containing relevant and reliable information about transactions, events and conditions. Material accounting policies adopted in the preparation of these financial statements are presented below and have been consistently applied unless otherwise stated. The financial statements have been prepared on an accruals basis and are based on historical costs, modified, where applicable, by the measurement at fair value of selected non-current assets, financial assets and financial liabilities. Accounting Policies (a) Revenue and Other Income Revenue from the sale of goods is recognised upon delivery of goods to customers. Grant revenue is recognised in the statement of comprehensive income when the entity obtains control of the grant and it is probable that the economic benefits gained from the grant will flow to the entity and the amount of the grant can be measured reliably. Interest revenue is recognised using the effective interest rate method, which for floating rate financial assets is the rate inherent in the instrument. Dividend revenue is recognised when the right to receive a dividend has been established. Revenue from the rendering of a service is recognised upon delivery of the service to the customers. All revenue is stated net of the amount of goods and services tax (GST).

(b) Inventories Inventories are valued at the lower of cost or net realisable value. (c) Property, Plant and Equipment Each class of property, plant and equipment is carried at cost or fair values as indicated less, where applicable, accumulated depreciation and impairment losses.

Freehold Property Freehold land and buildings are shown at their fair value based on periodic, but at least triennial, valuations by external independent valuers, less subsequent depreciation for buildings. In periods where the freehold land and buildings are not subject to an independent valuation, the directors conduct directors’ valuations on the carrying amount of the land and buildings to review that it is not materially different to the fair value. Increases in the carrying amount arising on revaluation of land and buildings are recognised in other comprehensive income and accumulated in the revaluation surplus in equity. Revaluation decreases that offset previous increases of the same class of assets shall be recognised in other comprehensive income under the heading of revaluation surplus. All other decreases are charged to the statement of comprehensive income. As the revalued buildings are depreciated, the difference between depreciation recognised in the statement of comprehensive income, which is based on the revalued carrying amount of the asset and the depreciation based on the asset’s original cost, is transferred from the revaluation surplus to retained earnings. Any accumulated depreciation at the date of the revaluation is eliminated against the gross carrying amount of the asset and the net amount is restated to the revalued amount of the asset.

Property, plant and equipment Property, plant and equipment are measured on the cost basis less depreciation and impairment losses. The carrying amount of property, plant and equipment is reviewed annually by the entity to ensure it is not in excess of the recoverable amount from these assets. The recoverable amount is assessed on the basis of expected net cash flows which will be received from the assets employment and subsequent disposal. The expected net cash flows have been discounted to their present values in determining recoverable amounts.

method or cost. Fair value represents the amount for which an asset could be exchanged or a liability settled, between knowledgeable, willing parties.

The depreciable amount of all fixed assets including buildings and capitalised lease assets, but excluding freehold land, is depreciated on a straight-line basis over the asset’s useful life to the entity commencing from the time the asset is held ready for use.

Where available, quoted prices in an active market are used to determine fair value. In othercircumstances, valuation techniques are adopted.

The assets’ residual values and useful lives are reviewed, and adjusted if appropriate, at the end of each reporting period. Asset classes carrying amount are written down immediately to their recoverable amount if the asset’s carrying amount is greater than its estimated recoverable amount. Gains and losses on disposals are determined by comparing proceeds with the carrying amount. These gains or losses are included in the statement of comprehensive income. (d) Leases Lease payments for operating leases, where substantially all the risks and benefits remain with the lessor, are charged as expenses on a straight-line basis over the lease term. (e) Financial Instruments

Initial recognition and measurement Financial assets and financial liabilities are recognised when the entity becomes a party to the contractual provisions of the instrument. For financial assets, this is equivalent to the date that the entity commits itself to either purchase or sell the asset (ie trade date accounting is adopted). Financial instruments are initially measured at fair value plus transaction costs except where the instrument is classified ’at fair value through profit or loss’ in which case transaction costs are expensed to profit or loss immediately.

Amortised cost is calculated as: (i) the amount at which the financial asset or financial liability is measured at initial recognition; (ii) less principal repayments; (iii) plus or minus the cumulative amortisation of the difference, if any, between the amount initially recognised and the maturity amount calculated using the effective interest method; and (iv) less any reduction for impairment. The effective interest method is used to allocate interest income or interest expense over the relevant period and is equivalent to the rate that exactly discounts estimated future cash payments or receipts (including fees, transaction costs and other premiums or discounts) through the expected life (or when this cannot be reliably predicted, the contractual term) of the financial instrument to the net carrying amount of the financial asset or financial liability. Revisions to expected future net cash flows will necessitate an adjustment to the carrying value with a consequential recognition of an income or expense in profit or loss.

(i) Financial assets at fair value through profit and loss inancial assets are classified at ’fair value through profit F or loss’ when they are held for trading for the purpose of short-term profit taking, or where they are derivatives not held for hedging purposes, or when they are designated as such to avoid an accounting mismatch or to enable performance evaluation where a group of financial assets is managed by key management personnel on a fair value basis in accordance with a documented risk management or investment strategy. Such assets are subsequently measured at fair value with changes in carrying value being included in profit or loss.

(ii) Loans and receivables oans and receivables are non-derivative financial assets L with fixed or determinable payments that are not quoted in an active market and are subsequently measured at amortised cost.

Fair value

Where an impairment loss on a revalued asset is identified, this is debited against the revaluation surplus in respect of the same class of asset to the extent that the impairment loss does not exceed the amount in the revaluation surplus for that same class of asset.

Fair value is determined based on current bid prices for all quoted investments. Valuation techniques are applied to determine the fair value for all unlisted securities, including recent arm’s length transactions, reference to similar instruments and option pricing models.

Impairment At each reporting date, the entity assess whether there is objective evidence that a financial instrument has been impaired. In the case of available-for-sale financial instruments, a prolonged decline in the value of the instrument is considered to determine whether an impairment has arisen. Impairment losses are recognised in the statement of comprehensive income.

Derecognition Financial assets are derecognised where the contractual right to receipt of cash flows expires or the asset is transferred to another party whereby the entity no longer has any significant continuing involvement in the risks and benefits associated with the asset. Financial liabilities are derecognised where the related obligations are either discharged, cancelled or expired. The difference between the carrying value of the financial liability, which is extinguished or transferred to another party and the fair value of consideration paid, including the transfer of non-cash assets or liabilities assumed, is recognised in profit or loss. (f) Impairment of Assets At the end of each reporting period, the entity reviews the carrying values of its tangible and intangible assets to determine whether there is any indication that those assets have been impaired. If such an indication exists, the recoverable amount of the asset, being the higher of the asset’s fair value less costs to sell and value in use, is compared to the asset’s carrying value. Any excess of the asset’s carrying value over its recoverable amount is expensed to the statement of comprehensive income. Where the future economic benefits of the asset are not primarily dependent upon the asset’s ability to generate net cash inflows and when the entity would, if deprived of the asset, replace its remaining future economic benefits, value in use is determined as the depreciated replacement cost of an asset. Where it is not possible to estimate the recoverable amount of a class of assets, the entity estimates the

(g) Employee Benefits Provision is made for the entity’s liability for employee benefits arising from services rendered by employees to the end of the reporting period. Employee benefits that are expected to be settled within one year have been measured at the amounts expected to be paid when the liability is settled. Employee benefits payable later than one year have been measured at the present value of the estimated future cash outflows to be made for those benefits. Contributions are made by the company to an employee superannuation fund and are charged as expenses when incurred. (h) Cash and cash equivalents Cash and cash equivalents include cash on hand, deposits held at-call with banks, other short-term highly liquid investments with original maturities of three months or less, and bank overdrafts. (i) Finance Costs Finance costs are recognised as an expense in the period in which they are incurred. (j) Goods and Services Tax (GST) Revenues, expenses and assets are recognised net of the amount of GST, except where the amount of GST incurred is not recoverable from the Australian Tax Office. In these circumstances the GST is recognised as part of the cost of acquisition of the asset or as part of an item of the expense. Receivables and payables in the statement of financial position are shown inclusive of GST. Cash flows are presented in the statement of cash flows on a gross basis, except for the GST component of investing and financing activities, which are disclosed as operating cash flows. (k) Income Tax No provision for income tax has been raised as the entity is exempt income tax under Div 50 of the Income Tax Assessment Act 1997.

(l) Provisions Provisions are recognised when the entity has a legal or constructive obligation, as a result of past events, for which it is probable that an outflow of economic benefits will result and that outflow can be reliably measured. Provisions recognised represent the best estimate of the amounts required to settle the obligation at the end of the reporting period. (m) Comparative Figures Where required by Accounting Standards comparative figures have been adjusted to conform with changes in presentation for the current financial year. (n) Trade and Other Payables Trade and other payables represent the liability outstanding at the end of the reporting period for goods and services received by the company during the reporting period which remain unpaid. The balance is recognised as a current liability with the amounts normally paid within 30 days of recognition of the liability. (o) Critical Accounting Estimates and Judgements The directors evaluate estimates and judgments incorporated into the financial report based on historical knowledge and best available current information. Estimates assume a reasonable expectation of future events and are based on current trends and economic data, obtained both externally and within the company.

Key estimates - Impairment The company assesses impairment at each reporting date by evaluation of conditions and events specific to the company that may be indicative of impairment triggers. Recoverable amounts of relevant assets are reassessed using value-in-use calculations which incorporate various key assumptions. At 31 October 2013, an independent valuation was performed on the freehold land and buildings at Valentine Sports Park. This valuation was conducted by Colliers International. The valuation was based on the fair value less cost to sell. The critical assumptions adopted in determining the valuation included the location of the land and buildings and the current strong demand for land in the area. Rezoning of sections of the land during the 2013 financial year have resulted in a significant upward valuation during the 2013 financial year.
