2012 was another year of significant change for the organisation as the Board and senior management continued their focus on governance and built on an aligned Strategy of leadership and consultation. The team also had much success in establishing a working partnership with the FFA built on mutual respect. One of the fundamental keys to the growth at grassroots and the commercial future of the game at higher levels in Australia will be ability to work as one. Tremendous effort from both parties in 2012 with genuine actions not just talk has us all moving in the right direction. I would also like to take this opportunity to thank my co Directors and all the Staff at FNSW with special praise to the CEO and senior management team. With over 200,000 participants and over 700 individual clubs it is never easy. Finding the balance with our membership between their love of the game and providing a structure and set of guidelines that fit all is most difficult and the ongoing challenge within the business of Sport. The whole FNSW team has become more organised, one that supports each other and directs all their energies to delivering a better Football outcome for all. This change alone will yield many benefits. It is incumbent on FNSW and their members to provide governance, structure, leadership and a bright future. At times during the year it felt the Board spent way too much time focusing on individuals who seek to destabilise FNSW and be critical at any opportunity. A unity of purpose from all will accelerate our success. We intend to work with all our stakeholders to unlock the potential. Ultimately FNSW and all our members should never lose sight that Football is just a game. The ability to provide a positive experience for all its participants must remain our first priority. Whether you are a player, coach, referee, administrator or spectator you deserve to enjoy your time participating. I look forward to leading the team and working with all our members to deliver such. CEO ’s report

2012 saw a continuation of the hard work to bring the business and operational practices of Football NSW to the standards required and expectations demanded of the governing body of largest participation sport in NSW. In parallel with the Football NSW Board’s commitment to good governance, the senior management and staff have continued to strive towards meeting the strategic goals of the organisation and in the provision of services to the players, coaches and referees across the State. In close alignment with the direction provide by FFA, two major Reviews were undertaken in 2012 – of our Competitions and the structures around Referees. These Reviews were undertaken through an open, transparent and engaging process. The membership and those who gave their time to these reviews are to be thanked for their contribution. The discussion and interaction throughout the process was forthright and robust but importantly respectful. As well look to the application of the outcomes of both these reviews in 2013, we will continue to review the environment, outcomes and delivery of all our Football programs to ensure consistency with our Strategic goals and alignment with the National Curriculum. This year saw the commitment to the redevelopment of the Valentine Sports Park as the Home of Football in NSW. With visit by the Prime Minster Julia Gillard in April and by the NSW Minster of Sport Graham Annesley in December, $8 million of Government funding was secured for the project. With detailed design presently underway construction will continue through 2013 with the completed project completed in mid-2014. In 2012 we saw two valued Directors leave the Board. Our Chairman Robert Sestan who led the sport through the turbulent period in 2010 and 2011 and Bob Adby who was appointed in 2010, both contributed capably to ensuring the sport was able to successfully move forward. With Robert’s

resignation, the Vice Chairman Greg O’Rourke was elected Chairman and has continued, along with all the Directors to work tirelessly towards building a stronger and more effective leadership environment. I sincerely thank Robert, Bob and all the Directors for the time, effort and support they bring the Game and the organisation. The Executive Team and Staff also deserve recognition and thanks not only for their efforts to make a difference to all who play, officiate and manage the game at all levels but also for their diligence and professionalism in the provision of services to our Game. To those who had the honour of representing NSW at National titles – both outdoor and futsal - we congratulate you. 2012 was another successful year with Football NSW representation at Nationals and NSW based players being selected into A-League, W league and National programs. Equally to those volunteers across the game that ensured these competitions and programs took place, your time, effort, passion and energy is greatly appreciated. To the Government, sponsors and financial supporters of the Game and our programs we are extremely grateful for your commitment to Football. As the Socceroos embark on the phase on the Road to Rio 2014 and the Hyundai A-League and Westfield W-League build their presence and fan base, I, along with the dedicated staff at Football NSW, look forward to working with all levels of the football community as we continue to foster a stronger sense of common purpose and unity towards our vision of being the unifying leader in promoting the global appeal of football in NSW and supporting FFA in making Australia and world class football nation. Principal Activities The principal activity of the entity during the financial year was the fostering and control of the game of football in the state of New South Wales. Football NSW’s short term objectives are to: ¬ deliver financial and organisational sustainability through effective corporate governance ¬ ensure structural and philosophical alignment with the FFA

Despite lowering capitation fees for the 2012 season, the organisation reduced expenditure across a number of areas to deliver an operating surplus. During 2012, Football NSW conducted a men's competitions review and a referees review. These two reviews will form the basis of operations in these areas for 2013 and beyond. The organisation continued to build on financial platforms established in late 2011 around prudent management of commercial operations and vigilance over expenditure, whilst maintaining a strong net asset position. The Board resolved in 2012 to redevelop the existing site at Valentine Sports Park to provide a world class facility to the football family in NSW. The 2012 financial statements reflect the receipt of Federal Government funding for the upgrade to Valentine Sports Park of $3M. To the end of the financial year, $339,868 of this funding had been spent.

notes to the financial statements for the year ended 31 october 2012 NOTE 1: STATEMENT OF SIGNIFICANT ACCOUNTING POLICIES The financial report of Football NSW Limited for the year ended 31 October 2012 was authorised for issue by the Directors on the 8th of December 2012. The financial statements are for Football NSW Limited as an individual entity, incorporated and domiciled in Australia. Football NSW Limited is a company limited by guarantee. Basis of Preparation The financial statements are general purpose financial statements that have been prepared in accordance with Australian Accounting Standards - Reduced Disclosure Requirements of the Australian Accounting Standards Board and the Corporations Act 2001. Australian Accounting Standards set out accounting policies that the AASB has concluded would result in financial statements containing relevant and reliable information about transactions, events and conditions. Material accounting policies adopted in the preparation of these financial statements are presented below and have been consistently applied unless otherwise stated. The financial statements have been prepared on an accruals basis and are based on historical costs, modified, where applicable, by the measurement at fair value of selected non-current assets, financial assets and financial liabilities. Accounting Policies (a) Revenue and Other Income Revenue from the sale of goods is recognised upon delivery of goods to customers. Grant revenue is recognised in the statement of comprehensive income when the entity obtains control of the grant and it is probable that the economic benefits gained from the grant will flow to the entity and the amount of the grant can be measured reliably. Interest revenue is recognised using the effective interest rate method, which for floating rate financial assets is the rate inherent in the instrument. Dividend revenue is recognised when the right to receive a dividend has been established. Revenue from the rendering of a service is recognised upon delivery of the service to the customers. All revenue is stated net of the amount of goods and services tax (GST).

(b) Inventories Inventories are valued at the lower of cost or net realisable value. (c) Property, Plant and Equipment Each class of property, plant and equipment is carried at cost or fair values as indicated, less, where applicable, accumulated depreciation and impairment losses.

Freehold Property Freehold land and buildings are shown at their fair value based on periodic, but at least triennial, valuations by external independent valuers, less subsequent depreciation for buildings In periods where the freehold land and buildings are not subject to an independent valuation, the directors conduct directors' valuations on the carrying amount of the land and buildings to review that it is not materially different to the fair value. Increases in the carrying amount arising on revaluation of land and buildings are recognised in other comprehensive income and accumulated in the revaluation surplus in equity. Revaluation decreases that offset previous increases of the same class of assets shall be recognised in other comprehensive income under the heading of revaluation surplus. All other decreases are charged to the statement of comprehensive income. As the revalued buildings are depreciated, the difference between depreciation recognised in the statement of comprehensive income, which is based on the revalued carrying amount of the asset and the depreciation based on the asset’s original cost, is transferred from the revaluation surplus to retained earnings. Any accumulated depreciation at the date of the revaluation is eliminated against the gross carrying amount of the asset and the net amount is restated to the revalued amount of the asset.

Property, plant and equipment Property, plant and equipment are measured on the cost basis less depreciation and impairment losses. The carrying amount of property, plant and equipment is reviewed annually by the entity to ensure it is not in excess of the recoverable amount from these assets. The recoverable amount is assessed on the basis of expected net cash flows which will be received from the assets employment and subsequent disposal. The expected net cash flows have been discounted to their present values in determining recoverable amounts.

Depreciation The depreciable amount of all fixed assets including buildings and capitalised lease assets, but excluding freehold land, is depreciated on a straight-line basis over the asset's useful life to the entity commencing from the time the asset is held ready for use. The assets' residual values and useful lives are reviewed, and adjusted if appropriate, at the end of each reporting period. Asset classes carrying amount are written down immediately to their recoverable amount if the asset's carrying amount is greater than its estimated recoverable amount. Gains and losses on disposals are determined by comparing proceeds with the carrying amount. These gains or losses are included in the statement of comprehensive income. (d) Leases Lease payments for operating leases, where substantially all the risks and benefits remain with the lessor, are charged as expenses on a straight-line basis over the lease term. (e) Financial Instruments

Initial recognition and measurement Financial assets and financial liabilities are recognised when the entity becomes a party to the contractual provisions of the instrument. For financial assets, this is equivalent to the date that the entity commits itself to either purchase or sell the asset (ie trade date accounting is adopted). Financial instruments are initially measured at fair value plus transaction costs except where the instrument is classified ‘at fair value through profit or loss’ in which case transaction costs are expensed to profit or loss immediately.

Classification and subsequent measurement Finance instruments are subsequently measured at either fair value, amortised cost using the effective interest rate method or cost. Fair value represents the amount for which an asset could be exchanged or a liability settled, between knowledgeable, willing parties.

Where available, quoted prices in an active market are used to determine fair value. In other circumstances, valuation techniques are adopted.

Amortised cost is calculated as: (i) the amount at which the financial asset or financial liability is measured at initial recognition; (ii) less principal repayments; (iii) plus or minus the cumulative amortisation of the difference, if any, between the amount initially recognised and the maturity amount calculated using the effective interest method; and (iv) less any reduction for impairment. The effective interest method is used to allocate interest income or interest expense over the relevant period and is equivalent to the rate that exactly discounts estimated future cash payments or receipts (including fees, transaction costs and other premiums or discounts) through the expected life (or when this cannot be reliably predicted, the contractual term) of the financial instrument to the net carrying amount of the financial asset or financial liability. Revisions to expected future net cash flows will necessitate an adjustment to the carrying value with a consequential recognition of an income or expense in profit or loss.

(i) Financial assets at fair value through profit and loss Financial assets are classified at 'fair value through profit or loss' when they are held for trading for the purpose of short-term profit taking, or where they are derivatives not held for hedging purposes, or when they are designated as such to avoid an accounting mismatch or to enable performance evaluation where a group of financial assets is managed by key management personnel on a fair value basis in accordance with a documented risk management or investment strategy. Such assets are subsequently measured at fair value with changes in carrying value being included in profit or loss. (ii) Loans and receivables Loans and receivables are non-derivative financial assets with fixed or determinable payments that are not quoted in an active market and are subsequently measured at amortised cost. (iii) Financial liabilities Non-derivative financial liabilities (excluding financial guarantees) are subsequently measured at amortised cost.

NOTE 1: STATEMENT OF SIGNIFICANT ACCOUNTING POLICIES (continued) Fair value Fair value is determined based on current bid prices for all quoted investments. Valuation techniques are applied to determine the fair value for all unlisted securities, including recent arm's length transactions, reference to similar instruments and option pricing models.

Impairment At each reporting date, the entity assess whether there is objective evidence that a financial instrument has been impaired. In the case of available-for-sale financial instruments, a prolonged decline in the value of the instrument is considered to determine whether an impairment has arisen. Impairment losses are recognised in the statement of comprehensive income.

Derecognition Financial assets are derecognised where the contractual right to receipt of cash flows expires or the asset is transferred to another party whereby the entity no longer has any significant continuing involvement in the risks and benefits associated with the asset. Financial liabilities are derecognised where the related obligations are either discharged, cancelled or expired. The difference between the carrying value of the financial liability, which is extinguished or transferred to another party and the fair value of consideration paid, including the transfer of non-cash assets or liabilities assumed, is recognised in profit or loss. (f) Impairment of Assets At the end of each reporting period, the entity reviews the carrying values of its tangible and intangible assets to determine whether there is any indication that those assets have been impaired. If such an indication exists, the recoverable amount of the asset, being the higher of the asset’s fair value less costs to sell and value in use, is compared to the asset’s carrying value. Any excess of the asset’s carrying value over its recoverable amount is expensed to the statement of comprehensive income. Where the future economic benefits of the asset are not primarily dependent upon the asset’s ability to generate net cash inflows and when the entity would, if deprived of the asset, replace its remaining future economic benefits, value in use is determined as the depreciated replacement cost of an asset. Where it is not possible to estimate the recoverable

amount of a class of assets, the entity estimates the recoverable amount of the cash-generating unit to which the class of assets belong. Where an impairment loss on a revalued asset is identified, this is debited against the revaluation surplus in respect of the same class of asset to the extent that the impairment loss does not exceed the amount in the revaluation surplus for that same class of asset. (g) Employee Benefits Provision is made for the entity’s liability for employee benefits arising from services rendered by employees to the end of the reporting period. Employee benefits that are expected to be settled within one year have been measured at the amounts expected to be paid when the liability is settled. Employee benefits payable later than one year have been measured at the present value of the estimated future cash outflows to be made for those benefits. Contributions are made by the company to an employee superannuation fund and are charged as expenses when incurred. (h) Cash and cash equivalents Cash and cash equivalents include cash on hand, deposits held at-call with banks, other short-term highly liquid investments with original maturities of three months or less, and bank overdrafts. (i) Finance Costs Finance costs are recognised as an expense in the period in which they are incurred. (j) Goods and Services Tax (GST) Revenues, expenses and assets are recognised net of the amount of GST, except where the amount of GST incurred is not recoverable from the Australian Tax Office. In these circumstances the GST is recognised as part of the cost of acquisition of the asset or as part of an item of the expense. Receivables and payables in the statement of financial position are shown inclusive of GST. Cash flows are presented in the statement of cash flows on a gross basis, except for the GST component of investing and financing activities, which are disclosed as operating cash flows. (k) Income Tax No provision for income tax has been raised as the entity is exempt income tax under Div 50 of the Income Tax Assessment Act 1997.

(l) Provisions Provisions are recognised when the entity has a legal or constructive obligation, as a result of past events, for which it is probable that an outflow of economic benefits will result and that outflow can be reliably measured. Provisions recognised represent the best estimate of the amounts required to settle the obligation at the end of the reporting period. (m) Comparative Figures Where required by Accounting Standards comparative figures have been adjusted to conform with changes in presentation for the current financial year. Trade and other payables represent the liability outstanding at the end of the reporting period for goods and services received by the company during the reporting period which remain unpaid. The balance is recognised as a current liability with the amounts normally paid within 30 days of recognition of the liability. (o) Critical Accounting Estimates and Judgements The directors evaluate estimates and judgments incorporated into the financial report based on historical knowledge and best available current information. Estimates assume a reasonable expectation of future events and are based on current trends and economic data, obtained both externally and within the company.

Key estimates - Impairment The company assesses impairment at each reporting date by evaluation of conditions and events specific to the company that may be indicative of impairment triggers. Recoverable amounts of relevant assets are reassessed using value-in-use calculations which incorporate various key assumptions. At 31 October 2012, an independent valuation was performed on the freehold land and buildings at Valentine Sports Park. This valuation was conducted by WK Wotton and Partners. The valuation was based on the fair value less cost to sell.
