ARTIKEL 1. DEFINITIES
1. In deze “Veilingvoorwaarden ‘Eurogenes Winter Sale 2026 - Online TAG+ Sale’ (de “Veiling voorwaarden”) wordt verstaan onder: a. Artikel: een artikel in deze Veilingvoorwaarden; b. Bieder: een natuurlijk persoon, samenwerkingsverband of rechtspersoon die als bieder handelt in de uitoefening van beroep of bedrijf en optreedt bij een Koopovereenkomst; c. BTW: omzetbelasting; d. Dier(en): de (verzamel)naam voor hetgeen wordt geveild, zijnde embryo’s, drachtige pinken en dekstieren; f. Embryo: bevrucht eicel welke zich in de dracht ontwikkeld tot levensvatbaar kalf; g. Kavel: de aangeboden kavel, welke kan bestaan uit een embryo, drachtige pink of dekstier. h. Koopovereenkomst: de overeenkomst van verkoop en koop van een Kavel die tijdens de Veiling tussen de Verkoper en de Koper tot stand komt; i. Koopsom: het bedrag waarvoor de Kavel tijdens de Veiling door DG aan de Koper is toegewezen, exclusief de Veilingkosten en BTW; j. Koper: de Bieder aan wie de Kavel bij afslag wordt toegewezen; k. Levering: het moment dat het Dier daadwerkelijk fysiek wordt geleverd; l. Toewijzing: de verklaring van DG aan de Koper, houdende de mededeling dat de Kavel, onder de verplichting tot betaling van de Koopsom en de kosten, aan de Koper is toegewezen; m. Veiling: de door DG georganiseerde veiling ‘Diamond Genetics Christmas Sale 2023 - Online TAG+ Sale’; n. Veilingcatalogus: de catalogus met Kavels (Dieren) welke voorafgaand aan de Veiling wordt gepubliceerd op de website www.eurogenes.com, en fysiek verkrijgbaar en opvraagbaar is in de week voorafgaand aan de Veiling; o. Veilingkosten: kosten die door DG aan de Koper in rekening worden gebracht, te weten 10% van de Koopsom, exclusief BTW; p. Veilingsite: de website waarop de Veiling zal plaatsvinden, met URL: www.eurogenes.com | sale.eurogenes.com q. Veilingvoorwaarden: deze Veilingvoorwaarden ‘Diamond Genetics Christmas Sale 2023 - Online TAG+ Sale’; r. Verkoper: de verkopende partij die als Verkoper optreedt bij de Koopovereenkomst;
2. Aan de hiervoor in dit Artikel 1.1. gedefinieerde begrippen komt in deze Veilingvoorwaarden de daarachter vermelde betekenis toe. Deze begrippen kunnen zonder verlies van de inhoudelijke betekenis in enkelvoud of meervoud worden gebruikt
ARTIKEL 2. ALGEMEEN
1. Doel van de veiling: DG heeft een exclusief en gerenommeerd fokprogramma en wil door middel van de veiling Dieren uit het programma verkopen met behoudt van eerste recht van koop op de daaruit geboren nakomelingen. Koper koopt Dier(en) voor verbetering van de veestapel met o.a. melkproductie, levensduur en exterieur.
2. Deze Veilingvoorwaarden zijn van toepassing op alle tijdens de Veiling gesloten Koopovereenkomsten alsmede op alle overeenkomsten die daaruit voortvloeien.
3. Deze Veilingvoorwaarden zijn opgesteld in de Nederlandse taal en deze tekst is bindend. Indien de Veilingvoorwaarden ook zijn opgesteld in een andere taal, zal, in geval van geschil over de inhoud of strekking van deze Veilingvoorwaarden, uitsluitend de Nederlandse tekst en de betekenis daarvan in het Nederlandse rechtsgebied bindend zijn.
4. Elke deelnemer aan de Veiling geeft daarmee te kennen bekend te zijn met deze Veilingvoorwaarden en met de inhoud daarvan in te stemmen.
5. De Verkoper garandeert dat alle Dieren welke worden geveild op het moment van de Veiling virusvrij zijn van IBR en BVD.
Veiling voorwaarden
ARTIKEL 3. VOORBEREIDING, UITVOERING EN TOEZICHT VEILING
1. De voorbereiding en uitvoering van de Veiling worden uitsluitend door DG bepaald.
2. DG heeft tijdens de Veiling het recht onjuistheden in door of namens haar gedane (mondelinge en schriftelijke) uitingen alsmede, al of niet tijdens de Veiling, gemaakte fouten te corrigeren.
3. Zij die deelnemen aan de Veiling zijn verplicht om de door of namens DG gegeven instructies en aanwijzingen op te volgen, en aanvaarden het feit dat bij de Veiling technische storingen kunnen optreden waardoor een digitaal gedaan bod mogelijk niet goed wordt verwerkt.
4. Bij dubbele biedingen en eventuele geschillen over gunning aan Koper zal de Kavel door loting worden gegund.
ARTIKEL 4. WIJZE VAN
1. De Veiling betreft een ‘TAG+’-veiling, welke als volgt werkt: Iedere Kavel heeft een startbedrag waarop kan geboden worden bij opbod en waarbij de hoogste bieder bij afslag de winnaar is, maar daarbij heeft iedere Kavel ook een ‘koop-nu’-prijs, waarmee de Kavel tegen de vermelde bedrag ‘koop-nu-prijs’ van de Veiling kan worden gekocht. De Kavel wordt dan direct voor de vermelde ‘koop-nu-prijs gegund en gesloten. Vanaf dat moment is het voor anderen niet meer mogelijk deze Kavel te kopen. Voor veilingnummers die niet voor de ‘koop-nu-prijs’ zijn gegund geldt de hoogste prijs op het moment van afslag.
2. Bieder wordt gehouden aan zijn of haar bod totdat een hoger bod is geaccepteerd.
ARTIKEL 5. BETALING EN LEVERING KAVEL(S)
1. Na Toewijzing van een Kavel stelt DG een factuur op en dient de Koper de Koopsom, te vermeerderen met 10% Veilingkosten en BTW, aan DG te voldoen op een door deze aan te wijzen bankrekening uiterlijk binnen zeven (7) dagen na aankoop op de veiling.
2. De Kavel gaat niet eerder in eigendom op de Koper over dan nadat deze aan al zijn financiële verplichtingen uit de Koopovereenkomst heeft voldaan. De veiling van de Kavels is volgens incoterms ‘Ex Works’.
3. Vanaf het moment van afslag is de Kavel volledig voor rekening en risico en valt onder verantwoording van de Koper, ook indien de fysieke verplaatsing van de Kavel pas in de toekomst plaats vindt. Kopers wordt geadviseerd om de aan hun toegewezen Kavels te verzekeren.
ARTIKEL 6. WANPRESTATIE
1. Indien de Koper van oordeel is, dat de Kavel na toewijzing niet aan de Koopovereenkomst beantwoordt, dient hij de Verkoper hiervan binnen drie (3) dagen na toewijzing dat de Kavel niet aan de Koopovereenkomst beantwoordt, in kennis te stellen door middel van een aan de Verkoper te verzenden aangetekende brief. De Koper kan zich na ommekomst van drie (3) dagen na toewijzing na niet langer op het feit beroepen dat de Kavel niet aan de Koopovereenkomst beantwoordt.
ARTIKEL 7. AANSPRAKELIJKHEID
1. DG sluit, voor zover rechtens toegestaan, elke (in)directe aansprakelijkheid uit ten opzichte van de Koper, de Verkoper en derden en in het bijzonder, maar niet beperkt tot de navolgende gevallen: a. wanneer een in de Veilingcatalogus vermelde Kavel uiteindelijk niet ter veiling wordt aangeboden; en b. gevolgschade, zoals schade in de vorm van winstderving of in welke andere vorm dan ook.
2. De veilingcatalogus is met de grootste zorg samengesteld, maar DG is niet aansprakelijk voor fouten in de Veilingcatalogus. Op de Koper rust de verantwoordelijkheid om de juistheid van deze gegevens te controleren.
ARTIKEL 8. AFSLUITENDE BEPALINGEN
1. Met betrekking tot alle geveilde DG-vrouwelijke Dieren geldt: DG heeft het eerste recht om geboren nakomelingen (1e generatie) terug te kopen. Voor het terugkopen van nakomelingen geboren uit de geveilde vrouwelijke Dieren geldt geen maximum termijn of einddatum.
2. DG betaalt een prijs van € 1.500,00 per kalf (stier/vaars) tot en met de 7e maand. Indien na het verstrijken van genoemde termijn DG alsnog haar terugkooprechten wil uitoefenen, dan betaalt DG een extra vergoeding van EUR 5 per dag dat het stier of vaarskalf langer bij Koper heeft gestaan.
Veiling voorwaarden
3. Koper dient alle geboren nakomelingen binnen 48 uur aan te melden bij DG. Voor eigen drachten – dus het eerste geboren kalf uit de geveilde drachtige pink – geldt dat uiterlijk binnen 7 dagen na geboorte een haarmonster met minimaal 100 haarwortels en twee DNAbiopten aan DG te versturen voor een door DG betaalt genomisch onderzoek.
4. Uitsluitend na schriftelijke toestemming van een rechtsgeldig vertegenwoordiger van DG mag Koper de geveilde (drachtige) pink en daaruit geboren nakomelingen onder deze overeenkomst onder voorwaarden verkopen aan derden.
5. Bij doorverkoop van een Kavel dient Koper een zogenaamd kettingbeding op te nemen. Bij doorverkoop van een Kavel ontslaat dat Koper en Verkoper niet van diens rechten en plichten.
ARTIKEL 9. TOEPASSELIJK RECHT EN GESCHILBESLECHTING
1. Op deze Veilingvoorwaarden en alle overeenkomsten die met deze Veilingvoorwaarden verband houden of daaruit voortvloeien, is uitsluitend Nederlands recht van toepassing.
2. Naast deze prevalerende veilingvoorwaarden zijn – bij onvolledigheid – de algemene voorwaarden van Diamond Genetics van toepassing, welk vindbaar zijn via deze link: https://www.diamond-genetics.nl/algemene-voorwaarden/
3. Geschillen waarbij Verkoper en Koper niet tot een oplossing kunnen komen worden voorgelegd aan de bevoegde rechter in het arrondissement Zwolle.

1. In these “Auction Terms ‘Eurogenes Winter Sale - Online TAG+ Sale’ (the “Auction Terms”), the following definitions shall apply:
a. Allotment: the declaration by DG to the Buyer, notifying that the Lot, subject to the obligation to pay the Purchase Price and costs, has been allotted to the Buyer;
b. Animal(s): the (collective) name for that which is auctioned, being embryos, pregnant heifers and breeding bulls; c. Article: an article in these Auction Terms and Conditions;
d. Auction: the auction organised by DG ‘Diamond Genetics Christmas Sale 2023 - Online TAG+ Sale’;
e. Auction Catalogue: the catalogue of Lots (Animals) which is published prior to the Auction on the website www.eurogenes.com, and is physically available and retrievable in the week prior to the Auction;
f. Auction costs: costs charged by DG to the Buyer, namely 10% of the Purchase Price, excluding VAT;
g. Auction Site: the website on which the Auction will take place, with URL: www.eurogenes.com | sale.eurogenes.com; h. Auction Terms: these Auction Terms ‘Diamond Genetics Christmas Sale 2023 - Online TAG+ Sale’; i. Buyer: the Bidder to whom the Lot is allocated at auction; j. Bidder: a natural person, partnership or legal entity acting as buyer in the exercise of profession or business and acting in a Purchase Agreement
k. Delivery: the moment when the Animal is actually physically delivered; l. DG: “Diamond Genetics B.V., office located at (8131 PK) Bremmelerstraat 8 Wijhe, Tel: 0570-589900, E-mail: info@diamond-genetics.nl, Chamber of Commerce: 54387493; m. Embryo: fertilised egg which develops into a viable calf in gestation; n. Lot: the offered lot, which may consist of an embryo, pregnant heifer or stud bull; o. Purchase Agreement: the agreement of sale and purchase of a Lot concluded between the Seller and the Buyer during the Auction; p. Purchase Price: the amount for which the Lot has been allocated by DG to the Buyer during the Auction, excluding the Auction Costs and VAT; q. Seller: the selling party acting as Seller to the Purchase Agreement; r. VAT: sales tax;
2. The terms defined above in this Article 1.1 shall have the meanings set out thereafter in these Auction Terms. These terms may be used in singular or plural without loss of substantive meaning.

3. These Auction Terms and Conditions have been drawn up in the Dutch language and this text is binding. 5. The Seller guarantees that all Animals auctioned at the time of the Auction are virus-free from IBR and BVD.
ARTICLE 4. METHOD OF AUCTION AND FORMATION OF SALES AGREEMENT
1. The Auction is a ‘TAG+’ auction, which works as follows: Each Lot has a starting amount that can be bid for at auction, with the highest bidder at auction being the winner, but in addition, each Lot also has a ‘buy now’ price, which allows the Lot to be bought at the stated ‘buy now’ price of the Auction. The Lot is then immediately awarded and closed at the stated ‘buy-now’ price. From then on, it is no longer possible for others to buy this Lot. For auction numbers that have not been awarded at the ‘buy now price’, the highest price at the time of auction applies.
2. Bidder will be held to his/her bid until a higher bid is accepted.
ARTICLE 5. PAYMENT AND DELIVERY LOT(S)
1. After Allocation of a Lot, DG shall issue an invoice and the Buyer shall pay the Purchase Price, plus 10% Auction Fee and VAT, to DG to a bank account to be designated by DG no later than seven (7) days after purchase at the auction. DG retains a lien on the Lot until full payment has been made.
2. Ownership of the Lot shall not pass to the Buyer until the Buyer has fulfilled all its financial obligations under the Purchase Agreement. Delivery is according to incoterms ‘Ex Works’.
3. From the moment of allotment, the Lot is entirely at the Buyer’s risk and expense, even if the physical movement of the Lot does not take place until the future. Buyers are advised to insure the Lots allocated to them.
ARTICLE 6. DEFAULT
1. If the Buyer is of the opinion that the Lot does not comply with the Purchase Agreement after allocation, he must notify the Seller thereof within three (3) days after allocation that the Lot does not comply with the Purchase Agreement by means of a registered letter to be sent to the Seller. After the expiry of three (3) days after allocation, the Buyer may no longer claim that the Lot does not comply with the Purchase Agreement.
ARTICLE 7. LIABILITY
1. DG excludes, to the extent permitted by law, any liability towards the Buyer, the Seller and third parties and in particular, but not limited to the following cases: a. when a Lot listed in the Auction Catalogue is ultimately not offered for auction; and b. consequential damages, such as damages in the form of loss of profits or in any other form.
2. The Auction Catalogue has been compiled with the utmost care, but DG is not liable for errors in the Auction Catalogue. It is the responsibility of the Buyer to check the accuracy of these details.
ARTICLE 8. CLOSING PROVISIONS
1. With regard to all auctioned DG-female Animals: DG has the first right to buy back offspring born (1st generation). No maximum term or end date applies to the repurchase of offspring born from the auctioned female Animals.
2. DG shall pay a price of € 1.500,00 per calf (bull/heifer) up to and including the 7th month. If, after the expiry of the said period, DG still wishes to exercise its buy-back rights, DG shall pay an additional fee of EUR 5 per day that the bull or heifer calf has been with the Buyer for longer.
3. Buyer shall report all born offspring to DG within 48 hours. For the first calf born from the auctioned pregnant female Animal within 7 days of birth at the latest - a hair sample containing at least 100 hair roots and two DNA biopsies must be sent to DG for genomic testing paid for by DG.
4. Only with the written consent of a legally valid representative of DG may the Buyer resell the auctioned female Animal and offspring born from it under this agreement to third parties under conditions.
5. If a Lot is resold, the Buyer must include a so-called perpetual clause. The resale of a Lot does not release the Buyer and Seller from their rights and obligations.
