Auctioneer Terms the terms and conditions proposed by the Auctioneer that are binding on the Buyer and Vendor concerning the sale of any Lot, which have been approved by the Society prior to the auction of any Lot (such approval not to be unreasonably withheld) TERMS AND CONDITIONS The Society convenes the Society Sponsored Sales. As part of this role, the Society will undertake activities such as setting the date of the sale, selecting the sale venue, receiving nominations for Lots, producing the sales catalogue, identifying the standards and conditions relating to each Lot and coordinating general advertising. The following terms and conditions apply to and govern the agreement between the Society and the Attendee in relation to the Attendee’s attendance of, and participation in, the Society Sponsored Sale. These terms and conditions incorporate:

refers to the consumer law contained in Schedule 2 of the Competition and Consumer Act 2010 (Cth)
Bidder
a bidder on a Lot at an auction
Buyer
the meaning given in clause 3.2
Claim
a claim, demand, remedy, suit, injury, damage, loss, cost, liability, action, proceeding, right of action, claim for compensation or reimbursement or liability incurred by or to be made or recovered by or against a person, however arising and whether ascertained or unascertained, or immediate, future or contingent

Disqualified Lot
a Lot that is disqualified or not eligible for sale at a Society Sponsored Sale pursuant to the Rules and Regulations
a)
any documents in the Annexure;
b)
the Rules and Regulations;
c)
the below terms and conditions;
d)
the ALPA Terms and Conditions;
e)
the Society Sponsored Sale venue rules and regulations; and
f)
any other relevant terms and conditions and rules and regulations which are required by the operator of the Society Sponsored Sale venue or the Auctioneer or that are notified to the Attendee by the Society from time to time,
Eligible Member
members of the Society approved by the Society to sell Lots at a Society Sponsored Sale as outlined in the Rules and Regulations
(together, the Terms and Conditions).

1.1

any loss or damage arising from special circumstances that are outside the ordinary course of things
all intellectual property rights of any kind, in any jurisdiction, subsisting now or in the future (including, without limitation, business, company or trade names, domain names, patents, inventions, copyright, design rights, know-how, trade marks, the right to sue for passing off and rights to use, and protect the confidentiality of, confidential information), whether registered or unregistered, and including the rights to apply for or renew the registration of any such rights and any rights the Page 1 of 6

where a word or phrase is given a particular meaning, other parts of speech and grammatical forms of that word or phrase have corresponding meanings;
(d)
references to any document (including these Terms and Conditions) include references to the document as amended, consolidated, supplemented, novated or replaced;
(e)
a reference to a statute includes a reference to all enactments amending or consolidating the statute and to an enactment substituted for the statute and any subordinate legislation, including regulations;
(f)
any Annexures form part of these Terms and Conditions; and
(g)
headings are included for convenience only and do not affect interpretation of these Terms and Conditions.
GENERAL
2.1
By attending the Society Sponsored Sale (whether in person or by other means), the Attendee agrees to be bound by these Terms and Conditions. All persons attending a Society Sponsored Sale shall be deemed to have notice of these Terms and Conditions.
2.2
Subject to clause 2.6: (a)
these Terms and Conditions apply to the Attendee’s attendance at and participation in any respect in the Society Sponsored Sale to the exclusion of all other terms proposed by the Attendee;
(b)
if the Society agrees (in its sole discretion) to incorporate any terms and conditions proposed by the Attendee (Attendee Terms), these Terms and Conditions shall apply to the extent of any inconsistency with the Attendee Terms; and
(c)
the Society will only be deemed to have accepted the Attendee Terms where the Society has confirmed the acceptance in writing, signed by a director of the Society.
2.3
The Society may change these Terms and Conditions by posting updated Terms and Conditions on the Website.
2.4
These Terms and Conditions shall be binding on the Attendee's personal representatives, successors and permitted assigns and shall be for the benefit of the Society’s successors and assigns.
2.5
If a Vendor is a Junior Member, these Terms and Conditions bind the guardian of that Junior Member, and the guardian agrees to be legally responsible for any and all actions taken by or on behalf of the Junior Member under these Terms and Conditions.
2.6
If Auctioneer Terms apply to the auction of any Lot at a Society Sponsored Sale, the Auctioneer Terms shall apply to the Buyer and Vendor in respect of the sale of that Lot to the extent of any inconsistency between these Terms and

a reference to a person is to be construed as a reference to an individual, body corporate, unincorporated association, partnership, joint venture or government body;

Conditions and the Auctioneer Terms regarding clauses 3, 4 and 5 only.
(c)
the name of the Buyer on whose behalf the successful bid was made; and
2.7
The Society reserves the right to exclude any person from an auction or the auction venue at its absolute discretion.
(d)
the Property Identification Code (known as the “PIC”) of destination.
2.8
Bidders, Buyers and Vendors must:

(a)
be at least 18 years of age or a Junior Member; and
(b)
in the case of Vendors: (i)
be Eligible Members of the Society; and
(ii)
have no outstanding debts to the Society.
Any Eligible Member wishing to enter a lot for sale at a Society Sponsored Sale must on or prior to the relevant dates referenced in the Annexure and on the Website: (a)
return a duly completed Nomination Form to the Society; and
(b)
pay all nomination fees and any other required amounts to the Society.
3.
CONDITIONS OF SALE BY AUCTION
3.1
Prior to the auction, an Attendee must register with the Auctioneer (in the case of Vendors and Bidders) in order to participate in the auction. The Society or the Auctioneer may reject the registration of any Attendee as a Vendor or Bidder at its absolute discretion.
3.2
3.7
Each Lot will be sold subject to passing all veterinary tests required by the Society, the Rules and Regulations, these Terms and Conditions and the law of the state or country to which the Buyer intends to transport that particular Lot (including, for the avoidance of doubt, all DAF Approved Tick Treatments if required), such tests to be undertaken at the Vendor’s expense. All information in relation to veterinary tests must be made available to the Auctioneer, Society and Bidders prior to the Society Sponsored Sale.
3.8
For the avoidance of doubt:
3.9
(a)
the Society offers no warranty regarding the accuracy of any test results or information provided by the Vendor; and
(b)
the Buyer must make their own enquiries regarding any representation provided by the Vendor in connection with the test results pursuant to clause 3.7.
The Auctioneer reserve its rights: (a)
The Buyer will be the successful bidder for a Lot as determined by the Auctioneer, subject to these Terms and Conditions.
to remove or disallow any Vendor from selling any Lot if the Auctioneer determines (in its absolute and unfettered discretion) that information provided regarding a Lot (whether in a catalogue or otherwise) is misleading, deceptive, incomplete or otherwise provided in breach of the Terms and Conditions;
(b)
to not disclose the existence and/or quantum of the Reserve Price (if any) of a Lot prior to the close of bidding or withdrawal of the Lot;
3.3
The Auctioneer acts as agent for the Vendor.
(c)
3.4
In any auction or sales event at a Society Sponsored Sale, the highest approved Bidder shall be the Buyer of a Lot subject to:
to resubmit any Lot for resale by auction, before, during or after the auction of that particular Lot, at the Auctioneer’s absolute discretion; and
(d)
subject to clause 3.5, to arrange for a Lot that is not sold at an auction to be sold by private agreement (but not for less than the Upset Price for that Lot at auction).
3.5
3.6
(a)
any Reserve Price;
(b)
these Terms and Conditions;
(c)
acceptance by the Vendor (as denoted by the Auctioneer’s declaration of “Sale” or similar after the fall of the hammer); and
(d)
the sole discretion of the Auctioneer.
Should the Vendor reject the bid of the highest Bidder before the fall of the hammer, such Bidder will have the right of first refusal of the Lot at the Vendor’s nominated price for one hour after the Lot has been passed out of the ring, subject to these Terms and Conditions.
3.10
Any Attendee who removes the sale number from any Lot after it has been sold will fully indemnify all affected parties for any Claim should the Lot be wrongly delivered.
3.11
The Buyer shall not, until the full purchase price is paid and all other obligations owed by the Buyer to the Vendor, the Auctioneer and the Society are fulfilled, register or attempt to register any Security Interest in the Lot.
3.12
A Vendor may not:
A successful Bidder at a Society Sponsored Sale must give to the Auctioneer immediately after the fall of the hammer: (a)
the Buyer’s name; or
(b)
the bid card number which identifies the Buyer; or
(a)
sell a Disqualified Lot; or
(b)
remove a Lot during the auction without first informing the Society and the Auctioneer.
3.13
Any dispute arising in respect of the sale or purchase of any Lot is between the Buyer and the Vendor and the parties release the Society and the Auctioneer from any Claim in

any Lot offered for sale, including on account of any information included in a catalogue relating to a Society Sponsored Sale. No such error, misdescription or omission shall entitle the Attendee to claim compensation or damages against the Society.
respect of any disputed Lot. Any dispute relating to a Lot must be resolved between the Vendor and the Buyer and neither the Vendor nor the Buyer may return to the Society or the Auctioneer any Lot the subject of a dispute or otherwise. The Buyer and the Vendor expressly authorise the Society and the Auctioneer to provide relevant contact details of the Buyer and Vendor to one another upon request by either party. 3.14
3.15
4.
Notwithstanding any dispute in respect to the sale of any Lot, the Buyer shall nevertheless be obliged to pay to the Auctioneer the full purchase price and any other moneys or interest payable by the Buyer in accordance with these Terms and Conditions.
7.
VENDOR AND BUYER TERMS
7.1
The Vendor warrants to the Buyer and the Society:
Any person (including any Attendee) who attends a Society Sponsored Sale does so entirely at their own risk and the Society does not assume or accept any responsibility or liability of whatever nature for any injury or damage which may occur, except to the extent caused by the negligence of the Society. DEFAULT If a Vendor fails to deliver any part of a Lot, the Vendor must refund the Buyer any amounts paid by the Buyer on account of the purchase.
5.
TITLE
5.1
Upon the fall of the hammer each Lot shall be at the risk and expense in all respects of the Buyer and the Buyer shall indemnify the Society and the Auctioneer in respect of and pay to the Society and the Auctioneer on demand all loss, damage, costs and expenses incurred or suffered by the Society or the Auctioneer (as applicable) in respect of the Lot while the Lot is at the Buyer’s risk and expense. In particular, the Buyer will be liable for, feeding, yard fees and associated charges for Lots not removed on the day of the Society Sponsored Sale.
5.2
The Society will not accept the return of any Lot for any reason. At no point will the Society have title to, or risk in any Lot.
7.2
(a)
that to the extent possible, any description of the Lot is materially accurate and complete and not misleading or deceptive having regard to genetic, scientific and laboratory inaccuracies and third-party administrative errors and omissions;
(b)
all photos or videos of the relevant Lot depict the Lot that is actually listed for sale, and are not misleading or deceptive;
(c)
the Lot is suitable for transportation;
(d)
the sale of the Lot is in accordance with any applicable laws;
(e)
all warranties included in the Annexure and any other document that forms a part of these Terms and Conditions;
(f)
the Lot is not a Disqualified Lot;
(g)
the Vendor has clear title to the Lot;
(h)
the Vendor has full authority to sell and/or deal with the Lot; and
(i)
there are no undisclosed Security Interests over the Lot and on transfer of title to the Lot in accordance with these Terms and Conditions, the Buyer will be entitled to possession of the Lot, at the time of delivery of a Lot.
The Vendor will guarantee the fertility of the Lot, and warrants to the Buyer and the Society:
6.
WARRANTY
(a)
6.1
Unless expressly provided in these Terms and Conditions, no guarantee or warranty shall be given by the Society to the Attendee in relation to type, quality, condition, characteristic, pedigree, sex, age, breeding condition or otherwise of a Lot or the accuracy of any information included in any catalogue or supplementary material relating to a Society Sponsored Sale.
a bull, with the exception of a bull calf at foot, is a guaranteed breeder and will so prove within six months of the date of the Sale, or by reaching the age of 30 months, whichever date shall be later.
(b)
a female, with the exception of a female calf at foot, will conceive a pregnancy within 6 months of the date of Sale, or by the age of 30 months, whichever date shall be later.
6.2
6.3
The Attendee acknowledges and agrees that it does not rely on the skill or judgment of the Society in relation to the purchase of a Lot. Any advice, recommendation, information or assistance provided or purportedly provided by the Society is provided without any liability by the Society whatsoever. The Society assumes no liability in respect of any error, misdescription or omission in any descriptions, pedigrees or other information pertaining to the type, quality, condition, characteristic, sex, age, breeding condition or otherwise of
A claim made under this guarantee of fertility, must be made to the Vendor within six months of the date of purchase, or prior to the animal entering a quarantine area other than on the Vendor's property.
7.3
The Vendor warrants to the Buyer of a joined female, that the pedigree of the resultant calf is as stated in the catalogue.
7.4
If the Buyer is a consumer within the meaning of that term in the Australian Consumer Law, the Vendor makes each

guarantee required as a provider to a consumer under the Australian Consumer Law but only to the extent required by the nature of the Buyer. 7.5
8.5
The Buyer warrants to the Vendor and the Society: (a)
that it will, to the extent practical, undertake its own inquiry as to the accuracy of the description of the Lot, acknowledging that genetic, scientific and laboratory inaccuracies and third-party administrative errors and omissions of any description with regard to a Lot can occur which are outside of the knowledge or control of the Vendor;
(b)
all warranties included in the Annexure and any other document that forms a part of these Terms and Conditions;
(c)
it has full authority to purchase the Lot; and
(d)
it has the immediately available financial resources to purchase any Lot for which it is the Buyer.
To the maximum extent permitted by law, the Society will not be liable to the Attendee, or the Attendee’s executors, administrators, successors in title or assigns, for any loss, injury, death or damage, except to the extent that loss, injury, death or damage is caused by the negligence of the Society, arising (directly or indirectly) out of or in connection with: (a)
the conduct of any Society Sponsored Sale;
(b)
any attendance at a Society Sponsored Sale; and
(c)
the content of any Lot description.
8.6
Without limiting any other provisions of this clause 8, the maximum aggregate liability of the Society to the Attendee for any Claim (or series of connected Claims) under or in connection with these Terms and Conditions howsoever arising shall be limited to the price received by the Society in respect of the nomination fee paid for the Lot.
8.7
If any Attendee brings to the Society Sponsored Sale any Lot which is dangerous, or infected with any disease, that Attendee shall be liable for all injury, damages, costs, losses or expenses sustained by the Society or other Attendees as a result of the Attendee’s conduct.
8.
CLAIMS UPON THE SOCIETY
8.1
At no point does the Society have control or custody of a Lot. The Society is not a party to the sale or purchase of a Lot. The Society does not owe any obligation to the Buyer or the Vendor in relation to the sale or purchase of a Lot, including any obligation to deliver a Lot or in respect of the description or condition of any Lot.
8.8
The Vendor indemnifies the Society in respect of and will pay to the Society on demand all loss, damage, costs and expenses incurred or suffered by the Society, together with any Claims, in respect of any of the Lots it is presenting for sale, except to the extent caused by the negligence of the Society.
8.2
The Attendee acknowledges and agrees that it attends a Society Sponsored Sale entirely at its own risk.
8.9
8.3
To the maximum extent permitted by law (except to the extent caused by the negligence of the Society), the Society will not be liable to the Attendee:
The Vendor acknowledges and agrees that it is responsible for its own public liability insurance and that it must have public liability insurance for a minimum cover of $20,000,000 to be eligible to nominate and sell Lots at a Society Sponsored Sale.
8.10
The Vendor must submit to the Society, at the time the Lots are nominated for the Society Sponsored Sale, a certificate of currency for the public liability insurance required under clause 8.9. The certificate of currency must note the ‘Droughtmaster Stud Breeders’ Society Limited’ as an interested party.
8.11
The Attendee undertakes to comply in all respects with these Terms and Conditions and indemnifies the Society on demand for all loss, damage, costs and expenses incurred or suffered by the Society, together with any Claims, in respect of any breach of these Terms and Conditions by that Attendee (including in respect of any Annexure).
8.12
Any liability of the Vendor to the Society under this clause 8 is reduced to the extent that the Society caused or contributed to the loss or liability through its own negligent act or omission, wilful misconduct or breach of these Terms and Conditions.
8.13
Nothing in this clause 8 restricts or limits the Society’s general obligation at law to mitigate a loss it may suffer or incur as a result of an event that may give rise to a claim under an indemnity.

8.4
(a)
for any damage to, or injury suffered by, the Attendee, whether by accident, illness, disease or otherwise, while attending, or as a consequence of attending, a Society Sponsored Sale; or
(b)
for any damage to, or injury suffered by, a Lot, whether by accident, illness, disease or otherwise, while the Lot is held or remains at the Society Sponsored Sale venue, or as a consequence of the Lot being held or remaining at the Society Sponsored Sale venue.
To the maximum extent permitted by law, the Society will not be liable to the Attendee (a)
(b)
in respect of any error, misdescription or omission in any descriptions, pedigrees or other information pertaining to the type, quality, condition, characteristic, sex, age, breeding condition or otherwise of any Lot offered for sale, including on account of any information included in a catalogue relating to a Society Sponsored Sale and no such error, misdescription or omission shall entitle the Attendee to claim compensation or damages against the Society; or for any Excluded Loss.
9.
TRUST AND TRUSTEES

Where the Attendee enters into these Terms and Conditions as a trustee, the Attendee warrants that it has the full power and authority to enter into these Terms and Conditions on behalf of the trust and that it shall be bound by these Terms and Conditions both personally and as trustee, irrespective of whether or not it discloses to the Society that it is a trustee.
Variation 13.1
PERSONAL PROPERTY SECURITIES ACT The Society provides no warranty regarding clear title to goods purchased through a Society Sponsored Sale. The Attendee is responsible for conducting searches of the Personal Property Securities Register to ascertain whether any Security Interests affect any Lot prior to purchase. NOTICE
11.1
All notices given under these Terms and Conditions must be in writing and may be delivered in person or by mail or by the medium specified in the address for service notified by each party to the other.
11.2
A party may change its particulars for service by notice in writing to the other parties.
11.3
A notice sent by post will be deemed:

(a)
given on the day it is posted; and
(b)
received six days after posting.
A notice sent by email will be deemed received at the time and on the date that it is sent, unless the sender receives notification that the delivery of the email was unsuccessful, in which case the email will not be deemed to have been received.
An obligation of two or more persons under these Terms and Conditions binds them jointly and severally and every expressed or implied agreement or undertaking by which two or more persons derive any benefit in terms of these Terms and Conditions will take effect for the benefit of those persons jointly and severally.
Entire Agreement 13.3

No amendment or variation to these Terms and Conditions has force unless it is in writing and signed by the parties.
Joint and Several 13.2

GENERAL
These Terms and Conditions govern the entire agreement between the parties and supersede all prior representations, agreements, statements and understandings between the Attendee and the Society.
Governing Laws 13.4
Unless varied by notice in writing by the Society, these Terms and Conditions shall be governed by and construed in accordance with the laws of Queensland and the parties submit to the exclusive jurisdiction of the courts in Queensland.
13.5
The parties agree that proceedings may be commenced in any Court in Queensland and consent to that Court having jurisdiction by virtue of clause 13.4 even though the Court would not otherwise have such jurisdiction without this consent.
Waiver 13.6
For the purposes of clause 11.4, ‘delivery’ of an email means the time that an email reaches the recipient’s server.
Any failure by the Society to insist upon strict performance of any terms and/or conditions herein shall not be deemed a waiver thereof of any right that the Society may have and shall not be deemed to be a waiver of any subsequent breach of any terms and/or conditions.
Severance 12.
INTELLECTUAL PROPERTY
12.1
These Terms and Conditions do not confer on the Attendee any license to the Intellectual Property Rights of the Society.
12.2
All Pre-existing IP Rights remain the sole property of the owner.
12.3
The Vendor grants the Society a non-exclusive, royalty-free, non-transferable licence to use the Pre-existing IP Rights owned by it for any purpose in connection with the Society Sponsored Sale.
12.4
The Society grants the Vendor a non-exclusive, royalty-free, non-transferable licence to use the Pre-existing IP Rights owned by the Society solely in relation to advertising a Lot in connection with a Society Sponsored Sale.
13.7
In the event that the whole or any part or parts of any provisions in these Terms and Conditions should be held to be void or unenforceable in whole or in part such provision or part thereof shall to that extent be severed from these Terms and Conditions but the validity and enforceability of the remainder of these Terms and Conditions shall not be affected.

LIVESTOCK AUCTION TERMS AND CONDITIONS OF SALE CHAPTER ONE - PRELIMINARY 1.
(a)
A vendor is bound by these terms and conditions by offering livestock for sale by auction.
(b)
An agent (which includes an auctioneer) is bound by these terms and conditions by conducting an auction sale.
(c)
A buyer is bound by these terms and conditions by bidding at auction.
(d)
subclause does not apply if the agent makes an announcement to that effect prior to sale. 19.
Competition and Consumer Act (Cth) 2010
(b)
It is unlawful for parties that are, or otherwise would be, in competition with each other to make, or give effect to, a contract, arrangement or understanding that contains a provision relating to: i. ii. iii. iv. v.
(a)
price-fixing; or restricting outputs in the production and supply chain; or allocating customers, suppliers or territories; or bid-rigging; or collusive bidding.

In these terms the expression auctioneer, agent, buyer and vendor respectively includes the servants, contractors and agents of each of them. The auctioneer, agent, buyer and vendor shall be wholly responsible for the acts and omissions of their respective servants, contractors and agents. The term “auctioneer” includes, so far as the law and context permits, the vendor’s agent. When used in these terms the expressions “companion animals” means all animals originating from the same property on a particular day. Where lots are split and sent to multiple establishments, then all of these animals shall be regarded as companions.
Any statements made by the vendor or the auctioneer whether in writing or orally to the effect that any female has been pregnancy tested or scanned positive shall mean and require only that a certificate in writing shall be supplied to the buyer signed by a qualified veterinary surgeon or certified scanner certifying that the said female has been tested or scanned on the date specified in the certificate and that in the opinion of the surgeon or scanner was pregnant on that date.
(d)
For slaughter cattle, the agent undertakes to make every reasonable effort to ensure that any NLIS cattle device number is transferred from the saleyard PIC to the purchaser’s PIC on the NLIS database no later than midnight on the day of the sale.
(e)
The following applies in interpreting these terms and conditions: (a)
Fees means all levies, charges, fees, costs and other expenses incurred or relating to these terms and conditions and the sale and purchase of livestock including, without limitation, transaction levies, yard and weigh dues, cartage, advertising and rebates, and whether paid for, or incurred, by the agent;
(b)
(f)
The following words have the following meanings:
20.
(a)
does not acquire title to the livestock;
Price means the amount at which the lot has been sold to the buyer referred to in clause 7 of these terms and conditions
(b)
holds the livestock as bailee only for the vendor;
(c)
must act in a fiduciary capacity in its relationship with the vendor;
(i)
plus any Fees and other expenses incurred in relation to the purchase of livestock that are payable by the buyer; and
(d)
must store the stock separately or so that they are readily distinguishable from other livestock owned by the buyer;
(ii)
plus any GST added in accordance with clause 12.
(e)
is responsible for the safety and well being of the livestock;
(f)
may make a bona fide sale for market value of any or all of the livestock. As between the buyer and the subsequent buyer, the sale shall be made by the buyer in its own name and not as agent for the vendor, however as between the vendor and buyer, the sale shall be made as bailee and agent for the vendor; and
(g)

Subject to any reserve price, and to the right, prior to the fall of the hammer, of the vendor to withdraw any lot without declaring the reserve, the highest bidder shall be the buyer.
5.
The auctioneer has the right to bid on behalf of the vendor provided that right is notified prior to the commencement of the sale and is subject to State law.
6.
A bid cannot be made or accepted after the fall of the hammer unless, in accordance with clause 8, the auctioneer decides to put the lot up again.
7.
Prior to the fall of the hammer the auctioneer shall announce the last bid and receive any further bids. The last price called by the auctioneer at the fall of the hammer shall be the amount at which the lot has been sold.
8.
In the event of a disputed bid, the auctioneer is the sole arbitrator of the successful bidder or the auctioneer may decide to put the lot up again. The auctioneer’s decision is final.
9.
The auctioneer may refuse to accept any bid which, in the auctioneer’s opinion, is not in the best interest of the vendor and need not give reasons for doing so.
10.
A bidder shall be deemed to be a principal unless, prior to bidding, the bidder has given to the auctioneer a copy of written authority to bid for or on behalf of another person.
11.
The successful bidder at a livestock auction sale must give to the auctioneer at the fall of the hammer: (a)
the purchaser’s name; or
(b)
the bid card number which identifies the purchaser; or
(c)
the name of the person on whose behalf the successful bid was made; and
(d)
the Property Identification Code (known as the “PIC”) of destination.
12.
The auction shall be conducted on the basis that the bid price shall be exclusive of Goods and Services Tax (GST). GST shall be added after the fall of the hammer for those sales subject to GST.

The vendor warrants;

(a)
That the vendor has (or will have) the right to sell the livestock at the time of delivery; and
(b)
That the purchaser will obtain title on completion of the purchaser’s obligations under this contract including payment.
If a buyer does not comply with any of these terms and conditions, which includes the requirements of State law, any livestock knocked down to that buyer may be re-sold by public auction or private contract in whatever lots and manner the auctioneer decides. The re-sale may be with or without notice and shall be at the buyer’s risk. The buyer is responsible for all loss and expense arising out of a re-sale and is not entitled to any resulting profit. The buyer of livestock must pay the agent the full amount of the purchase price in immediate funds on receipt of a tax invoice. Payment is required prior to delivery unless some other time for payment is specified in an agreement between the buyer and the auctioneer that was made before the fall of the hammer. If, before delivery, payment has not been made then clauses 20 to 23 apply.

departure of the animal from the purchaser’s delivery pen; or
(iii)

all information in any document provided by the vendor is true, complete and correct in all material respects.
28.
In the event of a breach by the vendor of the vendor’s warranty and provided th such breach is notified by the buyer to the agent by 5:00pm on the 7 day after the fall of the hammer then the buyer is not liable to pay the portion of the Price of such of the vendor’s livestock to which the breach applies.
29.
However if the breach by the vendor is such that the livestock are not rejected outright but are instead downgraded then the buyer will pay the value of the livestock at their next highest and best use.
30.
In the case of a breach by the vendor of the vendor’s warranty then the vendor will also be liable to the buyer for any further losses which the buyer might establish but the buyer will take all reasonable steps in co-operation with the agent and vendor to mitigate both the effect of the breach and the amount of any loss.
31.
Where a sentinel animal of a lot tests positive for chemical residue, or foreign material contamination and provided such test is certified and notified as required by these vendor warranty terms, then: (a)
the buyer will be entitled to delay payment for the price of all livestock in that lot only; or
(b)
the vendor has the option, at the vendor’s cost, of collecting the companion animals, if allowed by law; or of having the livestock slaughtered in which event the risk of further condemnations will be that of the vendor. Where product integrity is potentially jeopardised, the Processor has the right to refuse slaughter and send the livestock back to the consigning property at the vendor’s cost.
The purchaser agrees that: (a)
Clause 20 creates a registrable security interest under the Personal Property Securities Act (Cth) 2009 (PPSA); the Purchaser acknowledges the rights of the Seller (and/or the Agent if Clause 25 applies) to register a financing statement under the PPSA with respect to the security interest created by this clause;
(c)
the Livestock are collateral for the purposes of the PPSA;
(d) (e)
32.
The auctioneer is liable to the buyer in respect of any breach of the vendor’s warranty arising out of: (a)
any error, by the auctioneer, of transcription of information from the NVD completed by the vendor to the pre-sale catalogue or the buyers post-sale summary;
to the extent permitted, the Purchaser waives any right the Purchaser has under the PPSA to receive notices; and
(b)
the date upon which the security interest created by this clause comes into force is the first date on which livestock are delivered pursuant to this contract
any failure by the auctioneer to notify the buyer, prior to bidding, of any breach by the vendor of the warranty of the vendor if the buyer establishes that the agent knew of such breach prior to the sale; and
(c)
any failure by the auctioneer to announce prior to bidding, or disclose in the pre-sale catalogue, that the vendor has failed to provide a NVD that is complete in all material aspects.
The buyer may not make any claim against the vendor for actions by the vendor or its agent under clauses 20 or 21 and indemnifies the vendor and its agent against any loss, damage, costs, expenses, penalties, fines or claims suffered by the vendor, the agent or any person or entity arising from the vendor exercising its rights under clauses 20 or 21.
CHAPTER FOUR - OWNERS RISK FOR CONDITION OF CATTLE 33.
This chapter applies only in the case of cattle and their companion animals sold at auction for slaughter when the buyer is the slaughterer and the cattle are transported direct from the sale yard to the meatworks at which they are slaughtered. This chapter does not apply if the buyer is a trader who subsequently resells cattle to a slaughterer. A slaughterer is any person who pays the AMPC Processor levy.
34.
Owners risk reflects the producer’s responsibility to provide slaughter cattle for sale that are fit for human consumption. Cattle are fit for human consumption if they are not condemned as unfit by government. Owners risk applies if the condemnation is due to a condition in the animal which the buyer establishes, by the relevant government certificate, existed prior to the fall of the hammer.
35.
A buyer with the benefit of owners risk protection is not liable to pay the Price of that animal to the vendor. The buyer remains nevertheless liable for all costs incurred after the fall of the hammer in transport, slaughter, testing and disposal of the animal.
36.
Owners risk protection is available to the buyer of cattle to which this chapter applies if all of the following are satisfied:
(a)
when this clause does not apply, as agent of the vendor (including by reselling the livestock); and
(b)
when this clause applies, on the agent’s own behalf exercising the rights of the vendor by subrogation or assignment under these terms and conditions (whether in the vendor’s name or not) and, where title to the livestock has not passed to the agent, by selling the livestock as agent of the vendor without the agent having to account to the vendor for the proceeds of sale.
23.5.
The agent may at any time, assign, transfer, securitise or otherwise dispose of all or any of its rights under these terms and conditions and any debts created pursuant to it (including, without limitation, the rights assigned to it under clause 23.3).
23.6.
The vendor hereby irrevocably appoints the agent as the vendor’s attorney to:
a certificate is issued by government which states the relevant NLIS RFID tag number and PIC, the date of the certificate, the reason for condemnation and that the reason for condemnation existed prior to the fall of the hammer;
(b)
the certificate is received by the selling agent either in its original form or by fax or electronic communication in the form of data, text or th imaging by 5:00pm on the 7 day after the fall of the hammer; and
(c)
if the condemnation is due to chemical residue the certificate follows testing in a government approved laboratory which establishes maximum residue limits in excess of the Australian limit.
Owners risk does not apply, and the buyer must pay for the cattle, if the reason for condemnation is any of bruising, fever, partial condemnation or emaciation.
do at any time and in any manner as the agent thinks fit all acts necessary or desirable to perfect or improve the rights and interests afforded, or intended to be afforded, to the agent under these terms and conditions; and
CHAPTER FIVE - NOTICES REQUIRED BY LEGISLATION
(b)
appoint one or more sub-attorneys to do anything that the agent may do as the vendor’s attorney.
Penalties for collusive practices. It is an offence against the Property, Stock and Business Agents Act 2002 for a person to do any of the following as a result of a collusive practice, or to induce or attempt to induce another person by a collusive practice to do any of the following:
These terms and conditions do not render the agent liable to the buyer as vendor nor entitle the buyer to set off against the agent any right the buyer may have against the vendor or otherwise. The buyer acknowledges that the provisions of this clause 23 are intended solely for the benefit of the agent (and its assigns) and the vendor. The liabilities and obligations of the buyer will not be in any way affected: (a)
by this clause 23, other than as it expressly provides; or
(b)
by the failure of the agent or the vendor or either of them to comply with the terms of this clause 23.
The buyer must pay all amounts payable to the vendor or the agent under these terms and conditions without any deduction, withholding, set off or counterclaim whatsoever, whether the benefit of a deduction, withholding, set off or counterclaim is alleged to exist in favour of the buyer as against the vendor or the agent in any capacity whatsoever or any other person including any assignor of the vendor’s or the buyer’s interests under these terms and conditions.
24.
(a)
The agent agrees that he is liable to pay to the vendor the Price, less such commission as is agreed between the vendor and the agent, and in the absence of any agreement such amount as is reasonable, and less the Fees that are payable by the vendor that were incurred by the agent on behalf of the vendor in relation to the sale of the livestock.
(b)
In the event that the buyer pays the Price or part of it direct to the vendor then the agent has no liability to the vendor for the amount of such payment. Further, if the agent pays the vendor any amount which the buyer also pays direct to the vendor in respect of the same livestock, then the vendor must repay the agent that amount and the agent may debit that amount to an account held in the name of the vendor by the agent.
If the purchaser rejects an animal during the time for rejection then the sale of that animal is cancelled and the animal is returned to the vendor or sold on such terms as any buyer and the agent may agree, after the agent has disclosed the reason for rejection to that buyer.

During the time for rejection the buyer may reject any animal which is lame, blind or diseased where that condition existed prior to the fall of the hammer but could not be reasonably observed when the animal was in the selling pen.
This subclause applies only to cattle which are sold in Queensland at auction for slaughter. The agent has responsibility for the prevention of loss or escape (but not death, sickness or injury) of those cattle from the time of the fall of the hammer, for delivery to and from the scales, to the buyer’s delivery pen and onto the buyer’s nominated transport. This responsibility ends at the earlier of those cattle boarding the buyer’s nominated transport or sunset on the day after the sale. This
in the case where a representation has been made in the pre-sale catalogue that the livestock have particular characteristics or are fit for a particular purpose or market, and such representations are based on information in any document, the livestock will have those characteristics or will be fit for the particular purpose or market; and
The vendor acknowledges that the agent may take enforcement, repossession or other action to recover any livestock for which the buyer has not paid in full, or the Price of such livestock, owing by the buyer under these terms and conditions:
one hour after the last animal is: a.
carry an NLIS device in accordance with State law;
(d)

are of merchantable quality;
(c)
When this clause applies, in addition to any rights of the agent that arise by operation of the law, the parties agree that, subject to clause 23.5 the agent is subrogated to all rights of the vendor under these terms and conditions against the buyer.
Cattle sold on a liveweight basis that are weighed post-sale are at the risk and expense of the buyer immediately after weighing.
The time for rejection is the time commencing at the fall of the hammer and ending at the first of:

This chapter applies only in the case of livestock and their companion animals sold at auction for slaughter when the buyer is the slaughterer and the livestock are transported direct from the sale yard to the meatworks at which they are slaughtered. This chapter does not apply if the buyer is a trader who subsequently resells the livestock to a slaughterer. A slaughterer is any person who pays the AMPC Processor levy.
23.1.
No person may bid unless, prior to the commencement of the sale, that person has made arrangements satisfactory to the auctioneer for payment for livestock purchased. If bids in breach of this condition are inadvertently accepted, delivery shall not be given until the purchase money is paid and any law, rule or practice to the contrary is accordingly negatived as far as possible.
(c)

must keep and account for the proceeds of any subsequent sale separately from its other money and hold those proceeds, together with the benefits of any rights against subsequent buyers, on trust for the vendor.
(b)
The vendor, the agent and the buyer agree to comply with their several duties under the Australian Animal Welfare Standards and Guidelines for the Land Transport of Livestock and further to consign, manage, receive, transport and handle livestock in accordance with any other or additional requirements of animal welfare legislation specific to the jurisdiction in which livestock are consigned, managed, received, transported and handled in the course of the auction process.
CHAPTER THREE – VENDOR WARRANTY FOR CORRECT PRESENTATION AND DECLARATION
Where livestock have a food safety or market eligibility status derived from the National Vendor Declaration (NVD) and/or the NLIS/ERP database, the agent will inform the buyers by presale catalogue and/or announce the status prior to the offering of those lots.
Livestock means animals auctioned pursuant to these terms and conditions; and
These terms and conditions are subject to legislation or regulation in the State in which the auction is conducted and in the event of any conflict then the legislation or regulation will prevail. The provisions of these terms and conditions are in addition to, and do not derogate from, the duties and rights of vendors, agents and buyers set out in legislation and regulation in the State in which the auction is conducted.
(b)
For other slaughter livestock the agent undertakes to make every reasonable effort to ensure that the NLIS information is transferred from the saleyard PIC to the purchaser’s PIC on the NLIS database no later than midnight on the day of the sale.
If delivery is made to, or possession obtained by, the buyer or its representative before full payment of the Price, then until full payment is received, the buyer:
CHAPTER TWO - STANDARD TERMS OF SALE
14.
Any claim or objection arising out of an error or misdescription in the provision of relevant information in terms of legislation or regulation concerning the National Livestock Identification Scheme (NLIS) must be made by 5:00pm on the seventh day after the fall of the hammer. No objection, requisition or claim against the vendor or agent in respect of such error or misdescription can be made after that time.
(c)
Large fines and other sanctions may be imposed for unlawful conduct. 2.
engagement between the auctioneer and the vendor do not extend to the provision of advice by the auctioneer to the vendor in relation to the safety or otherwise of the sale ring, the saleyards and the surrounding environments.
Subject to the right of rejection in Clause 18, all conditions and warranties expressed or implied by law are hereby excluded from the sale to the extent that the law allows. All lots are open for inspection prior to the commencement of the sale and are sold with all faults, if any. No compensation shall be given for any faults, imperfections, errors of description, number in or of any lots sold or otherwise.
(c)
Regardless of whether or not a sale has occurred the agent may, but is not under obligation so to do, instead of deducting payments owed to it by the vendor, debit the amount of the commission and fees to an account held in the name of the vendor by the agent.
(a)
The auctioneer has been retained by the vendor as auctioneer for the purpose of selling the livestock comprised in the lots. The terms of
NSW Property, Stock and Business Agents Act 2002 Warnings
(i)
to abstain from bidding; or
(ii)
to bid to a limited extent only; or
(iii)
to do any other act that might prevent free and open competition.
Severe penalties may be imposed on persons convicted of collusive practices. The auctioneer has the right to make one bid on behalf of the vendor if the auctioneer clearly and precisely announces that fact prior to the sale. Tasmania Legislation. An auctioneer conducting a public auction must not appear to acknowledge the making of a bid if no bid was made. A person must not participate in collusive practices by way of making or receiving an unlawful promise to abstain from bidding, not to bid except to a limited extent or do any other thing which may prevent free and open competition. WA Auction Sales Act 1973 s31 NOTICE. It is an offence to: (i) induce or attempt to induce another person to abstain from bidding by means of a promise, expressed or implied, that the other person will have the right to elect to take over as buyer or to toss or draw lots to establish who is to become the owner; (ii)
abstain or agree to abstain from bidding as a result of such a promise;
(iii)
knowingly enter or permit or cause to be entered in the auctioneer’s record any name other than that of the actual successful bidder;
(iv)
enter in the auctioneer’s record the name of the buyer other than that of the actual successful bidder; or
(v)
in the case of successful bidder supply wrong information as to the name of the buyer to the auctioneer or to any person, firm or corporation on whose behalf the sale is conducted.
The vendor, or any person on behalf of the vendor, or the auctioneer have the right to make no more than three bids.

VETERINARY BULL BREEDING SOUNDNESS EVALUATION What is a VBBSE?
Morphological (Laboratory Examination)
A VBBSE is a standardized examination developed by the Australian Cattle Veterinarians (ACV) to identify those bulls at increased risk of being sub fertile. The examination consists of a physical examination, crush side semen evaluation, morphological examination of semen; and if indicated, a serving ability/capacity test. VBBSE results are reported using the standardized software program Bull Reporter.
Morphology (anatomy) of the sperm has been shown to be one of the most important indicators of fertility in the bull. Semen morphology refers to the shape, size and structure of the semen. A sample of preserved semen is counted and classed as either normal or abnormal, with the abnormal sperm being categorised into their differing abnormalities. Morphology results can predict the sperm’s ability to get a calf from the egg, and importantly it can pick up defects which may initially start to fertilise the egg but then fail to result in an on going pregnancy.
Who can carry out a VBBSE? The VBBSE is a cornerstone of the Quality Assurance program implemented by Droughtmaster Australia at Society Sponsored and Society Endorsed Sales. To ensure the credibility of this quality assurance scheme is not compromised, only veterinarians who have passed the ACV’s rigorous accreditation process (which includes both practical and theory exams) and are able to demonstrate particular expertise in bull fertility are authorized to carry out a VBBSE for these sales. Why carry out a VBBSE? A VBBSE is a tool that can be used for a number of purposes including, pre sale testing, research, insurance purposes and annual/ pre mating testing. VBBSE has the potential to: •
Reduce the number of bulls required in the herd (reducing bull costs allowing selection for better quality bulls)
•
Reduce the risk of lower pregnancy rates (improving productivity)
•
Improve the herd’s long term fertility
Components of the VBBSE Physical Examination The physical exam ensures that the bull does not have risk factors that would prevent him from being able to maintain himself, detect the cow in oestrus and serve it. Attention is given to eyes,mouth,joints, feet and gait. There productive exam ensures that the bull’s testicles, fluid glands and penis are sound. Findings are reported as either normal/ abnormal, on a scale as published in the ACV ‘Bull Book’ or as a measurement. If all findings are within normal limits then an overall rating of the ACV tick will be given. If the vet has some concern of any aspect of the examination a rating of ‘Q’ (qualified) is given and the vet will make detailed comments on their concerns. If there are findings that are outside normal limits or abnormal the bull may receive an ACV ‘X’ and the vet will make detailed comments so as producers can make an informed decision about the future of the animal in question. Crush-side Semen Evaluation Semen is collected from the bull by manual palpation, electroejaculation or artificial vagina. Once semen is collected it is assessed grossly for colour, density and contaminants (eg puss) then microscopic evaluation of gross motility (mass activity or swirl)and progressive motility. Crush side microscopic evaluation gives an indication of whether the semen will be able to get to the ovum, not whether the sperm will be able to fertilize the ovum once there. Crush-side semen is reported using the ‘Tick, Q, X’ as per ACV guidelines. Bulls that receive a ‘Q’ or ‘X’ will have a detailed comment from the veterinarian and further testing is often required.
In the bull, normal morphology is heritable, highly repeatable (doesn’t change much year to year), can be used to predict the quantities of calves the bull can produce and can even predict the fertility of his female and male offspring. The heifer’s age at puberty and her time between calving and cycling again, reflect the morphology of her sire. The selection of bulls with high normal semen morphology counts results in increased calving rates, tighter calving periods, reduced empty cows, increased weaning weights and faster rates of genetic gain. The stocking rate of bulls to females may also be lowered. Bulls which do not qualify by morphology standards may still result in a large number of calves on the ground, but these calves may have come at a high cost. There may be an unacceptable high rate of empty or dry cows, and the cows may have lost one or two embryos during the mating season prior to maintaining pregnancy. The delays in achieving pregnancy result in smaller calves at weaning, and there is increased pressure on the cow to achieve pregnancy the following year as she has a shorter recovery time postcalving. Semen is sensitive to extreme temperatures, stress and diet, so morphology results can also reflect recent illnesses, transport stress, lameness and high grain diets, all of which have may only have a temporary effect on fertility. As a result, repeat tests may be required on bulls with defects on the initial exam. Similarly, young bulls may occasionally have defect semen which is reflective of their sexual immaturity. The defective semen often progress to be come normal as the bull matures sexually. >70% normal morphology is optimal for fertility and these bulls are given a Tick. Bulls with <50% normal morphology are given a X and bulls in between 50 and 70% normal may be given a Q depending on the nature of the defects. Bulls that receive an ACV ‘Q’ or ‘X’ will receive a detailed comment from the veterinarian so that an informed decision can be made about the bull. Serving Ability Serving ability is a measure of the bull’s physical capacity to carry out mating. It involves observing a bull mounting and mating a female(s). Summary The VBBSE is not a guarantee that a bull will be fertile, however, it is an important cost effective tool to reduce the risk of sub fertility and help improve profitability. DROUGHTMASTER BREEDPLAN Droughtmaster Australia publishes the following BREEDPLAN EBVs: Gestation Length (days): Bulls with lower (or more negative) GL EBVs are expected to produce progeny with shorter gestation lengths. Such progeny are also expected to be easier calving. Birth Weight (kg): Bulls with lower, less positive BWt EBVs are expected to produce progeny that are lighter at birth, with an associated lower risk of calving difficulty. This EBV is particularly important when selecting sires where there is an increased risk of calving difficulty (e.g. heifers, cross-breeding). 200, 400 & 600 Day Weight EBVs (kg): Bulls with larger (or more positive) Weight EBVs are expected to produce progeny that grow faster to 200, 400 & 600 days of age, respectively. The Weight EBV of particular importance will depend on the target market e.g. vealer (200 D), yearling (400 D) or heavy steer (600 D). Mature Cow Weight (kg): Bulls with larger (or more positive) MCW EBVs are expected to produce daughters with higher mature cow weights and increased feed requirements. More moderate MCW EBVs are generally more favourable in self replacing or maternal production systems.
Milk (kg): Bulls with higher (or more positive) Milk EBVs are expected to produce daughters with more maternal ability leading to higher 200 day weights in their progeny. Selection for moderate Milk EBVs may be preferable in harsher environments as cows with higher Milk EBVs can have impaired fertility and decreased survival under such conditions. Scrotal Size (cm): Bulls with larger (or more positive) SS EBVs indicate better semen quality and quantity. Daughters are expected to be more fertile and reach puberty at an earlier age. Days to Calving (days): Bulls with lower (or more negative) DTC EBVs are expected to produce daughters that are more fertile and have a shorter interval from bull-in date to calving. Carcase Weight (kg): Bulls with larger (or more positive) CWt EBVs are expected to produce progeny with heavier carcase weights. Eye Muscle Area (sq. cm): Bulls with a higher (or more positive) EMA EBV are expected to produce progeny with better muscling. Rib and Rump Fat EBVs (mm): Bulls with higher (or more positive) Rib & Rump Fat EBVs are expected to produce fatter progeny, relative to carcase weight. The desire for more or less fat will depend on the finishing ability of your animals. Retail Beef Yield (%): Bulls with higher (or more positive) RBY EBVs are expected to produce progeny with higher yielding carcases. Intramuscular Fat (%): Bulls with higher (or more positive) IMF EBVs are expected to produce progeny with more marbling and better grading scores (e.g. MSA). Shear Force (kg): Bulls with lower (or more negative) SF EBVs are expected to produce progeny with more tender meat. Flight Time (secs): Bulls with higher (or more positive) FT EBVs are expected to produce more progeny with acceptable temperament.
