ARTICLE I-Name and Seal
The Association shall be known as "Spindle Point Association, Inc." The seal shall be a circular die, with the historic name "Spindle Point Civic Association, Inc. 1953, New Hampshire" cut or engraved thereon.
ARTICLE II-Purpose
The Association is a nonprofit organization for residents of the Spindle Point section of Meredith, New Hampshire, as defined by the Joseph I. Melanson subdivision, 1949, organized to provide an effective liaison between the Association and the town of Meredith, to promote civic improvement, a friendly community, safety, sanitation and to monitor the application of all rules, regulations and laws of the State of New Hampshire and the town of Meredith, pertaining to the purpose of this Association. It is also the purpose of this Association to use our resources to promote and maintain the character of the area, its deeds, covenants and restrictions therein.
ARTICLE III-Membership and Dues
a) Members in Good Standing shall be defined as: Persons having title to real estate in the Spindle Point subdivision, their spouses and children of at least 21 years of age, shall become members in good standing by payment of annual dues as regulated by the Association. Dues shall be assessed upon a single domicile. There shall be one vote per domicile for conducting the business of the Association;
b) The Association at any regular Association meeting shall fix the annual dues for Members in Good Standing;
c) Association members have the right to use all of the common lands owned by the Association. These common lands are known as the Beach Lot #88, the Red Maple Swamp Lot, the Shelter Lot, the Brook Lot, and the Eagle Mountain Lot;
d) Eligible persons who are not Members in Good Standing forty-five (45) calendar days before the August annual Member Meeting forfeit the right to vote at the August annual Member Meeting. Eligible persons who are not Members in Good Standing shall not be covered by Association liability insurance and shall not enjoy the right to have a nameplate on the Association signboard;
e) Lapsed memberships may be immediately reinstated as Members in Good Standing by payment of all outstanding dues;
f) Anyone purchasing property shall automatically succeed to rights of membership of the seller. An entrance fee, set by the Board of Governors, may be required to join the Association.

a) The officers of the Association shall consist of a President, a Vice President, a Secretary, an Assistant Secretary, a Treasurer, an Assistant Treasurer, and a Membership Chairperson;
b) The fiscal term of office shall run for two fiscal years from January 1 to December 31 of the following year.
ARTICLE V-President
Effective January 1, 2026
The President shall:
a) Ensure notices of open positions and elections are held as to continuously maintain a comprehensive Board of Governors to manage the affairs of the Association.
b) Preside according to Roberts Rules of Parliamentary Law (a copy of which shall be kept with the books of the Secretary) at all meetings of the Association and the Board of Governors;
c) Serve as the chair of the Board of Governors;
d) Call such meetings as are herein provided;
e) Supervise and report the conduct of affairs of the Association at the August meeting;
f) Sign with the Secretary all legal instruments on behalf of the Association, after receiving approval from the Board of Governors, except for disbursements, which shall be signed by the Treasurer;
g) Notify members of the Association of the date, time and place of all meetings, the nature of business to be voted upon and all agenda matters to come before those meetings;
h) Ensure that notice of dues be sent on or about January 1st of each year;
i) Supervise the publication of a newsletter each year.
The Vice President shall:
a) Perform the duties of the President in the absence of the President;
b) Perform the annual financial review of accounts of the Association prior to the August meeting and provide a report at the August meeting;
c) Supervise the By-law Committee;
d) File for the Association the State of New Hampshire “Non-Profit Report”, that is to be filed every five years, on years ending in zero (0) or five (5).
The Secretary shall:
a) Sign all legal documents with the President on behalf of the Association;
b) Conduct the correspondences of the Association and keep copies which shall be open to the inspection of members;
c) Take the minutes of all Association and Board of Governor meetings. In the absence of the President and Vice President, call meetings to order for the purpose of electing a temporary chair;
d) Record results of votes taken at Member Meetings.
The Assistant Secretary shall:
a) Organize and maintain a checklist of online records of the Association;

b) Annually assess the Association’s record-keeping so each years’ books and meeting records are organized and available for future reference by current and future BOGs;
c) Assist the Secretary as requested.
The Membership Chairperson shall:
a) Act as Chairperson of the Membership Committee;
b) Keep an accurate record of all Spindle Point properties and persons eligible for membership;
c) In concert with the Assistant Treasurer, keep a record of all Members of the Association including their last known permanent addresses, phone numbers, and email addresses;
d) Keep a record of Members present at all meetings and hand out voting cards to Members in Good Standing.
ARTICLE X-Treasurer
The Treasurer shall:
a) Receive all monies belonging to the Association and disburse money under the direction of the President and the Board of Governors in accordance with the terms of Article XIII, and all other applicable provisions of these By-laws;
b) Deposit the funds of the Association promptly in the name of the Association to such bank and/or purchase such financial instrument (ex: CD) as designated by the Board of Governors and withdraw funds by as requested by the Board of Governors upon the Treasurer's signature alone;
c) Submit a statement of accounts at each regular meeting and have details of such accounts readily available at regular meetings (XV);
d) Have all accounts open to members of the Board of Governors and have the accounts from the preceding calendar year available for the Vice President;
e) File Form 990-N Annual Electronic Notice (e-Postcard) for Tax Exempt Organizations with IRS annually.
ARTICLE XI-Assistant Treasurer
The Assistant Treasurer shall:
a) Assist the Treasurer as requested;
b) Collect and deposit dues; provide collection reports to the Treasurer and Membership Chairperson.
The Board of Governors shall:
a) Consist of at least nine (9) and no more than thirteen (13) members in good standing of the Association as follows:
Effective January 1, 2026
I. The seven officers of the Association;
II. The immediately available past President of the Association;
III. At least one (1), but no more than five (5) Members at Large.
When practical, one board member shall be chosen from each of the following property groups, with two (2) members at large:
1) Sachem Cove Road and Spindle Point Road street numbers 7- 35 inclusive;
2) Spindle Point Road numbers 37-95 inclusive, to the end of Spindle Point Road;
3) Lighthouse Road, Observatory Road and Oak Island;
4) Cummings Cove Road and Eaton Avenue.
b) Have six or seven (6 or 7) members of the Board of Governors elected each year for terms of two (2) years, such terms commence on the first day of January following their election, to run on a staggered basis.
ARTICLE XIII-Duties
The Board of Governors shall:
a) Manage and direct all business of the association. Have general charge and direction of the business of the Association;
b) Under the direction of the President and prior to the meeting of the general membership in August, prepare an annual budget of estimated income and expenditures to be voted on by the Association members at the August meeting. The budget may include an item for incidental expenses not to exceed $800.00;
c) Promptly consider and vote upon any additional expenditures not included in the budget that may arise due to unforeseeable circumstances or emergencies during the year. Any expenditure in the amount of eight hundred dollars ($800) or more shall require approval of a quorum of the Board of Governors, with effort being made to contact all members of the BOG. Expenditures under the eight hundred ($800) shall require approval of a four (4) members of the Board of Governors;
d) At the recommendation of the Treasurer have the care and management of the Association's invested funds and other property with power to invest, reinvest and transfer the same at its discretion;
e) Review the details of the Treasurer’s Report prior to the regular August meeting.
There shall be:
a) A Membership Committee chaired by the Membership Chairperson to keep accurate records of the Spindle Point Association (SPA) landowners, their contact information and their Membership status;
b) A Social Committee appointed by the President when that officer takes office, to take charge of all social activities for the current year;
c) A Nominating Committee appointed by the Board of Governors at its spring meeting to select new candidates for officers and board members;
d) A Stewardship Committee to take care of the Association’s common land;
Effective January 1, 2026
e) A By-law Committee, as required, to keep By-laws up to date.
a) There shall be one (1) Annual Member Meeting of the Association. The Member Meeting is to be held in Meredith, NH on the second Saturday or Sunday in August. The President of the Association with send notice to Members designating the time, place, and date of meeting, at least two weeks prior to the date of said meeting;
b) The President may call special meetings;
c) At all Member Meetings of the Association a quorum shall consist of fifteen Members in Good Standing, one vote per domicile. The Board of Governors shall meet at least once per year at a time and place designated by the President upon one week's notice to members of the Board. The President shall call additional meetings, with at least one (1) week notice when practicable, upon the request of the majority of the Board;
d) At meetings of the Board of Governors a quorum shall consist of fifty percent (50%) plus one (1) members of the Board of Governors. To be clear:
a) The Nominating Committee shall nominate officers and members for the Board of Governors by giving notice of such nominations to the Secretary at least four (4) weeks prior the Annual Meeting of the Association in August; notice of the candidates will be sent to the Membership at least three weeks prior to the Annual Meeting in August;
b) Other nominations may be made at least fourteen (14) days before the August meeting by any five (5) members in good standing of the Association in writing, filed with the Secretary, with the written consent of the nominees;
c) Elections of members of the Board of Governors and other officers will take place at the August meeting of the Association and a plurality shall elect;
d) Any officer or member of the Board of Governors may be removed at any time by a majority vote of the Members in Good Standing of the Association at any regular meeting (see XV) or other meeting which has been formally noticed to all Members in Good Standing, if such office holder, by illness, neglect, lack of interest or other cause, shall not have attended to these duties as described in these by-laws;
e) The Board of Governors shall temporarily fill unforeseen vacancies among the required officers and members of the Board of Governors for a term ending when an election will be held at the next annual August Membership Meeting;
f) All nominees for Association officers or Board of Governors must be and shall remain throughout their tenure Members in Good Standing.
ARTICLE XVII-Voting
Effective January 1, 2026
a) At or prior to all meetings of the Association, members in good standing (one vote per domicile as referenced to Article III-a) may vote either personally or by written limited proxy or ballot, upon any resolution or election of officers;
b) At all meetings of the Board of Governors, any member of the Board may vote upon any resolution submitted to them in writing prior to such meeting and thence mailed or delivered to the President or the Secretary.
Wherever the following terms appear in these By-laws and on SPA property signage, the following definitions shall apply:
Landowner: An eligible person, eligible to become an SPA Member. A person who has title to real property in the Spindle Point Subdivision of 1949 (as amended).
Member: A Landowner within the Spindle Point Subdivision who is paid and current on their Membership Dues and fees, if any.
Guest: An invited guest of the Member. In virtually all regards relative to these by-laws, a Guest is an invited, well-known to the Member, and typically escorted associate of the land-owning Member. An AirBnB “guest” (or similar) discovered by commercial solicitation of the property for rent does not meet this definition.
Renter: A short-term renter. Short-term is defined as less than 90 continuous calendar days’ rental or lease agreement.
Lessee: A long-term renter. Long-term is defined as 365 continuous calendar days’ agreement. In regards to the rights and privileges referenced in these by-laws, a Lessee (with the obvious exception of land ownership and voting) stands in the shoes of the owner
These by-laws may be amended at any meeting of the Association by an affirmative vote of at least two-thirds of the members voting in person or by written ballot or limited proxy. No amendment shall be adopted unless the change is stated in the meeting notification, nor unless twenty (20) members in good standing shall have voted in favor thereof.
Effective January 1, 2026
ARTICLE XX-Rule and Regulations pertaining to The Common Beach Lot / Lot 88:
a) Renters, as defined in Article XVIII, may not use Lot 88;
b) The following usage rules shall be posted on Lot 88 and adhered to by Members: Beach Lot Rules

Origin: Meredith was first granted in 1748 to a group of settlers led by Samuel Palmer, a teacher of surveying and navigation, who had laid out much of the land surrounding Lake Winnipesaukee. It was known as Palmer's-Town, or Second Township, since it was the second town granted by the Masonian Proprietors that lay at the lake. Many settlers were from Salem, Massachusetts, and the town was later called New Salem. In 1768, the town was incorporated by Governor John Wentworth as Meredith, for Sir William Meredith, who allied with William Pitt in opposition to taxation on the colonies.

Population, Year of the First Census Taken: 881 residents in 1790
Population Trends: Population change for Meredith totaled 2,183 over 44 years, from 4,646 in 1980 to 6,829 in 2024. The largest decennial percent change was a 23 percent increase between 1990 and 2000; the smallest, just four percent for both 1980 to 1990 and 2000 to 2010. The 2024 Census estimate for Meredith was 6,829 residents, which ranked 48th among New Hampshire's incorporated cities and towns.
