JNPT upgrades its existing Ship Maneuvering Simulator in a major technological push N AV I M U M B A I : J a w a h a r l a l Nehru Port Trust (JNPT), India’s premier container port, in a major push and with a vision of augmenting the ports training abilities, superior training outcomes for the pilots, have upgraded to the latest technology for navigation & vessel maneuvering training. This enhancement ship maneuvering simulator will ensure availability of latest modules and features to augment JNPT’s training capabilities and ensure superior training outcomes for the pilots. Shreyas Shipping signs a “unique and advantageous” ship chartering deal with Unifeeder MUMBAI: Shreyas Shipping & Logistics Ltd, the Indian flagged vessel owning unit of Dubai’s Transworld Group, has struck a unique and mutually beneficial vessel chartering agreement with Transworld Feeders Pvt Ltd,

a proposed subsidiary of the Unifeeder Group which will acquire the container vessel operating business of Shreyas as part of a global deal announced on August 19. Unifeeder Group is a unit of Dubai-based global port operator D P World Ltd. DP World, through Unifeeder, will also be acquiring the shares of Avana Logistek Limited from Transworld and Shreyas. CIRCULAR NO. 41/2020-CUSTOMS Sub.:Auto Let Export Order under Express Cargo Clearance System (ECCS) - reg. In order to facilitate exports by courier and to enhance the global competitiveness of India's exporters. Board has decided to allow the facility of Auto Let Export Order (LEO) under the Express Cargo Clearance System. 2. The facility of Auto LEO has been developed by Directorate General of Systems & Data Management and is ready for launch. 3. The Courier Shipping Bills (CSBs) filed for clearance of export goods under ECCS are subjected to Risk Management System (RMS), after the registration of the goods by the Custodian (arrival scan and weight record). The RMS either facilitates or interdicts a Courier Shipping Bill (CSB) as per risk parameters. 4. It has been decided, that export goods which are covered under CSBs, and are fully facilitated by RMS (no assessment, no examination) and cleared by customs x-ray scanning shall be automatically given LEO by the ECCS. This is expected to considerably reduce the dwell time of clearance of export shipments through courier. 4. Public Notice and Standing order, for guidance of the stakeholders and officers may please be issued. 5. Difficulty, if any, may be brought to the notice of the Board. CIRCULAR NO. 40/2020-CUSTOMS Sub.: All India roll-out of Faceless Assessment - reg. Kind reference is invited to Board Circulars No.28/2020-Customs, dated 05.06.2020 and No. 34/2020-Customs, dated 30.07.2020, launching Phases I and II of Faceless Assessment, respectively, under the umbrella of the next generational Turant Customs programme. 2. The key elements of the Turant Customs programme are Faceless, Contactless and Paperless Customs clearance processes. This includes faceless or anonymised assessment, self-registration of goods by importers, automated clearances of bills of entry, digitisation of Customs documents, etc. The objectives sought to be achieved are exponentially faster clearance of goods, reduced interface between trade and Customs officers and enhanced ease of doing business. The phased launch of the Turant Customs programme in select ports of import was aimed at testing in a real-life environment, the IT capabilities as well as the responsiveness of the trade and Customs officers to the various initiatives. The results have been reviewed and these have confirmed that the stated objectives are being met. The stage is now set for extending the Turant Customs programme across all Customs ports pan India and thereby ushering in a more modern, efficient, and professional Customs administration with resultant benefits for trade and industry. 3. Faceless Assessment, duly supported by Paperless and Contactless Customs clearance processes, is a critical reform. As you are aware, the pilot programme of Faceless Assessment was launched in Chennai on 14.08.2019 for primarily electrical machineries falling under Chapter 85 of the Customs Tariff Act,1975. This pilot programme was subsequently expanded to Ahmedabad, Bengaluru, Delhi, Mundra and Visakhapatnam for goods primarily falling under Chapters 39, 84, 86 to 92, 72 to 83 and 50 to 71 of the Customs Tariff Act, 1975. These pilot programmes helped test Faceless Assessment, first in the same Zone (e.g. imports at Chennai seaport and air-cargo were assessed by Customs officers in either location instead of only in the port/air-cargo of import) and then across Zones (e.g. imports at Chennai sea/air-cargo were assessed by Customs officers at Bengaluru air-cargo/ICD and vice versa). These pilot programmes were followed by the launch of Phase I of Faceless Assessment on 05.06.2020, cutting across the Customs formations in Chennai and Bengaluru for articles primarily falling under the Chapters 84 and 85 of the Customs Tariff Act, 1975. Phase II of Faceless Assessment, which was begun on 03.08.2020 at Customs formations in Chennai, Bengaluru, Delhi, for goods falling under the Chapters 50 to 71, 84, 85 and 86 to 92 of the Customs Tariff Act, 1975 and at Customs formations in Mumbai, for goods failing under the Chapter 29 of the Customs Tariff Act, 1975. As aforestated, the results have been encouraging. 4. Board has decided to roll-out the Faceless Assessment at an All India level in all ports of import and for all imported goods by 31.10.2020. The detailed roll-out plan in phases covering different Customs Zones and Chapters of the Customs Tariff Act, 1975, including the existing Phases I and II, is given in Annexure I. 5. Constitution of National Assessment Centres (NACs) : 5.1 Vide para 4 of Circular No.28/2020-Customs, dated 05.06.2020, it was intimated that the designated nodal Commissioners would be precursors to the National Assessment Centres (NACs). Accordingly, Board has decided to constitute total 11 NACs, as mentioned in the Annexure II. These NACs are organized commodity-wise according to the First Schedule to the Customs Tariff Act, 1975. The rationale for the selection of a Zone in the NAC is the share of volume of the import of the particular commodity group(s) in its Zone as compared to the All India imports and/or share of contributed by the said commodity group(s) or the share of import of the particular commodity group(s) in their own Zones, while the rationale for the selection of a Conveners for the NAC is its share of the All India revenue contributed by the said commodity group(s) or the share of the revenue contributed by the particular commodity group(s) in their own Zones. 5.2 Each NAC shall be co-convened by the Principal Chief Commissioners/Chief Commissioners of the Zones mentioned in Column 4 of Annexure II. 5.3 Each NAC shall consist of the Principal Commissioners/ Commissioners of Customs from the Zones indicated in Column 3 of Annexure II as a member. 5.4 For each NAC the Principal Chief Commissioners/ Chief Commissioners, having jurisdiction over the Zones, shall nominate a nodal Principal Commissioners/ Commissioners. The rationale for the nomination would be the volume of the import of the particular commodity group(s) in the Zone as compared to the All India imports and/or share of import of the particular commodity group(s) in their own Zones. The Board shall be informed about the nomination of the Principal Commissioners/ Commissioners and the same shall be published on the departmental website. Responsibilities of NAC: 5.5 The NACs have a critical role in the successful implementation of Faceless Assessment. In addition to their existing work, the NACs need to work in a coordinated manner to ensure that all assessments are carried out in a timely manner and there is no delay or hold up of the Bills of Entry. The NACs would also examine the assessment practices of imported goods across Customs stations to bring about uniformity and enhanced quality of assessments. The important responsibilities of the NACs shall include the following: I. Monitor the assessment practice for enhancing uniformity of classification, valuation, exemption benefit and compliance with import policy conditions. II. Assess the application of Compulsory Compliance Requirements (CCRs) and ensure uniform practices in accordance with the relevant statutes/Legal provisions. III. Study audit objections and take corrective actions regarding assessments, wherever necessary and provide inputs to the concerned ports of import. IV. Analyse the RMS facilitated Bills of Entry pertaining to Chapters falling under their purview and advise the DGARM regarding possible interventions or review of risk parameters. V. Liaise with Principal Commissioner/Commissioner of Customs at ports of import about interpretational issues pertaining to classification, valuation, scope of exemption notifications and trade policy conditions. VI. Interact with sectoral trade and industry for inputs, and on issues relating to assessment. VII. Function as a knowledge hub or repository for that particular Chapter(s); VIII. Examine the orders/appellate orders in relation to assessment practices pertaining to goods assigned to each Faceless Assessment Group and provide inputs to the Commissionerates for uniformity of assessment orders before legal fora. Responsibilities of Co-conveners of NAC: 5.6 The Co-conveners of NAC shall provide overall leadership and monitor the functioning of the NACs. The important responsibilities of NAC Co-conveners in regard to the NAC shall include the following: I. Nomination of Principal Commissioners/ Commissioners as Members of the NAC from the Zones mentioned in column 3 of Annexure II. II. Ensure setting up of Working Groups within NACs for smooth functioning of NACs. III. Ensure that NACs develop expertise over the assigned Faceless Assessment Group in different facets of assessment such as classification, valuation, prohibitions & restrictions etc. IV. Co-ordinate with other Directorates and NACs for various functions mentioned in paras 5.7 & 5.8 of this Circular. V. Make recommendations to Board for policy considerations. Co-ordination Among NAC Commissioners: 5.7 Since the Nodal Principal Commissioners/ Commissioners are spread across different geographical locations, following co-ordination measures may be institutionalised at the initial phase, which will go a long way in bringing efficiency to the functioning of NACs: I. Continuous assessment – Ensure that verification of the assessment is not held up if there is an official holiday for the members of the FAG in a particular location. This could be done by having this work done at multiple locations. II. Daily Web meeting – The Working Groups may virtually meet for a short duration every day at a scheduled time to review timeliness of assessment, identify bottlenecks and take measures to remove difficulties. The link shall be made available to the Chairman, Member Customs, Zonal Member(s) and Joint Secretary (Customs), CBIC and the Co-convenors of concerned NAC, to enable participation in the online meeting room. III. Weekly web meeting – The Working Groups may have a web meeting for a short duration once a week at a scheduled time to review classification, valuation, exemption notifications, prohibitions and restrictions in order to identify divergent practices and ensure uniformity. IV. Monthly web meeting by Co-convenors: The Co-convenors of the NAC shall have a web meeting, at least once in a month to review the functioning of the NACs. Co-ordination of NACs with Other Directorates: 5.8 NACs shall also co-ordinate with: I. Directorate of Revenue Intelligence (DRI) and Directorate General of GST Intelligence (DGGI) related to management of alerts undertaken by the NAC. II. Directorate General of Valuation (DGoV) to enhance expertise related to sensitive commodities handled. DGoV shall also appoint nodal person for every NAC for better co-ordination. III. Directorate General of Analytics and Risk Management (DGARM) to provide feedback and enhance risk assessment and accuracy of CCR Instructions. IV. National Academy of Customs and Indirect Taxes (NACIN) to hold capacity building sessions for departmental officers. V. Directorate General of Taxpayer Services (DGTS) to enhance outreach measures to the taxpayers by providing content, faculty for holding webinars, workshops etc. VI. Directorate General of Audit (DG Audit) and Audit Commissionerates related to audit objections and feedback. VII. Directorate General of Systems and Data Management (DG Systems) in regard to System issues and enhancements. VIII. Any other formations in CBIC to fulfil the stated objectives. Pre-launch preparation for Faceless Assessment: 5.9 Before the rollout of Faceless Assessment, the Nodal Commissioners in the NAC shall co-ordinate to take all measures to ensure that Faceless Assessment is smooth and creates no disruption in the assessment and clearance of goods. The following important measures may be undertaken by the NAC before the launch: I. The Customs locations within each Zone, performing Faceless Assessment may be identified. The volume of import and availability of adequate officers may be taken into consideration for such identification. II. Nominate sufficient number of officers for the Faceless Assessment. The officers should be more than two at all levels, to ensure availability. To the extent possible, dedicated team of officers may be posted to the Faceless Assessment Groups. III. Identify variations, if any, in assessment practices and harmonise them for application across FAGs. IV. Take into account audit objections, judicial and quasi-judicial decisions accepted by the Department relating to the assessment of the goods to be handled by the Faceless Assessment Groups under the concerned NAC and circulate among the FAGs for uniformity of assessment. V. Organize training on roles and functionalities in ICES related to Faceless Assessment including MIS Reports and Dashboards. 5.10. To ensure smooth implementation of Faceless Assessment & to sensitize both the departmental officers and the trade, Directorate General of Taxpayer Services (DGTS) in coordination with Customs Policy Wing shall organize extensive outreaches via online webinars/ promotional videos etc. 6. Conference on Tariff & Other Customs Matters: 6.1 Joint Secretary, Customs, (CBIC) would be responsible for coordinating with the NACs in organizing a Conference on Tariff & Other Customs Matters every 6 months to review the functioning of the NACs and FAGs. The Conference would be chaired by Member (Customs). 7. Further, Board has issued Notification No.85/2020-Customs (N.T.) dated 04.09.2020 by virtue of which the Commissioners of Customs (Appeals) are empowered take up appeals filed in respect of Faceless Assessments pertaining to imports made in their jurisdictions even though the Faceless Assessment officer may be located at any other Customs station. To illustrate, Commissioners of Customs (Appeals) at Bengaluru would decide appeals filed for imports at Bengaluru though the Faceless Assessment officer is located at any other port of the country, say Delhi. 8. All other clarifications and guidelines on Faceless Assessment, as provided vide Circular No.28/2020-Customs and Instruction No.09/2020-Customs, both dated 05.06.2020 may kindly be referred to. 9. The Principal Chief Commissioners/Chief Commissioners of Customs are requested to issue Public Notices and guide the trade suitably to ensure the smooth roll out of Faceless Assessment. 10. Major Ports traffic growth falls by 16.56% in first 5 months of fiscal NEW DELHI: The 12 Major Ports in India have struggled with traffic growth in the first five months of current fiscal year, a period that largely coincided with nationwide lockdown due to global pandemic. Cumulatively, the ports as per data compiled by Indian Ports Association (IPA) on September 3, have shown negative growth of 16.56% handling 2.45-lakh tonnes as on August 31 against 2.93-lakh tonnes in corresponding period last fiscal. Mormugao Port in Goa was the only port to buck the trend recording 19.07% growth (see box). New Mangalore Port, the gateway to Karnataka’s seaborne e x po rts was better off among the remaining 11 major ports showing the least negative growth at 5.21%. Kamarajar Port Ltd, formerly Ennore port in Chennai with a negative growth of 31.64 was marginally ahead of neighbouring Chennai Port Trust which recorded

negative growth of 30.36%. A Janardhan Rao, Managing Director, IPA said growth in Mormugao was due to increase in traffic of iron ore and pellets (201.64%) with other miscellaneous cargo (18.25%) and coking and other coal (4.12%) aiding the same. Reduction in handling coking coal (-49.20%), other miscellaneous cargo (-48.11%), other liquids (-43.08%), ther mal and steam coal (-33.49%), POL (-18.98%) and container tonnage (-13.74%) led Kamarajar Port’s decline. Likewise, decline in Chennai was led by fall in POL (-42.94%). Cochin too took a hit due to POL (-38.03%). Syama Prasad Mukherjee (SPM) Port Trust (formerly Kolkata Port) registered a -23.74% decline in traffic. Kolkata Dock Systems and Haldia Dock Complex, integral wings of SPM Port Trust saw a decline by -32.83% and -20.26% respectively in the first five months.

On the other hand, Deendayal Port handled highest volume of traffic at 43.67 million tonnes (MT) (17.82% share) followed by Paradip 42.75MT (17.45%), Visakhapatnam 26.94MT (10.99%), JNPT 21.69MT (8.85%) and SPM Port Trust 20.65MT (8.43%), Together, these ports handled around 64% of the traffic that all major ports in India handled, Rao said, adding among commodities handled POL lead the charts at 32.41% and container (20.11%). There was decline in handling of coking and other coal (-31.87%), thermal and steam coal (-25.42%), container tonnage (-22.45%), POL (-18.58%), other liquids (-16.07%) and other miscellaneous cargo (-10.64%). Positive traffic growth was seen in fertiliser raw materials (31.09%), iron ore (26.88%) and finished fertilisers (3.02%). Post unlock 4.0, there is bound to be a rebound in traffic growth during the remaining part of the fiscal, he noted.

India doubles Steel Export, China major buyer NEW DELHI: India’s export of finished steel grew over two-fold between April and July this year, while import of such products reduced by about 42%. According to the latest Joint Plant Committee (JPC) report, between April and July, the country’s total export of finished steel stood at 4.64 million tonnes (MT), as against 1.93 MT in the same period a year ago. JPC, under the Union Ministry of Steel, collects and maintains data on the Indian steel and iron sector. Out of the total 4.64 million tonnes of export, Vietnam and China bought 1.37 million tonnes and 1.3 million tonnes of steel, respectively. Sources said that though Vietnam has been buying Indian steel regularly, the fact that Chinese companies imported Indian steel in a

big way despite growing tensions between the two countries has come as a surprise to many. According to the JPC data, the country reduced its imports by 42% to 1.50 MT during the period under review from 2.59 MT a year ago. “Import of total finished steel from China declined by 21.7% during this period,” the JPC report said. China produced 93.4 MT of crude steel in July, an increase of 9.1% compared to July 2019. India produced 7.15 MT of crude steel in the same month compared to 9.48 MT in July 2019. Japan, on the other hand, produced 6.0 MT of crude steel in July, down 27.9% in July 2019. South Korea’s steel production was 5.5 MT, down by 8.3% in July 2019. According to the report,

Germany produced 2.4 MT of crude steel in July 2020, down 24.7% in July 2019. Production in the European Union overall is estimated to be 9.8 MT of crude steel in July 2020, down by 24.4% in July 2019. The United States produced 5.2 MT of crude steel in this month, a decrease of 29.4% compared to July 2019. As reported earlier, India earned the distinction of becoming the world’s second largest steel producer, for the second consecutive year, in 2019, as per the WSA report. As per report, in 2019, the world crude steel production reached 1869.9 MT and showed a growth of 3.4% over 2018. China remained the world’s largest crude steel producer in 2019 with 996.3 MT, followed by India (111.2 MT), Japan (99.3 MT) and USA (86.9 MT).

Transport Minister asks auto-parts makers to cut Imports, focus on Exports NEW DELHI: Union Minister Nitin Gadkari has asked Indian automobile and components industry to stop depending on imports and develop local substitutes for products bought from overseas. He said the country’s auto sector has the potential to be the top global manufacturing hub. The government has also taken several steps to encourage Indian companies to export more, and the components sector has an opportunity to take advantage of

measures like changing the definition of MSMEs, the Union road transport and highways minister said while addressing the 60th annual session of Auto Components Manufacturers Association of India (ACMA) in New Delhi on Saturday. “I request you, don’t encourage imports. Try to take the initiative to find out the alternative, or how can we make import substitutes in India,” he said. He further said while making those

products in India, “Initially the profit margin may be less but when you get the volume, you can be the most important company for exports. I have 100% confidence in you.” Gadkari, who also holds the MSME portfolio, exhorted the components sector to improve production, technology and quality and take advantage of India’s cost-competitive labour to be a force in the global arena and contribute even more to the country’s GDP.

Rice, sugar push up Q1 Farm Exports by 23% NEW DELHI: Despite Covid-19 and the lockdown, India saw a 23% increase in export of farm produce from April to June compared to the corresponding period last year, with rice and sugar dominating the charts. Though Basmati rice tops the list of exported farm items in terms of value (Rs 8,591 crore) — accounting for a third of India’s agri export in the first quarter of 2020-21, it’s an export of non-Basmati rice that contributed the highest rise of Rs 2,392 crore. Overall, India recorded an increase of Rs 4,818 crore of agri export compared to 2019 Q1.

Rice, sugar contributed over 95% to agri export increase Export of refined sugar contributed an increase of Rs 1,719 crore and export of raw sugar Rs 448 crore during the period — this means non-basmati rice and sugar (refined and raw) together contributed Rs 4,559 crore (over 95%) in total increase of agri commodities export. Though pigeon pea (tur), Bengal gram and raw groundnut oil figure at the top in percentage term increase, their contribution in value terms in total export is low compared to rice, sugar and onion during the pandemic-hit period.

In fact, export of Basmati rice recorded minor decline while other key commodities in India’s agri export basket such as tea and soya meal reported decline of 27% and 14%, respectively, during the first quarter of current financial year compared to the corresponding period in 2019. India’s contribution to sustaining the global food supply chain through increased export amid Covid-19 situation was noted last week during the UN Food and Agriculture Organisation’s (FAO) 35th regional conference for Asia and the Pacific, organised by Bhutan on a virtual platform.

Global trade on course to recover more quickly than post-2008, says leading economics body LONDON: Rising shipping volumes and increased freight capacity point to a possible V-shaped recovery for global trade, according to a leading economics body. The Covid-19 pandemic lead to a sharp decline in international activity, with governments around the world announcing lockdown restrictions to prevent the further spread of the virus. The WTO said in June that merchandise trade had declined by 18.5% year-on-year in the first half of 2020 as a result. Quick recovery With lockdown measures lifted across western nations in the early summer, there are signs that global trade is on course for a quick recovery. Germany’s Kiel Institute for the World Economy reckons trade will rebound more quickly than it did after the financial crisis in 2008, suggesting a V-shape rebound is possible. Bloomberg quotes their president Gabriel Felbermayr arguing this week that shipping volumes are already back at levels it took over a year to recover to

after 2008. He also said freight capacity in late August was reaching levels you’d associate with a non-crisis environment, suggesting international shipping movements are normalising. On Monday (31 August), IMF managing director Kristalina Georgieva also agreed that a “revival of trade” is under way. Grounds for caution Despite the optimism of the Kiel Institute, the WTO has argued that predictions of a complete rebound in 2021 could well be “overly optimistic”. The WTO predicts global trade will contract by 13.5% in 2020 and fully recover by Q1 2021 in a best-case scenario. However, a weaker scenario would see a full recovery occur much later next year. Worst still to come? Euler Her mes, a trade credit insurance firm also from Germany, is more pessimistic in its outlook, predicting global trade volumes will contract by -15% with only a recovery of 8% in 2021.

The company predicts trade will not return to pre-crisis levels till after 2023. In the UK, Prime Minister Boris Johnson has told Tory MPs that the UK’s economic health could also worsen in the months ahead, according to the FT. Managing risk All predictions about the speed of the global economic recovery from the pandemic currently come with the caveat of a possible second wave of the virus, particularly as cases increase again throughout European countries. Euler Hermes’ chairman Wilfred Verstraete said “now is the time” for businesses and financial ser vices providers to invest in technologies to better “understand and predict risk” in order to improve the management of future crises or waves of the current pandemic. In a letter to the firm’s 66,0000 clients, Verstraete said 65% of business leaders had been affected by payment delays earlier in the summer with only 31% feeling prepared to deal with such incidents.

BIMCO force majeure clause under way OSLO: With an increasing focus on force majeure due to the COVID-19 outbreak, BIMCO has gathered a drafting team to develop a free-standing force majeure clause for use in a variety of contracts. Successfully invoking “force majeure” under a charter party or other contract depends on many factors. One essential element for contracts governed by English law is that the agreement must contain a clause that defines what constitutes a “force majeure” event and sets out the circumstances under which the clause can be invoked to excuse liability for non-performance. That is because force majeure is not a free-standing legal concept under English law, as opposed to some civil law countries such as

France, where it is written into the Code Civil. English law operates instead with frustration, which has a reputation of being almost impossible to attain. Although several BIMCO contracts include a force majeure clause, this clause was never published as a standalone clause in BIMCO’s clause library. The drafting team met for the first time on 1-2 September to discuss issues such as: • Who the clause should benefit and what the threshold for invoking force majeure should be. • What should qualify as a force majeure event for the purpose of the clause. Generally, force majeure events fall into two groups: natural events and political events. Natural events may include earthquakes, floods, and other natural disasters. Political events may include ter rorism, war (whether declared or not), riots, strikes, changes

of laws or government policies. • What the consequences of a force majeure event should be, for example, non-liability for damages, suspension of performance, or termination. • Whether different force majeure clauses should be developed for different types of contracts. A force majeure clause in a voyage charter party would need to provide for different consequences than in a ship sale and purchase contract due to the nature of these contracts. Inspiration is drawn from the ICC Force Majeure Clause 2020. The experts on the drafting team – Inga Frøysa, Klaveness, Nicola Ioannou, Oceanfleet, Peri Ertugr uloglu, Glencore Agriculture, Rory Butler, HFW, Andrew Rigden Green, Stephenson Harwood, and Philip Stephenson, The Standard Club – will continue their deliberations at the next meeting in October.

The upgrades made to the p h y s i c a l s i m u l a t o r infrastructure such as the Human Machine Interface (HMI) and Consoles will allow training for various emergency scenarios. This will also help Pilots to perform berthing operations in a more ship like environment where they can assess vessel movement not only from the wheel house but also position themselves on the wings whilst the vessel is brought alongside. This has been upgraded by ARI, with indigenous technology. These measures will help the port to be at par with

technologically advanced global ports augmenting JNPT’s stature to be among the leading container ports in the world.

Shreyas Shipping signs a “unique and advantageous” ship chartering deal with Unifeeder Cont’d. from Pg. 3

In consideration for the sale of its interests, Shreyas will receive cash of about Rs208 crores subject to customary adjustments for net debt and working capital. Shreyas will also retain all its fixed assets, including its vessels worth at least Rs 400 crores. Following the deal, Shreyas will be left with the container ship owning division and bulk cargo ship operations. Shreyas has secured a long-term container ship chartering arrangement with a tenure significantly longer than the typical market standard. This will also enable Shreyas to indirectly participate in the upside of the growth in the coastal trade market as its charter pay-outs will be performance linked to the earnings of Transworld Feeders. Given the significantly higher volumes handled by Unifeeder and its access to a global network through its parent DP World, it is expected that the businesses will benefit from revenue growth and cost synergies. Shreyas will also have a ‘Right of First Refusal’ provision which will ensure it is never unfairly disadvantaged. The framework chartering agreement with Unifeeder is also non-exclusive, which means that Shreyas reserves the right to charter vessels to third parties who can offer terms more beneficial to the Company. “Post-transaction, Shreyas will charter vessels to Unifeeder which is a bigger and more creditworthy customer

for the long-term. Unifeeder’s expertise and scale, combined with DP World’s extensive network, will bring earnings stability to Shreyas while at the same time retaining the potential to share in the future growth of Indian coastal trade,” V K Singh, Managing Director, Shreyas Shipping told. “The charter income and profitability of Shreyas will grow in-line with the growth in the operating company’s revenue and profitability. Unifeeder expects to grow the operating revenue over the medium and longer term on the back of significantly higher volume of the combined businesses” Singh stated. The deal maximises value to Shreyas Shipping shareholders. “This is a unique opportunity for the Company to release capital, de-risk the remaining business and deliver stability by partnering with a leading global operator during a challenging business environment that has seen a few transactions collapse within the logistics sector,” Singh observed. Against this backdrop, the Company has successfully managed to secure an attractive valuation, which is at a significant premium to Company’s current market valuation, he said. “Another key benefit is that the Company will utilize the proceeds from the sale to repay some of its debt and replace old vessels with newer, more efficient vessels. This will further improve the Company’s cash flows and debt equity ratio”, he added. “Overall, it’s a value maximization solution with attractive valuation upfront and a de-risked business model in the long term,” Singh asserted.

Bahri boosts Dry-Bulk fleet with addition of newbuild Alanood This year’s second new vessel takes tally of maritime leader’s operational and underdevelopment eet to 101 RIYADH: Bahri, a global leader in logistics and transportation, today announced that it took delivery of its new dry-bulk carrier ‘Alanood’ on 31 August, making it the second newbuild vessel to join the company’s market-leading fleet this year. The Kamsarmax-class carrier lifts the number of Bahri’s dry-bulk fleet to seven, cementing its reputation as a leading regional player in the bulk shipping industry. ‘Alanood’ is also the second ship received as part of the agreement signed between Bahri business unit Bahri Dry Bulk and South Korea’s Hyundai Mipo Dockyard Co. Ltd. (HMD) in August 2017 to build and deliver four new dry-bulk carriers by 2020. The new vessel was built by Hyundai Vietnam Shipbuilding (HVS), a subsidiary of HMD, and takes the total tally of Bahri’s wide-ranging vessels to 88, including 41 VLCCs, 34 chemical and product tankers, 7 dry-bulk carriers, and 6 ro-ro ships. A further 10 chemical tankers, 2 dry-bulk carriers, and a VLCC are currently under development. Commenting on the announcement, Eng. Abdullah Aldubaikhi, CEO of Bahri, said: “Strengthening our fleet with investments in modern and efficient vessels represents a key pillar of our long-term strategy. We are confident that ‘Alanood’

will give us enhanced operational flexibility and efficiency to meet the needs of our customers around the world and enable us to boost our contribution to the smooth functioning of global supply chains whose importance was underscored by the COVID-19 pandemic. This significant addition also signifies our ongoing commitment to building up Saudi Arabia’s maritime capabilities as envisaged in the Vision 2030 agenda.” In May 2020, Bahri took delivery of the dry-bulk carrier ‘Sara,’ which was also built at the HVS dockyard in Vietnam under the latest international technical specifications. Both new vessels are environmentally friendly and have been developed to offer the highest standards of environment, safety, and fuel efficiency, with a design draft speed of 14.20 knots at normal continuous rating (NCR) with a 15% sea margin. With the new additions, Bahri is further equipped to meet the growing demand in the Kingdom for imports of basic grains, such as wheat, barley, corn, and other dry-bulk cargoes.
