Adani Ports to develop West Container Terminal at Colombo Port COLOMBO: Adani Ports and Special Economic Zone Ltd (APSEZ) will develop the West Container Terminal (WCT) at Colombo Port after the Sri Lankan cabinet on Monday approved the plan through a tripartite understanding with India and Japan, government sources briefed on the deal said. The WCT will have a 1,400-metre quay wall, water depth of 20 metres, terminal area of about 64 hectares with an annual capacity of 2.6 million TEUs. India and Japan will jointly own 85 % stake in the planned WCT, on the lines of the Colombo International Container Terminals Ltd (CICT), in which China’s state-r un China Merchants Port Holdings Company Ltd holds 85 per c e n t s t a k e a n d S r i L a n k a Po r t s Authority (SLPA) holding the balance. T h e W C T, t h e f i f t h c o n t a i n e r terminal at Colombo Port, is being offered to India and Japan after the Sri L a n k a n C a b i n e t o n Fe b r u a r y 1 scrapped a tripartite memorandum of cooperation (MoC) signed in May 2019 with the two nations to jointly develop the East Container Terminal (ECT) at Colombo Port. The move followed strong resistance from the port unions to allow the Indo-Japan partnership to develop

ECT. According to cabinet documents, the cabinet also cited the lack of flexibility shown by the Indian firm in “adhering to the key financial clauses” set by the island nation. During the February 1 Cabinet meeting, Sri Lanka’s Ministry of Ports and Shipping also proposed “to develop the West Container Terminal (WCT) in parallel with the ECT as a Public, Private, Partnership (PPP) project under BOT basis for 35 years by a joint v e n t u r e c o m p r i s i n g S L PA a n d nominees of the government of India and Japan based on the framework used in developing the CICT”. The CICT framework included a BOT tenure of 35 years, one-time upfront payment, an annual payment of land lease and royalty based on the containers handled at the terminal.

Based on the CICT framework, it was decided by the then Sri Lanka government that this “model could be successfully used for development of subsequent container ter minals, revisiting the payments to be received by SLPA based on comparative size of the ter minal area and improved business opportunity in the port of Colombo”. By holding an 85% stake, the WCT will not be treated as a governmentowned company under Sri Lankan law and hence not subjected to the auditor general of Sri Lanka, not answerable to the Parliament of the island nation and will not have to follow the public procurement procedures of the government. This will give the IndoJapan team operational flexibility to operate commercially in line with other private operators.

February’s marginal exports declined owing to Container Shortages & limited supply disruptions : FIEO NEW DELHI: Responding to February 2021 export figures, FIEO President, Mr Sharad Kumar Saraf said that the monthly exports declined marginally by 0.25 percent to USD 27.67 billion mainly on account of container shortages across the country and limited supply disruptions in the last week of the month due to increasing Covid cases in certain states. All the major sectors of export, which during the previous month were in positive territory, continued with a similar positive growth trend during February also. Mr Saraf said that we continue to see signs of further revival not only in the order booking positions but also in the demand from across the globe, paving way for much better days and months for the sector. However, rising exports from China has led to the shortage of containers in the region as most of the empty containers are available only for exports from China as the shipping lines and container companies are being paid hefty premiums for bringing empty containers back to China. FIEO President added that the exports of other cereals along with oil

meals, iron-ore, jute mfg. including floor covering, rice, cereal preparations and miscellaneous processed items, meat, dairy and poultry products, carpet, spices, drugs and pharmaceuticals, handicrafts excl. hand-made carpet, ceramic products and glassware, cotton yarn/fabrics/made-ups, handloom products etc., tobacco, plastic and linoleum, mica, coal and other ores, minerals including process and organic and inorganic chemicals showed either a very high or impressive growth or were in positive territory showing signs of further improvement. FIEO Chief also said that negative growth in exports of major products including petroleum products, oil seeds, leather and leather manufactures, cashew, gems and j e w e l l e r y, R M G o f a l l t e x t i l e s , electronic goods, fruits and vegetables, man-made yarn / fabrics / made-ups etc, engineering goods, tea, coffee and marine products, which have major contribution in the country’s exports basket and also related to labour-intensive sector of exports have been of key concern.

Further an increase in February 2021 imports by about 7 percent to USD 40.55 billion compared to the same period during the previous fiscal led to a trade deficit of USD 12.88 billion, which is an increase of 25.84 percent during the month. FIEO President urges the government to soon notify the RoDTEP rates to remove uncertainty from the minds of the trade and industry thereby forging new contracts with the foreigner buyers. Mr Saraf also reiterated that the government must address some of the key issues including timely announcement of the new FTP, adequate availability of containers, release of the required funds for RoDTEP, MEIS and clarity on SEIS benefits, softening of freight charges, resolving risky exporters' issues and continuance of seamless refund of IGST. Besides long pending demand for the creation of an Export Development Fund for marketing of Brand India products and various other infrastructure bottlenecks also needs to be looked into to bring back exports on the double-digit growth trajectory.

N AV I M U M B A I : R a i l w a y s undertook a successful trial run of double stacked dwarf container train from Mehsana (Gujarat) to JN Port on 3rd March, 2021. The train with five wagons of double stacked dwarf containers arrived at 11:30 hours and departed at 13:00 hours. JN Port is in the process of finalizing an Operator for “Management, Maintenance and Operation of Dedicated Dwarf Container Depot (D-Depot) inside the Port area at JNPT”. Inside the D-Depot ISO Export Import containers will be destuffed/restuffed and then re-stuffed in Dwarf Containers for further movement on rail to and from JN Port. The concept of Dwarf container would be game changer as the rail movement of Export Import cargo through double stacked dwarf containers would significantly provide cost advantage to the customers and enhance rail traffic at JN Port.

This follows close on the heels of the very recent acquisition of mv Turquoise Ocean (since renamed mv TBC Prime), a modern 38k handysize bulker, also from Japanese owners. The Capex investments are a result of the company’s strong belief in the bulk carrier markets and specifically the smaller workhorse handies. Earlier Transworld Group had acquired 3 new built handysize vessels from Chinese shipyards and deployed them on a world-wide trading pattern on long term charters as a part of its diversification strategy from feeder-container ships, a segment it has been present in for over 4 decades. Historically a feeder vessel owner and operator, the company ’s container vessel fleet has also grown exponentially in carrying capacity with the container fleet currently standing at 20 vessels of which 12 Indian flagged feeders are part of its Indian coastal services. Russia's Deputy Minister of Industry and Trade Oleg N Ryazantsev said the Russian gover nment is focussing on making civil shipbuilding a key area for industrial cooperation between Russian enterprises and foreign partners, with India holding an important place among them. Uzbekistan's Deputy Transport Minister Choriyev Jasurbek Ergashevich said Uzbekistan pays great attention to the development of effective strategies

and solutions that allow optimising transport cost when introducing international cargo transportation by providing quality, safety, speed of freight and passenger traffic. Stating that both India and France are closely collaborating on the ocean economy and the sustainable development goals (SDGs) and to boost bilateral trade, Nor way's State Secretary for Climate and Environment Lars Andreas Lunde said India is a strong partner for Nor way. "Both

countries enjoy a long-standing relationship." France's Minister of Marine Affairs Annick Girardin said that both India and France are firmly attached to the UN Convention on the Law of the Sea. "We wish to develop our maritime and port infrastructure in a lasting, transparent, financially sustainable way while respecting the sovereignty of states. It is, therefore, natural for France to work with India on the Blue Economy," Girardin said.

AP will have 3 new Greenfield ports by 2023: Jagan Mohan Reddy AMARAVATI: Andhra Pradesh will have three functional Greenfield ports by 2023 creating an additional capacity of at least 100 million tonnes cargo per annum, according to Chief Minister YS Jagan Mohan Reddy. He was addressing Maritime India Summit 2021, which was inaugurated by Prime Minister Narendra Modi, virtually from his camp office in Amaravati. Stating that several industrial nodes had come up in the State with ports as the focal point for development, the Chief Minister said the State government was in the process of

ensuring further development. “To further unlock this potential offered by the long coastline of 974-km in Andhra Pradesh, the Government has undertaken development of three Greenfield ports at Ramayapatnam, Machilipatnam and Bhavanapadu,” he said. The ports are being developed on an ‘innovative’ model that mitigates all risks associated with greenfield port development. After the development of the port by the government, the operator of the port would be selected on competitive bidding basis ensuring maximum revenue realisation for the government.

“These all-weather, deep-drafted ports are all set to be operational by 2023, creating an additional capacity of at least 100 million tons of cargo per annum in the short term, with a potential to grow leaps and bounds in the long term,” Reddy said. Andhra Pradesh has one major port in Visakhapatnam, five functional State ports and 10 other notified State ports with World Class facilities that handle more than 170 million tonnes of cargo per annum, second only to Gujarat. Andhra Pradesh shares 4 pc of total Indian exports and we aim to reach 10 pc share by 2030.

Karnataka plans development of 2 Non-Major Ports under PPP BANGALORE: The Karnataka Chief Minister, BS Yediyurappa, has said that more than Rs. 3,000 crore will be invested in the development of two greenfield ports in the State. Speaking at a session on ‘Investment opportunities in Karnataka’, as part of the Maritime India Summit 2021, Yediyurappa said that the State government, along with the Kar nataka Maritime Board, is committed to develop the maritime infrastructure and inland water transport in Karnataka. He said that a greenfield port is being developed under PPP model at Honnavar in Uttara Kannada district at the cost around Rs. 600 crore.

In addition to this, more than Rs. 3,000 crore is likely to be invested in greenfield ports such as Belekeri and Pavinakurve in Uttara Kannada district. Apart from this, projects worth about Rs. 1,172 crore are also being developed under the Sagarmala scheme in the State, he said. C S w a m y, D i r e c t o r o f Po r t s o f Karnataka, said the State is inviting private players to participate in the development of maritime infrastructure in Karnataka. On the development of non-major ports in Belekeri and Pavinakurve, he said these ports are open to any unsolicited proposal as well.

Speaking on the occasion, AV Ramana, Chairman of New Mangalore Port Trust (NMPT), said that though the state has 12 non-major ports and one major port, a lot of value unlocking has to be done in the maritime sector. He stressed the need to improve the connectivity from the ports to the hinterland for the development of ports in Karnataka. Stating that un-locking of value has been started in the maritime sector in the state, he said three-four non-major ports have been activated for development. This will also lead to the development of tourism and fisheries sectors along the coast, he added.

Central Revenues Control Laboratory gets recognised as a Regional Customs Laboratory (RCL) of the World Customs Organisation NEW DELHI: Central Revenues Control Laboratory (CRCL), New Delhi, under the Central Board of Indirect Taxes & Customs, was today recognized as a Regional Customs Laboratory ( R C L ) o f t h e Wo r l d C u s t o m s Organisation (WCO) for Asia-Pacific Region. In a virtual signing ceremony M r. K u n i o M i k u r i y a , S e c r e t a r y General, WCO and Mr. M. Ajit Kumar, Chairman, CBIC signed a Memorandum of Understanding (MoU) in this behalf. Established in 1939, CRCL is the headquarters of 14 Revenue Laboratories, including 2 laboratories working at Government Opium & Alkaloid Works, Ghazipur&Neemuch. These laboratories have been upgraded extensively in past 3

years and new state-of-art equipments, costing about Rs.80 crore, have been installed. With the introduction of instrument based testing, Revenue L a b o r a t o r i e s a r e , n o w, facilitating faster clearances, without compromising on law enforcement, and thereby playing a vital role in trade facilitation. With its recognition as RCL, CRCL joins a select group of Customs Laboratories in the region like those in Japan & Korea. On this occasion, Secretary General Mr. Kunio Mikuriya complimented the Indian Customs Administration and the CRCL for

achieving this distinction. Mr. M. Ajit Kumar, Chairman, CBIC underlined the active role played by India in Customs cooperation and reiterated the commitment of Indian Customs Administration to play a leading role in the region through this newly recognised Regional Customs Laboratory.

Ports & Terminals – What is driving M&As and capital market activity? LONDON: After grinding to a halt in the aftermath of the global financial crisis, M&A activity in the port sector has been growing, with financial investors being particularly active. Recent M&As indicate the sector is consolidating Recent media reports suggest that the Belgian cities of Antwerp and Bruges have decided in principle to merge into one, a new port authority for the coastal port of Zeebrugge and the larger, more inland port of Antwerp. While Zeebrugge is a leading ro-ro port and a natural gas hub, Antwerp is the second largest port in Europe, providing multiple multimodal connections to the rest of Europe via road, rail, barge and feeder services. As a result, it is a major hub across a range of cargo types – container, chemicals and break bulk. A merger of Belgium’s two largest port authorities will have positive cost implications. The unification is subject to clearance from authorities and, if it goes through, the combined port will rank a close second to Europe’s largest container hub, Rotterdam. As part of a joint plan, the two ports have defined three strategic priorities – sustainable growth, resilience and leadership in energy and digital transition. After the completion of the deal, the city of Antwerp will own ~80% of the new company, with the city of Bruges controlling the remaining ~20% share. This planned merger follows an emerging global trend. In 2019, COSCO Shipping Ports announced the signing of a merger agreement with Tianjin Port Holdings and China Merchants International Terminals, consolidating a number of major terminal facilities in China. The planned regionalisation of ports (regionwise consolidation) in China aims to rationalise capacity planning and reduce damaging competition between neighbouring ports. China now has 9 ports in the global top 25, compared to 11 two years ago. Another deal delivered as part of China’s regionalisation strategy was the July 2020 acquisition of Yingkou Port by Liaoning Port Company (previously known as Dalian Port Company). This all-scrip deal was worth USD 2.39bn (EV/EBITDA of 7.6x vs a long-term average of 11x). Strategically the deal is focussed on strengthening Liaoning Port’s status as a major gateway port in northeast China. According to the latest figures issued by China’s Ministry of Transport, Port of Dalian has registered an annual decline of 41.7% in volumes to adjust the overstatement of throughput in 2020 as well as volumes shifting to nearby Yingkou Port. Liaoning Port Company’s acquisition of Yingkou Port should help balance-out some of these inter-regional shifts in throughput. In another deal, Adani Ports and Special Economic Zones (APSEZ) acquired a controlling stake of 75% in Krishnapatnam Ports Company Ltd (KPCL) for USD 1.6bn (equivalent to an EV/EBITDA multiple of 10x). KPCL is a multi-cargo facility port situated in the southern part of Andhra Pradesh, a state which has the second longest coastline in India. The acquisition should accelerate APSEZ towards 500 million metric tonnes per annum by 2025 and is another step in implementing the company’s stated strategy of achieving cargo parity between west and east coasts of India. This latest addition to the portfolio complements Adani’s existing investments in Ennore and Kattupalli, strengthening its market position and control. From the valuation standpoint, the recent upmove highlights increased M&A activity in the sector. However, despite this increase, valuation

remained below the long-term average, showcasing the possible acquisition opportunities. M&A activity in new growth areas Consolidation among container shipping lines via mergers and acquisitions and the formation of alliances to improve coordination of capacity on the largest trades have strengthened the lines’ bargaining power with terminal operators. This meant that terminal operators have to compete for fewer services from the three main east-west alliances (2M Alliance, Ocean Alliance and THE Alliance), provide sufficient infrastructure to accept larger vessels as well as contend with slower demand growth. Additionally, liner companies have been integrating vertically by acquiring freight forwarders and other companies along the supply chain within the logistics network (beginning from the doorstep of the sellers’ warehouse to the buyers’ warehouse). Similarly, terminal operators are exploring common ground with allied logistics players to form a vertically integrated business model allowing port players to make more comprehensive offerings (which are both integrated and near to the customer). DPW has been on the forefront of exploring synergies across the value chain. Since the beginning of 2018, it has announced more than 10 acquisitions, mainly in logistics and maritime services. Recently, it integrated the operations of ‘Unifeeder Group’ (acquired in December 2018, operating a container feeder and a shortsea network in Europe, the Mediterranean, Black Sea, North Africa and the Middle East) and Feedertech Group (acquired in December 2019, providing shortsea feeder services in Southeast Asia, South Asia and the Middle East). This allowed shippers and consignees worldwide to ship goods through DPW’s major ports to its final destinations across the Middle East, South Asia, Europe and Africa. Likewise, in the Red Sea region, DPW partnered with Saudi Ports Authority (MAWANI) to launch the first direct shipping line connecting UAE’s Jebel Ali Port in Dubai with Egypt’s Sokhna Port through Jeddah Islamic Port – all terminals are operated by DPW. As a result of this diversification, the company’s revenue mix has changed significantly with the core port operations of DPW contributing 46% to its top line in 2019 (vs 79% in 2015). Even though these acquisitions proved to be margin dilutive, the absolute levels of both revenue and EBITDA have surged. On similar lines, Abu Dhabi ports, as part of its move towards providing supply chain logistics solutions, has acquired MICCO Logistics. Abu Dhabi ports plans to leverage MICCO’s experience and capabilities, as the Emirate’s first provider of end-to-end logistics solutions including freight management in project, contract and commercial logistics, multi-modal transport, warehousing and distribution, stevedoring, as well as road feeder services for the aviation segment. Also, recently, Abu Dhabi Ports’ maritime arm Safeen has signed an agreement with Allianz Marine & Logistics Services (AMLS) to launch a new integrated maritime logistics services firm – Offshore Support and Logistics Services Company (OFCO – Offshore International). As part of a wider value offering, OFCO will provide its customers access to a wide spectrum of trade logistics and services offered by Abu Dhabi Ports, which include offshore, onshore, base operations, logistics, industrial zone and maritime services. The pursuit of carriers and terminal operators for greater control of the supply chain is further driving M&A activity in new areas, particularly in allied logistics businesses. From the terminal operators’ perspective this will help them form a

vertically integrated business model allowing them to offer a more comprehensive range of services which should translate into higher stickiness of revenues. Factors facilitating capital market activity We believe, in addition to addressing the issues of overcapacity, cost efficiency and additional scale, several other factors are also facilitating capital market activity: Fall in the cost of borrowing: The cost of financing works as a benchmark for ascertaining the net profitability of a project. Abundant liquidity has lowered the cost of financing, which in turn has increased the companies’ ability to take risks. In 2020, despite the heightened fears of recession, port companies continued to access the capital markets to refinance their existing debt. Highly leveraged ICTSI accessed the capital market to raise USD 800mn in 2020. The company plans to use the funds to extend its debt maturity, which will then lower its refinancing risk in the near term. Similarly, government-backed China Merchant Port Holding also raised USD 600mn from the debt market primarily to refinance its existing debt. Capex requirements: Infrastructure investment is a key enabler of organic growth. In 2020, Santos Brasil raised BRL 790mn (USD 140mn) through a follow-on equity offering, primarily to finance its investment in existing infrastructure. The company is in the midst of expanding the quay of TEV/Tecon Santos, which is expected to be completed by mid-2021. Santos Brasil plans to spend USD 300-400mn in the next two years. Support inorganic growth: Recently Adani Ports raised USD 500mn from the international debt market soon after the previous issues of USD 300mn in December 2020 and USD 750mn in July 2020. The money raised will primarily be used to fund its recent acquisitions. Improved financial leeway for growth: Across the board we have witnessed a fall in the net gearing ratio – a testament that port companies remained on the forefront to benefit from the lower interest rate environment. Will this generate value for investors? Abundant liquidity has led the port companies to not only strengthen their balance sheets but also to grow and enter new territories. What does this abundant liquidity mean to investors? Assuming all other things remain constant, the refinancing of debt with a longer-term debt at a cheaper rate, not only reduces the company’s refinancing risk but also increases shareholders’ return. Similarly, using the lower interest rate environment to finance capex, if done correctly, will add to the company’s ability to generate future growth. Since the current share price represents the company’s future prospects, investment to improve these prospects should generate higher returns to the shareholders. The diversification of ports into allied logistics businesses, if integrated well, should support the ROIC profile. Even though logistics is a lowermargin business, it delivers higher ROIC as it is asset light. We have already seen strong recovery in port companies’ share prices (Figure 6). From here on, sustained growth in valuation will require companies to deliver strong results not only in the upcoming quarters (to benefit from the lower base effect) but also in the foreseeable future. Even though we believe the aforementioned steps are in the right direction for generating long-term value, investors should wait for the valuation to come down.

Port of Antwerp: Draught record broken at Deurganck Dock First trial for increasing draught on the Western Scheldt river successful ANTWERP: The first trial run as part of a potential extension of the maximum draught of the Western Scheldt river has been carried out successfully. On Sunday, the MSC REGULUS entered the port of Antwerp with a draught of 15.7 metres, a new record! It is the first in a series of trial runs where the draught will be increased to 16 metres. This draught is necessary to be able to continue receiving the very largest container ships in the future. The pilot project is a collaboration between Port of Antwerp, the Flemish and Dutch Pilotage, the Common Nautical Management and the shipping company MSC.

First test passed The current maximum draught of the Western Scheldt river for container ships sailing to Antwerp is 15,5 metres. In order to allow the largest seagoing vessels to use Antwerp as their first port of call in the future, however, a draught of 16 metres is required at the inlet. It was therefore decided to carry out a series of trial runs during which the maximum draught was systematically increased to 16 metres. This increase in the permitted draught considerably increases the loading capacity of the ships.These extra 5 decimetres can yield a +/- 1000 TEU gain. During the pilot project, the maximum permissible draught at inlet will gradually be increased from the current 15,5 metres to 15.7 metres, via 15.9 metres and finally 16 metres. The pilot project is a collaboration by Port of Antwerp, the Flemish pilots from the Flemish Agency for Maritime Services and Coast (MDK), the Dutch pilots, the Common Nautical Management (GNA), traffic controllers and the shipping company MSC. The deepening applies only to container ships sailing to the Deurganck Dock. On Sunday, the first trial run was successfully carried out when the MSC REGULUS, with a draught of 15.7 metres, entered the port of Antwerp from Rotterdam, breaking the draught record at the Deurganck Dock. Six trial runs The inlet for deep-sea vessels is determined by the tide. During the higher water level, there is a ‘time window’ during which deeper vessels can embark or disembark. Calculation of the time windows and simulations have shown that shipping with a draught of 16 metres is effectively possible on the Western Scheldt river. In order to guarantee smooth and safe navigation on the Scheldt and its approaches to the sea, Flanders and the Netherlands are collaborating within the Common Nautical Management (GNA). The decision for the pilot project was made in close consultation with the GNA and the three progressively deeper draughts will therefore be tested by both Flemish and Dutch pilots. After each draught test, there will be a detailed assessmentand a discussion of the findings. A final evaluation will then follow after the six trial runs and a final decision will be taken for the passage of ships with a draught of 16 metres. If ships with a bigger draught can call at the port of Antwerp, the port can raise its profile even more in the Far East, where the biggest ships sail, and strengthen its position as a first port of call here too. This will help to strengthen our competitive advantage over other ports and perpetuate our position as a world port.”
