FollowingthemotionadoptedattheMarch2026AnnualMeeting regardingthepreviouslyproposedClubhouseRenovationProject,the BoardofGovernorscommittedtodevelopingacomprehensivelong-term strategyformaintaining,improving,andmodernizingourClub's facilities.
ThisletterservesastheBoard'sofficialresponseandfulfillsthat commitment.
Ratherthanreturningtomembershipwithanothercomprehensive renovationproposal,theBoardbelievesthemoreresponsibleapproachis toestablishanongoingplanningprocessthatprotectsourexisting assets,continuallyevaluatesfutureimprovements,andalignsevery projectwiththeClub'slong-termfinancialcapacity.

Ourimmediatepriorityremainsaddressingcriticalinfrastructureand deferredmaintenanceprojectsthatpreservethelong-termhealthofthe Clubwhileimprovingdailyoperations.
Severalimportantinfrastructureprojectshavealreadybeencompleted, includingplumbingrepairsbeneaththelockerrooms.Additionalwork— includingfoundationstabilization,drainageimprovements,electrical upgrades,andreplacementofthekitchencooler—isnearingcompletion.
Additionalinfrastructureimprovements includingparkinglotrepairs, HVACupgrades,kitchenrepairsandwindowglazing—arecurrentlybeing evaluatedandprioritized.
Whilemanyoftheseimprovementswilloccurbehindthescenes,they representinvestmentsthatpreserveourfacilities,extendthelifeofour assets,andreducethelikelihoodofsignificantlymoreexpensiverepairsin thefuture.

Oneofthemostimportantoutcomesofthisprocesshasbeenthe establishmentoftheClub'sStrategicPlanningCommittee.
Thisad-hoccommitteewillcontinuallyevaluateeveryareaoftheCluband maintainarollingmulti-yearfacilityimprovementplan.

Asinfrastructureimprovementsarecompleted,theClubwillgraduallyshift itsattentiontowardmodernizingmemberspacesandenhancingtheoverall Clubexperience.
Futureprojectsmayincludeimprovementstodiningareas,lounges,locker rooms,eventspaces,outdoorgatheringareas,technology,operational efficiencies,andotheramenitiesidentifiedthroughtheplanningprocess.
Ratherthanattemptingtoaccomplisheverythingatonce,modernization willoccurinmanageablephasesasprioritiesareestablishedandfinancial resourcesbecomeavailable.
ThisapproachallowstheClubtocontinuallyimprovewhilemaintaining financialflexibility.

Asfuturemodernizationprojectsareidentified,theFinanceCommitteewill evaluateeveryreasonablefundingalternative includingavailablereserves, operatingsurpluses,voluntarycapitalcontributionopportunities,member investmentprograms,traditionalfinancing,andotherresponsiblefunding options beforeconsideringanyadditionalfundingmechanisms.
Oneoftheprimaryobjectivesofthisplanningprocessistoreducetheneed forlarge,comprehensiveassessmentsbycompletingimprovementsin manageablephasesovertime.

ShouldafutureprojectrequiremembershipapprovalundertheClub's governingdocuments,thatprojectwillbepresentedindividuallywith detailedinformationregardingitsscope,cost,financing,timeline,and long-termvalue.
Onlyafterthatprocess,membershipwouldreviewandapprovespecific projectsandtheirfundingmechanismsinaccordancewithourgoverning documents.
