OKLAHOMA CITY (AP) Traffic began to flow Jan. 5 on the new Interstate 40 crosstown expressway in Oklahoma City, a roughly $680 million road project that is the most expensive in the state’s history. A caravan of antique cars and tractor-trailers from Oklahoma-based businesses christened the 4 mi. United Rentals to Acquire RSC in $4.2B Deal United Rentals Inc. and RSC Holdings Inc. entered into a definitive merger agreement under which United Rentals will acquire RSC in a cash-and-stock transaction valued at $4.2 billion, including $2.3 billion of net debt. Both boards of directors unanimously approved the proposed transaction and recommended that their respective stockholders also approve it. The transaction will be financed with 60 percent cash and 40 percent stock. Each outstanding share of RSC common stock will be converted into the right to receive $10.80 in cash and 0.2783 of United Rentals share. United will issue new debt and draw on current loan facilities to finance the cash portion. Once completed, the company will be 70 percent owned by United Rentals shareholders. United estimates synergies from combining

the companies of more than $200 million annually, which they expect to realize within the first two years. Combining the companies will create a leading North American equipment rental company with a more attractive business mix, greater scale and enhanced growth prospects. The combination also is expected to accelerate United Rentals’ growth with industrial customers as well as provide a lower cost base and a less volatile revenue profile to better position the company through all phases of the business cycle. The new United Rentals is well-positioned to benefit from increased rental penetration, the continued strength of the industrial sector, serving customers across a variety of industries and a recovery in construction activity, according to the companies.

Michael Kneeland, president and chief executive officer of United Rentals said, “This transaction marks a transformative moment in our company’s history. Combining the experience and resources of two top performing equipment rental companies creates an exceptional company. The new United Rentals will build upon the best practices and management teams from both companies to deliver superior customer benefits and enhanced value for our stockholders. With the best talent in the industry, we have a tremendous opportunity to become the supplier of choice for customers throughout North America.” Erik Olsson, RSC’s chief executive officer and president, said, “RSC has a strong track record of profitable growth and we are proud of see DEAL page 12

Road Widening, Passing Lane Additions Highlight Project YELLOWSTONE from page 1

milepost 7.83 to 14.47, is the last of the five segments to be completed. Work on Rosie’s Ridge began in May 2011 and will be finished by July 2013. This scenic stretch of roadway in Teton County lies between the cities of Dubois and Jackson. On either side, the highway is surrounded by forests — the Teton National Forest to the north, and the Gros Ventre Wilderness to the south. Yellowstone National Park is located about 28 mi. (45.1 km) northwest of the project. Oftedal Construction Inc. is heading up the project out of its Casper, Wy., office. The work includes road widening, construction of additional passing lanes and parking areas, a bridge replacement and the construction of an arch culvert. Oftedal specializes in highway and road construction, site preparation, mine reclamation, and dam and dike construction. The company was founded in 1964 by E.H. (“Ed”) Oftedal and his son, Bill, in Miles City, Mont. It now serves multiple states and employs more than 250 people. Oftedal and a crew of about 100 employees are performing excavation and slide stabilizations. The crew has been staying in the Dubois area since the start of the job, boosting the local economy. “This segment of the project requires four major slide remediations,” explained Kaia Tharp, WYDOT project engineer. “A large portion of the project was dedicated to the slide areas, and because of the challenge that they pose, WYDOT chose this section to be completed last.” A total of 1,014,170 cu. yds. (775,434.4 cu m) of earth was excavated. All excess material is being moved onto two toe berms in conjunction with the slide remediations, along with 95,200 cu. yds. (72,790 cu m) of graded 1 to 6 in. rock. The Black Rock Creek Bridge, a two-lane, 138-ft. (42.1 m) structure was replaced under subcontractor Cannon Builders Inc. of Blackfoot, Idaho. Cannon also replaced a 24-in. (61 cm) pipe with a 42 by 23-ft. (12.8 by 7 m) arch culvert to accommodate the crossing of large local wildlife, including elk, moose, bears and deer in this wilderness area. The project calls for 296 cu. yds. (226.3 cu m) of concrete, and 42,000 tons (38,094 t) of asphalt.

The majestic Tetons are the backdrop for Oftedal’s excavation work.

Additionally, WYDOT worked with The Army Corps of Engineers for the replacement of 2.19 acres of wetlands that are part of the construction area. HK Contractors Inc. of Idaho Falls, Idaho, is in charge of paving the roadway, including the new passing lanes and parking areas. The passing lanes have been placed intermittently along the 6 mi. to relieve traffic congestion. To make way for the road widening, Wilcox Logging Inc., based in Rexburg, Idaho, was hired to cut trees along U.S. 26/287. Traffic control is in the hands of S&L Industrial of Cowly, Wyo. U.S. 26/287 also is the home to a section of the

This 42-ft. (12.8 m) wide arch was built specifically for passing wildlife with a small channel down the middle for drainage.

TransAmerica Trail, a well-known bike trail stretching 4,254 mi. from Astoria, Ore., to Yorktown, Va. The TransAmerica Trail was established for Adventure Cycling’s celebration of the U.S. bicentennial in 1976. At that time, the organization was called Bikecentennial, a name many old-timers still associate with the TransAm Trail. To accommodate the bike trail, 8-ft. (2.4 m) shoulders are being installed along Rosie’s Ridge. (www.adventurecycling.org) (This story also can be found on Construction Equipment Guide’s Web site at www.constructionequipmentguide.com.) what we have built. At the same time, I am confident that by partnering with United Rentals we can accomplish far more than either company could have achieved on its own, including significant synergies. As a result, the transaction delivers significant value to our shareholders. Our similar customer-centric cultures and commitment to operational excellence will provide even greater value to our customers and facilitate a smooth integration. I look forward to helping to lead the integration process during a transition period.” Upon the close of the transaction, three of RSC’s independent directors will receive seats on United Rentals’ existing board of directors. ny’s leverage ratio is expected to be in line with United Rentals’ previously stated target range of 3.5x — 4.5x. As a result, United Rentals expects to retain its current corporate credit ratings. United Rentals intends to re-pay the outstanding amounts on RSC’s existing Senior Secured Credit Facilities and Senior Secured Notes due 2017, and assume all of RSC’s existing unsecured debt. United Rentals’ Board also announced its intention to authorize after closing a stock buyback of up to $200 million of the company’s common stock. United Rentals’ current intention is to complete the stock buyback within 6 to 12 months after closing. The deal is expected to be accretive to United Rentals’ cash earnings per share in the first full year after closing. The transaction is anticipated to provide more than $200 million of annual cost savings through the elimination of redundant infrastructure, branches and overhead, two thirds of which are expected to be achievable within the first twelve months following the closing of the transaction. The combination also is expected to provide meaningful revenue synergies from the expanded footprint, in particular with national and industrial account relationships and provide additional cash flow upside through optimization of the combined fleet and capital expenditures. The proposed transaction is subject to the conditions of delivery of tax opinions and a solvency opinion as well as customary closing conditions, including approval by United Rentals and RSC stockholders, absence of a United Rentals and RSC material adverse effect and notification and clearance under certain antitrust statutes. United Rentals and RSC expect the transaction to close in the first half of 2012. Oak Hill Capital Partners has agreed to vote its 33.5 percent shareholding in RSC in favor of the transaction.

Case Construction Equipment recently donated a cutaway training model of a Case skid steer loader to the heavy equipment operation and maintenance program at Northwest Iowa Community College in Sheldon, Iowa. Roger Solberg, heavy equipment operations and maintenance instructor at NWICC, said the program’s 25 students will begin using the machine during the upcoming semester’s studies, including breaking down, re-assembling and re-installing the engine. “We’ll have a new shop next year, and we’re setting up a special area just for the Case machine,” Solberg said. Case had been using the machine for training at its Tomahawk Customer Center in Tomahawk, Wis. Solberg arranged the donation during a three-day visit with his students to the Tomahawk facility earlier this year. “We appreciate the support Case provides to our program. We’re especially grateful to Russ Wadzinski, the general manager at Tomahawk, who offered us the skid steer cutaway. Russ and his team gave us good advice and ideas to incorporate into our facilities and classes. Case provides a great example to our students of how the industry can help prepare the next generation of equipment operators and mechanics,” Solberg said. The Case skid steer is the latest addition to the 30-piece equipment fleet used in the

NWICC heavy equipment program. Solberg, who has directed the program for 12 years, said students learn to operate and maintain construction, agricultural and onhighway equipment, and each graduate of the 18-month program also passes the commercial driver’s license test. “We have a strong record of placing our graduates with big contractors, dealerships and companies with large truck fleets,” Solberg said. “It’s one of the most comprehensive programs available, and we draw students from all over the country, not just Iowa.” Solberg, himself a graduate of the NICC heavy equipment program, also credited Dean Shaw of Titan Machinery, Sioux City, Iowa, for nurturing the relationship between NICC and Case. Titan is a Case dealer with locations in seven midwest and plains states. “We’re happy to do whatever we can to help the NICC program,” Shaw said. “Roger and his staff are helping keep the industry on track for the future.” Wadzinski also commented on the importance of supporting technical training programs such as NICC’s. “It’s important to help develop young mechanics and operators. The graduates of these programs may someday work for Case or our customers,” he said. For more information, call 866/54CASE6 or visit www.casece.com.

Moving in the Right Direction...

Gilbane Construction Industry Economic Report Foresees Ongoing Challenges Gilbane Building Company has published the Winter 2011 edition of Construction Economics — Market Conditions in Construction. Based on an array of economic data, construction starts and material cost trends, this free report projects that the recovery of the construction market will lag behind the overall economic recovery and will take much longer due to the severity of current conditions. Nevertheless, some critical indicators are illustrating a positive trend. “New construction starts have been strong four of the last five months, construction spending has improved throughout the year and industrial production related to construction materials is up five months in a row,” said Ed Zarenski, the report’s author and a 40-year veteran of the construction industry. “However, we haven’t seen appreciable job growth in six years. In 2011, construction increased by only 50,000 jobs when we need to see job growth of 30,000 per month to get back to previous levels, which will require significant increases in construction spending and overall project volume.” Commenting on the necessity for a realistic assessment of the state of the industry, William Gilbane Jr., president and chief operating officer of Gilbane Building Company said,

“Making good decisions in the construction industry requires the best possible information, especially when facing such a wide range of economic challenges. Construction Economics offers a detailed look at the key market drivers that are influencing our industry. climate for trade, business growth and job creation.” Eastbound traffic was diverted onto the new stretch of highway shortly after noon Jan. 5. Westbound traffic continued on the old I-40 bridge about five blocks to the north. At 2 mi. (3.2 km) long, the old I40 crosstown is the longest bridge in the state. Built in 1966 to accommodate about 76,000 vehicles each day, it currently carries as many as 125,000 vehicles each day and has been crumbling for years. A crack was discovered in one of its pier beams in 1989, prompting closure of the major thoroughfare for emergency construction. “Our biggest headache has been the bridge deck,” said David Streb, the Oklahoma Department of Transportation’s director of engineering. “More than half the bridge is patch. The deck is just in shambles.” The new crosstown is designed to carry 173,000 vehicles each day,

ODOT officials said. Construction began on the project in 2005. Steel beams between 50 and 80 ft. (15 to 24 m) long that were used in the old I-40 bridge will be inspected after they are removed and made available

Crushing, Screening & Recycling Section Raptor Portable Cone Plants Meet Crushing Needs Raptor XL300 and XL400 cone crushers by FLSmidth Pekin LLC are designed not only to meet producers’ stationary crushing needs, but also are fully engineered to enter the portable plant markets, according to the manufacturer. Working with preferred chassis and screen manufacturers, FLSmidth’s engineers can custom-design a portable wheel-mounted plant, based on customers’ unique applications. FLSmidth builds rear-discharge XL300 and XL400 wheeled plant models as stock available for immediate purchase. Wheel-mounted plant options include rear discharge and rear feed-side discharge for both the XL300 and XL400. When combined with a horizontal 6 by 20-ft. (1.8 by 6 m) two- or three-deck screen, the XL300 can be configured into a closed-circuit crushing and screening plant. The XL300 and XL400 cone crushers can both be configured with two- or three-deck horizontal screens that are 6, 7 or 8 ft. by 20 ft. (1.8, 2 or 2.4 m by 6 m), to provide open-circuit crushing and screening plants. Hydraulic run-on jacks also are available as an option to quickly level the plant into operating position after pulling onsite. This option eliminates the time consumption and safety issues created by

leveling plants with cribbing timbers, according to the manufacturer. The XL300 and XL400 cone crushers feature a high pivot point and large crushing stroke that offers crushing action throughout the crushing chamber. An active feed opening creates better end product shape for high production of salable material. The crusher line also employs “fail safe” hydraulics through an internal relief valve within the dual-acting tramp release cylinders, which ensures the machines stay protected from mechanical overload should an accumulator bladder fail. Advanced overload sensing technology detects crushing force overload. A simple alarm is activated, or the system can be automated to take corrective action. This same advanced automation system can be used to optimize crusher performance, feed control, setting adjustment and monitoring of all critical lubrication and hydraulic parameters. An additional safety feature standard on all Raptor models is the counterclockwise rotation crushing action that protects the machine if adjustment ring movement is excessive or if the ring gear brake fails. For more information, call 801/871-7000 or visit www.FLSmidth.com/Raptor.

Core Systems Delivers Custom Drive, Tail Pulley Assemblies Superior Industries’s core systems design program offers drive and tail pulley assemblies custom-engineered for a specific application. Core systems creates cost-efficiencies for customers by ensuring that drive components are ideally suited for the particular job specifications, while also making sure that power requirements are met, according to the manufacturer. Each custom-engineered drive assembly is delivered as a pre-assembled package, which eliminates the costly labor involved in onsite assembly and greatly reduces installation time. Plus, the shaft on each assembly is protected by a specially-developed rust prevention treatment. Comprised of key sales, engineering and manufacturing personnel that serve the Superior Industries line of power transmission components, the core systems team employs the latest finite element design practices to translate specs and recommendations into life-like visualizations. Upon

examining each specific application, this technology predicts potential failures and allows the engineer to adjust the design accordingly. Each core systems team member is certified by the American Welding Society and is fully trained in weld inspection and x-ray capabilities. The Superior Industries core systems design program provides quick turnaround times by having most power transmission components stocked or readily available. Assembly drawings and all industry leading brands of power transmission components are available upon request. For more information, call 320/589-7085 or visit www.superiorind.com.

Terex Cedarapids Portable Plant Maximizes Production The Terex Cedarapids The high lift screen (HLS) and the cone hopper overflow system CRC380HLS portable crushing and allow a large head of material to build up, force-feeding the screening plant’s unique design cone crusher. allows the cone crusher to be constantly choke fed, maximizing production capability. The high lift screen (HLS) and the cone hopper overflow system allow a large head of material to build up, force-feeding the cone crusher, which increases throughput. The large cone hopper and overflow chute buffer feed variations and prevent material from backing up to the screen, which allows production rates to stay at peak levels with no need to throttle back. A gross throughput of up to 1,200 tons (1,088 t) per hour is possible in sand and gravel, according to the manufacturer. The HLS system also increases uptime by hydraulically moving the screen forward, providing easy access for faster manganese changes. The plant quickly and easily transforms into its operating and transport modes. The CRC380HLS plant incorporates a oval stroke design. Komatsu America Launches HM400-3 Articulated Truck Komatsu leveraged its leadership in technology and innovation — building on its Tier III engine platform — to design a more environmentally friendly engine that increases power while decreasing fuel consumption, according to the manufacturer. Komatsu America Corp.’s HM400-3 articulated truck is powered by a Komatsu SAA6D140E-6 engine with a net horsepower of 469 hp (350 kW) and is EPA Tier IV Interim and EU Stage 3B emissions certified. Komatsu leveraged its leadership in technology and innovation — building on its Tier III engine platform — to design a more environmentally friendly engine that increases power while decreasing fuel consumption, according to the manufacturer. With the introduction of the Komatsu CARE Program, every Komatsu Tier IV Interim construction machine comes standard with complimentary factory scheduled maintenance for 2,000 hours or the first three years (whichever occurs first), and includes two complimentary Komatsu diesel particulate filter (KDPF) exchanges within the first five years. The Komatsu CARE program covers all new Komatsu Tier IV Interim equipment, whether rented, leased or pur-

The HM400-3 features a maximum gross vehicle weight (GVW) of 162,569 lbs. (73,740 kg), hauling up to a 44.1 ton (40 t) payload at its maximum ground speed of 34.7 mph (55.9 kph).

chased. The HM400-3 features a maximum gross vehicle weight (GVW) of 162,569 lbs. (73,740 kg), hauling up to a 44.1 ton (40 t) payload at its maximum ground speed of 34.7 mph (55.9 kph). Improved operating performance, lower fuel consumption, improved operator comfort and enhanced serviceability are features of the HM400-3 that provide increased productivity and lower operating costs. The HM400-3 is equipped with the latest KOMTRAX technology, which sends machine operating information to a secure Web site utilizing wireless technology. Data such as daily fuel consumption, machine utilization, operating hours, location, cautions and maintenance alerts are relayed to the web application for analysis. The KOMTRAX fleet monitoring system increases machine availability, reduces the risk of machine theft, allows for remote diagnosis by the distributor, and provides a wealth of

other information to drive business efficiency and productivity. EPA Tier IV Interim and EU Stage 3B Emissions Certified Engine Built upon Tier III technology, the SAA6D140E-6 engine provides increased horsepower while lowering fuel consumption. The Komatsu Tier IV Interim engine uses an advanced electronic control system to manage airflow rate, fuel injection, combustion parameters and after-treatment functions to enhance performance, reduce emissions and provide advanced diagnostic capability. Komatsu also has developed a hydraulically actuated variable geometry turbocharger (KVGT) and exhaust gas recirculation (EGR) valve, resulting in better precision and air management as well as longer component life. The KDPF filter and regeneration system are integrated so as to not interfere with daily operation but keep the opera-

tor aware of its status. Improved Operation The HM400-3 features the new Komatsu traction control system (K-TCS). The KTCS system automatically provides optimum traction when operating in soft ground conditions. As ground conditions worsen, speed sensors located on four wheels detect tire slippage and automatic application of the inter-axle differential lock occurs. If tire slippage continues to be detected, four independent brakes can be applied to slipping wheels to regain traction. The HM400-3 is enhanced with Komatsu advanced transmission with optimum modulation control system (K-ATOMiCS). KATOMiCS offers a six-speed, fully automatic transmission that uses an advanced electronic system to eliminate shift shock and torque cutoff to aid operator in operating the see KOMATSU page 31

engine in the most efficient range. The electronic system automatically selects the gear based on vehicle speed, engine speed and the shift position selected, resulting in powerful acceleration, smooth down shifting and synchronized engine speed when climbing slopes. K-ATOMiCS works to minimize operator fatigue and load spillage from the body, thus increasing productivity. A large automatic retarder allows the operator to select the optimum operating speed on downhill travel and fully loaded hauls, thus eliminating effects by inertial acceleration. Increased Payloads Through body design optimization the HM400-3 features increased body capacity and payload. The low 10 ft. 5 in. (3.2 m) loading height easily matches with 40 to 60 ton (36 to 54 t) hydraulic excavators or 5.5 to 7.5 cu. yd. (4.2 to 5.7 cu m) wheel loaders. In addition, the two single-staged body lift cylinders provide a 70-degree dump angle.

Enhanced Operator Environment The new cab design provides a more comfortable and quieter work environment. The ROPS/FOPS Level 2 certified cab features a newly designed rounded front dash panel with easy-toreach switches. The dashboard has been redesigned and the high back, heated air ride seat with three-point seat belt has been relocated to improve visibility. An auxiliary input also has been added to connect an MP3 player or other device along with two 12-volt ports that have been incorporated into the cab. A new high resolution 7 in. LCD monitor features enhanced capabilities and displays information in 25 languages for global support. Using the monitor, the operator can easily modify settings for items such as the auto idle shutdown or the auto-reversing fan; check operational records, such as driving history or fuel consumption; monitor the KDPF or check for when the next maintenance interval is required. The monitor also offers the operator the option of using the ECO guidance function, which provides operational

tips to reduce fuel consumption. A rear view monitor system with a separate 7 in. LCD monitor is standard with every machine and is mounted on the right hand side of the console for operator convenience. Maintenance and Serviceability To reduce costly downtime, the HM400-3 provides easy service access. The new model features a newly designed engine hood for easy access and two standard hydraulically driven auto-reversing fans to help keep the radiator and charge air cooler clean. The truck is equipped with the Komatsu equipment management monitoring system (EMMS) that has enhanced diagnostic features that give the operator and technicians greater monitoring and troubleshooting capabilities. EMMS continually monitors all critical systems, preventive maintenance schedule, and provides troubleshooting assistance to minimize diagnosis and repair time.
