Phinney Design Group is a multi-disciplinary architecture, interior design, and construction management firm with a focus on sustainable and environmentally sensitive, high performance buildings. The firm was established in 2003 and is located in a “green” building on the corner of Beekman Street and Grand Avenue in the historic Dublin Neighborhood of Saratoga Springs, New York. In February 2019, Phinney Design Group opened a new satellite office in downtown Troy, New York; and in December 2023 in Lake Placid, New York to further expand the firm’s geographic reach.
Diverse design experiences categorize Phinney Design Group’s portfolio, including architecture, master planning, interior design, historic preservation, adaptive reuse, land use analysis, and urban planning. Phinney Design Group’s approach is based on “place making,” or discovery of what is special about an existing place, and sensitivity to not harm the physical and physiological significance when expanding or modernizing. Construction Management
Phinney Design Group ensures the highest levels of design and execution for residential and commercial projects by employing the process of Construction Management, which includes all aspects of the design, permitting, specification, and construction. Hunter Mountain Base Lodge F&B Improvements
Vail Resorts
Vail Resorts is undertaking a strategic enhancement of the Hunter Mountain Base Lodge to strengthen its food and beverage operations, improve guest circulation, increase seating capacity, and create a more dynamic and socially engaging base area experience. The project is structured around immediate F&B improvements, anchored by relocation of the main bar, and a broader Master Plan that reimagines the long-term functionality and flow of the lodge. Our understanding is that this initiative is both operational and experiential in nature: it seeks to increase seating efficiency at quick-service outlets, elevate the bar experience, expand menu flexibility, and ultimately drive higher guest capture rates while enhancing overall satisfaction.
Priority 1: Main Bar Relocation & Slopeside Activation
The first phase centers on relocating the existing main bar to a new slopeside location, allowing it to serve both indoor and outdoor guests. This move is intended to transform the bar into a highly visible, high-capacity destination that anchors a vibrant, beer garden–style outdoor environment.
Key Objectives:
• Create an Indoor/Outdoor Bar Experience
The new slopeside bar will seamlessly connect interior seating with an activated outdoor area, strengthening the lodge’s social energy and skito-bar experience.
• Outdoor Beer Garden Environment
The exterior space will incorporate enhanced lighting, heating (including radiant solutions), and guest-comfort amenities to ensure usability throughout the ski season. Fire features, landscaping enhancements, and gas/propane infrastructure will be evaluated to support year-round functionality.
• Increase Capacity & Throughput
The new bar configuration is anticipated to expand capacity from approximately 60–100 seats to support 100–150 guests at peak demand. The layout will preserve the social character of the existing multi-station bar concept while improving operational efficiency and circulation.
• Operational Reconfiguration
Upon completion of the new bar, the existing bar area will be removed and repurposed to increase indoor seating capacity. This shift provides a significant opportunity to rebalance seating density, improve service adjacencies, and enhance visibility and daylight within the lodge.
The design must carefully coordinate service access, draft systems, back-ofhouse functions, and guest circulation to ensure that the new bar not only elevates the experience but also optimizes throughput at peak ski times.
Priority 2: Comprehensive Base Lodge Master Plan
In addition to the immediate F&B enhancements, Vail Resorts is seeking a comprehensive Master Plan to reimagine the Hunter Mountain Base Lodge as a cohesive, high-performing hospitality environment.
Master Plan Scope Includes:
• Expanded Seating Capacity
Identify opportunities to increase indoor seating while maintaining circulation clarity and guest comfort.
• Restroom Upgrades
Evaluate restroom capacity and location relative to increased guest volume and improved flow patterns.
• Mezzanine Evaluation
Assess the potential relocation or reconfiguration of the mezzanine to improve sightlines, seating efficiency, and overall lodge functionality.
• Terrace Expansion
Explore converting the storage area above the Marketplace kitchen into additional terrace seating, strengthening the indoor/outdoor connection and increasing revenue-generating capacity.
• Food-Service Scramble Redesign
Reimagine the quick-service layout to improve guest flow, reduce congestion, and enhance service speed and operational efficiency.
• Colonel’s Hall Activation
Evaluate opening Colonel’s Hall to improve circulation, sightlines, and integration with adjacent lodge spaces.
• Exterior & Amenity Enhancements
Consider guest-focused enhancements such as firepits, heating elements, and additional outdoor activation strategies to reinforce the lodge as a social hub.
Design & Experience Considerations
The project must balance operational performance with a cohesive and elevated guest experience. Key themes include:
• Creating a vibrant social environment anchored by an elevated bar experience
• Strengthening the slopeside identity and ski-day energy
• Enhancing lighting and material cohesion, with a warm, wood-forward aesthetic
• Utilizing durable, high-traffic finishes appropriate for ski operations
• Working within existing building systems where feasible, including current heating and insulation infrastructure
The lodge also serves private events and weddings, requiring flexibility in seating configurations and potential accommodation for live entertainment and special programming.
Overall Understanding
This project represents a strategic investment by Vail Resorts to reposition Hunter Mountain’s Base Lodge as a high-capacity, socially dynamic, and operationally efficient F&B destination. The relocation of the main bar serves as both a functional improvement and a placemaking opportunity activating the slopeside edge and redefining the guest arrival and après-ski experience.
The accompanying Master Plan will provide a clear roadmap for phased improvements, ensuring that circulation, seating density, food-service efficiency, and outdoor activation work together cohesively to support peak ski-season demand while enhancing long-term revenue potential.

SB ENGINEERING
SB Engineering, PLLC: is a structural engineering consulting firm based in Clifton Park, New York that provides bespoke structural design, analysis, investigation, and construction support services to architects, owners, and contractors. The firm emphasizes creative, constructible, and cost-effective solutions tailored to each client’s program and budget.
Founded in 2013, and led by Principal Scott E. Burlingame, P.E. (licensed in New York and Connecticut), SB Engineering works closely with project teams from the earliest design phases through construction and close-out to ensure consistent structural performance and alignment with design intent.
Headquartered at 900 Route 146 in Clifton Park, the firm provides direct hands-on engineering services rather than a large corporate structure, which can lead to highly personalized client collaboration and responsiveness.
Built in 1972, Maxcy Hall is the ice arena and athletic facility serving the SUNY Potsdam community. Increasing demand on the existing arena from campus teams and community events, along with an aging mechanical infrastructure, necessitated the renovation and rehabilitation of the existing facility. The elevated ice sheet was shifted six-feet to provide increased access around the rink; a new elevated press box was added; and permanent, pre-cast concrete bleachers were installed. Existing locker room space was expanded and renovated.

The Spruce Peak at Stowe development marks the renaissance of Stowe Mountain Resort, providing longanticipated upgrades, accommodations, and four-season attractions to the well-known ski destination. Building on a long-term working relationship, SE Group worked with the development team to redefine the village in accordance with new world criteria.
The vibrant village green and ice skating rink (the new focus for year-round activities) is surrounded by the Stowe Mountain Lodge Hotel & Spa, Spruce Camp base lodge, and the new Adventure Center. Surrounding ski to/from real estate is set into the hillside providing outstanding views, privacy, and convenient connections with the base area. This seamless integration of mountain terrain and base area development throughout Spruce Peak is key to the project’s success.
The Spruce Peak development has transformed Stowe Mountain Resort into the premier mountain resort destination in the eastern U.S. and re-established the resort’s reputation as an industry leader.
CARINTHIA AT MOUNT SNOW

The heart of the master plan was the redevelopment of Mount Snow’s Carinthia Base Area, which is unified through several important components: a transit center, a long-term phasing plan, water quality improvements, mixed residential and the creation of additional recreation and open space amenities for guests including a new base lodge.
The Master Plan represents a thoughtful approach to planning and design that creates a new and exciting community at the Carinthia Base Area, all while addressing existing environmental issues by limiting redevelopment to existing disturbed areas to minimize environmental impacts. The architectural and site design captured the free spirit of the Carinthia skiers and riders, while blending it with classic Vermont character and forms through material selection and detailing.
SE Group led the development team through the initial master plan and local and state permitting (Act 250), and completed the design and implementation of the first phase of development.
SNOW PARK AT DEER VALLEY

Snow Park is located at Deer Valley Resort in Park City, Utah. Phase I of this project, Deer Valley will further raise industry standards by reimagining the current 15 acres of surface parking lots at Snow Park Lodge into a modern and convenient world-class base area and arrival experience.
Snow Park Lodge and base area will see a complete revision to create a premier base area experience for guests arriving at Deer Valley. The new base area will provide additional accommodations and skier services, new contemporary food and beverage and après options, plus an expansive ski beach. A new integrated transportation and mobility hub with multiple access points from new parking facilities will dramatically improve the current guest arrival and mountain access experience. Snow Park will feature architecture and design inspired by the mountains, allowing the natural setting to flow through the new plaza, offering an array of activities and mountain views.
The 400,000 sq.ft. project is a full-service, family-oriented, luxury hotel intended to be a four seasons resort project, attracting clients from around the world. Arcadis IBI Group’s design focuses on site orientation and providing a functional layout for a complex program on a tight site located on the ski run.

Ed Anker is a Principal at the firm, and is the Director of Phinney Design Group’s downtown Troy office. Ed has dedicated more than 25 years to the design and construction of numerous hospitality projects, educational facilities, community planning projects, first responder facilities, commercial developments and bespoke residential homes. Ed takes pride in having managed projects for communities which have shaped the region. He is recognized for his communication and organizational skills, which contribute to excellence in both project leadership and project outcomes. In his role, Ed is responsible for coordinating the efforts of planning, design and construction of Projects ranging from $100,000 to over $30,000,000.
As a Principal at the firm, Ed guides our teams in all phases of a project’s life cycle from the initial programming through client occupancy. He has developed a concrete understanding of how successful design/construction projects are led and how clients use their finished buildings. His down-to-earth nature, positivity, and ability to inspire others are important traits that make Ed an outstanding leader.
Ed has served on the Board of Directors of the Rensselaer County Regional Chamber of Commerce since 2017. He is also a 2011 graduate of the Rensselaer Regional Chamber of Commerce’s Leadership Institute and was the Institute Chair in 2020. In 2021, Ed had the pleasure of serving as the Chairman of the Board of Directors of the Chamber. Continuing his commitment to the Capital District Community, Ed served for six years as the Vice Chair of the Board for the Children’s Place at the Plaza. OLYMPIC REGIONAL DEVELOPMENT AUTHORITY BELLEAYRE DISCOVERY
Phinney Design Group was retained by the Olympic Regional Development Authority (ORDA) to provide programming, schematic design, and bridging documents for improvements and expansion of the existing 36,000 square foot 1960’s Belleayre Discovery Lodge building. Renovations included the addition of 13,000 square feet to expand areas of seating, bar and restrooms as well as an outdoor ticket-sales booth and front entrance vestibules. Circulation, sales and Kidscamp spaces were reconfigured to maximize the use of spaces. Exterior elevations were updated to incorporate new wood soffits, stone accents walls, wood cladding and new windows and doors. New building systems including lighting, heating, ventilating and air-conditioning, fire protection, fire alarm system and sprinkler systems were also incorporated.

After the immensely popular Common Roots Brewing Company experienced a devastating fire which completely destroyed their brewing and service operations, Phinney Design Group was enlisted to reimagine a new facility and rise from the ashes. The new building incorporates an expanded brewery to continue to maintain the growth of the popular brand as well as the addition of a full service kitchen, replete with a wood fired pizza oven. Taking the opportunity to incorporate a proper restaurant in the new facility, Common Roots took advantage of Phinney Design Group’s extensive hospitality expertise to create a visual link between the manufacturing facility and the restaurant. Completed in the Spring of 2020, the Common Roots Brewery and Taproom will welcome guests to a completely new experience and create the platform for expanding their distribution in the Northeast US and beyond.
COAT ROOM
SARATOGA SPRINGS, NY
Celebrating a time gone by
Coat Room is a preferred customer-based restaurant and bar hidden in the back of the lobby of a prominent building at 385 Broadway in Saratoga Springs, NY. Once you open the simple black door with small letters that read “Coat Room”, the visitor is met with a view of a two-story space with extensive millwork, wainscot, trim, stone tile, fabrics and wall coverings. Phinney Design Group provided all Architecture, Interior Design and Construction Management Services for the project, coordinating every detail from the first concept sketches to making sure the space was move-in ready. PDG also provided all Furniture, Fixtures and Equipment selection and procurement services making sure every component of the opulent bar/restaurant was ready for opening including a custom walnut bar with brass detailing and drink rail. Antique mirrors, custom cabinets and shelving fill the space with a palette of walnut, brass, black steel, saddle leather, dark green accents with lush fabrics and wall coverings. The Coat Room celebrates a time gone by as the location is where the lobby of the former United States Hotel once existed; previously one of the largest hotels in the world with over 1,000 rooms and built in 1863. Phinney Design Group team worked with the local historic association to find an extensive number of photographs from the glory days of the U.S. Hotel, making sure all locations, frames and placement of the historic photographs would put the finishing touches on the design.
SILVER BAY YMCA CONFERENCE AND FAMILY RETREAT CENTER

New mixed-use hotel, conference, and dining services building
Phinney Design Group has implemented the first major capital improvement at Silver Bay since the late 1970’s. A new 22-room lodge and conference facility designed to operate as an independent, year-round facility within the Silver Bay campus was finished in 2018. The dining hall has been modernized with serving and food distribution systems capable of increasing the quality and experience of dining on campus. PDG has initiated a series of charrette style information meetings with various Silver Bay constituencies, including operations personnel, management, and the board itself. These meetings have continuously refined and focused the programmatic needs contributing to this new building, and have resulted in the investigation of a single comprehensive facility with both rooms, conference, and general dining capabilities.
The owners of two very popular existing breweries; Lake Placid Brewing and Big Slide Brewing Company were interested in opening a third location in Saranac New York. After a glowing referral from the owners of Common Roots Brewing Company, Phinney design was hired to work with the owners and management team from the existing breweries to redevelop a former vending machine warehouse building as well as combining it with two adjacent parcels. The site is located on the shore of the Saranac River and in the heart of the Town of Saranac. The existing site and building were existing-nonconforming with a large parking lot that sheet drained directly into the River. In coordination with the Town, and APA Phinney Design developed a masterplan to address the Town of Saranac’s zoning regulations as well as the APA regulation for this sensitive site in the Adirondack Park, while achieving the program and design that met the need for the new brewery and provided a great new Brewpub restaurant overlooking the Saranac River and connected to the newly expanded River Walk that extends along the river shore through the Town. The new site design is seamlessly connected to the new community Riverwalk with an easement provided by the owners to accommodate its extension. With a focus on minimizing the environmental impact of the new project as a priority for both Phinney design and the brewery team, the new site design dramatically improves the stormwater management on the property to help preserve the health of the Saranac river for future generations. The large low sloping roof surface was positioned to accommodate an extensive solar array across the entire roof, and solar tracker panels were implemented on-site as well, both to power the new brewery, as well as, four new fast charge EV charging stations for customers. The projects focus on sustainability will help to ensure the future health of the Saranac river, while providing a great venue within the Town overlooking this beautiful ADK river and extended community walk. The new brewery was aptly named RiverTrail.

This Clifton Park location is Druther’s largest location yet. It has ample outdoor space and a large custom barn building for the brew house, bar and dining. AnnBritt Newey was brought in to establish the interior layout, finishes, lighting and furniture. Her intent was to bring the outdoor in and create an informal beer hall aesthetic to promote joyful gatherings over great food and drinks. Clever lighting solutions emphasizes the architecture. Rustic finishes, custom furniture, and industrial elements all speak to the Druther’s brand and create a unique and fun experience for its customers. She seamlessly integrates display vignettes, communal seating and vibrant aesthetics to offer an immersive culinary experience for both locals and toursist.*

Phinney Design Group has worked with Mohonk Mountain House to develop a working Master Plan that covers the next 30 years of growth at the historic resort. Listed on the National Register of Historic Places, Mohonk is a premier destination for resort travel in the Northeast. With 140 years of hospitality and environmental stewardship, Mohonk has a rich history which they have been working to maintain and enhance in the ever changing resort market. Phinney Design Group has worked with Mohonk on a variety of major capital improvement projects, including the new Gate House, Tower Suite, Parlor Lounge, and Sunset Lounge renovations at Mohonk Mountain House, and recently the major renovation project to the Main Entrance Porte Cochere, Central Building Lobby and Guest Rooms. The ongoing relationship has had a dramatic impact on the guest experience at the resort and has helped balance the resort’s revenue stream in the market place.

Master plan for America’s oldest sporting venue
Phinney Design Group worked with the New York Racing Association (NYRA) on multiple projects for the historic Saratoga Racecourse, developing a Master Plan for both the Frontside and Back Stretch. The team examined many aspects of operations, evaluated programming requirements and verified existing conditions of the current facilities. The proposed Master Plan focused on developing spatial needs, level of service and operational changes to enhance the visitor’s experience. This included studying, programming and conceptual design for nineteen different focus areas on the frontside such as Nelson Avenue Service Building, At the Rail Building, Clubhouse Modifications, Press Box/Judge’s Tower, Grandstand/Carousel Modifications, Top of the Stretch Club, Apron Modifications, Grandstand Garden, Existing Jockey House/Administration Building, New Jockey House, Saddling Shed Modifications, Paddock Modifications, Wright Street Gate Modifications, Backyard Expansion, East Avenue Entrance, Lincoln Avenue Entrance, Facility Manager’s House, Clark’s Cottage and Picnic Area.

Phinney Design Group was hired by Ocean Properties, the Owners of The Sagamore Resort, to provide planning and design assistance for a major renovation to the 126 year old historic resort. Listed on the National Register of Historic Places and located within the Adirondack Park, The Sagamore is unique in its setting and natural beauty. Renovations to the hotel were focused on creating a financially viable facility out of the aging resort. New guest rooms, dining rooms, outdoor pools, and lounges were a few of the new improvements. The design and construction was completed on a fast track schedule in order to reopen the resort for the summer season. Long term plans for a new spa and other amenities are being developed in master planning efforts with the LA Group.

Snow Park Lodge and base area will see a complete revision to create a premier base area experience for guests arriving at Deer Valley. The new base area will provide additional accommodations and skier services, new contemporary food and beverage and après options, plus an expansive ski beach. A new integrated transportation and mobility hub with multiple access points from new parking facilities will dramatically improve the current guest arrival and mountain access experience. Priority 1 – Main Bar Relocation & Slopeside Activation
We propose completing the Programming, Schematic Design, and Design Development scope of work for the Main Bar Relocation as part of the Priority 2 – Comprehensive Base Lodge Master Plan as indicated below. During the start of the Master Plan Study, we will focus on the work associated with relocating the Main Bar as a first step to move into producing Construction Documents as soon as possible.
Fees for Phase IV-Construction Documents will be based on 7% the Total Retail Construction Value of the project. This will be calculated after completion of Phase III – Design Development. PDG will present a budget update for the Owner’s authorization prior to starting of the next phase. Once the size, scope and complexity of the project is determined in Phases I-III, PDG and the Owner can review a budget with realistic contingencies to build the renovations and move to authorizing the final design, permitting, bidding and construction phases of the project.
Priority 2 – Comprehensive Base Lodge Masterplan
We propose completing Phases I-III on a lump sum basis for a total of fifty-two thousand five hundred dollars ($52,500.00).

Depending on the outcome of the Master Plan and Priority Matrix, fees for Phase IV – Construction Documents will be based on 7% the Total Retail Construction Value of each Priority project. Phase V – Bidding and Phase VI – Construction Administration/Management
will be provided for cost-plus 13% when PDG is acting as the Construction Manager. Under separate contract, Phinney Construction will provide daily site supervision of all construction activities on a cost-plus basis of 6%. PDG will provide full Construction Administration and Construction Management services including observation of construction activities and coordination with contractors performing the work. PDG will act as the main Owner’s Representative and work to provide a competitive bid environment for all trades performing the work and provide professional consulting services as required to obtain bids and recommend contractors to perform the work. PDG will act as the main point of contact during construction and act as the owner’s representative for coordination and communication between the contractor(s) during construction activities as necessary to deliver the work on a “turnkey” basis. A separate addendum to this proposal/contract will be provided to provide Construction Management services when appropriate.
Structural Engineering, Site/Civil Engineering and Landscape Architecture
Any Structural Engineering, Site/Civil Engineering and Landscape Architecture will be provided by independent licensed professionals serving as a consultant to Phinney Design Group. All costs associated with those services will be billed at 1.2 times the amount billed the Architect in addition to the base compensation listed above. A separate authorization to hire a Structural Engineer, Site/Civil Engineer and Landscape Architect (if requested) will be provided to the owner for approval after completion of Phase II – Schematic Design.
Mechanical, Electrical, & Plumbing Engineering
Any Mechanical, Electrical, & Plumbing Engineering will be provided by independent licensed professionals serving as a consultant to Phinney Design Group. All costs associated with those services will be billed at 1.2 times the amount billed the Architect in addition to the base compensation listed above. A separate authorization to hire a Mechanical, Electrical, & Plumbing Engineering will be provided to the owner for approval after completion of Phase II – Schematic Design.
Survey
Owner agrees to provide a current survey of both sites to PDG for coordination in AutoCAD 3-D (.dwg) format. Survey shall identify meets and bounds, all structures, existing mature trees, topography at one-foot intervals, location of all utilities on site and in street (if applicable) with invert elevations. All costs associated will be billed directly to the owner by the Surveyor.

Professional artist renderings, perspectives, computerized modeling and computerized “virtual tours” of the proposed design would be an additional cost. PDG can provide a proposal for consideration of these illustrations if desired by the Owner.
As part of the base fee proposed, we will provide basic Interior Design Services identifying the type of floor, wall, and ceiling finishes (i.e., gypsum, concrete, painted, wood, tile, etc.)
Selection of lighting fixtures, plumbing fixtures, appliances, color selections and production of Interior Elevations and detailing of all woodwork, trim, cabinets, countertops, built-ins, stairs, railings, etc. along with a detailed Finish Schedule can be provided on an hourly time and material basis in addition to the base compensation. When PDG is hired for Construction Management services, these efforts are included in the cost-plus 13% fees.
Attendance at more than two (2) meetings with Town Regulatory Boards if required can be provided on an hourly compensation basis.
Other additional services as requested by the Owner including revisions to documents after completion due to changes in scope, quality, budget, and schedule will be provided on an hourly compensation basis plus reimbursable expenses.
The design drawings and concepts provided will remain the property of Phinney Design Group; they shall not be re-used by other individuals for any reason without the expressed written consent of Phinney Design Group.
All services will be performed under our Standard Rate Schedule and Standard Terms and Conditions provided as Attachment A and Attachment B of this proposal.

The heart of the master plan was the redevelopment of Mount Snow’s Carinthia Base Area, which is unified through several important components: a transit center, a long-term phasing plan, water quality improvements, mixed residential and the creation of additional recreation and open space amenities for guests including a new base lodge.

The Master Plan represents a thoughtful approach to planning and design that creates a new and exciting community at the Carinthia Base Area, all while addressing existing environmental issues by limiting redevelopment to existing disturbed areas to minimize environmental impacts. The architectural and site design captured the free spirit of the Carinthia skiers and riders, while blending it with classic Vermont character and forms through material selection and detailing.

SE Group led the development team through the initial master plan and local and state permitting (Act 250), and completed the design and implementation of the first phase of development.

Attachment A - Standard Rate Schedule and Reimbursables 2026
The hourly rates and In-house printing and plotting costs below were approved by Phinney Design Group and will be effective as of January 1, 2026 The rates below may be updated after 12 months since the approved date. If the rate structure changes during the terms of this agreement, Phinney Design Group will notify the owner prior to billing against the new rate structure.
Note: Out-of-house printing/copying costs will be invoiced at 1.2 times the amount invoiced PDG. Postage, shipping, mileage and other miscellaneous travel expenses will be invoiced at 1.2 times the amount invoiced PDG. Current Federal IRS published rate for mileage is 72.5 cents per mile.
Attachment B - Standard Terms and Conditions – PDG 2026
1. SERVICES TO BE PROVIDED: Michael R. Phinney Architect, PLLC., “PDG” hereinafter, hereby agrees to provide the OWNER with the services set forth in the attached Design Service Proposal, “Proposal” hereinafter, under the terms and conditions set forth herein. In the event the Proposal modifies or conflicts with these Standard Terms and Conditions, the provisions of the Proposal shall govern. The Proposal and its attachments constitute the full and complete “Agreement” between the parties, superseding all contemporaneous prior written or oral communications, or administrative agreements (including purchase orders), and may be amended, added to, or waived only upon explicit mutual consent of both parties in writing.
2. BILLING AND PAYMENT: OWNER shall pay PDG in accordance with the rates and charges set forth in the Agreement. Invoices will be submitted periodically and are payable within thirty (30) days of the invoice date. Interest will be charged at the rate of 1.5% per month on any balance that remains unpaid thirty (30) days after the date of the invoice. OWNER agrees that failure to pay within 30 days may be considered breach of this Agreement and enable PDG to terminate services seven (7) days after written notice of intent to terminate. The OWNER shall be liable for all collection costs, including attorney’s fees.
3. SUSPENSION/TERMINATION: The OWNER may, upon seven (7) days written notice, suspend or terminate further work by PDG. The OWNER shall remain liable for, and shall promptly pay PDG for all services rendered to the date of suspension or termination. PDG may, upon seven (7) days written notice, suspend or terminate this Agreement if OWNER fails to substantially perform in accordance with any terms and conditions herein. Failure to make payments in accordance here with shall constitute substantial nonperformance. This Agreement shall automatically terminate if payments are not brought current within seven (7) days of notice of suspension. In the event of either termination or suspension for OWNER’s convenience, or other cause beyond the control of PDG, the OWNER shall make payment to PDG for all fees, costs, and services rendered at the time of suspension or termination, plus an amount equal to half the remaining fees to be earned should PDG have completed the work contemplated by this Agreement.
4. APPROVAL OF WORK: The work performed by PDG shall be deemed approved at the end of the phases or tasks as outlined in the proposal unless OWNER objects in writing within fifteen (15) days of the final invoice date for that phase by written notice specifically stating the details in which OWNER believes such work is incomplete or defective. Changes in the work requested by the CLENT after approval of the previous phase will be considered additional services.
5. OTHER EXPENSES AND CONSULTANTS: Expenses not otherwise identified herein will be billed at cost plus a Twenty Percent (20%) administrative charge. Examples of other expenses ordinarily charged to projects are out of house printing and reproduction, shipping charges, meals, long distance telephone, rental vehicles, fares of public carriers, etc. The costs of special professional technical services or engineering sub-consultants are not included in our fee. Such services, when required and approved by the OWNER, will be obtained and their costs shall be borne as a direct reimbursable expense plus a Twenty Percent (20%) administrative charge.
6. INSURANCE: PDG will furnish appropriate insurance certificates for general and professional liability upon request. The OWNER agrees that PDG’s total aggregate liability to the OWNER for any and all injuries, claims, losses, expenses, or damages whatsoever, including attorney’s fees, arising out of or in any way related to the Project or this Agreement from any cause or causes, including, but not limited to, PDG’s and their sub-consultants negligence, errors, omissions, strict liability, breach of contract, or breach of warranty, shall not exceed the fee or the available limits and conditions of such insurance coverage, whichever is greater.
7. CONSTRUCTION PHASE SERVICES: The OWNER recognizes that construction review is a vital element of PDG’s complete service, provided to minimize problems during construction by permitting detection of and/or rapid response to unanticipated or changed, conditions, or errors or omissions committed by design professionals, contractors, materials providers or others. The OWNER also recognizes that no party is as intimately familiar with PDG’s intents as PDG. Accordingly, PDG agrees to review, observe, and report on the construction of PDG’s recommendations, plans, specifications, and the quality of work performed. Should the OWNER for any reason not retain PDG to review construction, or should PDG at the direction of the OWNER for any reason not perform construction review during the full period of construction, the OWNER agrees to defend, indemnify, and hold harmless PDG and its sub consultants against any and all losses, claims, demands, liabilities, suits, actions, and damages whatsoever arising out of or resulting from the construction of the project. When construction-phase services are included in this Agreement, PDG will provide personnel to determine in general whether construction is proceeding in general conformance with the Documents. Regardless of the scope of services, PDG is not responsible for construction means, methods, techniques, sequencing or procedures, or for safety precautions or programs in connection with the Project.
8. DOCUMENTS: All Drawings, specifications, calculations, notes, and other documents, including those in electronic form, prepared by PDG and its sub-consultants are Instruments of Service that shall remain PDG’s property. PDG and its sub-consultants shall be deemed the authors and owners of their respective Instruments of Service and shall retain all common law, statutory and other reserved rights, including copyrights. No other license or right shall be deemed granted or implied under this Agreement. The OWNER shall not assign, delegate, sublicense, pledge or otherwise transfer any license granted herein to another party without the prior written agreement of PDG. The OWNER shall not use the Instruments of Service for future additions or alterations to this project or for other projects without express written consent of PDG. Any unauthorized use of the Instruments of Service shall be at the OWNER’s sole risk as follows: OWNER shall defend, indemnify, and hold harmless PDG from and against any and all losses, claims, demands, liabilities, suits, actions, and damages whatsoever arising out of or resulting from such unauthorized use.
9. OPINION OF PROBABLE COSTS: When required as part of the Proposal for Services, PDG will furnish opinions of probable cost and/or revenues associated with the Project but does not guarantee, warrant or represent the accuracy of such estimates. Opinions of probable cost or other financial projections prepared by PDG here under will be made on the basis of PDG’s experience and qualifications and will represent PDG’s judgment as an experienced and qualified design professional. However, users of the probable cost and/or financial projections must recognize that PDG does not have control over the cost of labor, materials, equipment, market conditions, contractor’s methods of determining prices, the performance of the work, or services furnished by others.
10. INDEMNIFICATION: The OWNER agrees to indemnify and hold harmless PDG and its sub consultants from all claims and costs (including attorney’s fees) arising out of this Agreement except when such claims and costs are caused by the negligent acts, errors or omissions of PDG.
11. STANDARD OF CARE: PDG and its sub-consultants will exercise that degree of care and skill ordinarily exercised by similarly situated architects and engineers practicing under similar circumstances. OWNER agrees that services provided will be rendered without any warranty, express or implied. PDG shall exercise usual and customary professional care in its efforts to comply with codes, regulations, laws, rules, ordinances, and such other requirements in effect as of the date of execution of this Agreement.
12. SEVERABILITY: If any portion of these Standard Terms and Conditions or of the Proposal for Services for this project shall for any reason be deemed invalid or unenforceable, such a determination shall not affect the other provisions of this Agreement and the Agreement shall be construed in all respects as though the invalid or unenforceable portion were omitted.
13. HAZARDOUS MATERIALS: Unless otherwise provided in this Agreement, PDG and PDG’s consultants shall have no responsibility for the discovery, presence, handling, removal or disposal of or exposure of persons to hazardous materials or toxic substances in any form at the Project site. If PDG suspects the presence of hazardous materials PDG shall promptly notify the OWNER.
14. USE OF PROFESSIONAL MATERIALS: PDG shall have the right to include photographic or artistic representations of the design of the Project among PDG’s promotional and professional materials. PDG shall be given reasonable access to the completed Project to make such representations. However, the Architect’s materials shall not include the OWNER’s confidential or proprietary information if the OWNER has previously advised the Architect in writing of the specific information considered by the OWNER to be confidential or proprietary.
15. CONSEQUENTIAL DAMAGES: PDG and the OWNER waive consequential damages, including but not limited to damages for loss of profits, loss of revenues and loss of business or business opportunities, for claims, disputes or other matters in question arising out of or relating to this Agreement except as explicitly stated herein.
16. OWNER’S OBLIGATIONS: In addition to other terms and conditions identified herein, the OWNER shall provide timely responses to PDG’s requests for determination or information relevant to the efficient conduct of PDG’s services. Timely responses shall include availability for project meetings as identified in the Proposal. In no event shall requests for information or determination lapse for a period exceeding fourteen (14) business days. The OWNER shall not hold PDG accountable for OWNER-created delays. The OWNER shall provide reasonable accommodation for PDG to assess the project site as necessary for the conduct of its services. The OWNER shall promptly report to PDG any defects or suspected defects in services of which the OWNER becomes aware so that PDG may minimize the consequences of the defect. Failure of the Owner or Owner’s contractors to so notify shall relieve PDG of costs to remedy the defects above the sum cost of the defect should notice have been given when first discovered.
17. MISCELLANEOUS: Governing Law: The substantive laws of the State of New York shall govern any disputes between PDG and the OWNER arising out of the interpretation and performance of this Agreement. Certifications: PDG shall not be required to sign any documents, no matter by whom requested, that would result in PDG’s having to certify, guaranty, or warrant the existence of conditions that would require knowledge, services, or responsibilities beyond the scope of this Agreement. Reliance: Unless otherwise specifically indicated in writing, PDG shall be entitled to rely, without liability, on the accuracy and completeness of information provided by OWNER, OWNER’s consultants and contractors, and information from public records, without the need for independent verification. Third Parties: Nothing contained herein shall create a contractual relationship with, or a cause of action in favor of, a third party against either the OWNER or PDG. PDG’s services hereunder are being performed solely for the benefit of the OWNER, and no other entity shall have any claim against PDG because of this Agreement or PDG’s performance of services hereunder. Mediation: PDG and the OWNER agree that any disputes arising under this Agreement and the performance thereof shall be subject to nonbinding mediation as a prerequisite to further legal proceedings.
