Employee Handbook (Effective: February 2026)

Welcome. Welcome to the team! This handbook is designed to outline our policies, expectations, and benefits so everyone has a clear understanding of how we work together. Our goal is to create a respectful, productive, and supportive (& cozy!!) workplace.

This handbook may be updated from time to time as the business grows.

Code of Conduct We expect all employees to conduct themselves with integrity, professionalism, and respect at all times. This Code of Conduct applies to behavior in the office, during work hours, at company events, on business travel, and in any situation where you may be associated with Jill or the brand. Working Hours & Availability Standard working hours are 9:30 AM – 6:00 PM, Monday through Friday. Employees are expected to be available/working during these hours unless approved time off has been requested in advance. (We understand that flexibility is sometimes needed, but our core hours are important for collaboration and accountability.) Even though we are a remote company, if you plan to work from somewhere other than your home base, Ashley must be notified ahead of time Non-Work Related Appointments Personal appointments (e.g., hair, nails, errands) should be scheduled outside of working hours whenever possible. Medical appointments (doctor, dentist, etc.) are permitted during work hours with advance notice and approval. If a medical appointment requires stepping out during the workday, employees must: Request the time off in advance Communicate coverage plans if applicable Return to work promptly after the appointment Time Off & Vacation Policy Vacation Requests Employees should request PTO at least 30 days in advance whenever possible. Requests should be submitted via email. Approval is subject to business needs, deadlines, and team coverage. Short-Notice Time Off We understand emergencies happen. Short-notice requests will be reviewed on a case-by-case basis. Repeated last-minute requests may impact approval in the future. Sick Time If you are unwell, please notify your manager as soon as possible. For extended or recurring medical needs, additional documentation or scheduling conversations may be required.

Code of Conduct Continued... Communication Expectations Timely communication is essential. Employees should be responsive during working hours via email, text, or other designated tools. If stepping away during the workday (approved or otherwise), employees should notify their manager Performance & Accountability Employees are expected to meet deadlines, communicate proactively, and take ownership of their responsibilities. Feedback may be given formally or informally and is intended to support growth and improvement. Failure to meet expectations may result in corrective action. Professional Conduct Employees are expected to: Treat colleagues, partners, and customers with respect Maintain a professional and inclusive workplace Avoid discriminatory, harassing, or inappropriate behavior Open-Door Policy We maintain an open-door culture, and Jill wants to hear from you. If you have workplace concerns, ideas, or issues that need attention, you are encouraged to bring them forward. Open communication helps us move faster, solve problems, and maintain a strong, supportive environment. Workplace concerns should be directed to Jill. Confidentiality Employees may have access to confidential company information. This information must not be shared outside the company during or after employment.

Social Media & Public Representation As a member of the team, you may be viewed as a representative of Jill Martin and the brand, both online and in public-facing situations. We ask all employees to act thoughtfully, professionally, and with good judgment at all times. Representing the Brand Employees should always conduct themselves in a way that reflects positively on Jill Martin and the brand. This includes interactions with customers, partners, influencers, vendors, media, and the general public. Whether on company channels or personal accounts, employees should remember that online behavior is often associated with the brand. Personal Social Media Use While we respect that personal social media accounts are private, employees should be mindful that posts, comments, likes, and shares can be publicly visible and reflect on the brand. Content that is offensive, inflammatory, discriminatory, or unprofessional is not acceptable if it could reasonably be associated with Jill or the company. Employees should avoid posting or engaging in content that could damage the reputation, credibility, or values of the brand. Speaking on Behalf of the Brand Only authorized employees may speak publicly, post, or respond on behalf of Jill Martin or the company. Employees should not present personal opinions as company positions. Media inquiries, brand collaborations, or press-related outreach should be directed to management. Confidentiality & Brand Protection Confidential company information, internal discussions, financial data, unreleased products, partnerships, or business strategies must never be shared publicly. Behind-the-scenes content should only be shared with approval.

Social Media & Public Representation Continued... Professionalism in Public Settings Employees are expected to act professionally at events, meetings, photoshoots, brand trips, and any public or semi-public setting connected to the company. This includes being respectful, punctual, appropriate in appearance, and mindful of language and behavior. Employees should always aim to represent Jill and the brand in the best possible light. Use of Jill’s Name & Likeness Jill’s name, image, likeness, and personal relationships should be treated with care and respect. Employees should not use Jill’s name, contacts, or personal brand for personal gain. When in Doubt If you are unsure whether something is appropriate to post, share, or say publicly, do not post and ask for guidance. We expect employees to use sound judgment and always err on the side of professionalism.

A Note from Jill Founder, CEO & Chief Cozy Officer Hi Best Team in The World, As Founder and Chief Cozy Officer, my role is to set the vision, tone, and heart of this brand. From day one, my goal has been to create something that feels special through thoughtful products, meaningful storytelling, and a sense of comfort that goes beyond what we sell. I’m deeply involved in the creative direction of the business and take great pride in being the face and voice of the brand. Whether it’s product development, partnerships, or how we show up in the world, I care about making sure everything we put out feels authentic, elevated, and true to who we are. A big part of my role is supporting this team. I want everyone here to feel inspired, trusted, and proud of the work we’re doing together. I believe that when we lead with kindness, creativity, and intention, it shows in everything we build. Thank you for being part of this journey and for helping bring this brand to life every day. Chief of Staff Key Responsibilities Serve as central leadership liaison across teams and partners, driving alignment, facilitating decision-making, and ensuring cross-functional execution in support of company priorities. Own executive approval workflows, holding authority to review and approve initiatives on behalf of Jill when needed, while maintaining consistency with brand, licensing, and strategic objectives. Lead strategic partner relationships, including day-to-day communication and coordination with key accounts such as G-III and Fanatics. Oversee organizational planning and cadence, structuring team calendars, tracking priorities by partner and league, and ensuring deadlines, submissions, and deliverables remain on track. Direct executive and cross-functional meeting operations, including scheduling, attendee coordination, agenda development, preparation materials, and briefing context to maximize productivity and outcomes. Manage Jill’s calendar, appearances, and commitments, ensuring time allocation aligns with business priorities, revenue opportunities, and brand initiatives.

Cash Flow Management: managing daily cash flow, serving as POC with vendors and financial partners. . Process Optimization: focus on operational efficiency and cost reduction. Strategic Planning and Growth Execution: Translate CEO’s vision into executable plans. Overall Leadership Accountability: oversee operations, ensure alignment across different roles.

Head of Merchandising Key Responsibilities Collaborate with Jill and Victoria regarding the design of the product. Then develop and merchandise assortments for retailers, leagues, and teams to support brand positioning and sell-through. Lead product development and factory communication, including costing and price negotiations, from concept through sample approval and production readiness. Set pricing and margin strategy across wholesale (and thus DTC initial ticketed price.) Manage wholesale accounts including order review, follow-up, and performance analysis. Collaborate with the team to plan factory buys and production quantities — determine program volumes, size/color scales, and provide guidance for order placement. Lead licensing business support — provide contract input, negotiate GMRs and royalty rates, and forecast volumes for IP partners when requested.

Director of E-commerce & Marketing Key Responsibilities Lead end-to-end management of the e-commerce site, bridging product, content, merchandising, and technology to drive seamless launches, site performance, and scalable growth. Own marketing strategy and execution across channels, driving customer acquisition, revenue growth, and brand consistency while optimizing performance through data-driven decision-making, as well as wholesale partner marketing Oversee customer service operations, ensuring timely resolution, brandaligned communication, and continuous process improvements to support customer satisfaction and retention. Own wholesale order setup and execution, ensuring accurate product creation, retailer-specific pricing, and timely submission of purchase orders across all partners. Manage inventory accuracy across blanks, patches, and finished products, coordinating with systems to automate unit updates and ensure UPC integrity while preventing overselling and maintaining partner-ready inventory data. Lead marketplace operations and strategy across third-party platforms, overseeing listings, pricing, inventory synchronization, performance optimization, and partner coordination to drive revenue and brand integrity.

Head of Branding & Logistics Key Responsibilities Lead wholesale readiness and go-to-market preparation, developing decks, catalogs, buyer presentations, line sheets, and retailer visuals. Own operational execution from purchase order through warehouse delivery, approving POs, managing patch procurement, maintaining SKU-level documentation, and ensuring accurate product application, placement, labeling, and vendor compliance while proactively resolving production and logistics issues. Direct artwork and product design translation from creative vision to executable assets, producing mockups, patterns, colorways, trims, and embellishment concepts while maintaining version control and serving as the creative source of truth for product direction. Drive tactical product development to build-ready status, creating factoryfacing visuals, materials and finishes documentation, placement logic, and SKU/size/color revisions to ensure manufacturing accuracy and readiness for scale. Oversee league submission, including CAD creation, revision control, approval tracking, feedback documentation, and enforcement of assets aligned to licensed approvals.
