Building on the foundation established in prior years, this Report reflects our continued progress from defining our ESG priorities to further integrating ESG considerations into decision-making, operations, and culture across our organization.
Healthcare sits at the intersection of human well-being, social equity, and environmental responsibility. BioScript measures the positive impact we create for Canadians and the planet as a key indicator of our success.
This 2025 Environmental, Social and Governance (ESG) Summary Report outlines how we are translating
commitment into action. Building on the foundation established in prior years, this Report reflects a shift from defining our ESG priorities to actively integrating them into decision-making, operations, and culture across our organization.

LAND ACKNOWLEDGMENT
BioScript Solutions respectfully acknowledges that our work takes place on the traditional territories of First Nations, Inuit, and Métis Peoples across what is now known as Canada. These lands have been stewarded by Indigenous Peoples for thousands of years and continue to hold deep cultural, spiritual, and historical significance.

Our vision for BioScript has always been rooted in community. From day one, our purpose has been to provide local care at a national scale, focusing on equitable access for all Canadians. Now, 25 years later, the responsibility we feel towards our communities has only grown, just as we have. We are measuring our success not only by positive health outcomes for our patients, but by the positive impact we leave for Canadians and the planet we all share.
2025 has been a transformative year in our Environmental, Social and Governance (ESG) journey. We moved from defining our ESG priorities to embedding them into our operational strategy. This shift is already translating into meaningful action across the organization, thanks to the dedication and collaboration from our Team Members.
A key milestone this year was the validation of our greenhouse gas reduction targets by the Science Based Targets Initiative, reinforcing our commitment to credible, science-based decarbonization. We are proud to share this achievement, along with other progress, throughout this report.
Looking ahead in 2026, our focus is clear. We are strengthening long term resilience and accountability, from transitioning toward renewable energy to continuing to mature our processes and governance. At the heart of it all remains community: the communities where our patients and Team Members live, and the communities that will feel the long term impact of the choices we make today. It’s where BioScript began, and it will continue to guide how we grow in the years ahead.

BioScript Solutions is a leading Canadian healthcare company dedicated to simplifying access to specialty care for patients living with chronic and complex conditions.

What We Do

Accurate measurement is the foundation of credible climate action.
BioScript’s greenhouse gas inventories are prepared in accordance with the Greenhouse Gas Protocol Corporate Standard, covering Scope 1, Scope 2, and relevant Scope 3 categories.
We engage an independent carbon accounting partner to support emissions calculations, apply appropriate emissions factors, and validate methodology alignment with recognized standards.

Resource Efficiency & Circular Economy
Circularity refers to reusing products or resources throughout the value chain to reduce waste — an essential component of responsible healthcare delivery. At BioScript, circularity is embedded into our logistics, distribution, and clinic operations.
Cooler Return Program
Established in 2016, our Cooler Return Program encourages patients to return the Expanded Polystyrene (EPS) coolers used in their temperature-sensitive medication deliveries for reuse or recycling.
Every component inside the cooler, including insulation, inserts, and packaging materials, can be returned together to maximize diversion from landfill. Each year, we improve our recovery rates by strengthening reverse logistics and patient awareness.

In 2023, a Team Member at our A&D Wholesale warehouse proposed replacing single-use plastic pallet wrap with reusable pallet nets

Tree Canada Partnership
BioScript supports reforestation and community greening initiatives across the country through our partnership with Tree Canada. One tree is planted for every new hire, representing our commitment to healthier ecosystems and climate-resilient communities, even as we grow.
Clinic Waste Reduction
Environmental responsibility is embedded at the local level across our 100+ Coverdale Clinics nationwide. Teams actively recycle packaging materials, beverage containers, and cardboard through dedicated recycling systems.
Operational improvements include:
- Bulk shipment of lab samples, significantly reducing plastic use per blood draw
- Increased material segregation to improve recycling rates
These actions, while operationally simple, contribute to meaningful waste reduction when implemented across our national footprint.

PATIENT IMPACT
At BioScript Solutions, every clinic, pharmacy, and patient support interaction is designed to remove barriers, reduce complexity, and ensure that Canadians living with chronic and rare conditions receive timely, coordinated care.
With a growing national network of over 100 clinics and 14 pharmacies, we continue to strengthen our ability to serve patients in both urban centers and remote communities.
In FY2025, we welcomed 401 new Team Members and 37 students, strengthening clinical capacity and building the next generation of healthcare professionals. Today, our organization is powered by over 1600 Team Members nationwide.
This growth represents thousands of individuals gaining improved continuity of care, therapy adherence, and clinical oversight.

Ethical and Equitable Access to Care
Our mission is to simplify access to specialty care, and access must also be equitable. We work closely with healthcare providers, manufacturers, payers, and patient advocacy groups to help navigate reimbursement processes, financial assistance programs, and therapy education.
Our patient support programs help ensure that cost, geography, or system complexity does not prevent patients from receiving life-changing therapies. BioScript’s Volunteer Time Off program offers each BioScript Team Member a paid day off so they can give back to their communities. In 2025, BioScript Team Members dedicated over 1,600 volunteer hours — equivalent to over 215 working days — to causes across Canada and beyond, from beach cleanups to health and food security initiatives. Dragon Boat Festival
Our Team Members participated in the 2025 Greater Moncton Dragon Boat Festival, which is a long-standing tradition at BioScript. Our two participating teams, Blazing BioScripters and Paddling BioScripters, raised over $5,000 for the Lions Sick Children’s Fund.

ESG Governance & Accountability
Established in FY2024, BioScript’s ESG Committee serves as the central body guiding sustainability strategy and implementation across the organization. The committee is composed of cross-functional Team Members representing operations, vendor management, sustainability, compliance, human resources, strategy, and legal.

The ESG Committee is overseen by BioScript’s Senior Leadership Team, including CEO Lisa Matar. This governance structure enables timely decision making and ensures that sustainability and ESG considerations are embedded within BioScript’s strategic framework and operational decisionmaking, rather than treated as standalone initiatives.

Human Rights Commitments
In FY2025, we formalized a Child and Forced Labour Policy. This policy reinforces our zero-tolerance stance on child labour, forced labour, and human trafficking within our operations and suppliers It outlines expectations for ethical labour practices, supplier compliance, and responsible sourcing in alignment with evolving regulatory requirements and stakeholder expectations.
We are committed to ensuring that our business activities (and those of our partners) respect human dignity and internationally recognized labour standards.

Protecting Patient and Team Member Data
Protecting patient trust and safeguarding sensitive information are core responsibilities at BioScript. We adhere to all applicable privacy and healthcare regulatory requirements and apply strong data protection standards across our operations.
Our oversight practices support the responsible use of patient, clinical, and Team Member information throughout its full lifecycle, including secure storage, appropriate retention, and safe disposal. Data protection is embedded into our dayto-day operations through role-based access controls, ongoing privacy and compliance training for Team Members, and clear accountability across teams, systems, and third-party partners. We regularly review and update our policies and procedures to ensure continued alignment with evolving regulatory expectations.
Cybersecurity Governance
BioScript has a dedicated IT Security team to protect our organization against unauthorized access, data breaches, and system disruption. The Security team is represented within our IT leadership team to ensure cybersecurity is understood and addressed at the leadership level.
We take a risk-based approach to cybersecurity, prioritizing protections for systems that support patient care and core

business operations. Our practices include continuous network monitoring, threat detection protocols, routine system updates, and proactive vulnerability mitigation. Team Members complete ongoing awareness training focused on phishing, cyber threats, and secure data practices, reinforcing a strong security culture across the organization.
Business Continuity and Resilience Planning
Delivering uninterrupted specialty care is critical to helping patients achieve positive treatment outcomes.
We maintain business continuity and resilience plans designed to support:
- Operational continuity during disruptions - Emergency response coordination across clinics, pharmacies, and corporate offices
- Ongoing risk mapping and mitigation planning
GOVERNANCE
IT Equipment Donations
Where feasible and appropriate, decommissioned IT equipment is donated to community organizations to extend its useful life and reduce electronic waste. This initiative supports digital access within communities while contributing to waste reduction and circular economy principles.
RESPONSIBLE SUPPLY CHAIN & PROCUREMENT
As a healthcare organization, BioScript Solutions recognizes that our responsibility extends beyond our own operations. Our supply chain plays a critical role in delivering safe, ethical, and sustainable care, and we work closely with suppliers to uphold shared expectations for high quality standards, regulatory compliance and responsible business practices.
Supplier Diversity Integration –Supplier Assessment Components
In FY2025, BioScript formalized its Supplier Assessment Components Guide. The Guide strengthens our procurement governance by defining structured criteria to evaluate suppliers and embedding ESG considerations directly into procurement decision-making.
Suppliers are assessed, as applicable, based on:
- Compliance with BioScript’s internal quality and regulatory requirements
- Past business performance and perceived reliability
- Financial and operational history
- Data privacy and cybersecurity controls
- Health, safety, and environmental performance
- Commitment to sustainability practices
- Supplier diversity status
- Service offerings and value
- Any other factor deemed relevant to the assessment

Diversity Consideration
Where suppliers are otherwise evaluated as equivalent across BioScript’s required criteria (e g., quality, cost, performance, compliance, and value), we will give preference to engaging diverse suppliers, whether certified or self-identified, in alignment with our Diversity, Inclusion, Belonging and Equity Policy.
BioScript will establish a diverse supplier expenditure baseline and use the data collected through our Supplier Management Program to define practical yet meaningful objectives to enhance engagement with diverse suppliers.
By embedding supplier diversity into our formal assessment framework, we are advancing equity while maintaining the highest standards of quality, compliance, and patient safety.

Transparency is essential to building trust and accountability in healthcare. BioScript reports on ESG performance to provide clear, consistent insight into our impacts, progress, and areas for continued improvement.
We track key ESG metrics to inform decision-making, measure progress over time, and ensure data integrity, regulatory alignment, and accountability.
As our ESG initiatives continue to mature, we will continue strengthening data quality, governance processes, and disclosure practices in line with evolving expectations.
Strong governance enables BioScript to advance environmental and social priorities with clarity, accountability, and confidence as our ESG program continues to evolve.
LOOKING AHEAD –GOVERNANCE PRIORITIES
As the Canadian healthcare system continues to evolve, expectations around transparency, climate action, and social equity are also rising. BioScript is taking deliberate action by prioritizing responsible governance and sustainability across our operations and decision-making, in the way we support patients, partners, Team Members, and the communities we serve.
In FY2025, we further formalized our governance structures, advanced our decarbonization journey, strengthened supplier accountability across our value chain, and deepened our commitment to diversity, inclusion, belonging, and equity. We are proud of the progress achieved to date and remain motivated by the work ahead.
In FY2026, our focus will shift toward strengthening controls, formalizing processes, and enhancing oversight mechanisms to support longterm resilience and accountability across our ESG priorities.
As our organization grows in scale and complexity, we remain committed to evolving alongside regulatory requirements and stakeholder expectations. We continue embedding ESG principles across our nationwide specialty care model to support sustainable, responsible healthcare delivery over the long term.
