The National Sale Charolais

It is with great pleasure I write this sale forward. Charolais semen became commercially available back in 1969 starting a significant influence on Australian beef herds. For the first time Australian cattle breeders had access to genetics offering tremendous growth and muscle capabilities and less waste than the breeds then available. As the first European breed to enter Australia, Charolais had to forge their own destiny and I am happy to report, our breeders did a great job. Charolais today are the leading European breed based on registration and number of sires sold at auction data.

The breed had an insatiable demand in the early days with the first Australian Charolais sale held at Mandalong Park, St Marys on the 6th June 1970. More than 1,000 people attended this sale with the top price $6,000 for Centrewood Babiller (imp NZ), a half-bred female.

We look forward to over 280 Charolais parading at the Brisbane EKKA feature show on the 7th August. These cattle have come from all over Australia and we sincerely thank exhibitors for contributing to our World Congress display. For potential buyers some of the exhibits at the Feature showing are on offer in this sale.

We thank the vendors for the quality on offer tonight, they truly have dug deep into their programs and opened the gates. If you analyse the achievements of the vendors in this catalogue, you will quickly understand the opportunity this sale presents. Talking to vendors it may be a long time for these opportunities to be offered again. I encourage potential buyers to reach out to vendors to understand the condition of the pick lots prior to the sale. Sale information

The Charolais Society of Australia is hosting a premier Charolais sale during the Charolais World congress on Friday 7th August 2026. The sale will be held in conjunction with a Gala dinner at Voco, Brisbane and interfaced with Auctionsplus. All lots are sold at the fall of the hammer when full payment is due and payable. If the lot involves a pick, the selection of the animal must be completed by the terms of that lot in this catalogue.

Fertility Guarantee

a. Bulls are to be sold as fertile and capable of natural service. The Purchaser will have the right of cancelling the sale within six months of the date of the Sale if they can submit a Veterinary Report stating that the bull is infertile or incapable of natural service. The Veterinary Surgeon must state that, in their opinion, the bull has not suffered, since the delivery to the Purchaser, any injury or maltreatment which could have affected its breeding ability. The Vendor is liable to refund the purchase price of the animal in full.

b. All female animals are to be sold as guaranteed breeders. Females twenty-four (24) months and over are to be pregnancy tested in calf, or have a calf at foot. Vendors must supply a PTIC certificate for every female entered in the catalogues as PTIC. Females under 24 months may be entered as mated or unjoined.

c. Where the lot is a female between the age of twelve (12) to twenty four (24) months, and a Purchaser submits a Veterinary Certificate to a Vendor within twelve (12) months of the date of sale stating that a female is infertile, and in the Veterinary Surgeon’s opinion, she has not suffered since the delivery to the Purchaser, any injury or maltreatment which could have affected its breeding ability, the Vendor is liable to refund the purchase price of the animal in full. This will not apply where an attempt has been made to transfer embryos/ IVF from the female.

d. Where the lot, is an unjoined heifer under twelve months (12) of age, the purchaser has up to the date the animal is twenty four (24) months to submit a Veterinary Certificate to a Vendor that the female of joinable age is infertile, and in the Veterinary Surgeon’s opinion, she has not suffered since the delivery to the Purchaser, any injury or maltreatment which could have affected its breeding ability, the Vendor is liable to refund the purchase price of the animal in full. This will not apply where an attempt has been made to transfer embryos/ IVF from the female.

e. In this sale, a bull or a female resulting from a pick is the same as a bull or female offered live and is subject to the above guarantees.

Inspection

Lots: 3, 5, 8, 9, 10, 11 will be present at the Brisbane EKKA for inspection All other lots can be inspected prior to sale by contacting the vendor for pre sale inspection. No cattle will be on site at the sale venue.

Delivery

Cattle onsite at Brisbane EKKA will be available for delivery at the conclusion of the cattle exhibition. Purchasers are encouraged to discuss transport arrangements with vendors after the sale. Live lots not onsite at Brisbane EKKA will be available for delivery from the vendors property. All delivery instructions are to be given to the the agents in writing.

Transfer Fees

Transfer fees will be the responsibility of the Vendor in accordance with Charolais Society of Australia Ltd Regulations.

BREEDPLAN

All published BREEDPLAN performance traits shall be reported in the sale catalogue.

Health.

To be eligible for entry, cattle must originate from:

a. A herd with a minimum J-BAS score of 6

b. Each animal must belong in a herd accredited free or confirmed free of both Brucellosis and TB.

Genomic Test Results

Genomic test results listed in this catalogue have been supplied by the vendor from results supplied by testing facilities. Intending purchasers should consult with vendors to determine the test used and the suitability of the result for their own breeding program. The Charolais Society cannot bear direct liability or any consequential losses incurred by the purchaser should the test results supplied be deemed to be incorrect

Conditions of sale for Interstate Purchasers

a. Any animal, purchased for interstate movement, which requires further tests will be forwarded to an approved Quarantine area where appropriate tests will be carried out in compliance with the entry requirements into the destination state. The costs of agistment, transport and health tests are to be borne by the Purchaser of all cattle passing such tests, or by the Vendor should they fail to pass such tests. Payment for cattle to the Vendor will be made within the normal terms of sale whether or not the cattle have been tested for entry into the nominated state.

b. In the event of the cattle failing health tests and sale being cancelled, the Vendor will refund all monies, paid as settlement, for the Purchaser.

Based in Echuca, Victoria, Warilla Charolais was established in 2011 from our long-standing passion for breeding quality commercial Charolais cattle. Our foundation females were sourced from the renowned Boongatti Dispersal Sale and Palgrove Charolais, with subsequent investments in leading Australian and New Zealand genetics helping to shape the herd we have today.

In the 1850s Moongool consolidated holding was composed of the runs of several blocks. In 1884 the “Runs” were consolidated but we’re not divided until April 1888.

T.L.N. Fitzgerald obtained the first lease on one portion of the run and acquired depasturing rights on the resumed portion. Moongool, which is only 16km South of Yuleba, was purchased by the Price Family in 1954 for 2/6 an acre. It consisted of Brigalow, Belah, Box and Sandlewood scrubthose were the days! Fences were few and far between. Mustering took place most days with a (newspaper wrapped) lunched in the saddle bag. Those pioneering days are gone, and we now have a successful breeding and fattening enterprise here at Moongool. A commercial herd of Charolais cross cows run at Moongool. The old people (Ian and Dell) also reside there.

Our Charolais Stud was founded in 1985 and the Brahman, Simbrah, Angus and Charbray studs added some years later. Ivan, Helen, Iva, Hunter and Tori live at Noorindoo Surat where the majority of the Stud females run. Located on the Condamine River between Yuleba and Surat is Bookooi.

Our other local property Leabrae, joins Moongool and here we pasture our weaner heifers each year and farm when the seasons favourable. During the dry weather in November of 2019, we purchased Gowrie at Charleville, where we have continued with the Simbrah/Simmental program.

Now for an update on Alison – for the past 25 years Alison has lived and worked in London and Malawi where she continues her medical research.

The Cook family are fourth-generation cattle producers, proudly farming Rangan Park in North East Victoria. The property was originally selected by Graeme Cook’s grandfather in the 1950s and has remained in the family ever since.

Rangan Charolais was established in 2005 following the purchase of a select group of females from the Palgrove Golden Opportunity Female Sale. Foundation females were carefully chosen from the highly regarded Showgirl, Nanette, Estella, Bronwin and Aletta maternal lines, providing the cornerstone of the Rangan herd. Through the strategic use of embryo transfer and artificial insemination, new genetics have continually been introduced as the herd has grown and evolved.

Over the years, many outstanding females have contributed to the success of Rangan Charolais, but none have left a greater legacy than Palgrove Showgirl 6. Purchased as an 11-year-old in the 2005 sale, Showgirl remained an integral part of our program until her passing at 20 years of age. During that time, she produced more than 300 embryos from 21 flushes, an extraordinary achievement. The impact Showgirl had on our herd extends well beyond her remarkable production record. She was the cornerstone of countless memories, with the Cook girls proudly exhibiting her quiet, reliable progeny at local shows from a young age, enjoying significant success along the way. Today, her exceptional maternal strength continues to influence not only the Rangan herd but also many leading Charolais stud herds throughout Australia, ensuring her legacy will continue for generations.

The Rangan female herd is rigorously classed each year for structural integrity and temperament. Females are expected to calve unassisted at two years of age and successfully rebreed within a tight seven-week joining period. Every female is joined through artificial insemination, then backed up by carefully selected walking sires chosen to complement each mating and achieve the herd’s breeding objectives.

Performance recording is a key focus at Rangan. Every calf is weighed at birth, weaning, and yearling age, while yearling scanning provides additional carcase data. This information is submitted to Breedplan, ensuring the Rangan herd maintains some of the most accurate and comprehensive performance data available within the breed.

Venturon Livestock was founded in 1994 by Andrew and Anne Thompson with the purchase of a female from the Culham Dispersal Sale and a further selection of females from the Kooyong and Breakaway studs. Today the herd is now run alongside their son Harris and his partner Hannah where they annually join 150 Charolais females. Each year a large embryo transfer and AI program is undertaken to maximise their breeding program.

Venturon consistently searches the globe for elite genetics and today the herd is built on top Canadian and American pedigrees. In the recent years, some of the best female lines in the breed have been imported to add to the success and strength of the Venturon cow herd. Top sires are sourced throughout Australia with cow families always at the forefront of a decision. The Venturon stud has exported sires to North America and New Zealand as well embryos to Canada.

The Thompson family has shown cattle successfully across Australia with numerous champions at Perth, Adelaide and Sydney Royal Shows. Some of their more recent successes include the Hordern Perpetual Trophy at the 2026 Sydney Royal Show, Supreme Charolais Exhibit at Sydney Royal in both 2024 and 2026, Interbreed Breeder’s Group of Three at Sydney Royal in 2024, and interbreed junior male and both junior and senior females at the 2025 Perth Royal Show.

Laura W32 is a wonderful heifer that displays so much length, growth, and softness with a very kind nature. She has enough power and performance to make a real difference, yet remains soft, supple, and very feminine. Her dam is a lovely young Mario cow with a picture-perfect udder always producing a standout calf. We were fortunate enough to secure a semen share in W32’s sire Ascot Recharge who has clicked very well over our herd adding some extra performance and carcase quality to his progeny just as this heifer shows. We haven’t bred many polled and gold heifers as good as this one, especially being backed by awesome performance data like this - she will be very hard to part with!

Ash-Lin Charolais

Ashlin Charolais was established in 2004 by the Warner family purchasing foundation females at the National Sale in Tamworth, NSW. The stud began with two unled females from Violet Hills and Averlais Charolais, with additional females later acquired from Palgrove, Glenlea and Sideline Charolais. These carefully selected females formed the foundation of the Ashlin herd. We are offering for your selection some of the top females in our herd. We have selected these females that are closely related to show the genetic consistency we strive for. Pythagoras has been a leading sire for us commercially and has now been given a select mob of stud females. His mother is still in the herd producing outstanding calves every year in the pressure of the Queensland tropics. Show heifers of this quality bred in Central Queensland with performance data to back them are rarely offered.

Rex is our new exciting sire purchased privately off DSK and with the first few calves hitting the ground safely we are really excited what he can offer northern herds growth, weight and plenty of fat cover and softness as well as a beautiful tropical coat and skin. This will be the only opportunity to purchase his genetics early. The heifers have been running with Rex since 1 June 2026 heifers can be held at Inga Downs free of charge until a positive pregnancy test is obtained.

Veejay downs was started in 1987 by Henry and Verona Pisaturo in 2008, it was passed to James Pisaturo and with the purchase of some heifers from Mandalong it was reestablished. These females were closely linked to Nandillyan Peugeot and created a strong base. Bulls from Rosedale and DSK were also utilized. In 2015 the herd was moved to ‘Inga Downs’ southeast of Middlemount in Central Queensland. Since then all Veejay Downs progeny have been bred at ‘Inga Downs’. It is currently owned and operated by James, Aleisha, Olivia and George Pisaturo.

Our operation focuses on breeding bulls for our own commercial program and has given us the ability to ensure our bulls thrive in the Central Queensland environment. As all commercial bulls prepared for our own use are in the same management group as our sale team we ensure our bulls are prepared to survive. The CQ Premier Charolais Bull Sale is the only place we offer bulls for auction.

We have recently expanded the operation to provide a line of paddock bulls to our clients. Our program is control mated with all cows calving from late spring to early summer in one management group to suit our wet season. All cows that fail to rebreed are culled to ensure selection pressure with our cows run under the same management as our commercial herd. We are Breedplan recorded with all progeny remaining in the herd until 400 day scans are done as well as the Charolais Standard bundle on all calves to include genomics.

Our Cattle have been validated by our success in the Clermont Cattleman’s Challenge with our home bred Charolais sired steers winning 5 of the last 7 years. This competition starts with steers being backgrounded for 250 days in the same paddock then fed for 100 days on grain. There are weight gain, carcase and taste test aspects to this competition making it a very comprehensive paddock to plate competition.

DSK Charolais began in 1995 with the purchase of two young heifers, Palgrove Estelle 31, sired by Peter Patriation, and Rosedale Beatrix 9, sired by Mr. Perfect. More females were introduced in 2001 with the purchase of Pinnaroo Red Trendie S81E (starting the DSK Wendy family) & Pinnaroo Red Fairy Floss S74E (starting the DSK Flossy family).

In 2005, the cow DSK Juliette U1E came to the fore with her son DSK Red Emperor Y13 being awarded Supreme Champion at the Charolais National Show & Sale, selling for $19,000 to Ian and Ivan Price of Moongool Stud. These cows began our extensive flushing program using sires such as Gunnadoo Nugget and MNE Bold Venture, LT Wyoming Wind & LT Western Edge.

Later, Temana Gold Logie and ANC Kind both in partnership with the Price family’s Moongool Charolais. In 2021 we decided to downscale our Charolais and offered our entire herd at our Whole of Herd female sale. From that, we had 8 older females plus 3 heifers, that were not sold through auction that we retained and built our herd back up from as well as embryos that we had collected over the years.

We are extremely proud that our DSK genetics and progeny can be seen working well and complimenting many varied programs in successful Australian Charolais herds around the country. Today we maintain a female herd of around 30 to 40 breeders and sell bulls and females privately and at select multi-vendor sales.

Established in 2013, Cassaglen was founded on the purchase of two dark red Panache heifers from Mullum Charolais. While their colour made them undesirable, to us they were a strong genetic foundation and more than a decade later, their legacy continues.

The Littler family gave us a rare opportunity to add several elite cows to our herd, including Panache full sisters E20 and D27, and H38, who is the dam of Scarlet Fire. In 2016, Ben and Amanda Adams gifted our boy’s embryo calves from Advance Lyric. One of those calves, Lady Kingswood, went on to produce Cassaglen Raptor — a bull who turned lifelong dreams into reality. Influential genetics include PINAY, TR Red Smoke, Emblem and Raptor. Limited space forces us to be highly selective, retaining only the best females.

Cassaglen is proudly family driven and evolves around our young sons Fletcher, Darcy and Emmett who play an active role in all decisions and are helping shape the future of our herd.

- We cover the cost of on-farm programming and embryo recovery through Ced Wise AB (Conventional Flush) or IGT (IVF Flush)

Graham and Katrina commenced Charnelle Charolais in 1992 with females from Trevlac and Tallegalla. Females have been added from Palgrove, Moongool and Fernvale, and others have been added throughout the studs 34year history. Embryo transfer and Artificial Insemination have always been a large part of our breeding program, successfully introducing new genetics into our herd. Charnelle has selected genetics globally, and marketed semen from ten sires including JWX Silver Bullet and G Bros Thin Red Line from Canada in 2010.

In 2013 we selected D’Angely and Gallway (both Polled Full French) from France and in 2016, Elder’s Blackjack and CML Distinction from Canada. Then in 2018, Johnny & Nougat (both polled Full French) were added to our program. In 2024, with Black Duck Charolais, we secured the Australian semen rights to the new exciting New Zealand sire Silverstream Saint Martin. Semen from our new Homozygous Polled Full French Bull Robins RS arrived in January 2025. Johnny & Robins are two of the sires featured in our lot 13 Embryo Package.

We are very satisfied with the influence these bulls have had, not only in our breeding program but in herds right across Australia. It was very satisfying that Elder’s Blackjack from Canada, whom we selected for use in Australia, was voted World Champion Charolais Bull in 2020.

We have imported embryos from the USA, France & New Zealand to enhance our breeding program. Embryos imported in 2008 from Camp Cooley USA resulted in two very influential females in our herd, Elle E10E & Emma E50E (both by RC Charlie). These females became donor dams in our herd with excellent EBV’s, temperament, structure and Homozygous Polled. Elle E10E produced Charnelle Panama P25E by Elder’s Blackjack. One of our greatest achievements has been to market Charnelle Panama semen to Ireland, UK, New Zealand, South Africa, Norway and Germany, with very positive results from progeny in these countries.

Our herd comprises about 70 females, and we sell about 25 bulls a year with our main bull sale being The Coolabunia Classic Bull Sale The Annual Charnelle Charolais Invitational Female & Genetics sale has been held at Toowoomba for the last 16 years.

To commemorate 50 years of the Charolais breed in Australia, the Charolais Society ordered from master craftsmen, Kents Saddlery, Stanthorpe, Queensland specially engraved Condamine Bells. There were only 12 bells produced, individually numbered and they will not be reproduced. This is a once in a lifetime opportunity to obtain Bell #2. The Bell #2 was provided to Western Australia to recognise the state the first Charolais calf was born in Australia. The #1 Bell auctioned made $5,000 selling to Henry Pisaturo at Beef Australia 2024.

LIVESTOCK AUCTION TERMS AND CONDITIONS OF SALE

(c) Any statements made by the vendor or the auctioneer whether in writing or orally to the effect that any female has been pregnancy tested or scanned positive

(d) For cattle, the agent undertakes to make every reasonable effort to ensure that any NLIS cattle device number is transferred from the saleyard account to the purchaser’s account on the NL IS database no later than midnight on the day of the sale.

(e) Where livestock have a food safety or market eligibility status derived from the NVD and/or the NLIS/ERP database, the agent will inform the buyers by presale catalogue in conjunction with vendor branding and/or announce the status prior to the offering of those lots.

20. If delivery is made to, or possession obtained by, the buyer or its representative before full payment of the Price, then until full payment is received, the buyer:

7. The last price called by the auctioneer at the fall of the hammer shall be the amount at which the lot has been sold.

8. In the event of a disputed bid, the auctioneer is the sole arbitrator of the successful bidder or the auctioneer may decide to put the lot up again. The auctioneer’s decision is final.

9. The auctioneer may refuse to accept any bid which, in the auctioneer’s opinion, is not in the best interests of the vendor and need not give reasons for doing so. The minimum bid for liveweight selling is 0.2 of a cent ($0.002).

10. A bidder shall be deemed to be a principal unless, prior to bidding, the bidder has given to the auctioneer a copy of written authority to bid for or on behalf of another person.

11. The successful bidder at a livestock auction sale must give to the auctioneer at the fall of the hammer: (a) the purchaser’s name; or (b) the bid card number which identifies the purchaser; or (c) the name of the person on whose behalf the successful bid was made; and (d) the Property Identification Code (known as the “PIC”) of destination.

12. The auction shall be conducted on the basis that the bid price shall be exclusive of Goods and Services Tax (GST). GST shall be added after the fall of the hammer for those sales subject to GST.

13. As soon as practicable after the fall of the hammer, the buyer shall if requested by the agent, sign the agreement for sale

14. If a buyer does not comply with any of these terms and conditions, which includes the requirements of State law, any livestock knocked down to that buyer may be re-sold by public auction or private contract in whatever lots and manner the auctioneer decides. The re-sale may be with or without notice and shall be at the buyer’s risk. The buyer is responsible for all loss and expense arising out of a re-sale and is not entitled to any resulting profit.

15. The buyer of livestock must pay the agent the full amount of the purchase price in immediate funds on receipt of a tax invoice Payment is required prior to delivery unless some other time for payment is specified in a written agreement between the buyer and the auctioneer that was made before the fall of the hammer.

16. No person may bid unless, prior to the commencement of the sale, that person has made arrangements satisfactory to the auctioneer for payment for livestock purchased. If bids in breach of this condition are inadvertently accepted, delivery shall not be given until the purchase money is paid and any law, rule or practice to the contrary is accordingly negatived as far as possible.

17. (a) Cattle sold on a liveweight basis that are weighed pre-sale are at the risk and expense of the buyer upon the fall of the hammer.

(b) Cattle sold on a liveweight basis that are weighed post-sale are at the risk and expense of the buyer immediately after weighing (c) All livestock other than cattle sold on a liveweight basis are at the risk and expense of the buyer upon the fall of the hammer.

18. (a) Subject to this clause the sale is complete on the fall of the hammer.

(b) The time for rejection is the time commencing at the fall of the hammer and ending at the first of:

(i) delivery is taken by a representative of the buyer;

(ii) departure of the animal from the purchaser’s delivery pen; or (iii) one hour after the last animal is: a. in the case of pre-sale weighing, sold; or b. in the case of post-sale weighing, weighed.

(c) During the time for rejection the buyer may reject any animal which is lame, blind or diseased where that condition existed prior to the fall of the hammer but could not be reasonably observed when the animal was in the selling pen.

(d) If the purchaser rejects an animal during the time for rejection then the sale of that animal is cancelled and the animal is returned to the vendor or sold at such price as the purchaser and the agent may agree.

(e) This sub-clause applies only to cattle which are sold in Queensland at auction for slaughter. The agent has responsibility for the prevention of loss or escape (but not death, sickness or injury) of those cattle from the time of the fall of the hammer, through delivery to and from the scales, to the buyer’s delivery pen and on to the buyer’s nominated transport. This responsibility ends at the earlier of those cattle boarding the buyer’s nominated transport or sunset on the day after the sale. This sub-clause does not apply if the agent makes an announcement to that effect prior to sale.

19. (a) Subject to the right of rejection in Clause 18, all conditions and warranties expressed or implied by law are hereby excluded from the sale to the extent that the law allows. All lots are open for inspection prior to the commencement of the sale and are sold with all faults, if any. No compensation shall be given for any faults, imperfections, errors of description, number in or of any lots sold or otherwise.

(b) Any claim or objection arising out of an error or misdescription in the provision of relevant information in terms of legislation or regulation concerning the National Livestock Identification Scheme (NLIS) must be made by 5:00pm on the seventh day after the fall of the hammer. No objection, requisition or claim against the vendor or agent in respect of such error or misdescription can be made after that time.

(a) does not acquire title to the livestock; (b) holds the livestock as bailee only for the vendor; (c) must act in a fiduciary capacity in its relationship with the vendor;

(d) must store the stock separately or so that they are readily distinguishable from other livestock owned by the buyer;

(e) is responsible for the safety and well being of the livestock;

(f) may make a bona fide sale for market value of any or all of the livestock. As between the buyer and the subsequent buyer the sale shall be made by the buyer in its own name and not as agent for the vendor, however as between the vendor and buyer, the sale shall be made as bailee and agent for the vendor; and (g) must keep and account for the proceeds of any subsequent sale separately from its other money and hold those proceeds, together with the benefits of any rights against subsequent buyers, on trust for the vendor.

21. In addition to clause 20, if payment is not made according to clause 15, but delivery has been made to, or possession obtained by, the buyer or its representative:

(a) The vendor or its agent may repossess and resell the livestock and enter property owned or occupied by the buyer or its representative if necessary to do so; and (b) Interest may be charged at the rate usually charged by the agent for overdue accounts on any amounts which remain owing at any time.

22. The buyer may not make any claim against the vendor for actions by the vendor or its agent under clauses 20 or 21 and indemnifies the vendor and its agent against any loss, damage, costs, expenses, penalties, fines or claims suffered by the vendor, the agent or any person or entity arising from the vendor exercising its rights under clauses 20 or 21

23.1. Clause 23 applies whenever the agent pays the vendor before being paid by the buyer, which the agent is not bound to do. The agent is then the del credere agent of the vendor at law

23.2. The vendor hereby gives notice to the buyer of the assignments referred to in clause 23.3

23.3. When this clause applies, in addition to any rights of the agent that arise by operation of the law, the parties agree that, subject to clause 23.6 the agent is subrogated to all rights of the vendor under these terms and conditions against the buyer.

23.4. Title to the livestock does not pass to the agent or a nominee of the agent unless the agent, by written notice to the vendor, notifies the vendor that it is to be transferred to the agent or a nominee of the agent.

23.5. The vendor acknowledges that the agent may take enforcement, repossession or other action to recover any livestock for which the buyer has not paid in full, or the Price of such livestock, owing by the buyer under these terms and conditions: (a) when this clause does not apply, as agent of the vendor (including by reselling the livestock); and (b) when this clause applies, on the agent’s own behalf exercising the rights of the vendor by subrogation or assignment under these terms and conditions (whether in the vendor’s name or not) and, where title to the livestock has not passed to the agent, by selling the livestock as agent of the vendor without the agent having to account to the vendor for the proceeds of sale.

23.6. The agent may at any time, assign, transfer, securitise or otherwise dispose of all or any of its rights under these terms and conditions and any debts created pursuant to it (including, without limitation, the rights assigned to it under clause 23.3).

23.7. The vendor hereby irrevocably appoints the agent as the vendor’s attorney to: (a) do at any time and in any manner as the agent thinks fit all acts necessary or desirable to perfect o r improve the rights and interests afforded, or intended to be afforded, to the agent u nder these terms and conditions; and (b) appoint one or more sub-attorneys to do anything that the agent may do as the vendor’s attorney.

23.8. These terms and conditions do not render the agent liable to the buyer as vendor nor entitle the buyer to set off against the agent any right the buyer may have against the vendor or otherwise.

23.9. The buyer acknowledges that the provisions of this clause 23 are intended solely for the benefit of the agent (and its assigns) and the vendor. The liabilities and obligations of the buyer will not be in any way affected: (a) by this clause 23, other than as it expressly provides; or (b) by the failure of the agent or the vendor or either of them to comply with the terms of this clause 23.

23.10.The buyer must pay all amounts payable to the vendor or the agent under these terms and conditions without any deduction, withholding, set off or counterclaim whatsoever, whether the benefit of a deduction, withho lding, set off or counterclaim is alleged to exist in favour of the buyer as against the vendor or the agent in any capacity whatsoever or any other person including any assignor of the vendor’s or the buyer’s interests under these terms and conditions.

24. (a) The agent agrees that he is liable to pay to the vendor the Price, less such commission as is agreed between the vendor and the agent, and in the absence of any agreement such amount as is reasonable and less the Fees that are payable by the vendor that were incurred by the agent on behalf of the vendor in relation to the sale of the livestock.

(b) In the event that the buyer pays the Price or part of it direct to the vendor then the agent has no liability to the vendor for the amount of such payment. Further, if the agent pays the vendor any amount which the buyer also pays direct to the vendor in respect of the same livestock, then the vendor must repay the agent that amount and the agent may debit that amount to an account held in the name of the vendor by the agent.

(c) Regardless of whether or not a sale has occurred the agent may, but is not under obligation so to do, instead of deducting payments owed to it by the vendor, debit the amount of the commission and fees to an account held in the name of the vendor by the agent.

25. The auctioneer has been retained by the vendor as auctioneer for the purpose of selling the livestock comprised in the lots. The terms of engagement between the auctioneer and the vendor do not extend to the provision of advice by the auctioneer to the vendor in relation to the
