MAP policy
Bajío, Inc. (“Bajío”) makes and sells premium, sustainable, polarized sunglasses for fishing, boating and everyday use. Bajío distributes its products through a variety of channels and networks of authorized, independent dealers (“Dealers”). Bajío hereby unilaterally adopts the following Minimum Advertised Price Policy (“MAP Policy”) or (the “Policy”) to maintain brand integrity, value and high customer service.
Bajío intends for its products to be sold at fair prices that reflect the value and high quality of Bajío’s products, maintains the premium name brand of Bajío, and enables its Dealers to provide superior customer service. Bajío wants to ensure that Dealers present Bajío’s products in a professional manner in their stores and maintain an adequate selection of Bajío products to sell. In furtherance of those objectives, Bajío has implemented this MAP Policy.
Under the Policy, Bajío unilaterally announces that it does not intend to do business with Dealers who advertise Bajío’s products for less than the suggested minimum advertised price (“MAP” or “MAP list”). Bajío’s MAP list can be found on Bajío’s website, Bajíosunglaasess.com.
This Policy applies to all Dealers, whether they sell in brick-and-mortar stores or online. This Policy applies to all forms of advertising whether it be print advertising, signage, radio or television advertising, online advertising, advertising by third parties (e.g. price comparison websites, search engines, auction websites, etc.), or any other type of advertised price.
The use of coupons, store discounts or cart discounts is allowed provided that the pricing for a particular Bajío product is not advertised at less than its MAP.
This Policy applies to all Bajío products other than discontinued products. Under this Policy, dealers can offer gifts with purchase but not bundled pricing.
Should a violation of this Policy occur, Bajío reserves the right to refuse any new orders from the Dealer for any product and reserves the right to terminate the Dealer’s account. Bajío hereby unilaterally announces that it will take the following action for any known violation of the MAP Policy:
•Bajío will notify retailers of MAP policy in writing.
•Retailer will be given 30 days to remedy the violation.
•If the violation is not remedied to Bajío’s satisfaction, Bajío reserves the right to discontinue selling products to the violating Dealer at any time.
