Hi! My name is Typhanie Vayro, and I’m the new Marketing and Communications Manager joining the APRA team I’ve jumped in with my boots on, to support the team with marketing, communications and sponsorship I’ve worked in marketing for about 10 years now, most of that time with Ariat/Just Country Australia, so I’ve worked with the APRA team and a few APRAaffiliated events over the years. I’m looking forward to working with the APRA team from the Executive Board through to the committees and competitors and stoked to be using my marketing and communications skills to promote rodeo and serve our community.

Diana Atkins

Last month we unfortunately said goodbye to Diana Atkins who came aboard last year as NFR Co-Ordinator. Thank you Diana for all your hard work in making the 2024 NFR a success and the preliminary work you’ve done in setting up the 2025 NFR at Scone. We wish you all the best in your new role with the new Mount Isa committee.

Shannon Aspinall

Shannon Aspinall has also given notice as the APRA Accountant due to her current fulltime role and her new exciting role as a grandmother of two! Shannon has been with the APRA in some capacity for over 30 years, from fresh faced school leaver working in the office, to our accountant. On behalf of the APRA, I’d like to thank Shannon for her immeasurable contribution to the Association, you will be sadly missed.

Our AGM will be held Wednesday 6 August 2025 at 8am. Thank you to everyone who sent in nominations and agenda items for consideration. Please note the venue has been changed to The Buffs Club Corner of Grace and Simpson Street Mount Isa Everyone is welcome to attend, however only financial members (open, permit, non-competing, life and gold card holders) are eligible to vote. A quorum is needed so please attend in person, light refreshments will be provided. If you are unable to make it, the AGM will be livestreamed. More details on voting and the livestream will be provided.

Restructure & Proposed Constitution

In this issue of the Rodeo News, we have published a document written by the legal firm we engaged to assist us with restructuring the APRA from an Incorporated Association to a Company Limited by Guarantee. The reasons why we needed to make these changes our outlined in the document along with the process of how we change They have also drafted a proposed Constitution to suit a Company Limited by Guarantee This document will be emailed out to all financial members this week If you don’t have access to emails, then a copy will be posted to you.

COMPETITION BOARD FROM THE

It is hard to believe the Northern Run of rodeos has rolled around again but as always it is an exciting time of the year. I am sure I speak for the entire membership when I extend gratitude to the Mt Isa Pro Rodeo Ltd Board for undertaking the massive task in ensuring the iconic event stayed on our calendar. Not only have they implemented an increase in prize money but they have managed to reduce ticketing costs dramatically for the spectators.

Another change that the APRA would like the membership to give consideration to is the proposed new constitution in conjunction with the proposal to convert to a company limited by guarantee. The members will have had time to revise the new constitution, and I strongly encourage everyone to do so, prior to the AGM to be held in Mt Isa on the 6 of August. These changes are the responsibility of everyone involved in our great sport, so let’s all work together to understand the importance of voting for or against this proposal.

If I can assist anyone with setting a course, I am more than happy to do so if available. I’d also like to remind the barrel racers if they cannot full-fill their responsibility to set a course or ensure timers are put out for the judges please notify myself or the judges that you have organised a replacement and this will be noted. These steps are in place to ensure the smooth and timely running of our event and take any unnecessary pressure off committee members, promotors or judges. I’d also like to encourage any competitors to check in with the judges and possibly make yourselves available during the barrel race to reset knocked or bumped drums, if this can assist with time, especially at some of the bigger events with large entries. For those that are not familiar, there is a sheet of paper with the Open and Junior barrel pattern on it, that measurements are to be recorded on as well as your name, phone number and signature. The judge will also sign off on this and have it available at all times during the rodeo in case a peg is misplaced and the course has to be reset. It is imperative that spare pegs and a tape measure is left close by for the judges in this case as well.

The Association authorises its Management Committee to do all things necessary, including signing all documents and completing all applications, including without limitation:

a To Register a Company Limited by Guarantee with Australian Securities and Investments Commission (‘ASIC’), known as ‘Australian Professional Rodeo Association Limited’, (or such other name the Directors decide on if that name is not available) by using ASIC Form 201;

b. To apply to the Consumer and Business Services (‘CBS’) to transfer the Australian Professional Rodeo Association’s undertaking or operations to the Company Limited by Guarantee;

c To complete all relevant forms to request that CBS transfers its activities to the CLG;

d To wind up the existing association once the transfer of its undertaking or operations to the Company Limited by Guarantee is completed

MEMORANDUM TO MEMBERS – COMPANY LIMITED BY GUARANTEE – BENEFITS AND PROCESS

Australian Professional Rodeo Association

A company limited by guarantee (‘CLG’) is a type of public company registered under the Corporations Act 2001 (Cth) (‘Corporations Act’) Like all other companies, a CLG must comply with the applicable provisions of the Corporations Act They are formed on the principle that the liability of members is limited to the amount they agree to contribute if the company is wound up This amount is typically nominal and set out in the company's constitution CLGs cannot pay dividends. CLG’s registered under the Corporations Act are intended to operate businesses and more complex organisations.

Benefits of a Company Limited by Guarantee

The current constitution, and legal status, of the association is under South Australian legislation, Associations Incorporation Act 1985 (SA) (‘AI Act’) That means it is governed by South Australian law, and that is despite it being a national organisation with members throughout Australia A CLG is a national company, recognised in all states and territories as the Corporations Act is Federal legislation Converting to a CLG will give the organisation a more credible and professional national structure

Once a CLG is registered, it can operate anywhere in Australia although it may still have to undertake certain licensing applications in each state. For example, if the organisation undertakes a large raffle/art union in NSW, the CLG would still seek to comply with the NSW raffle laws and obtain a permit/license for the raffle/art union

CLG’s can have unique constitutions, and it is possible to draft them to suit the requirements of the organisation.

The new Constitution provides for a Board of Directors. That Board will comprise up to 8 directors, 4 of which are appointed by Members at the AGM, and another 4 appointed by the Board using a skills-based application process. This ensures the Board of Directors retains skills which are needed for corporate governance, and financial accountability Modern Boards should have skills-based directors who understand corporate governance, financial responsibility, legal compliance or business requirements

The new Constitution retains the Competition Committee That Committee will be elected by the Members at the AGM Only the Chairperson is appointed by the Board

6 The point to be made is that CLG’s constitutions have more flexibility, which means it is possible to draft them so that a board has a good mix of skill, and is not reliant on members appointed directors, and simply accepting the outcome of a members meeting Additionally, it is possible to draft the constitution so that certain directors have fixed terms

e g 3 year appointments This avoids a mass exodus of directors at the one time and allows for rotation of directors off the board.

7 Changes to the CLG constitution take effect immediately upon a special resolution being passed to effect the change, as opposed to changes to a not-for-profit association’s constitution which must first be approved by and registered with the Consumer and Business Services

8. CLGs are traditionally subject to more accountability in relation to management and governance because the Corporations Act imposes duties on officeholders etc This may be regarded as a disadvantage as well but on the other hand, these accountability requirements give third parties more confidence in dealing with the CLG and should also assist in better business outcomes for the CLG It means third parties dealing with the organisation will see it as more professional, and accountable.

9 There is a greater distinction between the roles and duties of the board of directors and the members. The board is in control of the operations and day to day management. The board are allowed to undertake their duties with more confidence However, members also know the Directors are subject to express duties set out in the Corporations Act and can be more accountable.

10 A CLG provides increased flexibility for growth and fundraising, and a more established legal structure suitable for complex business operations, making it a better choice for large ventures or charities Borrowing funds in different States or Territories for example will likely be easier than trying to use an Association which is subject to South Australian legislation only.

Process to Change from an Association to a CLG

To change from the current Association under South Australian Law, to a CLG under the Corporations Act, the following is required:

Pass a special resolution

a hold a meeting where members of the association pass a special resolution that: i authorises the committee to take all steps required to:

1. Register a CLG; and

2 Transfer the association’s undertaking or operations to the CLG ii approves the proposed Constitution for the CLG;

iii. approves the name to be used by the CLG upon its registration.

b Under the Corporations Act, a special resolution will be valid if the following are satisfied:

i the special resolution is passed at a general meeting of the association; and

ii members must be given at least 21 days’ notice of the proposed special resolution.

c It needs to be passed by at least 75% of the members who are present and entitled to vote.

2 At the AGM, the members should also authorise the Board of the Association to appoint the first directors, secretary and auditor of the CLG upon its registration

3 Apply to register a CLG

a The not-for-profit association must complete and submit an application to register a company with ASIC using ASIC Form 201.

b Once the application is registered, ASIC will issue the CLG with an ACN and certificate of registration

4 Apply to transfer the undertaking or operations of the association

a. The not-for-profit association needs to apply to the Consumer and Business Services (‘CBS’) to transfer the activities of the association to the CLG

b CBS will consider the application and if it believes the activities should be transferred, it will issue a notice to the association The association has three months to request that CBS transfers its activities to the CLG.

i if the association doesn't complete the form within three months, CBS may issue a certificate to wind up the association

ii if, within three months, the association requests CBS to transfer its undertaking/activities to a CLG, CBS may order (by publishing a notice in the Gazette), that the undertaking of the association be transferred to the CLG

c. If CBS orders the transfer of the association's activities, the association is dissolved, and the property, rights and liabilities of the association become the property, rights and liabilities of the CLG

5. Notify the ATO, banks, Titles Office etc.

a Notify people, businesses, and companies of the new company structure, and new CLG

6 The CLG will need to get its own ABN, Tax File Number and GST registration

The property of the association becomes the property of the CLG, and the rights and liabilities of the association become rights and liabilities of the CLG.

Rule 50.1.4: The 12 and under bonus will be paid out if there is only 1 Junior age group event at a rodeo. The bonus will be paid to any competitor that is 12 years of age and under if there is only one Junior age group event at a rodeo. Points will only be allocated for the 12 and under as per rule 3 22

12. New Business

12 1 Brett Ryan removal Text received from Brett quoting rule number 7 of the constitution: “Any Director may be dismissed at an AGM by majority vote of 75% of those present and eligible to vote

Previous Executive and Competition Boards had made a decision in the special meeting held this morning. That decision will stand and consider the issue over unless further legal correspondence is received from Brett Ryan.

12.2. Mention of thanks to Shane Iker from isa Rodeo for his tenure as Executive Chair.

12.3. Judging Panels, Decisions, clinics, accreditation. Competition Board – it’s a work in progress to try and gain clarity and uniformity across the board so no matter where judging is held, everyone is

on the same page. This takes time. Plans to hold judging clinics via zoom with perhaps Lane Peterson from Canada.

12 4 How much member money was spent on solicitors in relation to the Shane Kenny dispute. Feels the lack of a resolution process has cost members money for something that is not a legal issue. Matter is not for broadcasting and should be put in as a request to the Executive Board. Executive Board has the constitution in the hands of a solicitor so matters such as these can be finalised but is a long process that will need to involve members not just the Board.

12.5. Thank you to Emerald Rodeo for holding such a wonderful Junior Finals. There were no APRA Board Members representing the APRA which was disappointing. Apologies from Board member who was meant to be there as representative.

12.6. Polaris Ranger Raffle – please support, it’s a great prize and will help us raise the prize money at the finals if all tickets are sold.

12.7. NFR Update – Coordinator has been engaged and raised $110,000.00 in sponsorship to date. Rodeo Arts School Competition. Mini Bull ride between round 3 and round 4 to retain patrons. NFR will run the bar this year. Radio advertising sponsorship in place with Southern Cross Austerio.

12.8. Concussion protocol. Competition Board have taken notice and will inform members of protocol once in place.

12.9. Medical Staff at rodeos. Should be more accessible to injured competitors and should be situated behind the chutes for quicker treatment time.

12.10. Will there be a Back Number Ceremony again this year at the NFR? Yes, basically same format as last year.

Rationale: This proposed amendment to Rule 35.27 seeks to formally recognise Ranch Bronc Riding within the APRA Rule Book This inclusion offers a consistent framework for how the discipline is defined and delivered without impacting the existing Station Saddle Buckjump format With growing interest, the amendment supports committees wishing to feature Ranch Bronc as an in-house event and facilitates the alignment of insurance and compliance requirements necessary for event approval.

GOLDEN RUN RODEO CIRCUIT

With the upcoming northern run of rodeos fast approaching, so is the AGM for the Golden Run Rodeo Circuit. Queensland, due largely to its sheer size, is the only state to have two circuits. During the formation of the circuits, it was decided that all of the rodeos that were held north of the Tropic of Capricorn would comprise the Golden Run Rodeo Circuit. In recent years, we have seen the number of rodeos in the GRRC grow. Charters Towers, North Queensland Elite, and Collinsville are all relatively new additions to a circuit that encompasses famous old stalwarts and big names such as Mount Isa and Cloncurry. Not only have rodeo numbers in the GRRC grown, but the amount of prizemoney to be won in the north is impressive!

For many, many years, Alistair and Lyn Anderson have been the backbone of the GRRC. However, at 83 and 84, they are looking to hand the reins to someone else. Alastair has tendered his resignation as Secretary/Treasurer, and it is important that the GRRC President Deon Lane has the support of someone in this role. If you rodeo in the North of Queensland, your attendance at the GRRC AGM in Richmond would be appreciated and welcome.
