We had known the owner of this home for many years, having valued the property a number of times. GREATER CERTAINTY WHEN BUYING OR SELLING

At Cooper Adams we take a different approach. By introducing Reservation Agreements at the point an offer is accepted, we help create commitment and clarity from the very start of the transaction.
WHY THEY MATTER
In the UK around 27% of property sales fall through before exchange of contracts. When this happens it can be both frustrating and costly. Buyers and sellers may have already invested weeks of time and, in many cases, several thousand pounds in legal fees.
Reservation Agreements help reduce this uncertainty by creating a clear commitment between buyer and seller as soon as a price has been agreed. The property is withdrawn from the market and both parties proceed with the understanding that the transaction is intended to move forward.
For this reason the UK Government now recommends the use of reservation agreements within its official How to Buy and How to Sell guidance.
HOW THE AGREEMENT WORKS
Once an offer has been accepted, the buyer and seller enter into a Reservation Agreement and each pays a modest setup fee. This establishes a clear framework for the transaction while the legal process begins.
If either party withdraws from the sale without a valid reason, they agree to pay compensation to the other side. However, if the transaction ends because of circumstances outside anyone’s control, such as a collapsed chain or mortgage refusal, there is no penalty and the setup fee is refunded.
The agreements used by Cooper Adams are provided by Gazeal, a specialist company trusted by more than 1,000 estate agents across the UK. Gazeal administers the agreement independently, holds the fees securely and manages any compensation payments.
Importantly, Cooper Adams receives no commission or financial incentive from the arrangement.
A FAIR AGREEMENT FOR BOTH SIDES
Reservation Agreements are designed to be balanced and practical. While
they discourage last minute changes of mind, they also recognise that genuine issues can arise during the buying process.
The agreement allows a sale to end without penalty if there is a legitimate reason, such as:
• a collapsed chain
• a mortgage refusal linked to the property
• a down valuation that cannot be renegotiated
• essential previously unknown repairs identified in a survey
Any such situation must be supported by written evidence and reviewed independently.
PROVEN AND TESTED
The Reservation Agreements used by Cooper Adams have already been tested in the UK courts and confirmed as legally enforceable. In practice, disputes are extremely rare. The presence of the agreement simply encourages both parties to proceed with confidence and commitment.

BUYER DEPOSITS
Alongside Reservation Agreements we can also offer Buyer Deposits, which provide an additional level of commitment early in the transaction.
A Buyer Deposit demonstrates that a purchaser is serious about proceeding and can strengthen an offer in a competitive situation. As with the Reservation Agreement, the deposit is protected if the transaction ends for a legitimate reason.
