Foreword

This Annual Report of the AKESO Healthcare Holding is perhaps the most accurate reflection of our work over the past year, both in substantive and financial terms. I am convinced that it presents a more than positive picture and that the following pages will provide deeper insight into how successfully we continued to fulfil our ambitious goals and sustain dynamic growth throughout 2024.

Despite the challenging conditions facing the healthcare sector, we remained focused on what we consider most important: providing high-quality, accessible and patient-centred care, while at the same time creating an environment in which both patients and our employees feel comfortable and valued.

The past year brought a number of positive developments and new projects. We commenced the construction of the Prague Neoklinika, a modern outpatient care centre that represents another step towards a more efficient and accessible healthcare system. This facility will embody a truly innovative concept of healthcare delivery – comprehensive yet highly individualised care, with the client and patient firmly at its centre. In Beroun, we launched our own data centre, marking a significant milestone on our path towards greater self-sufficiency and readiness to implement our ambitious digitalisation plans, not only for the AKESO Healthcare Holding, but also for other entities within the healthcare sector.

We also opened new AKESO outpatient clinics in Plzeň, offering patients comprehensive care under one roof in the fields of surgery, orthopaedics and anaesthesiology. In addition, we expanded the capacity of specialised medical practices and pharmacies, and our Mindwell digital therapeutic programmes were officially registered as a Class medical device in accordance with the relevant European regulations.

A major highlight of the year was our participation in the global finals of the EY Entrepreneur Of The Year competition in Monaco, where I had the honour of representing the Czech Republic. I view this achievement above all as recognition of the work of all those who stand behind the AKESO Healthcare Holding and help us move healthcare to a higher level.

The future of healthcare is undergoing profound transformation and brings with it new challenges. At AKESO, we do not wish merely to wait and respond; we aim to be a driving force of innovation and an example of a modern approach to healthcare delivery – technologically, organisationally and, above all, humanly. I believe that cooperation, education and openness to new ideas will continue to enable our growth. Our priority remains the development of high-quality and accessible care for every patient, alongside the creation of conditions in which our employees can grow professionally and feel fulfilled.

AKESO Holding Has Long Ranked Among the Best-Managed Companies in the Czech Republic

The AKESO healthcare holding has once again confirmed its exceptional position within the Czech business environment. For the sixth consecutive year, it has received the prestigious Czechia Best Managed Company award, presented by the consulting firm Deloitte to the best-managed private companies in the country.

The official awards ceremony for this year’s edition took place at the end of May 2025 in the historic Fanta Hall at Prague’s Main Railway Station. A total of 35 companies from a wide range of industries participated in the programme this year, including nine newcomers. Alongside them, long-standing high performers once again stood out — among them AKESO holding, which has remained continuously among the award recipients since the programme’s launch in 2020.

The Czechia Best Managed Companies programme evaluates companies across four key pillars: strategic leadership, the ability to innovate and grow, sound financial management, and a strong focus on people development and corporate culture. Sustainability and social responsibility are also playing an increasingly important role in the assessment process.

penultimate opportunity for us to do so. The awards ceremony was themed around courage — a concept that, I believe, describes us very well. We demonstrate courage not only through our commitment to continuous development, but also through our ambition to do better for our patients and employees alike. This approach is well reflected in our planned bond issuance of up to CZK 1.5 billion. The proceeds will be invested in accelerating our growth, as demographic trends are unforgiving and demand is placing significant pressure on our existing capacities. At the same time, we need to strengthen preventive care capacities, which represent one of the few available tools to curb the rising costs of the Czech healthcare system. For us, this award serves as an important external confirmation that we are continuing on the right path,” says MUDr. František Vlček, Ph.D., MHA, Chief Strategy and Innovation Officer of AKESO healthcare holding.

The objective of the programme is not only to recognise achieved results, but also to actively support participating companies through expert feedback, professional workshops and the sharing of international know-how. The programme has a truly global reach — it was founded in Canada in 1993 and today operates in more than 45 countries worldwide.

Mental Rehabilitation Center: A Year of Growth and Innovation

The Mental Rehabilitation Center, established under AKESO Holding, has since its opening in June 2023 become an important pillar of modern psychiatric care in the Czech Republic. In its first year of operation, the center has provided care to more than 2,200 patients, successfully fulfilling its mission to offer modern, dignified, comprehensive, and innovative treatment at the level of the 21st century.

Currently, the center operates three acute care units, one specialized psychotherapeutic unit, outpatient clinics for specialized mental health services, three day-care facilities, spaces for multidisciplinary planning with community services, and a 24/7 acute admissions department. Therapies at the Mental Rehabilitation Center combine psychiatric and psychological care with physical activity, neurostimulation methods, and prevention of somatic illnesses.

For patients whose conditions cannot be adequately managed in outpatient care, the center offers inpatient wards for medium-term hospitalization, with double rooms equipped with private bathrooms and eight apartments providing premium care. Ensuring continuity of care is also a part of the longterm strategy. This is supported by the digital platform Mindwell, based on cognitive-behavioral therapy, which increases access to professional support for patients with milder conditions.

During its first year of operation, the center has clearly demonstrated its importance and its potential to become a key provider of modern mental health care in the region.

Sotirios Zavalianis as the Czech Representative Among the World’s Entrepreneurs

At the global finals of the prestigious EY Entrepreneur of the Year 2024 competition, traditionally held in Monte Carlo, Sotirios Zavalianis, founder of AKESO Holding, represented the Czech Republic. He was the only entrepreneur from the healthcare sector among more than sixty national winners from across the globe who competed for the title of EY World Entrepreneur Of The Year™. Zavalianis considers his participation in this global event the highlight of his entrepreneurial career:

“Representing the Czech Republic in competition with the USA, India, Australia, and China was a tremendous honor and responsibility. I wanted to demonstrate that even here in the Czech Republic, it is possible to build a strong, modern, and successful company with significant reach.”

Finalists from around the world shared not only their entrepreneurial journeys but also their values. “I was struck by the depth of their social impact – they build kindergartens, create jobs, and support communities.

In our region, business is often perceived through the lens of technology and products, but there, the focus was primarily on people,” says Zavalianis.

The EY World Entrepreneur of the Year is selected by an independent jury composed of national winners from previous years and other leading global entrepreneurs. Their evaluation is based on four criteria that ensure equal conditions for all national winners: entrepreneurial spirit, social impact, global influence (or impact on the target group), and company growth. All of these criteria are directed toward creating long-term value.

AKESO Holding Opened a State-of-the-Art Data Center in Beroun

AKESO Holding continues to invest in modern care and cybersecurity. A new data center has been established on the grounds of the Beroun Rehabilitation Hospital, consolidating the IT needs of the Holding and enabling the operation of a private cloud. Thanks to the latest technologies, it meets even the strictest requirements for the protection of sensitive data.

“With the new European NIS2 directive, which came into force in autumn 2024, the demands on the security of critical IT infrastructure have tightened. We responded by building our own data center,” explains Ing. Hana Sobotková, Head of Data Centers.

The three-story reinforced concrete building is designed to withstand extreme events such as fires, floods, or earthquakes. Inside, it houses two data chambers, each equipped with 12 server racks. Both chambers operate independently but can fully back each other up if needed. The building’s structure also protects equipment from electromagnetic interference and eavesdropping.

The data center is connected to a high-voltage power grid and equipped with diesel generators with

an output of 4,800 kVA / 3,840 ekW, ensuring several days of operation in the event of a power outage. Power stability is further supported by UPS batteries.

The AKESO Data Center serves not only the Beroun Rehabilitation Hospital but also other facilities within the Holding, interconnected by modern optical routes. From now on, AKESO Cloud services will also be offered to external clients, such as smaller healthcare providers for whom their own IT infrastructure may be financially unattainable.

The data center complies with cybersecurity, personal data protection, and environmental standards.

AKESO POLYCLINIC Ceremonially Opened an Orthodontics Department and Expanded the Capacity of Specialist Clinics

At the end of 2024, a new orthodontics department was opened within the newly established AKESO POLYCLINIC in Prague’s Nové Butovice. The event was attended not only by the management of AKESO Holding but also by the Mayor of Prague 13, Ing. David Vodrážka.

The new orthodontics clinic now offers both children and adult patients a comprehensive approach to the treatment of dental and jaw misalignment, using fixed braces, invisible aligners, and other orthodontic appliances. “We created a space for individualized care using the latest treatment methods. Thanks to our integration with the existing dental department, we have access to both state-of-the-art technology and facilities for comprehensive patient care,” said MDDr. Sandra Hlinovská, Head of Orthodontics.

AKESO POLYCLINIC continues its dynamic development and expansion of specialist services. An example of the high level of expertise available to patients is the work of Prof. MUDr. Karel Pacák, DrSc., who leads the Adrenal Endocrine Tumor Center. Short appointment times are now also available for patients at the general practitioner for adults, neurology, orthopedics, surgery, gynecology,

physiotherapy, as well as in the aesthetic dermatology practice, which is equipped with a digital dermatoscope for detailed diagnostics of skin conditions.

NÉA Magazine – Award in the Category of Healthcare and Pharmacy

The corporate magazine NÉA, regularly published by AKESO Holding, achieved significant success in 2024.

In the prestigious communication competition Zlatý středník, it received an award in the category Healthcare and Pharmacy. The jury praised not only the visual quality and content but also the professional execution and the magazine’s ability to connect expert topics with a clear and engaging form accessible to a wide readership.

This recognition from a professional jury confirms that the magazine is succeeding in its role as an important communication tool and at the same time an inspiring medium in the field of healthcare.

NÉA Magazine is intended not only for employees but also for the public and patients. It brings interviews with experts, presents innovations in healthcare, covers developments in AKESO hospitals, and addresses current topics in health and mental well-being.

News from Hořovice Maternity Hospital: Comfort, Family Support, and Natural Childbirth

In 2024, Hořovice Maternity Hospital continued to expand its range of care focused on comfort, natural childbirth and a family-oriented environment. It opened new family rooms that allow mothers to spend the first days after delivery in a calm and welcoming setting together with their partner and older child. The modern, well-equipped rooms promote natural bonding with the newborn and help strengthen early family relationships.

An integral feature of the maternity ward is the birthing couch, which supports the choice of comfortable and natural birthing positions. Its use enables women to actively participate in the birth process, encourages a physiological course of labour, and at the same time creates space for the partner to be closely involved.

Hořovice Maternity Hospital is the largest maternity facility in the Central Bohemian Region. For eleven years, it has held the status of an Intermediate Perinatal Care Centre, including a neonatal intensive care unit that provides specialised care for the majority of infants born here from as early as the 30th week of pregnancy.

The maternity hospital also expanded its range of relaxation techniques, particularly through the use of flower essences. These support women not only during childbirth, but also throughout the postnatal period, for example in recovery after a caesarean section. One of the most sought-after services is individualised care, where an expectant mother can choose a midwife who accompanies her not only during pregnancy, but throughout the entire birth.

Through these initiatives, the maternity hospital continues to strengthen its personalised and empathetic approach to expectant mothers, contributing to the most natural childbirth experience possible.

Neoklinika: A New Era of Healthcare

The vision of accessible, digital and peoplecentred medicine lies at the heart of the long-term strategy of the AKESO healthcare holding. It is from this vision that Neoklinika emerges –a next-generation outpatient medical centre spanning nearly 12,000 m². The building is being developed in the dynamically growing Prague district of Stodůlky and will become a natural hub of healthcare services for the western part of the capital and the surrounding regions. In doing so, it will build on the successful operation of the AKESO POLYCLINIC located in the Coral Office Park in Nové Butovice. The new healthcare facility will offer top-tier medical care of the highest standard that patients have come to expect from the AKESO healthcare holding.

Neoklinika will provide comprehensive healthcare services for both children and adults, conveniently delivered under one roof. Patients will have access to a wide range of services, from preventive check-ups and diagnostics to specialised outpatient treatment.

The project will also include a dedicated telemedicine centre, expanding opportunities for prevention and care beyond the physical premises of the clinic. Patients will be able to use selected services remotely, respond more quickly to changes in their health, and play a more active role in monitoring their own health status.

Neoklinika will also offer approximately 200 parking spaces, significantly enhancing visitor comfort. The entire concept is based on the philosophy of the AKESO healthcare holding – to provide patients with comprehensive, seamlessly connected care, from prevention through to specialised diagnostics and therapy.

Automation and digitalisation will play a fundamental role. A new patient portal will enable access to shared information not only for physicians, but also for patients themselves. This will significantly enhance the continuity, safety and overall quality of healthcare services provided.

New AKESO Outpatient Clinics in Plzeň: Comprehensive Care Accessible in the Region

In 2024, the AKESO healthcare holding expanded its presence to Plzeň, where it opened modern specialised outpatient clinics focused on day surgery, orthopaedics and anaesthesiology. Patients are provided with comprehensive services – from the initial consultation, through surgical planning and procedures, to follow-up care. A well-coordinated team of top-tier specialists with many years of experience works in a modern setting, with a strong emphasis on a personal approach, professional excellence and continuity of care.

The project is built on close regional cooperation with general practitioners and targeted awareness-raising activities across the Plzeň Region. Looking ahead, plans include expanding the service offering to include premium post-procedure services, such as patient transportation, accommodation for accompanying persons, and educational activities focused on prevention.

The outpatient clinics are located within the Genetika Plzeň medical facility in the Černice district, in close proximity to the D5 motorway exit, ensuring convenient access for patients from the wider region. The project was developed under the leadership of Mgr. Irini Szentiványi, Commercial Director of AKESO, who initiated the expansion of the holding’s capacities specifically for the Plzeň region.

“I believe that AKESO will establish a strong and lasting presence in Plzeň. It is not merely a new building or a set of outpatient clinics – it is a promise that our patients will receive top-quality care in an environment that combines professionalism, empathy and a genuinely human approach,” says Mgr. Digital therapeutic programs Mindwell are a Class I medical device

The Mindwell service, which provides systematic care for the most common mental disorders and the prevention of a wide range of psychological difficulties, uses a Class I medical device (MD). Currently, it is the only platform in the Czech Republic for mental health cognitive-behavioral therapy (CBT) that uses a medical device and can help improve the availability of psychotherapy for indicated patients.

Mindwell is a service that uses a Class I medical device called MW DP (Mindwell Digital Platform).

“Mindwell considers the classification of MW DP as a medical device an important step towards including the service in the public health insurance reimbursement system,” says František Vlček, Chief Strategy and Innovation Officer of AKESO Healthcare Holding and the Person Responsible for Regulatory Compliance (PRRC) in relation to the MW DP medical device.

Currently, the Mindwell service is supported by several health insurance companies – ČPZP, VoZP, and recently also ZP MV ČR. Selected programs (Depression and Anxiety) are fully covered by public health insurance.

“Our goal is to make Mindwell accessible to everyone who decides to start therapy,” says Jelena Holomany, co-founder and CEO of Mindwell. Mindwell offers comprehensive mental health care. It does not aim to replace in-person therapy but seeks to relieve the

overburdened system and improve access to highquality care for clients.

“Increasing access to therapy is crucial for improving the mental health of individuals and society as a whole, as it can lead to a lower incidence of severe mental disorders and better coping with life challenges. Removing financial barriers and making therapy accessible to everyone sends a clear message that talking about mental health is not taboo, but an important part of human life,” adds Jelena Holomany.

Mindwell provides digital therapy and currently offers therapeutic programs for Depression, Anxiety, Burnout Syndrome, Psychological Resilience, and a mini-program Self-Confidence. Thanks to these programs, mental health care is immediately accessible to patients, comfortably and privately from home. Mindwell was created by leading experts in cognitive-behavioral therapy in the Czech Republic, including psychiatrists and psychotherapists, and is a provider of healthcare services in psychiatry and clinical psychology.

MW DP is a Class I medical device intended for patients over 18, serving as prevention against the development of severe psychiatric disorders and supporting the management of mild to moderate psychological difficulties.

SENIMED Pharmacies: Personalized Health Support

Pharmaceutical care within the healthcare facilities of AKESO Holding is provided by SENIMED. Its network currently consists of five pharmacies – located at Hořovice Hospital, Beroun Rehabilitation Hospital, and in Žebrák, Hostomice pod Brdy, and U Červeného potoka in Hořovice.

By closely monitoring market trends, emphasizing quality, and actively expanding its product portfolio, SENIMED continues to bring patients new products that it not only distributes but also produces itself.

In 2024, the portfolio of ANIXI dietary supplements was significantly expanded with three new products: ANIXI Vitamin C (available in both capsules and drops), ANIXI Vitamin D, and ANIXI Omega 3. This new trio builds on the brand’s previous successes and reflects the current needs of customers in prevention and health support.

The expansion of dietary supplements is also another step in SENIMED’s long-term strategy – to provide comprehensive, high-quality solutions for daily support of immunity, bone health, and the cardiovascular system.

ANIXI Vitamin C – For Immunity and Vitality

Vitamin C is one of the most well-known and widely used supplements. It supports the normal function of the immune system, contributes to the proper functioning of the nervous system and psychological well-being, and helps reduce fatigue and exhaustion, thus promoting overall vitality.

It also plays an essential role in collagen formation, vital for healthy bones, cartilage, skin, gums, and teeth. Additionally, Vitamin C protects cells against oxidative stress, which is especially important during periods of increased strain or aging.

These have proven positive effects on the health of the heart, brain, and eyes, with regular intake being crucial for their proper functioning. Omega 3 also favorably affects energy metabolism, and thanks to Vitamin E –a powerful antioxidant – it helps protect cells from oxidative stress. In addition, it supports better absorption of iron, which is particularly important for individuals with higher physical demands or for women.

The Multiscan Oncology and Radiology Center is part of the Comprehensive Oncology Center of the Pardubice Region (KOC PK). KOC PK consists of Multiscan, which operates clinical oncology and radiotherapy outpatient services, and Pardubice Hospital, which manages the inpatient department. Together, they provide comprehensive diagnostic, therapeutic, preventive, and educational activities in the field of oncology. Multiscan also operates clinical oncology outpatient services in Chrudim, Svitavy, and Ústí nad Orlicí. Since January 2019, Hořovice Hospital has hosted an additional oncology department as an affiliated Multiscan workplace. The main supplier of pharmaceuticals for patients is the subsidiary Multiscan Pharma s.r.o.

Ondřejov Day Psychotherapy Sanatorium is a renowned facility providing comprehensive care in the field of mental health. The Multiscan Oncology and Radiology Center is one of the key providers of oncology care within the Comprehensive Oncology Center of the Pardubice Region (KOC PK). In cooperation with Pardubice Hospital, it ensures comprehensive and coordinated care for oncology patients – from prevention through diagnostics to specialized treatment and follow-up care. The center specializes in outpatient treatment of cancer, primarily through modern radiotherapy, chemotherapy, and biological therapies. It is equipped with image-guided linear accelerators that allow for precise and targeted radiation treatment while minimizing the burden on patients. Patients also have access to a day-care unit for the administration of chemotherapy and molecularly targeted drugs.

An important part of the center is its radiodiagnostic department, equipped with state-of-the-art devices –magnetic resonance imaging (MRI), high-performance CT, ultrasound, and X-ray. This enables physicians

to perform accurate and timely diagnostics with an emphasis on patient comfort and safety.

Multiscan operates not only in Pardubice but also runs oncology outpatient clinics in Chrudim, Svitavy, and Ústí nad Orlicí. Since 2019, an additional oncology department has been operating at Hořovice Hospital as an affiliated site. Multiscan Pharma was established in 2008 as an extension of the Pardubice Oncology Center Multiscan. It specializes in the aseptic preparation of oncology medicines. Today, it supplies medicinal products for oncology patients to all AKESO Holding facilities that provide cancer treatment, as well as to other cooperating institutions. In this way, it ensures pharmaceutical services for all outpatient units of the Comprehensive Oncology Center of the Pardubice Region (KOC PK) and for the inpatient departments of clinical and radiation oncology at Pardubice Hospital.

The specific layout and equipment of its two aseptic laboratories enable the preparation and dispensing of sterile medicinal products, including cytostatics and targeted (biological) medicines. These are

prepared for patients according to the individual requirements of the attending physician and at the exact time of need.

In addition, Multiscan Pharma provides comprehensive services for sponsors and intermediaries of clinical trials. Healthcare is not ordinary business. And precisely for that reason, it can work better.

Interview with Sotirios Zavalianis, founder of AKESO Holding, on challenges, esponsibility, humanity, and a system that can work differently. Sotirios Zavalianis founded the AKESO healthcare group more than twenty years ago. Today, it ranks among the largest and most successful private healthcare providers in the Czech Republic. Motivated by his own personal experience with a dysfunctional healthcare system, he decided to build a hospital where he himself would want to be treated. In the following interview, you will learn how one small clinic grew into a Holding that has defended the title Best Managed Company for six consecutive years, and what it took to get there.

The owner of the Holding, and at the same time a visionary, speaks openly about the urgent need for reforms in Czech healthcare. According to him, the time has come for new professions such as healthcare logistics specialists or care coordinators. He explains why he believes Czech healthcare is heading towards collapse – and whether the term “longevity” isn’t too glamorous to be true. His commitment to transforming Czech healthcare is serious:

“We have better knowledge, technology has advanced, we are smarter. We cannot keep doing things the same way as 150 years ago. A new way of management must finally enter healthcare,” says Zavalianis.

AKESO Holding – which includes Hořovice Hospital, Beroun Rehabilitation Hospital, AKESO POLYCLINIC in Prague’s Nové Butovice, the Multiscan Oncology and

Radiology Center in Pardubice, and the modern Mental Rehabilitation Center – continues to grow. According to Zavalianis, the group closed 2024 with revenues exceeding CZK 6 billion and estimated EBITDA profitability of over CZK 700 million.

“Last time I revealed our EBITDA, I was immediately accused of profiting from people’s illnesses. But hospitals represent only a small share of our overall business. The majority of revenue comes from related fields, distribution companies, or our construction company with major third-party contracts,” he explains.

started. To achieve our goals, we need to change the mindset of all employees – and my own as well.

We want to do innovative things that make sense, and that takes time for ideas to mature. Right now, we are at more than eighty percent, but still not at the finish line. Every single day brings something new, another experience, a global innovation,” Zavalianis explains.

“It’s a never-ending process. If we stuck to our original ideas, they would become outdated in just three years. We keep updating the concept continuously.

That applies also to Stodůlky, where the Neoclinic project – what you call the clinic of the future – is being built. When will it open?

It is a complete reconstruction of the original building. It will be twice as large, with four new floors added, and the goal is to open by the end of next year. The total investment is around CZK 1 billion. We are focusing primarily on prevention, because I believe it makes little sense to only address individual examinations without context. That way, you may identify a partial problem, but you will not improve the patient’s overall health. Our goal is to offer comprehensive preventive care under one roof – to guide the patient through the entire process and provide health management. That is the main idea. In the Czech Republic, and in Europe in general, we have almost forgotten about prevention. We mostly deal with consequences rather than preventing the causes of disease.

Why do you think prevention is so underestimated?

Private capital does not invest much in it, because it does not see an immediate return. So it is left to the states, which are often influenced by large players, including pharmaceutical companies. I don’t want to accuse anyone unfairly. I believe many decent people work there. But their business model is based on the fact that medicines must be taken. Put simply, if you manufacture something, you need people to keep buying it. But detecting a disease at an early stage is not only cheaper, it is often significantly more effective. That is why prevention should be a key focus of health policy. Today, there are individual programs – prostate cancer screening, mammography, and many others – but they lack proper integration. We want to offer a comprehensive package that looks at the patient from multiple perspectives. I believe such an approach will significantly reduce healthcare costs. The statistics are clear: the average Czech woman lives to 84 years, but enjoys good health only until 63. Those last 20 years often mean running from doctor to doctor, endless procedures, and diagnoses. After thirty years in healthcare, I am convinced that investment in prevention makes enormous sense. That is where resources are meaningfully spent, with great effect.

Does it also pay off from a business perspective? After all, you need reimbursement from insurers. Times are changing, and so are insurers. Their budgets are limited, which means they will have to invest more into prevention, not just address consequences. The problem is that there are not enough suitable partners yet. General practitioners can do part of prevention, oncologists as well, but truly holistic projects are still rare. That is exactly what we are working on in Stodůlky. The project will cover more than 12,500 m 2 , offering a wide spectrum of specialties, diagnostics, genetics – all interconnected.

What is the overarching vision behind this? It is not enough just to examine. Someone has to evaluate the results and propose next steps. That is why we are finalizing the development of a digital portal for interactive communication with patients. It will offer clear scheduling of checkups, the option to upload and send photos, videos,

medical reports, and documents. We believe this will reduce the number of unnecessary visits, which today overload doctors and limit their capacity. The platform will also include questionnaires evaluated by ssartificial intelligence, so patients will not have to repeatedly provide basic data such as height, weight, or family history. That saves time. This is our philosophy: to digitalize where it makes sense, thereby freeing capacity for the care that is truly needed. We must support the development of telemedicine and remote care. We must finally start doing things differently than they have been done for years. Healthcare also needs a new style of management – experts in logistics, project managers. We need to start managing this sector not only through doctors, but also with other professional disciplines. Does that mean bringing other professions into healthcare? Exactly. We need a new management style. It is not enough to rely solely on physicians, even though they are essential. The system must also include experts in logistics, project managers, and data analysts. If healthcare is to be truly effective, it must also be managed by professionals outside of medicine.

So who should be responsible for that in practice?

In my view, doctors and nurses should treat and care for patients. The organization of operations should be managed by someone else. It has proven ineffective to leave systemic organization purely to doctors – that is not their field. To be clear, we do not interfere with treatment decisions. But tasks such as patient scheduling, communication, data management, or efficient planning of operations from morning to evening including weekends –all of these should be handled by people trained in process management. And it should be done differently than it is done today.

Do these professionals need experience in healthcare?

It is often said that without deep knowledge of the field, it’s impossible. That’s what people say, but the real problem lies elsewhere. Other professions have long had virtually no entry into the system. And I believe this wasn’t due to the specifics of the field, but rather because those already inside the system didn’t want to admit new roles. Yet it is precisely people

from outside who could bring new ideas and improve the system. Yes, we don’t have specialized schools for this yet – but that doesn’t mean these professions don’t belong in healthcare. Take, for example, a care coordinator. When a patient needs information today, they don’t call the doctor – the doctor is in the clinic or in surgery. They call the nurse. But in reality, there should be someone in direct contact with the patient, guiding them, advising them. That is much more functional than waiting until the doctor has time. We need to change the management of the entire system.

Are you already testing this approach in practice? Yes. We are gradually introducing care coordinators into operations, and it has proven highly effective. There is no need for long debates about it. Imagine someone proactively calls you, offers information, and guides you. That is how it should have been long ago, only the system never felt the need. Now, however, it must finally happen. And it is a relief for doctors too. They should have the space to focus on patients, not constantly pick up the phone.

How is your Mental Rehabilitation Center in Beroun doing? That was also a billion-crown investment.

Naturally, we would like the facility to be fully staffed and fully utilized by patients immediately after opening. But the reality is different. In psychiatry, we had to build an entirely new team of almost four hundred people, and that doesn’t happen overnight. Sometimes you find that certain people don’t fit into your vision – you try to persuade them, or they have to leave. Then come personal frictions. The self-cleaning process within a team unfortunately takes two to three years. But after a year and a half, we are on a very good path. Every day I receive messages from patients who had long been searching for help and only with us started seeing progress. For me, that is proof our concept works.

And economically?

For now, we are mainly encouraged by treatment outcomes. Economic success has not come yet, but I believe that very soon I will be satisfied with the financial side as well.

What are you focusing on next?

Healthcare is evolving, and outpatient surgery is on the rise. Medicine today can perform many procedures in such a way that the patient comes in the morning and leaves home in the evening.

This reduces psychological stress, with hospital stays of no more than one day, leading to a faster return to life with fewer complications. That is why we invested significantly in developing day surgery at our hospital in Beroun. We built seven modern operating theaters and added more than one hundred new beds. The project is already underway, and soon we will surpass ten thousand surgeries per year.

Do you still reinvest most of your profits?

Yes, and I can even calculate it. But I must admit, when I looked at the volume of investments from our own resources between January 2024 and the end of January 2025, it frightened me a bit. We are approaching CZK 900 million. I think no other madman has invested so much of their own money into healthcare. But it is precisely such ‘madmen’ who push things forward. If everyone only thought rationally, we would never get very far.

How do you view the challenge of stabilizing the staff in Beroun, which took two to three years, and the fact that an even greater challenge may await you soon in Stodůlky?

There, I expect we will need at least 500, maybe 600 people. But we are smarter now and learning from the past, so we will shorten those timelines. We must keep our inner conviction strong so as not to fall into despair. This time, we will manage it faster. I believe that.

Practically speaking, how do you recruit employees?

Let me answer indirectly. As is well known, banks are institutions that require a clear, visible, and calculable business case before they lend you money. But in life, there are projects that cannot be calculated in such a straightforward way at first glance. Let me give you an example. We run kindergartens where we receive CZK

1,400 per month per child, and that includes meals, swimming lessons, and excursions – all for twelve hours a day, five days a week. For a bank, such a project makes no sense, because the numbers don’t add up. But for us, it does.

What do you mean by that?

When I prepare a new kindergarten for one hundred children, it means that one hundred mothers can return to work more quickly. Moreover, they will be less stressed, because the kindergarten is located directly on the hospital premises, so they have their child close by and know they can always pick them up on time. This increases the attractiveness of the Holding. Yet no bank will ever calculate the cost of a stressed nurse –there are no tables for that yet. We are applying the same approach to building housing for employees in Hořovice, which we offer at fifty percent of the market price. From the banks’ perspective, it doesn’t make sense. But I need to hire another five hundred people. In our region, we are already at the limit in terms of staff availability, so I must be able to attract workers from other regions. Offering significantly higher salaries would be unfair to existing employees. By building housing instead, I save on long-term payroll costs while at the same time making the company more attractive as an employer.

A year and a half ago you said that the ship of Czech healthcare is sinking. Has anything

The course remains the same. We still maintain a top level of care, but as we said last time, its availability is steadily declining, and this trend will continue. Forget about shortening waiting times. People under forty adapt quickly, and the black market will grow. If you need something and it’s not legally available, you look

for another way. It’s like under communism – you needed connections to get bananas. Today it’s  the same. Sometimes you have a contact, sometimes you pay extra, sometimes you find a way around the system. If reforms continue to be postponed, more people will turn to the grey or even the black zone of healthcare.

Does the condition of the system also relate to rising costs?

Yes. The system was designed for different salary conditions. Before COVID, nurses earned around CZK 30,000, while doctors made 60,000 to 70,000. Then came the pandemic, war, inflation – and salaries doubled. Wages are the single largest cost item in our sector, aside from the most expensive medicines. But drugs and medical supplies are also becoming more expensive. Under these conditions, running a standard outpatient clinic is gradually becoming unprofitable – unless it has expensive equipment that generates additional income or reimbursed materials and medicines.

So is that the main problem?

No, the biggest problem is that we are unwilling to rationalize the operation of the entire healthcare system. We still have hundreds of hospitals and doctors on every corner, but if nothing changes, there will soon be neither people nor resources to finance healthcare. Fundamental reforms, however, collide with the reluctance of political parties. Any major reform extends beyond a single election cycle, and most parties are afraid to bear responsibility. They would rather risk the collapse of the system than face political costs with part of the electorate. People must realize that if they want sustainable healthcare, they must pressure politicians to truly commit to reform.

Do you still have the ambition and energy to change the system?

We are still trying to be active, to speak out, and to remind everyone that reform is inevitable. The problem is that in the Czech Republic, the word “reform” automatically carries a negative connotation – people fear they will lose what they already have. The reality is quite the opposite. What truly threatens us is inaction. Without change,

access to care will become increasingly worse, and financing of the system will deteriorate overall. People need to realize that pressure on politicians must also come from them. Otherwise, the system will not move forward, and the outlook for the future will be far from rosy.

Let’s move to a topic that is currently shaping the global conversation on health – what is your view on longevity?

It is a fashionable, attractive topic. We all fear death. So someone comes along with a miraculous procedure or a magic pill. You might not believe it, but what if? What if you live to 150? Personally, I believe more in quality of life than in its length. Of course, ideally, we would have both, but I think we are biologically set in certain ways, and for now we cannot outsmart nature. For me, the priority is to extend life in health and without pain – that is what we focus on. If someone eventually comes up with a miracle cure, we will welcome it. But longevity as a business we leave to those who want to sell it.

Aren’t you essentially doing the same thing – only you call it prevention instead of longevity?

Prevention is much more than a service. It is a whole lifestyle. If someone weighs 150 kilos, I can examine them every day, but cardiovascular or other problems will appear sooner or later.

Prevention means a sensible way of living, regular monitoring of basic health parameters from weight to blood pressure. The key is education, not moralizing. Not telling people to run marathons, but showing them that if they walk a few extra steps every day, it can extend their life by months. And also offering them tools to detect potential risks in time.

This autumn you will celebrate your 60th birthday… It sounds almost depressing. But you’ll see – fifty comes right after the weekend, and sixty feels like it arrives just after Christmas.

And you really don’t think about retirement? When someone once wrote a “verdict” about me, it was clear and final: To die at work.

The company was established in 2023 through a merger of AKESO Holding a.s. (original), EURODIAGNOSIS a.s., ARINITI s.r.o., and DIANOMÍ a.s., and serves as the parent company.

AKESO Holding a.s. is one of the leading healthcare providers in the Czech Republic. It operates Hořovice Hospital, AKESO POLYCLINIC in Prague, Beroun Rehabilitation Hospital, the Mental Rehabilitation Center, the “Ondřejov” Day Psychotherapy Sanatorium, and the Multiscan Oncology and Radiology Center, which is part of the Comprehensive Oncology Center of the Pardubice Region. In addition to these facilities, the AKESO group includes other outpatient clinics, the SENIMED pharmacy network, distributors of pharmaceuticals and medical supplies, and its own construction company, CONSTRUCTION TEAM. The goal of the AKESO Holding is to continuously improve the quality of services provided so that they serve as a benchmark not only in the Czech Republic but also across Europe.

The main objective of the parent company is to ensure the continuous development of all companies in accordance with their business activities.

Multiscan s.r.o.

The company operates the Multiscan Oncology and Radiology Center, which is part of the Comprehensive Oncology Center of the Pardubice Region (COC PR). The COC PR consists of the company Multiscan, which operates clinical oncology and radiotherapy outpatient clinics, and Pardubice Hospital, which is responsible for the inpatient part. It provides comprehensive diagnostic, therapeutic, preventive and educational activities in the field of oncology. Multiscan also operates clinical oncology clinics in Chrudim, Svitavy and Ústí nad Orlicí. Since January 2019,

the Oncology Department of the Hořovice Hospital has been operating as another detached workplace. In addition to the clinical and radiation oncology outpatient clinics, the centre also has a radiodiagnostics department located at the Vektor polyclinic in Pardubice. The main supplier of medicines for patients is the subsidiary Multiscan Pharma s.r.o.

SENIMED brings together the pharmacies of the hospitals in Hořovice and Beroun. It also includes the pharmacies „U Červeného potoka“ in Hořovice, the pharmacy in Žebrák and in Hostomice pod Brdy. The pharmacy of Hořovice Hospital supplies medicines to other medical facilities of AKESO Holding. Its warehouse contains more than 3,000 medicinal products and food supplements and has a wide range of orthopaedic and rehabilitation aids intended not only for medical facilities but also for end users. In addition, skilled clinical pharmacists are able to tailor medicines to individual clients and departments exactly as prescribed. Active cooperation with the treating physicians in the treatment of the patient is a matter of course. Last but not least, SENIMED also ensures the conduct of clinical trials. The company‘s pharmacy operations meet the demanding administrative, storage and operational requirements for modern pharmacies.

In 2022, the pharmaceutical division of SENIMED Pharma joined the AKESO Holding group, building on the longstanding experience of APOTEX and Aurovitas. SENIMED Pharma focuses on the sale of premium health supplements. It focuses mainly on Czech products, such as pure crystalline collagen from the Colafit range and immunity supplements from the Betaglucan range. The wide range of products is complemented by the over-the-counter drugs Hedelix and Bromhexine. The portfolio then includes Ibuprofen Aneos, which replaced the well-known Apo-Ibuprofen for many years, then Curenzym Anixi, Cranberry Anixi, oral probiotic BAC-ENTOS or CBD products.

The company operates the Beroun Rehabilitation Hospital, which is among the best-equipped and most comfortable facilities of its kind in the Czech Republic. It provides quality medical and therapeutic care to outpatients and hospitalized patients, for whom there are luxuriously equipped rooms, a modern internal ward with an intensive care unit, a follow-up care unit, an arthroscopic centre, a day care centre, a sleep centre, a rehabilitation centre MUDr. Jan Calta and the Centre for Mental Rehabilitation.

CONSTRUCTION TEAM s.r.o.

The company operates as a development, engineering, and construction firm, carrying out projects both for the AKESO Holding and for external clients.

The foundations of the company were laid in 2008 during the privatisation of the Hořovice Hospital and Beroun Hospital. Both facilities were in need of thorough renovation to meet the highest standards of 21st century healthcare. An in-house contractor reduces the cost of construction by up to 30% compared to hired external companies and can respond more flexibly to the client‘s requirements.

In addition to the above-mentioned reconstructions and modernizations, CONSTRUCTION TEAM has completed over a dozen projects ranging from hospital reconstruction to the construction of apartments for employees to billion-dollar projects for the construction of the Mental Rehabilitation Centre in Beroun or the Hospital of the New Generation in Hořovice.

NH Hospital a.s.

The company operates Hořovice Hospital, which is more than just a typical regional hospital. It offers a wide range of outpatient clinics and counselling rooms connected to individual inpatient wards.

Specialized health services are provided beyond the basic medical disciplines through the departments of orthopedics, neurology, pediatrics, surgery, urology, gynecology and obstetrics, neonatology, anesthesiology and resuscitation, and internal medicine. Patients‘ satisfaction and health is also served by the hospital‘s own pharmacy, café and car park for patients and visitors.

The polyclinic is equipped with state-of-the-art medical and laboratory technology. It is equipped with MRI, X-ray, and ultrasound machines. These are state-of-the-art devices that allow doctors to quickly and accurately make a diagnosis without unpleasant patient burden and unnecessary time delays. It offers services for the whole family in a very pleasant environment and without unnecessary paperwork.

AKESO POLYCLINIC has its own collection point and, in addition to the expertise and skills of the entire team of staff, it provides small and large patients with, a human approach and friendliness throughout their stay. Thanks to close cooperation with Hořovice Hospital and Beroun Rehabilitation Hospital, patients benefit not only from comprehensive examinations with short appointment times but also from preoperative assessments, which are immediately followed by scheduled surgeries or necessary rehabilitation.

The company operates a pharmacy specialized in medications for oncology patients, established in 2008 as an extension of the Multiscan Oncology Center in Pardubice. Currently, it supplies special drugs for oncology patients to all AKESO Holding facilities that treat oncology patients, to all workplaces of the Comprehensive Oncology Centre of the Pardubice Region (COC PR) and also to the inpatient department of clinical and radiation oncology of the Pardubice Hospital. The specific layout and equipment of the two aseptic areas of the pharmacy complying with the current legal standards enables the preparation and dispensing of sterile medicinal products. Both cytostatics and targeted (biological) drugs are prepared here directly for patients according to the individual requirements of the attending physician at the time of their need. Thanks to pipeline mail, the pharmacy is able to deliver the medicine to the patient within the Pardubice Hospital within half an hour of the prescription by the doctor.

The company is established to provide trade and service intermediation.

The company owns only the property and land it acquired in the merger. The building is currently undergoing renovation, and AKESO Holding aims to establish a modern, friendly, and technologically as well as digitally advanced outpatient medical facility with an area of nearly 12,000 m² in the densely populated district of Stodůlky in Prague. It will be intended primarily for residents of the western part of Prague and adjacent districts of the Central Bohemian Region and will offer a wide range of preventive, diagnostic and therapeutic care in all fields of paediatric and adult medicine.

An important and unprecedented element of the newly established workplace will be the patient portal, which will allow access to shared information not only for doctors but also for patients themselves. This will significantly increase the quality, fluidity and safety of the services offered. Automation and digitisation of services will create an organisation of care in which the patient is truly at the centre.

NGDC s.r.o.

Company NGDC s.r.o. is a company with the intention of building a new data center. The project timeline is not yet known.

Residence u školky s.r.o. was established through the spin-off of part of the business from CONSTRUCTION TEAM s.r.o. and plans to launch a residential development project focused on the construction of apartment buildings in the second half of 2025.

Somascan s.r.o. operates dental clinics, which were expanded in 2024 to include orthodontics. It now offers comprehensive dental care – including dentistry, orthodontics, and dental hygiene. Since the second half of 2024, there has been a significant increase in the number of procedures, and this upward trend continues.

Euroscan diagnostic s.r.o.

It is the parent company Holding a stake in TraumaChir s.r.o.

Case 15 s.r.o.

Case 15 s.r.o. represents AKESO Holding’s investment in the future of patient care and data cybersecurity. In 2024, the construction of a data center was completed, located within the premises of the Beroun Rehabilitation Hospital. This facility consolidates the IT needs of the entire Holding into a centralized private cloud. This state-of-the-art facility with the latest technology allows us to provide the best service to patients while meeting the most stringent requirements for protecting sensitive data. In 2024, CASE 15 s.r.o. began providing services to companies within the group. In the future, it plans to offer its services outside the AKESO group as well.

Day psychotherapeutic sanatorium “Ondřejov” s.r.o.

Day psychotherapeutic sanatorium “Ondřejov” s.r.o. specializes in the care of patients with psychotic disorders as well as those suffering from addiction to alcohol, gambling machines and medications. A major advantage of the sanatorium is the integration of services and the ability for close cooperation among various specialists. The company maintains stable financial results and plans to continue doing so in the coming years.

Pharmacies JK s.r.o.

Lékárny JK s.r.o. operates a pharmacy in Hořovice. Its operations are scheduled to be discontinued in mid-2025.

TraumaChir s.r.o.

TraumaChir s.r.o. operates within the premises of the AKESO POLYCLINIC in Prague and provides minor surgical procedures. In the future, there are plans to merge this company into one of the entities within the AKESO Holding.

The company has established cooperation with health insurance providers and plans several projects in 2025 aimed at gradually achieving future profitability.

WELL & TREE s.r.o.

WELL & TREE s.r.o. holds a 60% stake in the company MEDISERVIS. In the future, there are plans to merge it into one of the companies within the AKESO Holding.

MEDISERVIS operates in both the Czech Republic and Slovakia and collaborates with business partners across EU countries and the United Kingdom. Following a significant price increase by key suppliers in autumn 2024, revenues from the sale of medical equipment declined. This segment has not yet returned to the profit levels seen prior to the price hike.

The value of the group’s assets as of 31 December 2024 was CZK 8,698,504 thousand, compared to CZK 8,328,751 thousand as of 31 December 2023, and the group’s equity amounted to CZK 5,206,331 thousand in 2024, compared to CZK 5,114,101 thousand in 2023.

The most significant item is the value of long-term assets used for the group’s operations. The value of land and buildings as of 31 December 2024 was CZK 3,074,226 thousand, compared to CZK 3,083,441 thousand as of 31 December 2023, and the value of construction in progress was CZK 805,773 thousand, compared to CZK 455,721 thousand as of 31 December 2023, most of which consists of unfinished real estate assets.

The group reports goodwill of CZK 2,661,253 thousand arising from a merger. Another significant item is consolidation differences amounting to CZK 589,368 thousand. These items are amortized as consolidation differences over a period of 20 years.

Another important asset item is receivables, amounting to CZK 828,286 thousand as of 31 December 2024, compared to CZK 759,759 thousand as of 31 December 2023.

Liabilities mainly consist of obligations to credit institutions of CZK 1,473,033 thousand and trade payables of CZK 652,266 thousand.

The total consolidated profit for the year 2024 amounts to CZK 127,663 thousand.

2. Anticipated Future Development

The parent company, AKESO Holding a.s., will continue focusing on streamlining processes and maximizing the use of its existing potential. It anticipates further growth and expansion of activities both in the healthcare sector and in other (non-healthcare) business areas. The Holding will continue to invest in the expansion of its operations and in new projects, the most significant of which include:

• Next-Generation Hospital in Hořovice – a project unique on a pan-European scale, aimed at combining the operation of a large hospital providing comprehensive medical care in standard times with the added capability of rapid multi-phase conversion into an infectious disease facility for the needs of the Central Bohemian Region and Prague.

• Neoclinic Stodůlky – a technologically and digitally advanced outpatient medical center with a floor area of nearly 12,000 m 2 designed primarily for residents of the western part of Prague and neighboring districts of the Central Bohemian Region. It will offer a wide range of preventive, diagnostic, and therapeutic care across all fields of pediatric and adult medicine.

9.5 Conclusion

Apart from these relationships, no actions were taken at the instigation or in the interest of the controlling person (or persons controlled by the controlling person) during the financial year.

The aforementioned business relationships were conducted using prices customary in the ordinary course of business. The controlled person did not suffer any loss from the above relationships during 2024, so there is no need to assess its compensation under sections 71 and 72.

The member of the Board of Directors declares that the information given in the report is complete, conclusive and correct and, in view of the regularity of all business relationships, no advantages or disadvantages arising from the relationship between the controlled person and the controlling person or between the controlled person and related parties can be established and, therefore, no known risks for the controlled person arise.

10.2 General accounting principles, accounting policies and changes and departures therefrom

The accompanying consolidated financial statements have been prepared in accordance with Act No. 563/1991 Coll., on Accounting, as amended, the provisions of Decree No. 500/2002 Coll., as amended, and related regulations for accounting by entrepreneurs.

10.2.1

METHOD OF CONSOLIDATION USED AND DEFINITION OF THE CONSOLIDATION GROUP

The consolidating company is AKESO Holding a.s.

The consolidated financial statements include all significant companies controlled by the consolidating company using the full consolidation method, except for RESIDENCE U ŠKOLKY s.r.o. and Somascan, s.r.o., which were consolidated using the proportional consolidation method, and MINDWALK s.r.o., which was consolidated using the equity method. The decisive factor for the definition of the consolidation unit is the amount of influence as at the date of the consolidated financial statements exercised by the parent company over its subsidiaries as of 31. 12. 2024.

The definition of the consolidation unit is as follows:

10.2.2 LONG-TERM TANGIBLE AND INTANGIBLE ASSETS

Long-term intangible assets refer to assets with a valuation exceeding 80,000 CZK per individual case and a useful life longer than one year.

Long-term tangible assets refer to assets with a valuation exceeding 80,000 CZK per individual case and a useful life longer than one year.

Purchased long-term intangible and tangible assets are valued at acquisition cost. Long-term intangible and tangible assets produced by the accounting entity are valued at their own cost. Long-term tangible assets acquired free of charge are valued at their reproduction acquisition cost. The valuation of tangible fixed assets is reduced by state budget subsidies.

Technical improvements, if they exceed the amount of 80,000 CZK for individual tangible assets and 80,000 CZK for intangible assets, increase the acquisition cost of long-term assets. Tangible assets with a useful life longer than one year and an acquisition cost between 10,000 CZK and 80,000 CZK are depreciated over a period of two years. Tangible assets with an acquisition cost of up to 10,000 CZK and a useful life of more than one year are depreciated based on their significance over a period of two years.

Long-term intangible assets are depreciated evenly based on a depreciation plan established by the accounting entity, starting from the month the asset is put into use. Tax depreciation is set at the amount of accounting depreciation.

Accounting depreciation of long-term tangible assets is determined based on a depreciation plan and is recorded monthly from the month the asset is put into use. Tax depreciation is calculated based on the Income Tax Act.

If there is a decline in the carrying amount of long-term assets, a provision is created due to temporary non-use, damage, etc.

The valuation difference for acquired assets is amortized into revenues over a period of 180 months.

10.2.3 FINANCIAL ASSETS

Long-term financial assets primarily include an equity investment in MINDWALK s.r.o., consolidated using the equity method. This share is valued for consolidation purposes at the group‘s proportionate share of the company’s equity.

10.2.4 INVENTORIES

All purchased inventories, except for inventories related to blood storage, are valued at actual acquisition costs using the weighted average method. Blood inventories are valued at actual acquisition costs using the FIFO method. The Company accounts for inventories using the A method.

Inventories of work in progress are valued at actual cost.

The cost of inventories includes the cost of their acquisition, including related costs (transport, duty, etc.).

10.2.5 RECEIVABLES

Receivables are valued at nominal value, purchased receivables are valued at cost. The value of doubtful receivables is reduced through provisions charged to expenses, based on an individual assessment of each debtor and the aging of receivables.

Accrued assets are valued based on expert estimates and calculations.

Receivables and accrued assets are classified as short-term and long-term, with short-term being due within one year from the balance sheet date.

10.2.6 DERIVATIVES

At the balance sheet date, derivatives are revalued to fair value. Changes in the fair values of derivatives classified as fair value hedges are also recorded in financial expenses or revenues along with the corresponding change in the fair value of the hedged asset or liability related to the hedged risk. Changes in the fair values of derivatives classified as cash flow hedges are recorded in equity and are presented in the balance sheet through valuation differences from the revaluation of assets and liabilities. The ineffective portion of the hedge is recorded directly in financial expenses or revenues.

10.2.7 EQUITY

The share capital of the corporation is reported at the amount registered in the commercial register. Any increase or decrease in share capital based on the decision of the general meeting that has not been registered by the balance sheet date is reported as changes in share capital. Contributions exceeding the share capital are reported as share premium.

Other capital funds are composed of monetary or non-monetary contributions exceeding the value of share capital, donations of tangible assets, etc.

10.2.8 FOREIGN SOURCES

The accounting entity creates statutory reserves in accordance with the Law on Reserves and provisions for losses and risks in cases where the title, amount, and timing of the obligation can be determined with a high degree of probability, while adhering to the substantive and temporal context.

Long-term and short-term liabilities are stated at their nominal values. Long-term and short-term liabilities to credit institutions are stated at nominal value. Passive accounts are valued on the basis of professional estimates and calculations.

Accounts payable and accrued liabilities are classified as current and non-current, with current liabilities falling due within one year of the balance sheet date.

10.2.9 FINANCIAL LEASE WITH SUBSEQUENT PURCHASE OF THE LEASED ITEM

An entity accounts for leased assets by expensing lease payments on an ongoing basis. At the end of the lease agreement, if the leased asset is repurchased, the purchase price is charged. Lease payments paid in advance are accrued.

Deferred tax liabilities reflect the tax impact of temporary differences arising from the differing accounting and tax perspectives on items recorded in the accounting records.

In the event that the financial statements precede the final calculation of income tax, the accounting entity creates a provision for income tax.

10.2.13 SUBSIDIES AND INVESTMENT INCENTIVES

In 2024 the consolidation group received subsidies for operating costs and assets from the state budget in the amount of approximately 68 million CZK. These primarily included subsidies for the establishment of the data center, the operation of emergency medical services, activities related to the National Oncology Registry, and the operation of preschool childcare facilities.

10.2.14 CHANGES AND DEVIATIONS IN ACCOUNTING METHODS, CHANGES IN REPORTING

There were no changes in methods or changes in reporting in the financial year under review.

CONVERSION OF FOREIGN CURRENCY FIGURES INTO CZECH CURRENCY

Assets acquired in foreign currencies were accounted for in Czech crowns at the exchange rate prevailing at the time of acquisition or at the time when the individual items were included in the assets.

Financial assets, receivables and liabilities denominated in foreign currencies are translated into Czech crowns at the exchange rate prevailing at the date of the accounting event.

As at the balance sheet date, all assets and liabilities denominated in foreign currency are translated at the CNB exchange rate prevailing at the balance sheet date. Realised and unrealised foreign exchange gains and losses are charged to the current year‘s finance income or finance expenses.

10.2.11 ACCOUNTING FOR REVENUES AND EXPENSES

Revenues and expenses are recognized on an accrual basis, i.e. in the period to which they are both substantively and temporally related.

10.2.12 INCOME TAX

The expense for income tax payable is calculated using the applicable tax rate on the tax base determined in accordance with the Income Tax Act.

10.4 Consolidation difference

At the date of acquisition of the company Multiscan s.r.o., a positive consolidation difference arose in the total amount of 490,471 thousand CZK. Due to the subsequent development of the company, it was decided to depreciate this consolidation difference evenly over a period of 20 years.

At the date of acquisition of the company NH Hospital a.s., a negative consolidation difference arose in the total amount of -1,793 thousand CZK. At the date of acquisition of the company Soukromá gynekologická praxe Rotta–Bednář s.r.o. (see SGPRB in the table), a positive consolidation difference arose in the total amount of 6,897 thousand CZK. SGPRB was dissolved in the merger with NH Hospital a.s. Their consolidation differences were summed, resulting in a value of 5,104 thousand CZK. Due to the subsequent development of the company NHH, it was decided to continue the uniform depreciation of this consolidation difference for the remaining period of up to 20 years.

At the date of acquisition of the company Jessenia a.s., a positive consolidation difference arose in the total amount of 135,011 thousand CZK. Due to the subsequent development of the company, it was decided to depreciate this consolidation difference evenly over a period of 20 years.

At the date of acquisition of the company SENIMED s.r.o., a positive consolidation difference arose in the total amount of 160,302 thousand CZK. Due to the subsequent development of the company, it was decided to depreciate this consolidation difference evenly over a period of 20 years.

At the date of acquisition of the company Multiscan Pharma s.r.o., a positive consolidation difference arose in the total amount of 46,081 thousand CZK. Due to the subsequent development of the company, it was decided to depreciate this consolidation difference evenly over a period of 20 years.

At the date of acquisition of the company CONSTRUCTION TEAM s.r.o., a negative consolidation difference arose in the total amount of -5,596 thousand CZK. Due to the subsequent development of the company, it was decided to depreciate this consolidation difference evenly over a period of 20 years.

At the date of acquisition (the beginning of actual control) of the company Digero Pharma s.r.o., a negative consolidation difference arose in the total amount of -40,322 thousand CZK. Due to the subsequent development of the company, it was decided to depreciate this consolidation difference evenly over a period of 20 years.

At the date of acquisition (the beginning of actual control since 2021) of the company Semoriva Corp. s.r.o., a positive consolidation difference arose in the total amount of 35,626 thousand CZK. Due to the subsequent development of the company, it was decided to depreciate this consolidation difference evenly over a period of 20 years.

At the date of acquisition (the beginning of actual control since 2021) of the company RESIDENCE U ŠKOLKY s.r.o., a negative consolidation difference arose in the total amount of -7,762 thousand CZK. A 50% stake was sold outside the group; the company is consolidated using the proportional method, and the consolidation difference has been recalculated to a value of -2,827 thousand CZK.

At the date of acquisition of the company NGDC s.r.o. (purchase of the stake in September 2021, actual control since 2022), a positive consolidation difference arose in the total amount of 17,000 CZK. It was decided to uniformly depreciate this consolidation difference over a period of 20 years.

At the date of acquisition of the company SENIMED s.r.o., a positive consolidation difference arose in the total amount of 16 thousand CZK. It was decided to uniformly depreciate this consolidation difference over a period of 20 years.

At the date of acquisition of the company EUROSCAN Diagnostic s.r.o., a positive consolidation difference arose in the total amount of 190 thousand CZK. It was decided to uniformly depreciate this consolidation difference over a period of 20 years.

At the date of acquisition of the company Case 15 s.r.o., a positive consolidation difference arose in the total amount of 5,363 thousand CZK. It was decided to uniformly depreciate this consolidation difference over a period of 20 years.

At the date of acquisition of the company MINDWALK s.r.o., a negative consolidation difference arose in the total amount of –2,269 thousand CZK. It was decided to uniformly depreciate this consolidation difference over a period of 20 years.

At the date of acquisition of the company Lékárny JK, spol. s r.o., a positive consolidation difference arose in the total amount of 2,078 thousand CZK. It was decided to uniformly depreciate this consolidation difference over a period of 20 years.

At the date of acquisition of the company TraumaChir s.r.o., a positive consolidation difference arose in the total amount of 1,060 thousand CZK. It was decided to uniformly depreciate this consolidation difference over a period of 20 years.

At the date of acquisition of the company PRODERMA s.r.o., a positive consolidation difference arose in the total amount of 2,165 thousand CZK. It was decided to uniformly depreciate this consolidation difference over a period of 20 years.

At the date of acquisition of the company Denní psychoterapeutické sanatorium ”Ondrejov“ s.r.o., a positive consolidation difference arose in the total amount of 18,081 thousand CZK. It was decided to uniformly depreciate this consolidation difference over a period of 20 years.

At the date of acquisition of the company WELL& TREE s.r.o., a positive consolidation difference arose in the total amount of 5,298 thousand CZK. It was decided to uniformly depreciate this consolidation difference over a period of 20 years.

At the date of acquisition of the company MEDISERVIS s.r.o., a positive consolidation difference arose in the total amount of 24,982 thousand CZK. It was decided to uniformly depreciate this consolidation difference over a period of 20 years.

Current consolidating entity AKESO Holding a.s. (Business ID: 21029725) was formed by the merger of AKESO Holding a.s. (previous consolidating unit, Business ID: 06625258), EURODIAGNOSIS a.s., ARINITI s.r.o. and DIANOMÍ a.s. The decisive date of the merger was 01.01.2023. The existing company AKESO hodling a.s. was dissolved by the merger. The merger resulted in goodwill (the gross values and depreciation are provided in the table of fixed assets in section 10.3.1) as the difference between the valuation of the newly created accounting entity as a whole and the revaluation of individual companies to fair value. In the consolidation, we perceive this item as a component of the consolidation difference and depreciate it over a period of 20 years.

10.5 Inventories

As of 31. 12. 2024, the inventories of the consolidation group, with a total gross value of 191,477 thousand CZK, were not encumbered by any lien.

10.6 Receivables

10.6.1 LONG-TERM RECEIVABLES

As of 31. 12. 2024, the consolidation group had long-term receivables amounting to 4,185 thousand CZK, consisting primarily of receivables related to securing the contractor‘s obligations for defect liability during the warranty period and long-term advances provided. These receivables have a maturity period ranging from 2 to 5 years.

10.6.2 RECEIVABLES WITH MATURITY OVER 5 YEARS

As of the balance sheet date, the accounting entity records receivables with a maturity of more than 5 years in the amount of 1,773 thousand CZK. These receivables relate to securing the contractor’s obligations for defect liability during the warranty period.

Receivables from unconsolidated group entities (including the beneficial owner of the group) are as of 31. 12. 2024 in the amount of 50,523 thousand CZK. As part of trade and other receivables, the group reports receivables from non-consolidated entities related through the ultimate beneficial owner (Filema s.r.o., Altoa s.r.o.) in the amount of 5,131 thousand CZK.

10.6.5 RECEIVABLES SECURED BY LIEN OR OTHER FORM OF COLLATERAL

The consolidation unit has no receivables covered by a mortgage or secured in any other way.

The consolidation entity records a mortgage on trade payables in respect of liabilities to credit institutions (see section 10.12.5).

Accrued Assets primarily include unbilled supplier bonuses and expected payments from health insurance companies.

10.9 Accrual of assets

Expenses for future periods primarily include the accrual of minor long-term assets and the consumption of work clothing, insurance, IT rental costs, lease payments, subscriptions, and are recorded as expenses in the period to which they factually and temporally belong. Income for future periods primarily includes services provided in the field of health studies and is recognized as revenue in the period to which it factually and temporally belongs.

The other reserves include a provision for legal disputes amounting to 1,927 thousand CZK, the remainder is a reserve for untaken leave.

10.12.1 LONG-TERM LIABILITIES

As of 31. 12. 2024, the accounting entity records long-term liabilities, primarily consisting of a deferred tax liability amounting to 589,138 thousand CZK (see point 10.15), and the long-term portion of liabilities arising from loans received amounting to 1,117,854 thousand CZK.

10.12.4 LIABILITIES – CONTROLLED OR CONTROLLING PERSON

Long-term and short-term items Liabilities – the controlled or controlling person includes liabilities to the beneficial owner, which is Ing. Sotirios Zavalianis in the total amount of 500 thousand CZK.

As part of trade and other payables, the group reports liabilities to non-consolidated entities related through the ultimate beneficial owner (Lion-Tech s.r.o., Altoa s.r.o., Filema s.r.o., Thin Air Properties s.r.o.) in the amount of 73,468 thousand CZK.

10.16 Leased property

The consolidating unit has of 31. 12. 2024 concluded ordinary lease contracts for residential and non-residential premises. In addition, operating and finance lease agreements for movable assets, the costs in 2024 for these leases were approx. 13,196 thousand CZK. The consolidation unit uses loans rather than leases.

10.12.6 LIABILITIES SECURED BY LIEN OR OTHER FORM OF COLLATERAL

As of December 31. 12. 2024, the consolidation group records liabilities secured by a pledge or guarantee in favor of the creditor (see point 10.12.5).

10.17 Items not recognised in the balance sheet

10.12.7 ACCRUED LIABILITIES

Accrued liabilities amount to 78,317 thousand CZK, and represent expected refunds from health insurance companies, audit costs, and unbilled services for energy supplies in 2024.

10.13 Derivatives

In 2024, the consolidation unit had 3 derivative contracts – hedging interest rate swaps. Valuation as of December 31 against equity amounting to approximately 2,189 thousand CZK.

10.14 Accrual of liabilities

Expenses for Future Periods primarily include servicing of medical equipment, renovation costs, invoiced costs for electricity, and telephone charges, and are accounted for in the expenses of the period to which they relate both materially and temporally. Revenues for Future Periods represent the pre-financing of future receivables from health insurance companies.

10.15 Deferred tax

The consolidation group recognized a deferred tax liability in the amount of 589,138 thousand CZK, primarily due to the difference between the accounting and tax residual value of long-term assets and consolidation adjustments. It also arises from allowances for receivables and provisions for unused vacation and legal disputes. Deferred tax is not recognized on consolidation differences, as doing so would require recognizing the deferred tax liability against an asset. In the case of revaluation differences, deferred tax applies only to those not arising from the acquisition of a business or part thereof.

For guarantors and pledges on loans, see note 10.12.5., leased assets in the form of operating leases in an insignificant amount, the Group uses rather loans.

10.23 Significant events that occurred after the balance sheet date

Based on the assessment of all currently available information, the management of the entity believes that the assumption of going concern is not in jeopardy and that there is no significant uncertainty regarding this assumption. Therefore, the use of the going concern assumption in preparing the financial statements is deemed appropriate. All relevant information regarding our assessment of the possible impact of the aforementioned facts, which is currently available, has been disclosed in the notes to the financial statements.

We have audited the accompanying consolidated financial statements of AKESO Holding a.s. and its subsidiaries (“the Group”), prepared in accordance with Czech accounting standards. The consolidated financial statements comprise the consolidated balance sheet as of 31. 12. 2024, the consolidated profit and loss statement, the consolidated statement of changes in equity, the consolidated cash flow statement for the year ended 31. 12. 2024, and the notes to the consolidated financial statements, which include a description of the significant accounting policies and other explanatory information. Information about the Group is provided in Note 1 to these consolidated financial statements. In our opinion, the consolidated financial statements present a true and fair view of the assets and liabilities of the AKESO Holding a.s. Group as of 31. 12. 2024, and of its expenses, revenues, financial performance, and cash flows for the year 12. then ended, in accordance with Czech accounting standards.

Basis for opinion

We conducted our audit in accordance with the Act on Auditors and the standards of the Chamber of Auditors of the Czech Republic for audits, which are based on International Standards on Auditing (ISA), as amended and supplemented by relevant application clauses. Our responsibilities under these regulations are described in detail in the section titled „Auditor’s Responsibilities for the Audit of the Consolidated Financial Statements.“ In accordance with the Act on Auditors and the Code of Ethics adopted by the Chamber of Auditors of the Czech Republic, we are independent of the Group and have fulfilled our other ethical responsibilities as required by these regulations. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our audit opinion.

Other Information Included in the Consolidated Annual Report

Other information, as defined under Section 2(b) of the Act on Auditors, comprises information included in the consolidated annual report other than the financial statements and our auditor’s report. The Board of Directors of the Company is responsible for this other information. Our audit opinion on the consolidated financial statements does not cover this other information. However, as part of our responsibilities related to the audit of the consolidated financial statements, we have read and considered the other information and assessed whether it contains any material inconsistencies with the individual and consolidated financial statements or with our knowledge obtained during the audit, or whether it otherwise appears materially misstated. We also evaluate whether the other information has been prepared, in all material respects, in accordance with applicable legal requirements. This evaluation involves determining

whether the other information complies with legal requirements regarding form and preparation procedures in the context of materiality, i.e., whether any failure to comply could influence the judgment made based on the other information.

Based on the procedures performed, to the extent we are able to assess, we state that:

• The other information describing matters also presented in the individual and consolidated financial statements is, in all material respects, consistent with the individual and consolidated financial statements.

• The other information has been prepared in accordance with legal regulations.

Furthermore, we are required to report whether, based on the knowledge and understanding of the Group obtained during the audit, the other information contains any material factual inaccuracies. In connection with these procedures, we have not identified any material factual inaccuracies in the other information received.

Responsibility of the Board of Directors and Supervisory Board of AKESO Holding a.s. for the Consolidated Financial Statements

The Board of Directors of AKESO Holding a.s. is responsible for the preparation of the consolidated financial statements that present a true and fair view in accordance with Czech accounting regulations and for such internal control as the Board deems necessary to enable the preparation of consolidated financial statements free from material misstatement, whether due to fraud or error.

In preparing the consolidated financial statements, the Board of Directors is required to assess the Group’s ability to continue as a going concern and, where relevant, to disclose in the notes to the consolidated financial statements matters related to going concern and the use of the going concern assumption in preparing the consolidated financial statements, except where the Board intends to liquidate the Group or cease operations, or has no realistic alternative but to do so.

Auditor’s Responsibility for the Audit of the Consolidated Financial Statements

Our objective is to obtain reasonable assurance that the consolidated financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an auditor’s report that includes our opinion. Reasonable assurance is a high level of assurance, but it is not a guarantee that an audit conducted in accordance with the applicable standards will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if it is reasonably possible that, individually or in aggregate, they could influence the economic decisions of users taken on the basis of the consolidated financial statements.

In performing the audit in accordance with these standards, we exercise professional judgment and maintain professional skepticism throughout the audit. Further, our responsibilities include:

• Identifying and assessing the risks of material misstatement of the consolidated financial statements due to fraud or error;

Designing and performing audit procedures responsive to those risks; and Obtaining sufficient appropriate audit evidence to provide a basis for our audit opinion. The risk of not detecting a material misstatement resulting from fraud is higher than for one resulting from error, as fraud may involve collusion, forgery, intentional omissions, misrepresentations, or the override of internal control.

• Familiarize ourselves with the Group’s internal control system relevant to the audit to the extent necessary to design audit procedures appropriate to the circumstances, but not to express an opinion on the effectiveness of the internal control system.

• Assess the appropriateness of the accounting policies used, the reasonableness of accounting estimates made, and the disclosures provided by the Board of Directors of AKESO Holding a.s. in the notes to the consolidated financial statements.

• Evaluate the appropriateness of the going concern assumption applied by the Board in preparing the consolidated financial statements and determine whether there is any material uncertainty related to events or conditions that may cast significant doubt on the Group’s ability to continue as a going concern. If we conclude that such material uncertainty exists, we are required to draw attention in our auditor’s report to the related disclosures in the notes to the consolidated financial statements or, if such disclosures are inadequate, to modify our opinion. Our conclusions about the Group’s ability to continue as a going concern are based on audit evidence obtained up to the date of our report. However, future events or conditions may cause the Group to cease to continue as a going concern.

• Evaluate the overall presentation, structure, and content of the consolidated financial statements, including the disclosures, and assess whether the consolidated financial statements represent the underlying transactions and events in a manner that achieves a true and fair view.

• Obtain sufficient and appropriate audit evidence regarding the financial information of the entities within the Group and their business activities to provide a basis for our audit opinion on the consolidated financial statements.
