ver the past two months, ABC Keystone has gradually and safely returned to holding in-person training and classes for apprenticeship, professional development, and safety. The Chapter also brought member social events back into action. On September 24, the Chapter's first in-person event since the COVID-19 shutdown- the annual ABC Keystone Clay Shoot presented by OSS Health - was held at Central Penn Sporting Clays. The event saw both morning and afternoon flights sell out, and it was quite evident participants enjoyed the competition and comradery. The rescheduled ABC Keystone Golf Outing presented by Harmon and Davies, P.C. - held at Iron Valley Gold Club on October 21 - was another highly successful outdoor event. Looking ahead, the Chapter's Excellence in Construction Awards ceremony on December 10 will be virtual, but it promises to creatively utilize the virtual format to create a unique experience for the many members planning to tune in. Visit the Chapter's website for more events scheduled in 2021, including the Inaugural and the annual Economic Breakfast! For members in need of additional or supplemental safety services, ABC Keystone delivers Safety Consulting Services featuring: • Safety training and certification • Crafting or updating of safety plans including jobsite-specific safety policies • Navigating OSHA requirements • OSHA citation counseling • Preparing and presenting safety meetings • Safety recognition program development • Serving as your employer representative • One-hour free safety consultation ABC Keystone’s professional development programs offer a wide variety of educational opportunities for members. Learn more about construction contracts, employee relations and engagement, and many other topics by simply signing up online or calling the Chapter office.
These programs can be invaluable for employee retention and improvement. Several field supervisor training and development courses are also offered multiple times each year. One of the most important areas in which your Chapter delivers value is political advocacy. Many of us don’t have the time, the energy, or the understanding of how to improve or change state or federal laws. That is where our Chapter, our ABC PA state organization, and our national ABC association are ready, willing, and able to impact the direction of anti-construction or pro-construction policy. And, when Union-backed PLA’s or picketing affect your project productivity, ABC Keystone has your back. Members finding themselves in that situation have found the support was priceless. Membership does not cost, it pays! I trust that ABC membership will continue to be of value to you and your company. The Board leadership and Chapter staff are here to serve members and promote, preserve and protect free enterprise in construction. That’s what we do, and it's why we are here! Why We Do What We Do

even and a half months ago, the COVID-19 pandemic began, and those dreaded words came down from Governor Tom Wolf: “All nonessential businesses must close.� As we came to find out, construction was determined to be nonessential. Through many emails and phone calls, we were able to get some projects open if they were life-sustaining. I am still not sure a real definition has been issued for 'life-sustaining.' However, in their wisdom, the State felt they could define it through a waiver process, and we all know how that worked. Fast forward approximately six weeks, and with the help of our COVID-19 Safety Task Force we were able to get the Governor to re-open construction. The restrictions and recommendations put in place have made it more difficult to expeditiously work on and complete projects, but our members, using their entrepreneurial spirit, have managed to overcome a lot of these impediments. Back on March 19, I am sure we all thought this would be behind us by Labor Day. However, when the beginning of September rolled around, we were all still held somewhat captive by this virus. Knowing that it was time to start apprenticeship classes and other trainings, we, as a staff and the stewards of your chapter, had to plan properly. A COVID-19 building safety policy was created. Protocols were put in place, and the staff was instructed on procedures for handling in-person interactions. These protocols must be a moving target, as both the CDC and the State like to make changes based on what they feel the virus is doing. We understand that some members may feel that as we are in the
construction arena, our Chapter building protocols are too tough. Yet, some members might contend our protocols are not tough enough. As your Chapter staff, we try not to debate the varying opinions on how much protection from the virus is needed, nor do we debate the recommendations put out by the government agencies. Our main goal is to protect YOUR association, ABC Keystone, from liability and to protect your employees from illness due to the virus. One day down the road, COVID-19 will pass, and the Keystone Chapter staff and members will all have learned new processes, new technologies, and maybe even new and better ways to do our jobs. The staff will look back on this time and feel grateful for the conversations, the ability to respond to your requests for help, and the input you as members provided at a critical time to help keep our industry up and running. Yes, construction is, and always will be, an essential business. Together, we will all have grown personally, professionally, and collectively. ABC is YOUR association, and we will prevail together. Please continue to reach out to us. We're here to help!

Merit Shop Construction Scholarship Program Assisting individuals seeking to further their education in careers in construction. Each academic year, scholarships are awarded to 8-12 outstanding applicants. The amount of each scholarship is determined by the Merit Shop Training & Research Center Committee and generally ranges between $1,000 and $5,000 per scholarship. To date, a total of $535,850 has been awarded.

Thankful for Engaged Members
T
hank you for your service and membership with ABC! It is safe to say the start of the new decade did not go as anyone intended. Our members continue to manage the effects of the pandemic and are concerned about business prospects in 2021. Despite these challenges, ABC chapters and members have been more active in our advocacy efforts than ever before. In fact, during and after the shutdown, our grassroots network grew by nearly 50 percent. Thank you! This month, voters across the Commonwealth and nation will choose our leaders for the next Congress and State Legislature. While November 3 is Election Day, we likely will not know who the next President will be for some time. We may not even know the results of congressional races or state races on election night. Hopefully, the tallies will be final in time for the December issue of the Merit Shop Spokesman. In mid-November, the state House and Senate Republican and Democratic Caucuses will vote on a new leadership slate for the upcoming session. After those internal elections take place, leaders will assign committee chairs and then assign members to the various committees. We will be certain to keep ABC members apprised of those results. The issues important to the merit shop are not easy. To be successful, it takes all of us moving in the same direction, building mutual support, teamwork, and partnerships. I am proud to report on a few examples of how this teamwork has paid-off: • The Central Pennsylvania Chapter continues to support the House and Senate majority leaders, both of which reside in Centre County. • The Cumberland Valley Chapter was instrumental in illustrating the conflicting rules between states both during and after the COVID-19 economic shutdown. • The Eastern Pennsylvania Chapter has done a tremendous job connecting with federal candidates running against incumbents in the southeast and northeast. • The Keystone Chapter’s Board Chair testified on much needed reforms to the apprenticeship system and continues to represent the merit shop on the State Apprenticeship Council.

• Last, but not least, the Western Pennsylvania Chapter has been front-and-center in the fight against shale taxes and has been victorious in fighting against project labor agreements at the county-level. As we reflect on these successes, my challenge to ABC members is to remember how effective we were and enhance the “loudness” of our voice in the days and years to come. It does make a difference. November is also a time to give thanks. I want to thank every ABC member for their support and confidence in our advocacy work over the past year. Our successes are truly a team effort, and I want to recognize and thank Austin Cawley for the excellent job he has been doing on behalf of ABC. Austin has been a key contributor to our many successes. As we approach 2021 and beyond, I look forward to working with ABC’s leaders and members to advance and defend the principles of the merit shop. We have much to do! Building Careers at ABC! In October, ABC Keystone celebrated Careers in Construction Month, dedicated to the many paths available for pursuing opportunities in our great industry. This celebration of construction careers continues, as every week, apprentices enter the Chapter's training facility to learn from their instructors the many facets of their trades, each of them striving to build their own skills and futures. The apprenticeship instructors have worked diligently to ensure that these students receive quality and consistent education. The Chapter continues to augment the apprenticeship program to benefit members, including this year's addition of pipefitting. Elements of pipefitting have now been incorporated into the plumbing program for levels 1 and 2, allowing students to choose one or the other by their third year as an apprentice. This fall, ABC Keystone saw 370+ apprentices register for the 2020/2021 school year in nine trades, including a marked increase in electrical apprentices and additional female apprentices.
Many students entered the program unsponsored and are now already working for member companies. The Chapter's pre-apprenticeship programs, including the programs at Elizabethtown High School and School District of Lancaster, are instrumental in this pipeline. Several of Keystone's former pre-apprentices are now continuing their education at ABC. Throughout this school year, students will benefit from increased technology. Classes have the opportunity to use iPads in their classrooms to gain knowledge of the Procore® Construction Project Management software to enhance their education. Utilizing this software will allow students to gain valuable skills which will be an asset to them and to their companies. Construction craftspeople are in high demand, and apprentices have multiple, lucrative career paths available to them. As we celebrate National Apprenticeship Week in November, ABC Keystone wishes to thank the Chapter's apprentices, instructors, Apprenticeship & Craft Training Committee, and sponsoring companies for their part in growing the industry.

Apprenticeship Update Electrical Update BY: CHAD FOOR, DIRECTOR OF ELECTRICAL
The electrical apprenticeship program at ABC Keystone is constantly working to improve safety and productivity on the job through education and training. This fall, the program has benefited from the support of our partners and has seen curriculum enhancements. There are many companies that design tools and equipment to accomplish safety and productivity goals. Southwire is one of those well-known companies, and we have the privilege of partnering with them to further train our apprentices at the ABC Keystone training facility. This company has donated approximately $20,000 worth of training tools and equipment for the Chapter's apprenticeship program, and they will be coming to our location soon to perform a demo using Southwire's Conduit Bending Station and MAXIS 6K Cable Puller. This is a great opportunity for our apprentices and their companies to be introduced to some innovative new products that will improve safety and get the job done more efficiently. The electrical apprenticeship program at the Keystone Chapter has seen some changes this fall. Students are benefiting from making the transition to Mike Holt’s Four-Year Apprenticeship Program and Online Learning Platform, The Capacitor. Our students have expressed a renewed desire to learn not only how to perform electrical installations and calculations in the field, but they have discovered the WHY behind these practical installations. As the Director of Electrical and their full-time instructor, it encourages me to hear students say, “We are really learning a lot this year.” They are becoming competent electricians, and it’s a privilege to play a part in that process.
Plumbing Class Gains Hands-on Experience BY: D. RANDY DOXZON, DIRECTOR OF HVAC & PLUMBING
The Chapter's Plumbing 2A class was recently given a real-world opportunity to enhance their skills using the hands-on module. The class was given a small drawing of a bathroom with a water closet, lavatory, and a water heater. They used this drawing to create both a materials list and an isometric drawing of how they will do the install. Later, the class completed the in-wall rough-in by using the code book and plumbing submittals for the fixtures. The students tested both the DWV and domestic water systems and will wait for drywall to be completed before finishing and setting the fixtures.

How did you get New this in the involved yea industry?
In the summer of 1989 (reminds me of a song), I had a good friend’s father ask me what I was going to do with my life at the end of the summer. I told him I wasn’t sure, and he asked if I knew anything Bill Lastinger, about the construction industry. General Superintendent I asked him what he meant. He Benchmark Construction Co., Inc. said, “Have you thought of working 4121 Oregon Pike Brownstown PA 19508 with your hands...doing carpentry (717) 278-1346 work?” I told him that I took a wlastinger@benchmarkgc.com drafting class in high school, and www.benchmarkgc.com that was the closest thing to carpentry I knew. A few weeks later, I found myself working as a laborer on a construction site. It didn’t take me long to realize that I could make a good career working in construction. I went through the apprenticeship program at ABC Keystone, and after graduation, Benchmark brought me on as a lead carpenter, followed by a promotion to foreman, and eventually, I became a superintendent. As you can see, this doesn’t happen overnight, but with hard work and a goal-oriented attitude, you can achieve a lot. Over the last 13 years, Benchmark has placed me in leadership positions in which I help encourage others to achieve their goals. This craft and this industry have provided me with so much opportunity in my career, and I would like to continue sharing these opportunities with others.

Five Quick Ways to Turn Your P.O. Form Into a More Protective Contract
M
ost contractors and subcontractors use a standard purchase order – or P.O. – form for their limited-scope projects. Attorneys often recommend supplementing the P.O. by attaching a form of general terms and conditions. Although general terms and conditions are designed to incorporate broad legal provisions that protect a contractor's or subcontractor's rights during a project, they can be time-consuming to prepare. Consider these five tips for quickly supplementing your P.O. forms in situations where general terms and conditions are unavailable: 1. Reference the Project Scope and Supporting Documentation. The P.O. form should have a clear description of the project and list the drawings and specifications that apply to the project. This includes the title, sheet number and dates of all drawings. The P.O. should also state which project documents take precedence in the event of a conflict. If there is special sequencing as to when plans will be prepared based on the initial proposal or budget, describe this. Finally, if there was work performed before the P.O. was signed, make sure to describe the work previously completed and state that the P.O. applies retroactively to this work. 2. Include Detailed Payment Terms. How are invoices being paid? The P.O. form should clearly state how long until an invoice is overdue, as well as the interest or penalties incurred if the invoice is not paid on time. If there is no retainage involved in the project, the P.O. form should state that explicitly. List unit prices and alternates if they are applicable. 3. Include Detailed Contract Timing Terms and Waive Consequential Damages. Clearly state the commencement date and substantial completion date for the project. Add a clause that permits delays

for force majeure (or acts of God) events, such as reasonable weather delays, strikes, fires, riots and other uncontrollable situations. This clause should also specify that delays due to COVID-19 may also push back the substantial completion date. Finally, include a sentence stating that both parties waive their rights to seek consequential damages from one another to prevent claims for lost profits and other damages due to any delay in completion. 4. Include Insurance Provisions. The owner and contractor usually have an unspoken understanding to carry insurance, but it is still best to spell out the minimum limits of each carried insurance policy including who, if anyone, should be named as additional insured. Contractors should consider stating in the P.O. form who is carrying the builder's risk insurance, or include a line item for the policy premium if the contractor is obtaining it. Add another sentence to the P.O. that requires both parties' insurance policies to contain a waiver of subrogation clause. A waiver of subrogation means that one party's insurance company will pursue damages from the other negligent party for claims that are covered and paid under the original policy as long as the insured is waiving its right to pursue damages from that negligent party. This is helpful to have because it avoids the possibility of dispute down the road as to claim coverage. However,
it is important before agreeing to such a provision to confirm that your insurance policy allows such waiver of subrogation or that it has a waiver of subrogation endorsement. 5. Add the Ability for PDF Signatures and Date the Signatures. Both parties should sign the P.O., rather than just the party generating it. It should have a sentence that specifies that the parties may sign the P.O. electronically and in separate counterparts. When a P.O. does not have this type of provision, it invites courts to analyze whether the owner properly signed the P.O. and raises questions about what constitutes a "signature." When you add this provision, there is less room for interpretation about the validity of a signature during a dispute. Also, date each signature so that there is no question about when both parties signed the P.O. A P.O. form is a valid tool to help keep the construction process moving. Make sure to consider these five points when preparing your P.O. to help make your P.O. a more comprehensive contract, especially in the event of a dispute.

The Latest ABC Keystone Member News Barley Snyder Partner Elliott Named Fellow in Prestigious Construction Group The Construction Lawyers Society of America has named Barley Snyder partner Maria Di Stravolo Elliott as a fellow, the culmination of a highly selective process to whittle down the country’s best construction attorneys. Elliott is a former chair of the firm’s Construction Industry Group and is the current chair of the firm’s Real Estate Practice Group. The CLSA is an invitation-only, international honorary association composed of preeminent lawyers specializing in construction law and related fields, according to the organization. Fellowship is limited and selective, with lawyers being invited into fellowship upon a proven record of excellence and accomplishment in construction law at both the trial and appellate levels. “This is one of the leading groups of construction attorneys in the country,” Elliott said. “It’s an honor for me to be considered to join their ranks, let alone to be invited as a fellow. Meet Cassie! As a PreConstruction Specialist, I work with the General Contractors to iron out some of the details of our projects before they get to our Project Managers. I find myself drawn to this work because it allows me to organize information. I remember being a kid and helping my dad out in the garage fix up a bench. He would ask for a tool, and it was my job to hand him the right tool, like a doctor asking the nurse for a scalpel during surgery. After a few minutes of doing this, my dad looked over and noticed I had laid out all of the tools in just the right way so that I could see every tool. All tools with similar purposes were near each other. All the cobwebs were cleaned off. My dad then blurted, “What are you doing?” and grabbed the hammer from the middle of the table, messing up my feng shui. Being a PreConstruction Specialist allows me to set up the table of tools for our Project Managers. In the restaurant world, they would call this “mis en place,” or everything in its place. Although it may seem simple to place all of your equipment out, or in my case, save everything in the right file, the act of mis en place can be quite intensive. Creating mis en place really

means to think through the process entirely before setting to work. In my role, that would mean following up on issues that have not been resolved, tying up loose strings, but most importantly, setting the Project Managers up for success.
